The Proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. The Offeror shall assume that the Government has no prior knowledge of their capabilities and experience and will base its evaluation on the information presented in the designated section of the Offeror’s proposal and other official outside sources.

The government reserves the right to conduct negotiations with the apparent successful offeror only.

All documents must comply to the following format:

a. Pages must be standard 8 ½" by 11" size and the font must be 12 point Times New Roman.

The font size for tables, figures, and graphics must be 8 point or larger and must be Times New Roman or Arial font.

b. Margins must be one-inch at top/bottom and left/right of each page. Pages must not be reduced form. Headers and footers may be included in the margins.

c. Paragraph line spacing must be single spaced.

d. All documents must be in PDF format unless otherwise specified.

Cover Page: The cover page should contain the following information:

a. Offeror Name and Address

b. UEI

c. Cage Code

e. All Small Business Designations and small business designation of subcontractors/teaming partners

f. Company Point(s) of Contract (POC), with phone number and email addresses

Volume 1: Technical Capabilities

The technical volume shall contain the Offeror’s subscription platform’s capabilities and experience to meet the requirements detailed in the SOW. The submission shall also address, at the very minimum, the following key elements:

a. Quality of Data: How is the data in your product sourced? Who are you sourcing from, how is the data obtained, and what frequency of data is being provided? If sourcing varies significantly by geography, please address how sourcing methods and percentages compare for emerging and frontier markets versus developed markets.

b. Data Sample Size: Data providers must have a robust data sample size to meet the needs of DFC. For DFC’s needs, there needs to be sufficient data in the emerging and frontier market funds by region, asset class, and vintage year. Please provide a statistical breakdown of number of funds covered by:

1. Region: Global, Africa, Asia (ex: China, Australia, Japan), Emerging Europe, Latin America, Middle East

2. Asset class: Growth/Buyout, Fixed, Fund of Fund, Venture Capital

c. Data Configurability: Please provide screenshots and/or explanations demonstrating your system's ability to provide the requirements in 4.2 B and C and that they can be accessed for specific groupings such as region, asset class, and vintage year. DFC requires the ability to remove specific countries from a region (ex. Asia ex. China) or create custom regions.

Page Limit for Volume 1: No more than 30 pages, excluding cover page. If exceeded page limit, the excess pages will not be read or considered in the evaluation of the proposal.

Volume 2: Pricing The Offeror shall submit a Firm Fixed Price (FFP) quote for the subscription described in the SOW. DFC is requesting pricing with option years. If Offeror is unable to offer pricing for option years or is only able to offer a limited number of option years less than DFC’s request, please include reason(s) why. Offeror must also include explanation of their pricing structure, and why it is fair and reasonable within the marketplace. Be sure to consider the usage assumption stated in the SOW and price accordingly.

Page Limit for Volume 2: No more than 3 pages. If exceeded page limit, the excess pages will not be read or considered in the evaluation of the proposal. Offeror shall submit this volume in MS Excel format.

Volume 3: External Licensing Agreement and IT Privacy/Security The Offeror shall submit, if applicable, their

a. external licensing agreement;

b. any privacy statements applicable to DFC’s usage; and

c. summary of offeror’s security assessments and arrangements. Please specify third-party security assessments used (ex. SOC 2, ISO 27001, etc.) and the schedule on which these are performed. If the vendor prefers to provide a full document outlining their security practices, please specify where the security assessment information can be found.

d. Offeror must clearly state the jurisdiction(s) where processing and data storage will occur.

Additional Information and Requirements To facilitate the award process the proposal must include a statement regarding the terms and conditions herein as follows:

"The terms and conditions in the solicitation are acceptable to be included in the award document without modification, deletion, or addition."

The Offeror shall list exception(s) and rationale for the exception(s).

The Offeror must also indicate whether their response contains proprietary information and mark their proposal accordingly.

The Offeror must indicate their proposal is valid for at least 90 days from the date of submittal.

FAR 52.212-2 Evaluation—Commercial Products and Commercial Services (Nov 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: The technical factor is more important than price. Therefore, award may be made to other than the lowest-price offeror(s). The Government will perform a comparative evaluation (comparing quotes to each other) to select the quote(s) that is best suited and provides the best value, considering the evaluation factors in this solicitation. The following factors shall be used to evaluate offers:

Factor 1: Technical Capabilities Factor 2: Price

EVALUATION STANDARDS. The offeror's technical capabilities will be evaluated using the following confidence rating system:

High Confidence: The Government has high confidence that the Offeror will successfully perform the required effort with little or no Government intervention.

Some Confidence: The Government has some confidence that the Offeror will successfully perform the required effort with some Government intervention.

Low Confidence: The Government has low confidence that the Offeror will successfully perform the required effort based on recent/relevant prior experience even with Government intervention.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

2. Amend the Statement of Work to remove Paragraph 4.1(B) and add Paragraph 4.2(G) as follows:

STATEMENT OF WORK

Project Title: Private Capital Benchmark Calculator

1.0 GENERAL INFORMATION

The U.S. International Development Finance Corporation (DFC) is financing solutions to the most critical challenges facing today's developing world. Working with businesses, DFC mobilizes private capital to invest in projects that create jobs and opportunities in emerging markets, including building critical infrastructure, expanding access to telecommunications, and providing small business financing for women entrepreneurs. Launched in 2019, DFC helps to advance America's foreign policy by partnering with projects that create economic stability, protect sovereignty, and ensure transparency. DFC investments adhere to high U.S. business standards and respect the environment, human rights, and worker rights.

2.0 BACKGROUND

As the U.S. Government's development finance agency, the United States International Development Finance Corporation (DFC) mobilizes U.S. private capital to help solve critical development challenges while advancing U.S. foreign policy interests. DFC works with the U.S.

private sector to help gain footholds in emerging markets, catalyzing revenues, jobs, and growth opportunities at home and abroad. DFC achieves its mission by providing investors with financing, loan guarantees, political risk insurance, support for private equity investment funds, and direct equity investments.

3.0 SCOPE

DFC requires a subscription to a commercial off-the-shelf (COTS) information system providing a private capital data set and benchmark calculator which allows DFC to generate custom benchmarks for private investment funds in emerging and frontier markets for use in investment due diligence, monitoring functions and analysis, and as the basis in the subsidy model.

DFC is not soliciting for a software development effort and will not be providing the data for this benchmark calculator. DFC anticipates using the searching, filtering, and calculating tools within an existing commercial database and benchmark calculator and does not require that a separate instance of the application be set up for agency use.

4.0 REQUIREMENTS

The contractor shall provide a system to comply with the following functional requirements:

4.1 General System Requirements:

(A) Authentication via single sign-on using SAML (Security Assertion Markup Language)

(B) Processing and data storage locations for all DFC usage are within U.S. jurisdiction

(C) System undergoes third-party security assessment regularly (ex. SOC 2, ISO 27001, or other applicable assessments).

(D) User-friendly interface for easy access to searching, filtering, and reporting options.

(E) Ability to download, print, or save search results in an appropriate format such as Excel.

(F) A Help Desk or other interactive search assistance.

(G) Search functionality to create highly customized benchmarks by creating unique combinations of vintage years, strategies, geographies, or filtering on things like fund performance or fund sizes.

(H) Specify if there are add-ins or plug-ins needed in order for full functionality.

4.2 Content Requirements:

(A) Data sourced directly from fund financial statements and quarterly reports. Data in your calculator should use actual fund cash flows to calculate returns at the individual fund level and pooled returns by category (region, asset class, vintage year, etc.).

(B) Ability to provide all of the following specific types of data:

1. Aggregated benchmark cash flow and NAV (Net Asset Value) data.

2. Pooled (Total of all Funds in Category) Net to LP (Limited Partnership) performance multiples for funds in all asset classes and regions.

3. TVPI (Total Value over Paid-In) for all asset classes and regions. Ranges of performance based on performance percentile/quartile and standard deviation including the following levels:

(a) Top 5%

(b) Upper Quartile

(c) Median

(d) Lower Quartile

(e) Bottom

(f) Standard Deviation

(C) Access to investment-level performance at the investment portfolio level.

(D) Private market funds available for benchmarks must include such instruments as primary funds, co-investment funds, separate account vehicles, secondary funds and interests, and fund-of-funds.

(E) Benchmark reports provided on a quarterly basis. Each quarterly report must contain the pooled Net IRRs (Net Internal Rate of Return) for the current quarter, 1 year, 3 years, 5 years, and 10 years.

(F) Benchmark data collection shall focus on approaches to ensure the uniformity, transparency, and veracity of the collected private equity data.

(G) Data shall have global coverage and must include substantial coverage of funds operating in emerging and frontier markets, such as in Africa, Southeast Asia and Pacific, and Latin America. Flexibility in creating or editing geographic groupings shall be available which allows for excluding countries that are not of interest from a regional grouping.

5.0 USAGE ASSUMPTIONS

DFC will assign a one or more individuals to act as expert database searchers for this subscription. Initially DFC plans to start with at least one searcher, with potential to add up to 4 additional searchers during the course of the contract.

Each searcher will download data at the request of and for the use of end users, as well as for the searcher’s own use. DFC estimates having roughly 20 total end users per year, with each end user averaging two-three data requests per year. DFC estimates no more than 10% growth in end users/requests per year.

6.0 DELIVERABLES

Contractor must be able to deliver licenses/ access within 7 days after the date of award.

9.0 HOURS OF OPERATIONS:

10.0 PERIOD OF PERFORMANCE (POP)

The Period of Performance shall be for a base period of one (1) year from the award date, along with two (2) twelve-month option year.

11.0 ACCESSIBILITY REQUIREMENTS (SECTION 508)

Section 508 of the Rehabilitation Act, as amended by the Workforce Investment Act of 1998 (P.L. 105-220), requires that when Federal agencies develop, procure, maintain, or use electronic and information technology (EIT), they must ensure that it is accessible to people with disabilities. Federal employees and members of the public with disabilities must have equal access to and use of information and data comparable to that of non-disabled Federal employees and members of the public.

12.0 DATA RIGHTS

In the performance of this contract, the contractor agrees to keep all information contained in source documents or other media furnished by the Government in the strictest confidence. The contractor also agrees not to publish or otherwise divulge such information in whole or in part, any manner or form, nor to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the contractor's possession, to those employees needing such information to perform the work provided herein, i.e., on a "need to know" basis. The contractor agrees to immediately notify the Contracting Officer, in writing, if the contractor determines or has reason to suspect a breach of this requirement.

The contractor agrees not to disclose any information concerning work under this contract to any persons or individuals unless prior written approval is obtained from the Contracting Officer.

The contractor agrees to insert the substance of this clause in any consultant agreement or subcontract hereunder.
