About this file
This document is a Justification and Approval (J&A) for Other Than Full and Open Competition for a federal contract opportunity issued by the Department of Health and Human Services (HHS) Health Resources and Services Administration (HRSA).
The purpose of the procurement is to finalize activities and close-out the remaining operations for the COVID-19 Uninsured Program (UIP), American Rescue Plan (ARP) Rural Program, and the Provider Relief Fund (PRF) General and Targeted Distribution programs, as well as transfer data to the Government. The key requirements include processing payment returns, supporting providers through a call center, responding to law enforcement and audit requests, and continuing to provide communications and correspondence support as the programs wind down. The estimated total contract value, including options, is $68,259,288.40. The contract will be awarded on a sole-source basis to the incumbent contractor, OptumServe Technology Services, Inc., due to their unique position as the sole entity possessing the historical program data, proprietary systems, and operational knowledge integral to the UIP and PRF programs. No set-aside is identified. The period of performance is up to 2.5 years, with a 6-month base period and two 1-year option periods.

JUSTIFICATION AND APPROVAL
FOR OTHER THAN FULL AND OPEN COMPETITION
Completion Instructions: The Department of Health and Human Services (HHS) has established a standard template for the preparation of a J&A for Other Than Full and Open Competition. If this is an 8(a) set-aside, please note this form is not required unless the acquisition is valued (including all options) at greater than $22 million. This template is NOT applicable for actions using simplified acquisition procedures (FAR Part 13), Federal Supply Schedule orders (FAR 8.4) or task or delivery orders subject to fair opportunity (FAR 16.505).
Tailor all aspects of this template to the individual acquisition. Consult FAR Subpart 6.3 for guidance. An addendum may be added in case additional space is needed.
When this document is printed, the blue italic instructions are automatically deleted on the printed version.

4. Authority and Rationale: Identify the statutory authority, FAR title and FAR citation permitting other than full and open competition. It may be one of the following most commonly used citations by the operating divisions of the Department of Health and Human Services (HHS), but other exceptions may apply per FAR Subpart 6.3.
Actions other than simplified acquisition procedures (select only one and provide an explanation):
FAR 6.302-1: Only one responsible source and no other supplies or services will satisfy agency requirements, 41 U.S.C.
3304(a)(1)
Explain why the intended contractor is the only responsible source who can provide the required supplies or s ervices.
Discuss the unique capabilities, expertise, etc. that support the lack of competition/why no other type of supplies or servic es will satisfy agency requirements. Explain factors/unique qualifications such as proprietary data or exclusive licensing rights, if applicable. When competition is limited to items particular to one manufacturer, this justification must explain why the particular brand name, product, or feature is essential to the Government's requirements, and that market research indicates other companies' similar products, or products lacking the particular feature, do not meet, or cannot be modified to meet the agency's needs in accordance with FAR 11.105. If in connection with a follow-on contract for continued development or production of highly specialized equipment, detail the substantial duplication of cost or unacceptable delays.
FAR 6.302-2: Unusual and compelling urgency, 41 U.S.C. 3304(a)(2)
If unusual and compelling urgency is the basis for the justification, explain the chronological events leading up to the requirement and explain why time constraints cannot permit even a limited competition. Describe the detrimental effects/ serious injury to the mission of the requiring activity or to the government, financial or otherwise, that will result if this justification is not approved. Describe impact of required delivery/performance date. Describe the detrimental effects/ serious injury to the mission of the requiring activity or to the government, financial or otherwise, that will result if this justification is not approved and the product or service cannot be provided by the intended sole source contractor. Failure to plan for expiring funds is not a valid reason for citing this exception. May not exceed one year, including all options, unless the head of the agency determines that exceptional circumstances apply.
FAR 6.302-5: Authorized or Required by Statute, 41 U.S.C. 3304(a)(5)
Provide a citation to the statutory authorization and a brief description of its content, or identify the specified source or other agency.
Other (See FAR Subpart 6.3 for additional authority)
Provide the authority and citation to the applicable section of FAR 6.3.
Provide a full explanation to justify use of the exception.
5. Agency Actions to Take or Remove Barriers That Led to Other Than Full and Open Competition (If applicable):
Describe the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration prior to any subsequent acquisition for the supplies of services is made. If no such actions have been taken, explain why.
https://www.acquisition.gov/far/part-6#FAR_6_302_1 https://www.acquisition.gov/far/part-6#FAR_Subpart_6_3 https://www.acquisition.gov/far/part-11#FAR_11_105 https://www.acquisition.gov/far/part-6#FAR_6_302_2 https://www.acquisition.gov/far/part-6#FAR_6_302_5
6. Bridge Contracts:
For contract extensions or bridge contracts when a competitive follow-on is in the process of being developed, summarize history of current contract and explain the reasons for any delays in the acquisition. Include discussion of the milestones f or the follow-on action; the milestones should be as efficient as possible. Discuss why it would be neither cost effective nor realistic to expect another contractor to perform during the brief interim period; include issues such as start -up costs, phase-in, transfer of GFP, recruitment and staffing, etc. If the action is because of a protest, provide a brief discussion of the protest including the date the protest was filed and the basis of the protest. Explain that the action will provide the minimum quant ity or performance period.
7. Actions to Increase Competition:
Describe efforts made to compete the action, including whether a notice was or will be publicized as required by FAR Subpart
5.2 or which exception under FAR 5.202 applies. If a notice was publicized, discuss the number of written responses to the synopsis and the results of the assessment of the written responses. List sources, if any, that expressed, in writing, an interest in the acquisition. Provide rationale if interested sources were rejected. If applicable, state that no other sources have expressed interest, but all offers received shall be considered. Describe what actions will be taken to increase competition before subsequent acquisition of the supplies or services is required. You may state that an action is a one-time requirement, but if a similar requirement arises, every effort will be made to compete it to the maximum extent possible. If action is sole source because of proprietary data or licensing rights and there will be a continuing need for the requirement, there must be evidence that advanced planning has been initiated to overcome the barriers to competition, or there should be documentation to support an analysis that replacement costs/licensing purchase costs outweigh the benefits of competition. If the action is a contract extension or bridge, explain actions to compete the follow-on. If action is an urgent new requirement and a competitive follow-on is anticipated, explain that efforts are underway to facilitate a full and open competition.
8. Market Research:
Describe the extent of the market research conducted to identify all qualified sources and the results thereof. “Market Research” is defined as those attempts you made to ascertain whether other qualified sources exist, and can include contact with knowledgeable experts regarding similar or duplicate requirements, contact with industry, results of a sources sought synopsis, or draft solicitations. Research of the marketplace may consist of written, electronic (i.e. email) telephonic, or world wide web inquiries. Lack of advanced planning is not an acceptable reason for the lack of market research, but true urgency may necessitate abbreviated market research that is limited to readily available historical and commercial information. If ac tion is a contract extension or bridge contract, describe the market research efforts underway or completed for the follow-on. See FAR 10.002(b)(2).
9. Procurement History:
Purchase order or contract number:
Was action competed? Yes No
If action was not competed, state the cited authority, summarize rationale, and describe the actions that were supposed to be taken to increase competition and the results thereof:

Text69: The purpose of this procurement is to finalize activities and close-out the remaining activities for the Uninsured Program (UIP), American Rescue Plan (ARP Rural), and the Provider Relief Fund (PRF) General and Targeted Distribution programs and transfer data to the Government. The activities covered by this contract include: processing of payment returns; supporting providers through Provider Support Services (through an existing call center to handle inquiries during the close-out period); responding to law enforcement requests; responding to requests pertaining to audits/assessments; and continuing to support provider Communications and Correspondence, Freedom of Information Act (FOIA) requests, and Congressional and media requests for PRF and UIP as they wind down. The Contractor will not perform new program work under this contract beyond facilitating the responsible close-out operations, data transfer, and ending of the UIP and PRF programs.
Services obtained through this procurement are considered severable. There are numerous unique tasks identified in the PWS with their own unique timelines that carry an independent value to the Government when completed. The resulting contract is expected to last no longer than 2.5 years. The Base Period is for a period of 6 months and is estimated at $11,552,535 if all optional line items are exercised at their maximum quantities. Option Period 1 is one year in length and is estimated to be $27,708,618, inclusive of all Option Period 1 optional line items. Option Period 2 is also one year in length and is estimated to be $28,998,135, inclusive of all Option Period 2 optional line items. Each performance period includes contract labor as well as IT costs for the application infrastructure, paper letters and mail pertaining to returns, and Bank fees (1099, paper mail, paper checks, ACH, WIRE).
Text70: Over the past four years HRSA/PRB has been making payments for claims reimbursements to thousands of healthcare providers for services they rendered relating to Covid-19 treatments. Reimbursements were made from Uninsured Program (UIP), American Rescue Plan (ARP Rural), and the Provider Relief Fund (PRF) funds. OptumServe Technology Services, Inc. (Optumserve). Over those four years, Optumserve has been instrumental in assisting HRSA/PRB with the claims processing and getting financial payments to the providers. Optumserve continues to house all the claims and payment-related data for all healthcare providers who submitted claims. HRSA/PRB has an ongoing need for access to this data. HRSA/PRB frequently receives inquiries from DOJ, GAO, FBI, and other law enforcement agencies who are seeking information related to fraud cases etc. In these cases, HRSA/PRB relies on Optumserve to analyze and gather the specific data that is requested in order for HRSA/PRB to assist and pass along the pertinent information to the various agencies to assist in their investigations. OptumServe uniquely possesses and maintains key data repositories, claims adjudication systems, banking/payment infrastructures, and operational knowledge integral to the UIP and PRF programs. Additionally, one of the primary objectives/tasks of the contract is for OptumServe to transfer all of the date to HRSA/PRB so that the Government has internal access to the data and is no longer dependent on the Contractor to gather and provide it at a cost to the Government. Optumserve is the only responsible source capable of providing the services required to properly close out the UIP and PRF programs which are now ending. Transitioning this extensive proprietary infrastructure to a new vendor is not feasible and would risk substantial cost duplications, unacceptable delays, catastrophic data loss, integrity issues, and unacceptable disruptions to close-out services. As holders of the data, only OptumServe can satisfy the Government’s requirements to wind down the UIP and PRF programs securely and transfer all remaining data to the government while continuing essential close-out services until the programs fully terminate. In some cases audits and assessments have taken place and it has been determined that certain providers were overpaid and need to return funds to the Government. Based on the data they hold, Optumserve is in a unique position to confirm that the amounts that need to be returned are correct and they already have a banking system in place to accept the return funds from the providers and transfer them back to the Government.

Text78:
Text79: This is not applicable because no actions can be taken by the agency to remove or overcome barriers that led to this restricted consideration prior to this close-out acquisition. OptumServe Technology Services, Inc. is the sole source capable of providing these services due to their status as the incumbent contractor operating the Uninsured Program (UIP) and Provider Relief Fund (PRF) programs under previous contracts with HRSA.
OptumServe uniquely houses all historical program data, proprietary systems, banking/payment infrastructures, and operational knowledge integral to UIP and PRF within their environments. Transitioning this proprietary infrastructure to a new vendor for close-out purposes is not feasible and would risk catastrophic data loss, integrity issues, and unacceptable disruptions to essential close-out services like provider returns processing and support.
As this is a one-time contract solely for the purpose of responsibly winding down the ending UIP and PRF programs that OptumServe has been operating, no actions can realistically be taken to introduce competition or overcome barriers. OptumServe's position as the incumbent controlling all proprietary program assets is an inherent barrier that cannot be removed for this particular close-out requirement.
The Agency can take a look at highly specific requirements in the future and forecast the endstates of those requirements before creating a necessary sole source. If industry is capable, other contract vehicle methods can be examined to established some sort of competitive Single Award IDIQ to give more opportunities to contractors in the future.
Text80: Not Applicable.
Text81: A source sought notice for these close-out services was not publicized, because the exception allowed by FAR 5.202(a)(4) for not publicizing applies to this action. This is a contracting action pursuant to the authority of FAR 6.302-1 (Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements). This is a follow-on sole source requirement to winddown the program activities and transfer data from the existing Uninsured Program (UIP) and Provider Relief Fund (PRF) programs managed by OptumServe Technology Services, Inc.
Considering HRSA is in the process of ending these programs, HRSA needs OptumServe to continue performing the activities of the UIP and PRF programs, they are the only source that currently houses the UIP program data, has the infrastructure/systems for provider banking data, claims processing, returns processing, and a call center to handle complex provider inquiries. Transitioning this work to another vendor is not feasible, as it would require costly and impractical transfers of large amounts of proprietary data, disruption of established banking/payment services, and specialized medical billing clearinghouse capabilities.
For this sole source action, advanced planning could not overcome the barriers to competition, as OptumServe's retention of all proprietary program data and operational infrastructure is integral and essential to properly completing the close-out activities. However, the agency recognizes the importance of fostering competition and will ensure adequate lead times for future requirements to allow implementation of competitive strategies where possible.

Text84: As part of the market research process, the Government had previously determined and continues to maintain that the services required are commercial in nature. The market research process previously performed found these services/programs inappropriate for small businesses to perform given the need for the vendor function and serve as a medical billing clearinghouse/healthcare insurance company with technical expertise, infrastructure, security controls, and established relationships to manage medical claims/payments end-to-end. Since the work to be performed under this procurement must reach-back and rely on data held solely by Optumserve on payments they made, only Optumserve can provide the services in a responsible manner for the work to be performed on this procurement. Issuing a Sources Sought notice, doing Internet research, or any other Market Research technique will not confirm the Government’s supposition, in any meaningful way, that other companies are unable to the perform the required services without access to the data being housed within OptumServe's proprietary system.
