(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. Similarly situated entity, as used in this clause, means a first-tier subcontractor, including an independent contractor, that—

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to—

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.105, 19.106, 19.107, and 19.108;

(4) Orders expected to exceed the simplified acquisition threshold and that are set aside for small business concerns under multiple-award contracts, as described in 8.4 and 16.5;

(5) Orders, regardless of dollar value, that are set aside in accordance with section 19.105, 19.106, 19.107, and 19.108 under multiple-award contracts, as described in 8.4 and 16.5; and

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for—

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract;

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;

(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 85 percent subcontract amount that cannot be exceeded; or

(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 75 percent subcontract amount that cannot be exceeded.

(f) The Contractor shall comply with the limitations on subcontracting as follows:

(1) For contracts, in accordance with paragraphs (c)(1), (2), (3) and (6) of this clause—

☐ By the end of the base term of the contract and then by the end of each subsequent option period; or

☒ By the end of the performance period for each order issued under the contract.

(2) For orders, in accordance with paragraphs (c)(4) and (5) of this clause, by the end of the performance period for the order.

(g) A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph (e) of this clause will be performed by the aggregate of the joint venture participants.

(1) In a joint venture comprised of a small business protégé and its mentor approved by the Small Business Administration, the small business protégé shall perform at least 40 percent of the work performed by the joint venture. Work performed by the small business protégé in the joint venture must be more than administrative functions.

(2) In an 8(a) joint venture, the 8(a) participant(s) shall perform at least 40 percent of the work performed by the joint venture. Work performed by the 8(a) participants in the joint venture must be more than administrative functions.

NAIHS-ACQ-09 UNAUTHORIZED COMMITMENTS NOV 2025

(a) Definitions.

Contracting Officer means a person with the authority to enter into, administer, and/or terminate contracts and make related determination and findings.

Ratification means the act of approving an unauthorized commitment by an official who has the authority to do so.

Unauthorized Commitment (UAC) means an agreement that is not binding solely because the Government representative who made it lacked the authority to enter into that agreement on behalf of the Government.

(b) Policy.

The Government is not bound by agreements with, or contractual commitments made to, prospective contractors by individuals who do not have delegated contracting authority. Unauthorized commitments do not follow the appropriate process for the expenditure of Government funds. Consequently, the Government may not be able to ratify certain actions, putting a contractor at risk for taking direction from a Federal official other than the contracting officer (see FAR 1.403-2). Government employees responsible for unauthorized commitments are subject to disciplinary action. Contractors perform at their own risk when accepting direction from unauthorized officials. Failure to follow statutory and regulatory processes for the expenditure of Government funds is a very serious matter.

(c) Procedure.

Any agreement, modification, or change to a contractual agreement made by a government personnel who lack authority will be deemed an unauthorized commitment. The Government is not liable to the Contractor or under the terms of the contract, financially or otherwise – unless the unauthorized commitment successfully passes the ratification process.

The ratification process does not have any lead time, nor does the Government make any promise that an unauthorized commitment will be ratified and, therefore, the Contractor would be paid. The Contractor proceeds at its own risk if any of the terms of the contract are altered, changed, or modified without the written concurrence by a Contracting Officer.

In accordance with Executive Order 13058 “Protecting Federal Employees and the Public from Exposure to Tobacco Smoke in the Federal Workplace,” and the Assistant Secretary for Health memorandum “Prohibition of Tobacco Use in HHS Occupied Facilities,” the use of tobacco products, in any form, is strictly prohibited at IHS-operated properties including, but not limited to:

1. All interior and exterior spaces of IHS-operated properties.

2. All HIS-operated spaces in multi-tenant buildings.

3. All Government vehicles regardless of their location.

4. Private vehicles while on IHS property.

The IHS continues to recognize the value and efficacy of patients’ traditional beliefs and ceremonial practices. The use of tobacco products for ceremonial purposes is allowed in the designated traditional healing room, including any space designated for a ceremony, or in a patient’s hospital room.

To the maximum extent practicable, Contractor must notify the Contracting Officer’s Representative in advance of using tobacco products in a ceremony.

Introduction

Gallup Indian Medical Center (GIMC) is a 99-bed acute care hospital located in Gallup, New Mexico, serving as a critical healthcare hub on the border of the Navajo Nation. As one of the largest and most complex service units within the Indian Health Service (IHS) Navajo Area, GIMC delivers comprehensive medical care to a large and geographically dispersed patient population.

GIMC supports a high-volume clinical environment, with approximately 250,000 outpatient encounters and 5,800 inpatient admissions annually. The facility provides a full spectrum of healthcare services, including but not limited to Internal Medicine, Cardiology, Anesthesia, Obstetrics and Gynecology (OB/GYN), General Surgery, Orthopedics, Ear, Nose, and Throat (ENT), Radiology, Pathology, Pediatrics, and Emergency Medicine.

In addition to its extensive clinical services, GIMC maintains the largest workforce within the Navajo Area IHS system, reflecting the scale and complexity of operations required to meet patient care demands. This high operational tempo necessitates reliable, secure, and modernized clinical and information technology infrastructure to ensure continuity of care, patient safety, and regulatory compliance.

1. Background The Gallup Indian Medical Center (GIMC) requires a comprehensive security solution to improve its IT infrastructure’s safety and compliance posture.

The SecurXchange platform from NXTsoft provides enhanced vulnerability management, asset visibility, and compliance tools to strengthen network security and safeguard sensitive health information.

2. Scope

The Contractor shall furnish, deliver, and fully implement the Hologic SecureXchange solution at Gallup Indian Medical Center (GIMC). This includes the provision of all required software licenses, as well as professional services for system installation, configuration, integration, and validation. The Contractor shall also provide comprehensive user and administrator training, along with one (1) year of software maintenance, technical support, updates, and patch management to ensure continued system performance, security, and operational reliability.

3.1 Software Deliverables

The Contractor shall provide all necessary software and licensing required to support the SecureXchange platform, including:

3.2 Professional Services

The Contractor shall provide comprehensive professional services necessary for full system deployment and operational readiness, including:

Perform remote and/or on-site installation of the SecureXchange platform

Configure system components in accordance with manufacturer specifications and GIMC requirements

Integrate the system with existing network infrastructure and clinical imaging environment

Validate system functionality and ensure operational readiness prior to acceptance

b. Training Provide up to eight (8) hours of training for system administrators and end users Include all necessary training materials, user guides, and reference documentation Ensure staff are capable of operating and maintaining the system upon completion of training

3.3 Support and Maintenance

The Contractor shall provide ongoing support and maintenance services to ensure system reliability and performance, including:

Twelve (12) months of standard technical support Access to all applicable software updates, upgrades, and security patches Technical assistance for troubleshooting, issue resolution, and system optimization Vendor support services in accordance with established service level expectations

5. Government Furnished Property (GFP)

No Government Furnished Property (GFP) will be provided under this contract. The Contractor shall furnish all equipment, materials, software, tools, labor, and other resources necessary to perform and complete all requirements outlined in this Statement of Work.

6. Security Requirements

The Contractor shall comply with all applicable federal, Department of Health and Human Services (HHS), and Indian Health Service (IHS) security and privacy requirements. At a minimum, this includes compliance with:

Federal Information Security Modernization Act (FISMA) Health Insurance Portability and Accountability Act (HIPAA) National Institute of Standards and Technology (NIST) guidelines and controls (including NIST SP 800 series as applicable) HHS and IHS information security and privacy policies Applicable Federal Information Processing Standards (FIPS)

The Contractor shall ensure the protection of all sensitive information, including Protected Health Information (PHI), and implement appropriate administrative, technical, and physical safeguards. All systems and services must be configured and maintained in accordance with federal cybersecurity requirements, including patching, access control, encryption, and audit logging.

7. Period of Performance

The period of performance for this contract shall be from August 1, 2026, through December 31, 2026. This period includes all activities related to system delivery, installation, configuration, training, and required support and maintenance services.

8. Acceptance Criteria

All deliverables and services provided under this contract shall be subject to inspection and acceptance by the Government (GIMC). Acceptance will be based on successful completion of the following:

Full installation, configuration, and operational functionality of the SecureXchange system in the production environment

Verification that the system meets performance, security, and integration requirements

Completion of all required training for designated staff Delivery of all required documentation, licenses, and supporting materials Validation of system performance and operational readiness by GIMC IT and

Radiology staff

Final acceptance will be granted upon confirmation that all contractual requirements have been satisfactorily fulfilled, and the system is fully functional and ready for clinical use.

9. Workmanship

The Contractor shall perform all work in a professional and workmanlike manner, consistent with industry best practices and standards. All services shall be executed in accordance with the original equipment manufacturer (OEM) specifications, technical guidelines, and recommended procedures.

The Contractor shall ensure that all deliverables meet or exceed applicable federal, HHS, and IHS requirements, and that all equipment and systems are installed, configured, and functioning as intended. Any deficiencies identified shall be promptly corrected at no additional cost to the Government.

10. Delivery, Packaging, and Shipping Instructions

The Contractor shall coordinate all deliveries, packaging, and shipping of hardware, software, and related components with the designated Place of Performance Technical Lead or Contracting Officer’s Representative (COR) prior to shipment.

All items shall be properly packaged to prevent damage during transit and shall comply with applicable federal shipping and handling standards. The Contractor shall be responsible for ensuring safe and timely delivery to the designated location.

In the event of loss, damage, or defective items during shipping, the Contractor shall replace such items at no additional cost to the Government and within a timeframe that does not impact project delivery or operational continuity.

11. Inspection and Acceptance by the Government

Inspection and acceptance of all work, services, performance, reports, and deliverables provided under this Statement of Work shall be performed by the Government, as represented by the Technical Lead and/or the Contracting Officer’s Representative (COR).

The Government reserves the right to inspect all deliverables to ensure compliance with contractual requirements, technical specifications, and performance standards.

Acceptance will be based on satisfactory completion of all requirements outlined in this SOW.

Any deficiencies identified during inspection shall be corrected by the Contractor at no additional cost to the Government within a timeframe specified by the COR

12. Administrative Requirements

All Contractor personnel shall comply with applicable GIMC facility policies and security procedures while on-site.

Contractor personnel must wear Government-issued or facility-approved identification badges at all times while on GIMC premises

Access to secured or restricted areas shall be coordinated in advance and, when required, facilitated by an authorized IT escort or designated Government representative

Contractor personnel shall comply with all safety, security, and infection control requirements of the facility

All identification badges and access credentials shall be surrendered to the COR or designated Technical Lead at the conclusion of the period of performance or upon termination of services

13. Quality Assurance

In accordance with Federal Acquisition Regulation (FAR) 52.212-4(a), the Government will evaluate the Contractor’s performance under this contract to ensure services meet required standards.

The COR, or designated Government representative, shall perform quality assurance surveillance using methods that may include, but are not limited to:

Customer feedback and end-user input Periodic performance reviews Random and/or scheduled inspections of deliverables and services Verification of compliance with performance standards and response requirements

If performance is determined to be unsatisfactory, the Contractor shall take corrective action promptly and at no additional cost to the Government. Continued performance issues may be documented and considered in contractor performance evaluations and future contract actions.

14. Performance-Based Tasks and Standards

The Contractor shall perform all required services in a manner that ensures system reliability, responsiveness, and operational continuity. Performance-based tasks under this contract include, but are not limited to:

Call-to-Repair Services – Timely response to service requests and restoration of system functionality

Analysis and Troubleshooting – Identification, diagnosis, and resolution of hardware, software, and system-related issues

Customer Support – Ongoing technical assistance and user support for system operations

Documentation – Accurate and timely completion of service records, reports, and technical documentation

Performance Standards

All deliverables and services shall achieve 100% operational functionality upon completion and acceptance in the production environment

The Contractor shall respond to all helpdesk or service requests within one (1) hour of notification

The Contractor shall ensure timely resolution of issues in accordance with industry best practices and manufacturer guidelines

All documentation shall be complete, accurate, and provided within required timeframes

Quality Assurance and Surveillance Contractor performance will be monitored and evaluated by the Government through:

Inspection of completed work and deliverables Customer feedback and end-user satisfaction Verification of response times and issue resolution Periodic performance reviews conducted by the COR

Failure to meet performance standards may require corrective action at no additional cost to the Government and may be considered in contractor performance evaluations.

The Gallup Indian Medical Center Radiology Department requires the Hologic SecureXchange mammography archive replacement, storage expansion, disaster recovery capabilities, software licensing, installation, configuration, and technical support necessary to support Gallup Indian Medical Center’s existing Hologic Mammography imaging environment. The current SecureXchange archive system is proprietary to Hologic and is fully integrated into the facility’s mammography workflow, image management, and clinical operations

4. Description of Circumstances, including why only one source is reasonably available.

IAW RFO 11.204(a)(1), specific characteristics of the Hologic SecureXchange platform that limit the availability to only one source are proprietary image archive and exchange solution specifically designed to integrate with the facilities existing Hologic mammography system.

The SecureXchange platform provides proprietary functionality for mammography image storage, image exchange, disaster recovery, workflow management, and long-term archive retention that is fully compatible with the current Hologic mammography environment. Only this suggested source can furnish the requirements, to the exclusion of other sources, because utilizing another vendor would require replacement or modification of the existing proprietary infrastructure, introduce significant interoperability and data migration risks, increase implementation time and cost, require extensive system validation and staff retraining, and could result in disruption of mammography services and patient care. In addition to the self-certification requirements, successful Offerors must also be registered with the System of Award Management (SAM).

Any false or misleading information submitted by an enterprise when submitting an offer in consideration of an award set-aside under the authority of the Buy Indian Act is a violation of the law and punishable under 18 U.S.C. 1001.

False claims submitted as part of contract performance are subject to the penalties enumerated in 31 U.S.C. 3729 to 3731 and 18 U.S.C. 287.

(a) Evaluation factors. The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1. Lowest Price Technically Acceptable

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) Notice of award. A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
