The offeror shall provide, either within the spreadsheet itself or a separate Adobe .pdf document, an explanation on the basis of their pricing.
Although the Government will be evaluating a potential six-month extension of services under FAR 52.217-8, the contractor shall not submit pricing for this period.
2.1.4 Assumptions, Conditions and Exceptions. Offerors must submit, under separate cover, all assumptions, conditions, or exceptions (if any) with any of the terms and conditions of this solicitation. If not noted in this section of your proposal, it will be assumed that the offeror proposes no assumptions for award and agrees to comply with all of the terms and conditions as set forth herein. Offerors are cautioned that if the Government deems the terms and conditions to be unacceptable, the offeror may be found ineligible for award. For each non-compliant term and/or condition, the offeror shall identify technical and price impacts to its proposal if it is not accepted by the Government.
2.1.5 Ancillary Documents. The offeror shall submit separately all required representations to include the IHS IEE Representation Form
FAR 52.212-2 Addendum (Evaluation Criteria)
1.0 The Government intends to award a single firm-fixed-priced contract resulting from this solicitation to the responsible offeror whose proposal, conforming to the solicitation, is the lowest priced, technically acceptable (LPTA) proposal.
1.1 The Government will first review the offeror-submitted IHS IEE Representation Form. Only those small business vendors representing that they meet the definition of an “Indian Economic Enterprise” with “Indian Ownership” under the authority of the Buy Indian Act will be evaluated further.
2.0 The Government will evaluate non-price factors on an acceptable/unacceptable basis as shown below.
2.1 Technical (Factor 1) The offerors proposal will be evaluated against the submission requirements of the FAR 52.212-1 Addendum, Paragraph 2.2.1 (and subparagraphs) and rated based upon the below table.
Technical Volume – Factor 1

Description
Acceptable
Proposal meets the requirements of the solicitation
Unacceptable
Proposal does not meet the requirements of the solicitation
2.2 Past Performance (Factor 2) The offerors proposal will be evaluated against the submission requirements of FAR 52.212-1 Addendum, Paragraph 2.2.2 and rated based upon the below table.
Past Performance Volume – Factor 2
Adjectival Rating
Description
Acceptable
Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance is unknown
Unacceptable
Proposal does not meet the requirements of the solicitation
2.3 Price (Factor 3): The submitted price shall be evaluated for completeness, accuracy and reasonableness. As it relates to completeness, the Government will determine if all periods of performance have been priced (base period plus four option periods) and if each of the periods is supported by labor categories/rates. As it relates to accuracy, the Government will determine if all formulas and computations are correct. The Government will utilize price analysis techniques and procedures to ensure a fair and reasonable price.
Certified cost or pricing data is not required under this requirement, however the Government reserves the right to request other than certified cost and pricing data to determine cost reasonableness when a fair and reasonable price cannot be determined through price analysis alone.
The Government will evaluate the potential six-month extension of services under FAR 52.217-8 by adding ½ the option year four pricing to the total price. As indicated under the FAR 52.212-1 addendum paragraph 2.1.3, the vendor will only be submitting pricing for the base and four option year periods.

The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights-
(1) Within a reasonable time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act ( 31 U.S.C. 3727). (c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.
(i) Payment.-
(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.
(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act ( 31 U.S.C.3903) and prompt payment regulations at 5 CFR Part 1315.
