The RAC shall review all applicable claim types submitted to an A/B MAC through the appropriate review methods and work with the Centers for Medicare & Medicaid Services (CMS) and MACs to effectuate the adjustment of claims, recoupment of overpayments, payment of underpayments, support the appeals process and report the status of all reviews by updating the RAC Data Warehouse (RACDW) and providing monthly reports in a timely, accurate, and efficient manner.
The Government anticipates award of a firm fixed contingency fee contract. This contingency fee type contract will be established in accordance with Section 1893(h) of the Social Security Act as added by the Tax Relief and Health Care Act of 2006. This section states: Under the contracts: (A) payment shall be made to such a contractor only from amounts recovered; (B) from such amounts recovered, payment, (i) shall be made on a contingent basis for collecting overpayments (...)."

DELIVERABLES
All deliverables required under this contract shall be marked and delivered in accordance with Government specifications. The Contractor shall guarantee that all required materials shall be delivered in immediate usable and acceptable condition/format.

B.2 Continuation of Block 18a
SCHEDULE OF PAYMENTS
The contractor shall be paid in accordance with their firm fixed contingency fee as described below. The RAC shall not receive any payments for the mere identification of improper overpayments. There are specific statutory timeframes for filing appeals at each level. The RAC may invoice for the applicable firm fixed contingency fee when all required claim elements are input into the RAC Data Warehouse (RACDW) and either: (1) the improperly paid claims have successfully exited (adjudication in favor of the RAC) the second level of the appeals process (QIC level) in the event an appeal is filed; or (2) if no appeal has been filed within the initial 120 days that a provider has to appeal, the RAC may then invoice for their firm fixed contingency fee payment.
The firm fixed contingency fee will be calculated by applying the applicable percentage to the underpayments refunded and the overpayments collected, without subtracting or netting out the underpayments. Amounts attributed to interest owed by or charged to the provider will not be included in overpayments or underpayments when calculating the contingency fee.
If a provider files an appeal disputing the overpayment determination and the appeal is adjudicated in the provider’s favor at ANY level, the RAC shall repay CMS the contingency payment it received for that recovery. Repayments to CMS will be subtracted from the next applicable invoice, e.g. offset, or may be the subject of a demand pursuant to FAR Subpart 32.6.
B.3 Continuation of Blocks 19 – 24
SCHEDULE OF SUPPLIES/SERVICES
The chart below will set forth an Offeror’s applicable firm fixed contingency fee proposed per category of recovery for Region 2. The contingency fee proposed by each offeror for the four categories below will apply to the base period and subsequent exercised option periods. Any changes to an Offeror’s contingency fee must be negotiated and changed by contract modification.
An Offeror shall propose one firm fixed Contingency fee percentage that will be applied to each category below:

The period of performance (POP) for the resulting contract is anticipated to be ten years in total, consisting of 8.5 total years of active recovery auditing followed by an administrative close out period. Specifically, the contract will include an 8.5-year base period, and an eighteen month Administrative/Appeal period.

The following changes to clause FAR 52.212-4 are as follows:
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance a determination of improper payments (overpayments or underpayments) that conform to the requirements of this contract. Providers may, within specific statutory timeframes, appeal a determination of an improper overpayment or underpayment. A RAC determination shall be tendered for acceptance by the Government for invoicing provided that all required information is input into the RAC data warehouse and 120 days has passed and the Provider has not appealed the RAC determination. CMS uses the RAC Data warehouse as the central repository for all RAC review and invoicing activity. Claims will not be available for invoicing if required fields are not completed in the RAC DW. If the provider appeals the RAC determination, the RAC may tender for acceptance by the Government 180 days after the Medicare Redetermination Notice, or the date of an unfavorable decision at the second level of the appeal process. The Government reserves the right to inspect or test any services that have been tendered for acceptance. The Government may require the reperformance of nonconforming services at no increase in contract price.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not Maintain in the ordinary course of business or pursuant to a provision of law.

(JUN 2020)
(a) This contract and employees working on this contract will be subject to the whistleblower rights and remedies in the pilot program on Contractor employee whistleblower protections established at 41 U.S.C. 4712 by section 828 of the National Defense Authorization Act for Fiscal Year 2013 (Pub. L. 112-239) and Federal Acquisition Regulation (FAR) 3.908.
(b) The Contractor shall inform its employees in writing, in the predominant language of the workforce, of employee whistleblower rights and protections under 41 U.S.C. 4712, as described in section FAR 3.908.
(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in all subcontracts over the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award.

C.5 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The CO may exercise the option by written notice to the Contractor within 5 days before the contract expires.

C.6 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within the current period of performance; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises the option, the extended contract shall be considered to include this option clause.

C.7 52.224-2 PRIVACY ACT (APR 1984)
(a) The Contractor agrees to --
(1) Comply with the Privacy Act of 1974 (the Act) and the agency rules and regulations issued under the Act in the design, development, or operation of any system of records on individuals to accomplish an agency function when the contract specifically identifies --
(i) The systems of records; and
(ii) The design, development, or operation work that the contractor is to perform;
(2) Include the Privacy Act notification contained in this contract in every solicitation and resulting subcontract and in every subcontract awarded without a solicitation, when the work statement in the proposed subcontract requires the redesign, development, or operation of a system of records on individuals that is subject to the Act; and
(3) Include this clause, including this subparagraph (3), in all subcontracts awarded under this contract which requires the design, development, or operation of such a system of records.
(b) In the event of violations of the Act, a civil action may be brought against the agency involved when the violation concerns the design, development, or operation of a system of records on individuals to accomplish an agency function, and criminal penalties may be imposed upon the officers or employees of the agency when the violation concerns the operation of a system of records on individuals to accomplish an agency function. For purposes of the Act, when the contract is for the operation of a system of records on individuals to accomplish an agency function, the Contractor is considered to be an employee of the agency.
(c)
(1) “Operation of a system of records,” as used in this clause, means performance of any of the activities associated with maintaining the system of records, including the collection, use, and dissemination of records.
(2) “Record,” as used in this clause, means any item, collection, or grouping of information about an individual that is maintained by an agency, including, but not limited to, education, financial transactions, medical history, and criminal or employment history and that contains the person’s name, or the identifying number, symbol, or other identifying particular assigned to the individual, such as a fingerprint or voiceprint or a photograph.
(3) “System of records on individuals,” as used in this clause, means a group of any records under the control of any agency from which information is retrieved by the name of the individual or by some identifying number, symbol, or other identifying particular assigned to the individual.

C.9 352.224-71 CONFIDENTIAL INFORMATION (DEC 2015)
(a) Confidential Information, as used in this clause, means information or data of a personal nature about an individual, or proprietary information or data submitted by or pertaining to an institution or organization.
(b) Specific information or categories of information that the Government will furnish to the Contractor, or that the Contractor is expected to generate, which are confidential may be identified elsewhere in this contract. The Contracting Officer may modify this contract to identify Confidential Information from time to time during performance.
(c) Confidential Information or records shall not be disclosed by the Contractor until:
(1) Written advance notice of at least 45 days shall be provided to the Contracting Officer of the Contractor's intent to release findings of studies or research, to which an agency response may be appropriate to protect the public interest or that of the agency.

(2) For information provided by or on behalf of the government,
(i) The publication or dissemination of the following types of information are restricted under this contract: Personally Identifiable Information (PII), Protected Health Information (PHI), and/or Federal Tax Information (FTI),

The key personnel specified in this contract are considered to be essential to work performance.
At least 30 days prior to the contractor voluntarily diverting any of the specified individuals to other programs or contracts the Contractor shall notify the Contracting Officer and shall submit a justification for the diversion or replacement and a request to replace the individual. The request must identify the proposed replacement and provide an explanation of how the replacement's skills, experience, and credentials meet or exceed the requirements of the contract (including, when applicable, Human Subjects Testing requirements).
