This document shall serve as official notice of amendment to the solicitation identified above. Such notice is being provided to all vendors to which the original solicitation was sent. Vendors submitting bids or quotations shall acknowledge receipt of this solicitation amendment prior to the hour and date specified in the solicitation.

This is a combined synopsis/solicitation for commercial supplies prepared in accordance with the format in FAR

12.6 as supplemented with FAR 13 and additional information included in this notice. The incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2021-05.

THIS ANNOUNCEMENT CONSTITUTES THE ONLY SOLICITATION AND A SEPARATE SOLICITATION WILL NOT BE ISSUED. The solicitation number for this acquisition is 75F40121-Q-00110 and is being issued as a Request for Quote (RFQ). The NAICS Code for this solicitation is 334510 and the Small Business Size Standard is 1,000 employees. This is a full and open competitive requirement. This will be awarded as Firm-Fixed. Prospective Offerors are responsible for downloading the solicitation and any amendments from Sam.Gov. The Government reserves the right to award an order without discussions if the Contracting Officer determines that the initial offer is providing the Best Value and discussions are not necessary.

The Government intends to issue a Purchase Order.

A. BACKGROUND AND OVERVIEW

The purpose of this procurement is to purchase an EEG System to be used with a VR headset in a research study to evaluate the performance of novel digital technologies in the diagnosis and treatment of neurological injuries or dysfunctional conditions. This procurement is only for the purchase of an EEG System. The actual study is NOT part of the procurement request.

The EEG System we are looking to purchase will be used on human subjects with neural injuries or dysfunctional conditions, including chronic pain, traumatic brain injury, and Parkinson's disease. The FDA is looking to use the EEG System in combination with a VR headset in a research study to evaluate the performance of novel digital technologies in the diagnosis and treatment of neurological injuries or dysfunctions conditions.

CDRH/FDA has recently received and cleared multiple physiological monitoring devices as assessment aids for the detection of brain dysfunction. However, none of them have been used as a standalone diagnostic tool for TBI.

Currently marketed technologies rely on a single physiological readout, which may limit their sensitivity. As TBI is highly diverse in injury location, nature of trauma, and pathophysiological pathways, we hypothesize that a multi-modal bio-sensing approach utilizing VR content will lead to order-of-magnitude gains in TBI detection sensitivity.

B. OBJECTIVES/PURPOSE

The U.S. Food and Drug Administration (FDA) requires the procurement of an EEG System to detect brain activity changes at various points throughout time during our tasks, an EEG system will need to be purchased. This will be of several modalities used to detect changes in patients with neural injuries including TBI.

C. SPECIFICATIONS

The Vendor shall indicate if the minimum salient characteristics have been met to be considered responsive for this requirement. EEG System (Quantity of one each (1 ea.) system):

1. Shall consist of a wearable headcap.

2. Shall have at least 19 EEG contact points.

3. Shall be wireless or connected to a portable computer/tablet.

4. Shall have the capability to integrate and synchronize with external sensors for both EMG and EKG monitoring simultaneously.

5. Shall weigh less than 500 grams.

6. Shall sample raw EEG signals at a rate of at least 500 Hz.

7. Shall have noise < 1µV RMS.

8. Shall have a rechargeable battery with at least 5 hours of operational time.

9. Shall have the capability to save files in EDF+ format.

10. Shall accept TTL triggers.

11. Shall be able to stream data through Lab Stream Layer (LSL) outlets.

12. Shall be able to work with different head sizes.

13. Shall be able to alert user of high impendence EEG contacts.

D. PLACE OF PERFORMANCE

Quote shall include all shipping and handling costs. All deliverables required under this award shall be packaged, marked, and shipped in accordance with Government specifications. At a minimum, all deliverables shall be marked with the award number and Vendor’s name. The Vendor shall guarantee that all required materials be delivered in immediate new, usable, and acceptable condition. Vendor shall contact Technical Point of Contact (TPOC) to schedule the delivery. The delivery will be inspected by the TPOC for order accuracy and condition. The Government will accept goods and services only if they conform to all terms and conditions of the contract and satisfy the performance standards detailed. The Government will provide written notification of acceptance or rejection within ten (10) business days of receiving the delivery. The Government will reject non-conforming products and services. The Contractor shall correct any deficiencies within thirty (30) days of when the Government issues the rejections notice. If the Contractor cannot correct the deficiencies within this time frame, the Contractor shall immediately notify the COR of the reason for the delay and provide a proposed corrective action plan within ten (10) business days.

c. When any such day falls on a Saturday, the following Monday is observed. Except for designated around-the-clock or emergency operations, Contractor personnel will not be able to perform on-site under this contract with FDA on holidays set forth above. The Contractor will not charge any holiday as direct charge to the award.

d. It is understood and agreed between the Government and the Contractor that observance of such days by Government personnel shall not otherwise be a reason for an additional period of performance, or entitlement of compensation except as set forth within the award.

e. Nothing in this clause abrogates the rights and responsibilities of the parties relating to stop work provisions as cited in other sections of this contract.

PROPOSAL SUBMISSION FORMAT:

***Proposal shall be in 2 volumes: 1 Technical and 2 Price. The volumes shall be separate and complete. The volumes shall be separate and complete, so that evaluation of one may be accomplished independently of, and concurrently with, the evaluation of the other. No pricing information shall be provided in volume 1.***

The total number of pages for the technical quote shall not exceed ten (10) pages, using 1” margins, single spaced, font type Time New Roman, and a font size of 12.

***The solicitation does not commit the Government to pay any cost for the preparation and submission of a quote or proposal. It is also advised that the Contracting Officer (CO) is the only individual who can legally commit and obligate the Government to the expenditure of public funds in connection with the proposed acquisition.***

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:

(i) Name and address of the contractor;

(ii) Invoice date and invoice number;

(iii) Contract/Order number (including a reference to any base award for Indefinite-Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);

(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:

(a) period of performance for which costs are claimed;

(b) itemized travel costs, including origin and destination;

(c) any other supporting information necessary to clarify questionable expenditures;

C. An electronic invoice is acceptable if submitted in adobe acrobat (PDF) format. All items listed in (i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

The Offeror shall not complete the representation in this provision if the Offeror has represented that it “does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument” in the provision at 52.204-26, Covered Telecommunications Equipment or Services-Representation, or in paragraph (v) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items.

(a) Definitions. As used in this provision—

“Covered telecommunications equipment or services”, “critical technology”, and “substantial or essential component” have the meanings provided in clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract.

If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Alternate I (FEB 2000). As prescribed in 12.301(b)(4)(i), delete paragraph (d) from the basic clause, redesignate paragraph (e) as paragraph (d), and revise the reference to "paragraphs (a), (b), (c), or (d) of this clause" in the redesignated paragraph (d) to read "paragraphs (a), (b), and (c) of this clause".

Alternate II. (JUL 2021) As prescribed in 12.301(b)(4)(ii), substitute the following paragraphs (d)(1) and (e)(1) for paragraphs (d)(1) and (e)(1) of the basic clause as follows:

(d)(1) The Comptroller General of the United States, an appropriate Inspector General appointed under section 3 or 8 G of the Inspector General Act of 1978 (5 U.S.C. App.), or an authorized representative of either of the foregoing officials shall have access to and right to—

(i) Examine any of the Contractor’s or any subcontractors’ records that pertain to, and involve transactions relating to, this contract; and

(ii) Interview any officer or employee regarding such transactions.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), and (c), of this clause, the Contractor is not required to flow down any FAR clause in a subcontract for commercial items, other than—

(i) Paragraph (d) of this clause. This paragraph flows down to all subcontracts, except the authority of the Inspector General under paragraph (d)(1)(ii) does not flow down; and

(ii) Those clauses listed in this paragraph (e)(1). Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-
