B-1 Background

The San Francisco Lab (SANFL) is in the process of expanding its capacity to analyze heavy metals in food and dietary supplement samples. To fulfill this programmatic need, SANFL needs to acquire 2 freezer mill systems for sample preparation.

B-2 Statement of Work

The contractor shall supply two freezer mill systems for processing samples for the following types of analyses: food, feed, drugs, cosmetics, consumer complaints, and FERN samples for toxic metals, nutritional metals, and other elements at the San Francisco Laboratory (SANFL).

I. Minimum Required Performance Specifications:

• The contractor shall provide two (2) Freezer Mills. The instruments shall meet or exceed the following requirements:

• The Freezer Mill must be a dual chamber grinder.

• The Freezer Mill must accommodate samples in the 0.1 gram to 200-gram range

(100 gram per grinding chamber).

• The Freezer Mill cannot exceed 20 in. x 21.5 in x 25.5 in.

• The Freezer Mill must not be more than 80 lbs.

• The Freezer Mill must use 3-prong grounded plug 115V 60Hz

• The Freezer Mill must have a touch-screen programmable controls for grinding cycles, time, impact rate, pre-cooling and cooling time.

• The Freezer Mill must be able to store at least 20 grinding programs.

• The Freezer Mill must be maintenance-free design with only one moving part and with a self-contained liquid nitrogen tub and insulated case and with lid safety interlock switch for operator protection.

• The Freezer Mill must be an auto-fill system for automated filling of liquid nitrogen.

• The Freezer Mill must be equipped with liquid nitrogen level sensor.

• The Freezer Mill must be able to hold one large grinding vial (50ml capacity), one mid-size vial and four standard grinding vials per chamber.

• The samples must be submerged directly into the liquid nitrogen bath.

• Mid-size poly vial grinding set must include end plugs, center cylinder and impactor. It must have capacity to grind 3g to 25 g sample without metal contamination. End plugs and center cylinder must be polycarbonate and impactor shall be polycarbonate-encapsulated steel. The set must withstand liquid nitrogen temperature and shall be able to be cleaned with hot water and detergent.

• Large size vial grind set must include large stainless-steel impactor, large stainless steel end plugs and large polycarbonate center cylinders. Each set must have grinding sample capacity 1-50mL.

• Large extractor must be compatible with removing the end plugs from the center cylinders of large and mid size grinding vials. It shall have a lever to assist with extractor.

• Large vial extractor must be compatible with removing the end plugs from the center cylinders of large grinding vials.

• Mid-size vial adapter must be able to hold mid-size grinding set in the freezer mill.

II. Trade and Service Specifications

• Equipment shall be delivered with all necessary supplies and accessories required for installation and start-up including standards for verifying equipment performance

• FOB Point destination to include inside delivery and clean-up of area after installation.

• Equipment must be a newly manufactured unit, not used and refurbished or previously used for demonstration

• Equipment must be warrantied for parts and labor for at least 12 months from the date of installation. The vendor must also be capable of servicing the instrument through the covered warranty period and shall include at a minimum: coverage on all non-consumable items and parts including base instrument, factory-certified replacement parts, engineer labor and travel costs

Records and Reports

The Contractor shall, commensurate with the completion of each service call (inclusive of warranty service), provide the end-user of the equipment with a copy of a field service report/ticket identifying the equipment name, manufacturer, model number, and serial number of the equipment being serviced/repaired and detailing the reason for the service call, a detailed description of the work performed, the test instruments or other equipment used to affect the repair or otherwise perform the service, the name(s) and contact information of the technician who performed the repair/service, and for information purposes, the on-site hours expended and parts/components replaced.

Inspection and Acceptance

Upon arrival, the shipping container(s) will be inspected for damage. If significant damage is observed, such as a hole going through the container and packing to reach the enclosure itself, it will be rejected. All equipment shall be new, not used or refurbished.

Delivery must be performed during normal business hours of Monday through Friday, excluding federal holidays, between 8 am and 4 pm local time.

B-3. Delivery or Performance-Period Requirements.

a. Period of Performance/Basis.

The Period of Performance begins the date of contract award execution and continues for one year (or longer depending on how long the OEM offered warranty period is) from the date of formal government acceptance. Equipment to be delivered no later than 60 days after award date.

B-4 CONTRACT VEHICLE

It is anticipated that this award will be a Firm-Fixed-Price (FFP). All deliverables shall be clearly identified, complete with clear descriptions; due dates, and at a predetermined, agreed-upon price.

B-5 FDA INVOICE SUBMISSION

The contractor shall submit all invoices to:

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:

(i) Name and address of the contractor;

(ii) Invoice date and invoice number;

(iii) Contract/Order number (including a reference to any base award for Indefinite- Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);

(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:

(a) period of performance for which costs are claimed;

(b) itemized travel costs, including origin and destination;

(c) any other supporting information necessary to clarify questionable expenditures;

(d) the contractor shall include the Contract Line Item/Funding line item for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;

(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);

(vii) Name and address of official to whom payment is to be sent (must be the same as that in the purchase order/award, or in a proper notice of assignment)

(viii) Name, title, and phone number of person to notify in event of defective invoice;

(ix) Taxpayer Identification Number (TIN);

(x) Electronic funds transfer (EFT) banking information, including routing transit number of the financial institution receiving payment;

(xi) Name and telephone number of the FDA Contracting Officer Representative (COR) or other Program Center/Office point of contact, as referenced on the award;

(xii) For all Inspections, Time-and-Materials and Labor-Hour Awards, Contractor is required to attach an invoice log addendum to each invoice which shall include, at a minimum, the following information for contract administration and reconciliation purposes:

(a) list of all invoices submitted to date under the subject award, including the following:

(1) invoice number, amount, & date submitted

(2) corresponding payment amount & date received

(b) total amount of all payments received to date under the subject contract or order

(c) and, for definitized contracts or orders only, total estimated amounts yet to be invoiced for the current, active period of performance;

(xiii) Any other information or documentation required by the award.

C. An electronic invoice is acceptable if submitted in adobe acrobat (PDF) format.

All items listed in (i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

D. Questions regarding invoice payments should be directed to the FDA Payment Office at the e-mail address provided above in Section A.

All payments will be made by Electronic Funds Transfer (EFT) and the State Contractor shall be responsible for providing any changes to the System for Award Management (SAM) database.

The contractor shall submit vouchers or invoices in accordance with the following FAR clauses: 52.232-25, Prompt Payment, and 52.232-33, Payment by Electronic Funds Transfer-Central Contractor Registration; in accordance with the following instructions.

Post Award Evaluation of Contractor Performance

a. Contractor Performance Evaluations

Interim and final evaluations of Contractor performance will be prepared on this contract in accordance with FAR 42.15. The final performance evaluation will be prepared at the time of completion of work. In addition to the final evaluation, interim evaluation(s) shall be submitted annually.

Interim and final evaluations will be provided to the Contractor as soon as practicable after completion of the evaluation. The Contractor will be permitted thirty days to review the document and to submit additional information or a rebutting statement. If agreement cannot be reached between the parties, the matter will be referred to an individual one level above the Contracting Officer, whose decision will be final.

Copies of the evaluations, Contractor responses, and review comments, if any, will be retained as part of the contract file, and may be used to support future award decisions.

b. ElectronicAccess to Contractor Performance Evaluations

Contractors that have Internet capability may access evaluations through the Contractor Performance Assessment Reporting System (CPARS) web site, which is managed by the Department of Defense (DOD). Details regarding CPARS training and on-line registration can be found at http://www.cpars.csd.disa.mil/.

The registration process requires the Contractor to identify an individual that will serve as a primary contact and who will be authorized access to the evaluation for review and comment. In addition, the Contractor will be required to identify an alternate contact who will be responsible for notifying the FDA contracting official in the event the primary contact is unavailable to process the evaluation within the required 30-day time frame.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

E-6 Instructions to Offerors

(a) Single Award. The U.S. Government anticipates awarding approximately one (1) contract as a result of this solicitation.

(b) RFQ Instructions. If an offeror does not follow the instructions set forth herein, the offerors quoted may be eliminated from further consideration or the quote may be down-graded and not receive full or partial credit under the applicable evaluation criteria.

(c) Accurate and Complete Information. Offerors must set forth full, accurate and complete information as required by this RFQ. The penalty for making false statements to the government is prescribed in 18 U.S.C. 1001.

- Submission of information required by any other section of this RFP. The submission of these items in accordance with these instructions will, if the Government accepts the offer, contractually bind the Government and the successful offeror to the terms and conditions of the prospective contract. - Offerors should not assume that the Contracting Officer will independently obtain information necessary to evaluate the offerors quote, and should therefore supply all information required by this RFP for the evaluation for its quote. (d) The Government reserves the right to amend or cancel the solicitation, as necessary, to meet FDA requirements.

(f) Past Performance-The offeror shall submit three references for similar work performed during the last 3 years. The references must include the contract number, name of the company, point of contact, phone number and a description of the work.

Cost of Proposal preparation

This solicitation does not commit the Government to pay any cost for the preparation and submission of a proposal. It is also brought to your attention that the Contracting Officer is the only individual who can legally commit the Government to the expenditure of public funds in connection with the proposed acquisition.

E-8 FAR 52.212-2 EVALUATION – COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) Technical acceptability: Prospective vendors shall demonstrate that they meet the characteristics for the supplies described in the solicitation and as listed in Section B-2. Past Performance shall be evaluated based on the offerors ability to timely meet delivery schedules.

(ii) Price: The Government will evaluate offers for award proposed by reviewing the base prices using the estimated numbers for each of the 4 additional years to determine lowest price offer.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(a) Definitions. As used in this provision—

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following:

ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation”, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that—

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern—

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.
