1. Is this a fixed price contract valid for one year?
1. The acquisition is for a fixed price contract with pricing based on firm-fixed, fully-loaded unit pricing. The total obligated amount will be a not-to-exceed amount for an estimated number of units, with a not-to-exceed price. During each one-year Period of Performance (POP), the Government and Awardee may agree to switch around the units funded by the obligation, as long as the overall price is not exceeded.
The contract will be awarded for a base year and four option years.
Note that the Pricing Schedule has been amended to accommodate a fully-loaded unit price for a Calculation Engagement Valuation, a fully-loaded unit price for a Valuation Engagement Valuation, and a fully loaded unit price for a valuation of the same entity for both a valuation engagement and a calculation engagement valuation.
See the performance-based statement of work (SOW) for further definition of “Calculation Engagement Valuation,” and for “Valuation Engagement Valuation.” The awardee’s pricing should reflect the level-of-effort required for each of the 3 different valuations.
2. The level of effort can vary greatly for different valuation assignments. How can the valuations be priced as fixed?
2. Although the level of effort can vary, vendors are asked to provide firm-fixed unit pricing dependent on the professional experience of the vendor. The unit pricing shall include all direct costs, indirect costs, and a fee or profit.
3. In performing the valuations, can the awardee assume that contact information, full personnel interviews, and full financials will be provided?
3. The SBICs (Small Business Investment Companies) will be required to cooperate with Awardee’s valuation to the fullest extent possible. Generally, SBICs can encourage the Small Business Concerns (SBCs) to provide needed access and data. However, the level of cooperation will vary.
4. Will valuations include forward-looking business cases for discounted cash flow valuations and net-present value – or will these forward-looking analyses be created by the awardee?
4. The analysis required for the valuations will vary. The vendor should consider the possibility of having to create analyses when determining its unit prices. The SOW is performance-based, and vendor is expected to provide its solutions for valuations in its Technical Proposal, including vendor’s recommendation for a level of effort.
5. Are specific valuations methods sought, or will vendor select the method it thinks is most appropriate to support the final analysis as to valuation?
5. SBIC approved valuation policy must be followed for certain assignments. See SOW attachments. Awardee will be expected to determine the most appropriate method for valuation on other assignments. For example, Calculation Engagement Valuation methodology is covered by policy, and a Valuation Engagement Valuation methodology would be determined by the Awardee.
6. The Contracting Officer is based in Denver. Is this a national contract or does it support only the Denver Region?
6. This is a contract to support the Office of Investment and Innovation (OII) located at SBA Headquarters in Washington, DC. SBIC portfolio companies are located throughout the United States.
7. Are there other contracts in place to support SBA valuation work or will this contract cover all valuation work from independent third parties.
7. The SBA has other valuation contracts in place. Read the SOW to determine the focus of this valuation work.
8. Is there a contract in place for this work now? Has there been an incumbent performing this work?
8. There is not a contract in place now for this work nor has there been for several years. The previous contract was SBAHQ-11-A-0024 and the awardee was Baker Tilly Beers & Cutler PLLC.
9. The Pricing Schedule illustrates four levels of professionals (Partner, Senior Manager, Manager II, Manager I. Some firms would categorize the two lowest levels (Manager I and II) as Associate and Analyst (or Senior and Staff). Are you requiring that all resources be manager or above?
9. The listed levels of professionals can be adjusted in the Pricing Schedule by the vendor. The SOW is performance-based, and vendor can provide the labor categories and rates that it determines to be most appropriate. The award will be a best-value-to-the-Government award. These prices are requested in case there is related work covered by the scope for which the unit pricing would not be appropriate. The rates will be used to determine fair and reasonable pricing. Such cases are expected to be the rare exception. Depending on the special case, it is expected that not all resources provided by the Awardee would be manager and above.
