14. DESCRIPTION OF AMENDMENT/MODIFICATION (Organized by UCF section headings, including solicitation/contract subject matter where feasible.)
The purposes of this amendment are to provide USAID responses to the questions raised by the prospective Offerors, and issue the corresponding revised RFP. This amendment consists of two parts:
1. Part I - USAID Responses to Questions Received.
2. Part II - Revised Solicitation No. 72049219R00004 – RFP for SAFE Water Activity Revisions to the RFP are in blue font.

Response to Questions Received to the Safe Water Activity (RFP No. 72049219R00004)
General Questions
1. For consistency, would USAID please insert “calendar” days for all Deliverables & Reporting Requirements, where applicable, for example, Branding and Marking Plan on page 20 (first paragraph), etc.
USAID: The word “day,” wherever it appears in the RFP, refers to “calendar day” unless otherwise specified.
2. Section L.4 (p. 119), USAID states “multiple emails may be sent to accommodate the proposal size and content…” but does not mention the max size limitation that the USAID email server supports. Could USAID confirm that a limitation of 20MB per email is acceptable?
USAID: The maximum allowable size per email is 25MB.
Section B - Supplies or Services and Price/Costs
3. The RFP’s cover letter describes the award as a hybrid with both CPFF and IDIQ portions.
Although it is clear that the duration of the CPFF portion is five years, would USAID confirm that the estimated total cost of $15,000,000 to $19,000,000 covers both CLIN 0001 and CLIN 0002?
USAID: The estimated total cost of $15,000,000 to $19,000,000 covers both CLIN 0001 and
CLIN 0002.
4. Can USAID confirm that CLIN 0002 is not part of the cost reimbursement completion portion of the contract, as indicated in B.2, second paragraph?
USAID: USAID confirms that CLIN 0002 is not part of the cost reimbursement completion portion of the contract. B.2
5. Sections B.2 and B.6, Pages 3 and 4-5. In Section B.2, USAID states that “Under the IDIQ portion of the contract (CLIN 2), the Contractor must furnish additional technical assistance arising out of or related to the completion portion of the contract…” (italics added). This suggests that IDIQ task orders will be structured as CPFF Completion type contracts. However, Section B.6 (b) states that “…the Contractor will provide up to a maximum of 3,000 professional/technical person-days for the entire life of the project,” which suggests a CPFF Term type contract. Also, Section B.6 (c) states that “The contract type and fee for each Task Order shall be negotiated and will be based on the nature of the work and associated risks,” which suggests that each Task Order type will be considered during the period of performance. Please clarify the expected contract type for CLIN 2 IDIQ task orders.

USAID: The mention of LOE is indicative and does not dictate a certain contract type. The instrument type to be utilized for CLIN 002 will be negotiated with the successful Offeror at a later date.
6. Section B.5 of the RFP, Payment of Fixed Fee for CLIN 0001 and CLIN 0002, seems to only address the fixed fee under CLIN 0001. Would USAID confirm that Section B.5 only relates to
CLIN 0001?
USAID: Section B.5 applies only to CLIN 0001.
7. Section B.7, Indirect Rate, please close the parenthesis after the effective date for FAR 52.216-7 in the first sentence and update to reflect (Aug 2018).
USAID: Correction has been made.
Section F - Deliveries or Performance
8. The qualifications listed for the Deputy Chief of Party position in Section F4 (pages 12 and 13) do not align with the evaluation criteria listed in Section M.2 (page 133). Please clarify the minimum requirements for the DCOP position.
USAID: See Part II of this Amendment for the revised RFP with the updated qualifications of the Deputy Chief-of-Party (DCOP).
9. Section F: 4, Key Personnel, DCOP, Required Qualifications: Would USAID consider deleting the end of fifth bullet “…and report directly to USAID” and leave it to the Offeror’s discretion and/or corporate policies to whom the DCOP reports?
USAID: The DCOP is not required to report directly to USAID. This responsibility is with the Chief of Party. See Part II of this Amendment for the revised RFP with the updated requirements for the Deputy Chief-of-Party (DCOP).
10. Section F.4, Key Personnel, states that the deputy chief of party reports directly to USAID.
However, in a standard organizational chart, the chief of party would be responsible for supervising the team and being accountable for project results. Would USAID confirm the required supervision structure for the deputy chief of party position, including whether the deputy chief of party should report to the chief of party, who then reports to USAID?
USAID: Please see response to Question No. 9.
11. Section F.4, Page 13. A Master’s Degree is listed as a Required Qualification of the Senior Technical Advisors positions. Will USAID consider additional years of experience as a substitute for a Master’s Degree?

USAID: No, a Master’s Degree is required and USAID will not consider additional years of experience as a substitute.
12. Section F.9, table on page 17 and Report on Foreign Taxes on page 21, please clarify that the preceding one-year period for reporting purposes is the prior fiscal year (October 1 – September 30).
USAID: The preceding one-year period for reporting purposes is the prior fiscal year. See Part II of this Amendment for the revised RFP with the corrected period for reporting foreign taxes.
Section H - Special Contract Requirements
13. Per Sections H.8(b)(1) and L.6(C)(3)(3)(B), offerors shall submit salary ranges and a compensation plan when negotiating salaries. We request that the requirement to use salary ranges be removed from both sections of the RFP because it appears inconsistent with AIDAR 752.7007, Personnel Compensation, incorporated into the contract under Section H.7 and stipulating that staff compensation be in line with the contractor’s established policies, procedures, and practices, with reimbursement subject only to USAID’s contract salary threshold.
This requirement may preclude contractors from following their established policies, procedures, and practices, as required by AIDAR 752.7007.
USAID: USAID will not remove Sections H.8(b)(1) and L.6(C)(3)(3)(B).
14. Sections H.8(b)(3) states that labor costs for third-country nationals (TCNs) and cooperating-country nationals (CCNs) shall not exceed the thresholds in the U.S. Embassy’s local employee compensation plan in Manila. This restriction may preclude offerors from complying with AIDAR 752.7007, incorporated in Section H.7, which states that “direct compensation of the Contractor’s personnel will be in accordance with the Contractor’s established policies, procedures, and practices, and the cost principles applicable to this contract.” Specifying that offerors not exceed thresholds in the local compensation plan may result in offerors deviating from AIDAR 752.7007. We respectfully request that USAID removes the requirement that labor costs for TCNs and CCNs shall not exceed the thresholds in the U.S. Embassy’s local employee compensation plan in Manilla, thereby allowing offerors to submit cost proposals in line with their established policies, procedures, and practice.
USAID: USAID will not remove section H.8(b)(3).
15. Section H.32 Value Added Tax (VAT) and Custom Duties, last paragraph. Please delete the number 1 in the effective date for Reporting of Foreign Taxes to reflect (July 2007).
USAID: Deleted. See Part II of this Amendment for the revised RFP.

16. Section I. Upon review, we noticed that some of the contract clauses have not been updated as of the January 2019 edition of the FAR.

17. Attachment J.1, Outcomes 1.2, 1.3 and 2.1, can USAID clarify how 1.3d is different than 2.1a?
USAID: See Part II of this Amendment for the revised RFP with the updated sub-results.
18. Attachment J.1, Outcome 1.2 and 2.1, can USAID clarify how 1.2d is different than 2.1b,
19. Attachment J.1, Outcome 2.1, can USAID clarify how 2.1b is different than 2.1e?
20. Attachment J.1, Outcomes 2.2 and 3.1, can USAID clarify the difference between 2.2e and 3.1b?
21. Sub-Result 3.2d (page 66) is a duplicate of Sub-Result 3.1d (page 66). Would USAID clarify whether another result was intended to be included?
22. Attachment J.1, page 68, can USAID clarify if the Offeror must use the three water condition indicators noted or can the Offeror propose other water indicators?
USAID: The water conditions are illustrative and serve only as examples. The Offeror must propose specific indicators that will appropriately demonstrate change conditions between baseline year and the project’s final year.
23. Attachment J.1, page 68, can USAID clarify whether selected sites should include cities in the CDI list? Can USAID clarify whether Safe Water needs to expand ongoing USAID investments in the cities under CDI?
USAID: Site selection will consider CDI sites. See Part II of this Amendment for the revised RFP with the updated Section on Geographic Focus.

24. Attachment J.1, IV, Page 68. USAID states that “At the sub-national level, Safe Water will work with LGUs, water utilities, and watershed councils in three provinces (outside of Metro Manila, Metro Cebu, and Metro Davao), with their key urban areas serving as focal site.” Please clarify whether USAID intends for Offeror’s to use Metro Manila, Metro Cebu and Metro Davao as the focal sites, or whether Offerors should not work in those sites.
USAID: The selection of sites will not include Metro Manila, Metro Cebu and Metro Davao, and therefore at the subnational level, the Safe Water Project will not work in those sites. See Part II of this Amendment for the revised RFP with the updated Section on Geographic Focus.
25. Attachment J1 IV, Geographic Focus, states, “At the sub-national level, Safe Water will work… in three provinces (outside of Metro Manila, Metro Cebu, and Metro Davao) …” Would USAID please clarify that “outside of” means “not including” in this context?
USAID: Yes, “outside of” in this context means “not including.” See also response to Question No. 24.
26. Given its potential relevance to SAFE WATER, will USAID consider sharing all annexes referenced in the “Assessment of Water-Energy-Food Nexus Tradeoffs for Mindanao,” which was completed under the B-LEADERS project?

27. The last sentence of Section J.1.IV, Geographic Focus (page 68), states that sites will be added if deemed necessary and strategic to build on USAID’s investment under the Cities Development Initiative or WASH-FIN. Please clarify if USAID will make additional resources available for these sites if they are added and/or how offerors are to program and budget for this scenario in their cost proposals.
USAID: If need arises or conditions warrant adding new sites or committing additional resources, this will be discussed accordingly with the Contractor. At this stage there is no need to allocate funding for additional sites in the cost proposal.
28. Sections J.3 and J.5, the Disclosure of Lobbying Activities and the Certification Regarding
Trafficking in Persons, respectively, are included in the RFP, but not listed in Section L.6 as part of the requirements for the cost proposal. Would USAID please confirm that these two attachments should be included in the cost proposal for both the contractor and major subcontractors, and if so, how would USAID like these documents presented in the cost proposal?

USAID: Yes, the Disclosure of Lobbying Activities and the Certification Regarding Trafficking in Persons should be included in the cost proposal for both the contractor and major subcontractors.
29. Attachment J.G, Note 2: Fringe Benefits is listed as PhP 18,130 employee per annum, which in our experience seems low. Could USAID clarify what’s included in the listed Fringe Benefits?
USAID: The Php 18,130 benefit in the US Embassy Philippines Local Compensation Plan represents annual Miscellaneous Benefits Allowance.
Section L - Instructions, Conditions and Notices to Offerors
30. Section L.3, Standard Form (SF) 33, pages 117 and 125, kindly advise if USAID will provide an SF 33 for this solicitation.
USAID: Standard Form 33 has been added to the solicitation document.
31. L.5, page 119, USAID lists one of the annexes as a “Gantt chart.” Could USAID clarify what this annex should include and if and how it differs from the Rapid Mobilization Plan?
USAID: A Gantt chart will be included in the annex to illustrate the timeline for the Offeror’s proposed mobilization plan. The timeline may also be presented in Excel format. See Part II of this Amendment for the revised RFP with the updated list of Annexes.
32. Section L.5 (page 119) initially states that the Performance Work Statement (PWS) is a component of the Technical Proposal. The next paragraph defines how the Technical Proposal/PWS is to be organized without indicating a section for the PWS. Can USAID confirm that offerors are not required to include a standalone PWS section in their technical proposals?
USAID: Section L.5 of the RFP document has been revised for clarity.
33. Section L.5 (page 119) lists Contractor Past Performance as a section within the Technical Proposal/PWS. However, the RFP later lists “Contractor Past Performance Information” to be included as an annex (page 120). Can USAID confirm that offerors may include a summary of past performance in the body of the technical proposal with Contractor Past Performance presented in an annex as required under Factor 4?
USAID: “Contractor Past Performance Information” as a section within the Technical Proposal/PWS consists of a summary of the Offeror’s past performance. “Contractor Past Performance Information” as an annex consists of unedited scans of relevant contractor performance reports with working email addresses and other contact information for COs and CORs.

34. Section L.5 (page 120) instructs offerors to include unedited scans of relevant CPARs. Given the page limit for annexes and the length of the CPARs in question, may offerors instead reference projects with CPARs available in CPARS/PPIRS?
USAID: See question 38. The page limit for annexes has been removed. Please provide scans of the documents as instructed.
35. Section L.5 lists a number of annexes, but it is unclear which of these are required for submission.
Please clarify.
USAID: See Part II of this Amendment for the revised RFP with the updated list of Annexes.
36. Section L.5 (page 120) states that annexes can include a Rapid Mobilization Plan. Factor 3:
Management Plan (b) (page 123) requires a mobilization plan as part of the management plan.
Please confirm that the mobilization plan is the same as the Rapid Mobilization Plan and that offerors may include this information in an annex.
USAID: This is correct. See Part II of this Amendment for the revised RFP with the updated list of Annexes.
37. Section L.5 (page 120) lists a Gantt chart and Draft Environmental Mitigation and Monitoring
Plan for inclusion with offerors’ technical proposals. Please provide additional instructions for these annexes (e.g., what period of time are offerors to address in Gantt chart)?
USAID: The Gantt Chart will be included as an annex to illustrate the timeline for the Offeror’s proposed mobilization plan. The timeline may also be presented in Excel format. Either format will cover 45 days of mobilization.
38. Section L.5, Bullet 5, Page 120. USAID states that CVs of key personnel are limited to three pages each. Please clarify whether key personnel CVs are included in the 100-page annex limit.
USAID: The page limitation for annexes has been removed.
39. Section L.5, Bullet 7, Page 120. Will USAID confirm that the annexes listed in this bullet are illustrative? If so, will USAID please provide a list of required annexes and a preferred sequence (such as Annex A, Annex B)?
USAID: See Part II of this Amendment for the revised RFP with the updated list of Annexes.
40. Section L.5, Bullet 7, Page 120. USAID lists a “Gantt chart” in its list of annexes. Will USAID kindly clarify whether this is a reference to a Year 1 Work Plan? Please also confirm whether this is a required annex.

41. Section L.5, Bullet 7, Page 120. USAID indicates that “information contained in the annexes to the Technical Proposal/PWS will also be used in evaluating the Offeror’s technical strengths.”
Please clarify under which technical evaluation factor listed on Page 132 the listed annexes apply?
USAID: The annexes required under each subfactor will be evaluated along with the corresponding evaluation factors in Section M.
42. Section L.5, page 120, can USAID confirm that the Rapid Mobilization Plan and Illustrative M&E plan are two separate annexes?
USAID: This is correct. See Part II of this Amendment for the revised RFP with the updated list of Annexes.
43. On page 120, USAID asks offerors to highlight “what it believes as a potentially game-changing intervention for Outcomes 1.2, 1.3, and 2.2.” Should offerors also identify a game-changing intervention for Outcome 1.1, as it will also be discussed under Subfactor 1.1(a): Approach to addressing site-specific water security challenges?
USAID: Subfactor 1.1 under Section L has been updated to clarify the requirement. See Part II of this Amendment for the revised RFP with the updated instruction on subfactor 1.1.
44. On page 120, in the bulleted list, USAID requests “CVs of key personnel.” On page 122, Subfactor 2.1: Key Personnel, in the third paragraph, USAID writes that the offeror should provide resumes for “all Key Personnel and long-term staff.” Could USAID confirm that CVs/resumes are only required for Key Personnel?
USAID: CVs/resumes are required for both Key Personnel and the long-term staff. See Part II of this Amendment for the revised RFP with the updated requirements for CVs and resumes.
45. Please confirm that offerors do not need to provide letters of commitment for proposed non-key, long-term personnel.
USAID: Confirmed; Offerors do not need to provide letters of commitment for proposed non-key long-term personnel.
46. Section L.5, Subfactor 1.1 (page 120), states, “The Statement of Objectives (SOO) requires the Offeror to identify and propose three sites, with only one serving as demonstration site for implementing water resource management (WRM). For the two non-WRM demonstration sites.”

47. Sections L.5.Subfactor 1.1, Pages 120-121 and Section M.2.Factor 1, Pages 132-33. Outcome 3.2—Knowledge on water security developed and/or shared is the only Outcome that is not referenced in Sections L and M. Will USAID clarify whether Outcome 3.2 will be considered in USAID’s evaluation; and if so, where Offerors should address this in the technical proposal?
USAID: Offerors will address Outcome 3.2 in Subfactor 1.1: Understanding of Safe Water Requirements, part (a) approach to addressing site-specific water security challenges. See Part II of this Amendment for the revised RFP with updated instructions on subfactor 1.1.
48. Section L.5.Subfactor 1.2a, Page 121. USAID directs Offerors to submit a summary table of all indicators listed in Section III. Is this a reference to Table 1: Performance Indicators on Page 67 of the RFP?
USAID: Yes.
49. On page 121, Section L, Subfactor 1.2.a: Monitoring, Evaluation, and Learning (MEL), USAID asks offerors to provide “a summary table of all indicators listed in Section III with their corresponding targets.” Please clarify whether this summary table is to be provided within the body of the technical proposal or as part of the appendix with the illustrative MEL plan.
USAID: The summary table will be part of the proposal, while a more comprehensive table will be included as an annex. See Part II of this Amendment for the revised RFP with the updated Section L on Monitoring, Evaluation and Learning (MEL).
50. Section L.5, Factor 2, Page 122. USAID notes that “current resumes must be submitted for all Key Personnel and long-term staff.” Considering the potential number of long-term staff proposed, will USAID please confirm that resumes and letters of commitment are only required for Key Personnel? If resumes and letters of commitment are required for all long-term staff, will USAID consider making them non-counting pages?
USAID: Letters of commitment are only required for key personnel, as indicated on page 122.
51. Section L.5, Factor 3, Page 123. Will USAID confirm that the mobilization plan is to be submitted as an annex, as is indicated on page 120, instead of as part of the Management Plan?
USAID: The Mobilization Plan will provide within the body of Technical Proposal/PWS a narrative description of the Offeror’s mobilization activities. As supporting information, the Offeror will attach as an annex a table (in Excel or Gantt Chart format) that will illustrate the
Page | 10 timeline for the Offeror’s mobilization plan described within the proposal. See Part II of this Amendment for the revised RFP with the updated Section L on Mobilization Plan.
52. Section L.5.Factor 4, Page 123. In Factor 4a, USAID directs the Offeror to prepare performance information for each proposed major subcontractor, while in 4a.1, USAID directs the Offeror to submit a maximum of three (past performance references) for each of the subcontractors. Can USAID kindly clarify whether Offerors are to submit a maximum of three past performance references for all subcontractors, or only major subcontractors (those whose proposed cost comprises at least 20-percent of the total cost)?
USAID: This requirement refers only to major subcontractors.
53. Sections L.5.IV.a (page 123) and L.6(A) (page 125) define a proposed major subcontractor as one whose cost comprises at least 20 percent of the total proposed cost. Would USAID please confirm whether the $2 million plug for CLIN 0002 should be included in the base for determining a major subcontractor?
USAID: The $2 million plug figurefor CLIN 0002 should not be included in the base for determining a major subcontractor. The base consists of CLIN 0001 only.
54. Section L.6, pages 125 to 126, states that an offer may be deemed unacceptable without a completed Standard Form (SF) 33; however, no SF 33 was included with the RFP. Would USAID please provide the SF 33 to offerors?

56. L.6(C)3(3) Budget Narrative: Could USAID confirm that the compensation plan detailed on page
127 is only for expatriate and TCN positions as the RFP contains a detailed local compensation plan?
USAID: The local Compensation Plan provided is illustrative and shows rates that should not be exceeded, given comparable positions. Offerors should develop their own compensation plans, using the Local Compensation Plan as a guide.
57. Section L.6, page 129, states that the offeror and each proposed subcontractor must complete
Section K. However, Section K does not provide a place to sign or provide other pertinent information for the signer. Would USAID please provide an amended Section K?

60. Section L.7 (page 130) instructs offerors to include a Branding Implementation Plan and Marking Plan with the technical proposal as Annex F but then references a 35-page limitation. Please confirm that offerors may include the BIP/MP as an annex to the technical proposal that does not count against the 40-page limit of the technical proposal/PWS.
USAID: The Branding Implementation Plan and Marking Plan will be attached as Annex K and therefore will not count against the 40-page limit of the technical proposal/PWS.
61. On page 132, in Section M, under Factor 1: Technical Approach, USAID writes, “Under sub-factor 1, subfactors 1.1 and 1.2 are more important than 1.3.” There is no subfactor 1.3 listed on the subsequent page, only subfactor 1.1: Understanding Safe Water’s technical requirements and subfactor 1.2: Planning requirements and other important considerations. Please clarify. Does USAID mean that sub-factors 1.1(a) and sub-factors 1.1(b) are more important than sub-factor 1.1(c)?

However, there is no subfactor 2a, nor is there a 2b. Could USAID please clarify that it means that subfactor 2.1: Key personnel is more important than subfactor 2.2: Staffing plan?

65. The RFP is vague on where offerors should address Outcome 3.2 in their technical proposals.
Outcome 3.2 is clearly part of Objective 3, as described on page 66 of the RFP. Page 68, however, in Section IV: Geographic Focus, makes clear that interventions for Outcomes 1.1, 1.2, 1.3, 2.2, and 3.2 will take place in the three proposed sites. This points to a need to discuss Outcome 3.2 under Subfactor 1.1.a: Approach to addressing site-specific water security challenges. Moreover, there is no mention of Outcome 3.2 in the relevant sub-factor for evaluation in Section M (i.e. 1.1.c, on page 133, which reads, “how strategic and compelling the Offeror’s proposed approach and interventions are for achieving Outcome 3.1 results and sub-results.”). Nor is Outcome 3.2 mentioned under Subfactors 1.1.a, 1.1.b, or 1.1.c in Section L on pages 120 or 121. At the same time, an associated indicator is included under Objective in Table 1: Performance Indicators on page 67.
May offerors address Outcome 3.2: Knowledge on water security developed and/or shared as part of Subfactor 1.1.a: Approach to addressing site-specific water security challenges?

69. Can USAID explain why Bukidnon was removed as a priority site identified in the RFI?
USAID: Bukidnon was not removed as a priority site. Rather, the geographic scope was expanded, taking into account that many watersheds and municipalities nationwide are experiencing water stress and are potentially in need of assistance to address high demand for water supply and sanitation services, limited freshwater supplies, and vulnerability to multiple stresses that affect water resources and service delivery.
70. Would USAID clarify whether the contractor will conduct water supply and sanitation work in all three sites (including the integrated water resource management site)?

SECTION B – SUPPLIES OR SERVICES AND PRICE/COSTS
B.1. PURPOSE
The purpose of this contract is to provide technical assistance services necessary for the successful implementation of the USAID/Philippines Safe Water activity.
B.2. CONTRACT TYPE
This is a FAR 16.102(b) combination award consisting of a Cost-Plus-Fixed-Fee (CPFF) completion type contract (CLIN 0001) and a single-award Indefinite Delivery, Indefinite Quantity (IDIQ) contract (CLIN 0002).
Under the cost reimbursement completion portion of the contract (CLIN 0001), the Contractor shall furnish all personnel, materials, equipment, supplies, facilities, services (except as expressly set forth in this contract as furnished by the Government) and perform all activities necessary for, or incidental to, the performance of work described in Section C and other sections of the contract not specifically identified under CLIN 0002 (Supplemental Technical Assistance IDIQ).
Under the IDIQ portion of the contract (CLIN 0002), the Contractor must furnish additional technical assistance arising out of or related to the completion portion of the contract, as required by Government-issued Task Orders. The services shall be ordered in accordance with Section H.35 entitled, “Ordering Supplemental Technical Assistance (CLIN 0002)” and the IDIQ clauses in Section I. As this CLIN is part of this contract and not a stand-alone award, the Government is not required to state or order any minimum number of person-days as otherwise provided in FAR 16.504(a)(1). The other CLINs contained in this contract provide sufficient consideration to make this a legally binding contract, and the Government has no obligation to fund or order under this
CLIN.

B.5. PAYMENT OF FIXED FEE FOR CLIN 0001
Pursuant to FAR 16.306(d)(1), payment of the entire fixed fee shall be based on the achievement of the objectives indicated in the Performance Work Statement and on completion of the deliverables described in Section F of this contract.
Upon successful completion of each deliverable, the Contractor must provide evidence of completion to the Contracting Officer’s Representative (COR). Upon acceptance by the COR, the Contractor shall submit an invoice for the amount of fee associated with the deliverable(s).
B.6. OTHER DIRECT COSTS, LEVEL OF EFFORT, AND FIXED FEE UNDER CLIN
(a) The estimated cost of CLIN 0002 includes estimates for materials, equipment, subcontracts, travel, and training required for performance of the total amount of work that can be ordered by the Government under this CLIN during the life of the contract.
(b) In performing Government orders for Technical Assistance under this CLIN, the Contractor will provide up to a maximum of 3,000 professional/technical person-days for the entire life of the project.

(c) The total estimated cost and fixed fee will be established in the individual Government issued Task Orders and shall not exceed the amount set forth in section B.3(b). The contract type and fee for each Task Order shall be negotiated and will be based on the nature of the work and associated risks.
B.7. INDIRECT COSTS
(a) FAR 52.216-7 “Allowable Cost and Payment (Jun 2013)” specifies that the indirect cost rates shall be established for each of the Contractor’s accounting periods which apply to this contract. SECTION D – PACKAGING AND MARKING
D.1 AIDAR 752.7009 MARKING (JAN 1993)
(a) It is USAID policy that USAID-financed commodities and shipping containers, and project construction sites and other project locations be suitably marked with the USAID emblem.
Shipping containers are also to be marked with the last five digits of the USAID financing document number. As a general rule, marking is not required for raw materials shipped in bulk (such as coal, grain, etc.), or for semi-finished products which are not packaged.
(b) Specific guidance on marking requirements should be obtained prior to procurement of commodities to be shipped, and as early as possible for project construction sites and other project locations. This guidance will be provided through the COR indicated on the cover page of this Contract, or by the Mission Director in the Cooperating Country to which commodities are being shipped, or in which the project site is located.
(c) Authority to waive marking requirements is vested with the Regional Assistant Administrators, and with Mission Directors.
(d) A copy of any specific marking instructions or waivers from marking requirements is to be sent to the Contracting Officer; the original should be retained by the Contractor.
D.2 BRANDING STRATEGY
The Contractor shall comply with the requirements of the policy directives and required procedures outlined in USAID Automated Directive System (ADS) 320.3.2 “Branding and Marking in USAID Direct Contracting” which can be found at https://www.usaid.gov/ads/policy/300/320; and USAID “Graphics Standards Manual” available at http://www.usaid.gov/branding, or any successor branding policy.
The Branding Strategy for this contract is as follows:
Objective: To provide prospective Offerors with areas to be addressed in the development of the Safe Water Branding and Marking Plans so as to deliver the message that the assistance is “from the American People”.
Activity name: The name of the activity is “Safe Water.” In every public event or document and in discussions with the Government of the Philippines and other counterparts from the private sector and civil society, the Contractor shall identify the activity as the “Safe Water Project” on each reference.
Branding: The branding strategy will incorporate the message that the assistance is “From the American People”, and is sponsored by USAID. USAID policy is to require exclusive branding and marking in all its direct contracts.
Positioning: Publicity materials and communications shall clearly reflect the notion that this activity is provided by the American People through USAID with close collaboration and support of the Government of the Philippines. No other organizations will be acknowledged publicly in https://www.usaid.gov/ads/policy/300/320

Visibility: USAID seeks a very high level of visibility through USAID‐branded public events, high‐level visits, community awareness and training activities, and media coverage. The Contractor may propose activities to be exempted from this requirement, and will be subject to the Contracting Officer’s Representative’s concurrence and Contracting Officer’s approval.
Anticipated Elements of the Branding and Marking Plan: Deliverables to be marked include products, equipment and inputs delivered; places where activities are carried out; external public communications, studies, reports, publications and informative and promotional products; and workshops, conferences, fairs and any such events. Studies, reports, publications, Web sites, and all informational and promotional products not authored, reviewed, or edited by USAID must contain a provision substantially as follows:
“This study/report/Web site (specify) is made possible by the support of the American People through the United States Agency for International Development (USAID.) The contents of this (specify) are the sole responsibility of (name of organization) and do not necessarily reflect the views of USAID or the United States Government.”
Approval Procedures: In carrying out the approved Branding and Marking Plans, the Contractor shall seek approval from the COR for all public and media documents, speeches, and event preparation forms at least three (3) weeks prior to the implementation date of the subject activity.
Specific waivers of branding implementation and marking require Contracting Officer’s prior written approval.
