About this file

This document provides an amendment to a solicitation for overseas pre-positioning warehouse services. USAID seeks to award up to two firm fixed price contracts for commercial warehouse and logistics services in the Horn of Africa region, preferably Djibouti, and Southern Africa, preferably Durban. The amendment clarifies the definition of a major subcontractor for past performance evaluation, adds an organizational conflict of interest clause, and modifies sections on the management plan and evaluation criteria to assess the offeror's ability to perform at least 51% of the contract cost or level of effort.

7200AA20R00013 Amendment 3

The purpose of this amendment is to correct a typographical error in Question 11, update USAID’s response to Question 11, and add or amend the below paragraphs in Sections H, L and M.

Revised:

11. Q: (Past Performance) Will USAID revise the major subcontractor threshold from 51% to 20%?

A: (Amended) Yes. For the purposes of Past Performance, a major subcontractor will be defined as one whose cost or level of effort exceeds 20% of the offeror’s total cost or level of effort

(Section L8).

Add the following clause to Section H:

H15. ORGANIZATIONAL CONFLICTS OF INTEREST (CIB 99-17)

An Organizational Conflict of Interest exists where, because of outside activities or relationships with outside entities, a person is potentially unable to give impartial assistance or advice to the

Government, or objectivity might be impaired in performing the contract work, or a person has an unfair competitive advantage. Unequal Access to Information occurs when a firm (e.g., through its employees or the employees of a subsidiary) has access to nonpublic information as part of its performance of a government contract (whether the parent or subsidiary) and where that information may give it an unfair competitive advantage for a later contract. In such a case, failure of the firm to establish a firewall between those employees (direct or affiliate) with non-public information and those informing the proposal in any way could result in exclusion.

(a) The Contractor agrees that, if after award it discovers either an actual or potential organizational conflict of interest with respect to this Contract, it shall make an immediate and full disclosure in writing to the Contracting Officer which shall include a description of the action(s) which the Contractor has taken or proposes to take to avoid, eliminate or neutralize the conflict.

(b) The Contracting Officer shall provide the contractor with written instructions concerning the conflict. USAID reserves the right to terminate the Contract if such action is determined to be in the best interests of the Government.

Section L7, Instructions for Preparation of the Technical Proposal is amended as follows, highlighted in yellow:

The Offeror is required to submit their approach to Management Plan responding to the evaluation criteria set forth in Section M as it relates to performance of the tasks outlined in Section C of this solicitation. The Offeror must describe the organizational and management structure they propose to achieve including the percentage of the level of effort or cost of the contract they will perform as a prime contractor , how the Offeror intends to manage the overall project and explain how it will operate to achieve the requirements and meet the standards set forth in Section C. The Offeror must explain how company resources will use their experience in offering high grade warehouse space and services to store emergency food commodities.

This includes the protection, receipt, re-delivery and transport, clearance, documentation and forwarding of cargoes.

Section M2, Evaluation Criteria, Management Plan is amended as follows, highlighted in yellow. Insert:

USAID will evaluate how effective the plan is in managing the execution of the requirements of this contract. USAID will also evaluate the extent to which the management and staffing structure allow the Offeror to rapidly and responsively deliver its technical approach. The management plan will also be evaluated to the extent in which the offeror demonstrates its ability to perform at 51% or greater of the level of effort or cost of the contract. The proposed staffing plan will be assessed to ensure that the personnel assigned to this project have the adequate authority to direct the project and navigate all local and unique challenges and ensure adherence to all government and port regulations, customs clearance and storage limits that may be encountered in the country(ies) of the warehouse locations.
