Section (viii) The provision at 52.212-1, Instructions to Offerors – Commercial Items (Jan 2017), applies to this acquisition. The following addendum is hereby attached to this provision:
The quotation consists of two parts. Part I is the Non-Price Factors and Part II is the Price Factor. This section details the content requirements for each Part.
Part I – Non-Price Factors
Factor One: Technical Capability (No more than 15 pages)
The quoter shall demonstrate their knowledge, understanding and capabilities for meeting the requirements in the
SOW. Moreover, the quoter shall provide an efficient methodology for accomplishing the tasks listed in SECTION
2.0 of the SOW. The quotation shall include:
1. A discussion of how each Task of the SOW will be accomplished including proposed methods and techniques for completing each task; and 2. A discussion which supports how the quoter will ensure full performance of each task.
Factor Two: Management Approach
The quoters shall explain their plan to staff the team to accomplish the task outlined in section 2.4 (B) of the SOW.
The quoter shall explain their proposed approach, specifically with regard to Administrative support services and the number of people to complete the work identified in the SOW for this solicitation. (No more than 15 pages).
Factor Three: Past Performance
All proposals should provide experience and track record of performing similar work for companies of our size and expertise, related to System, Administrative Services, or a combination of both.
Please include a list of 10 largest clients using System and/or Administrative Services, and/or the industry in which they work, company size, and strategy
Quoters shall use Attachment 2 – Past Performance and fill out all fields. Please include at least 3 reference clients
(contact name, telephone number and email address) and a sufficiently detailed explanation of past and/or current requirements of similar scope and magnitude.
Past Performance examples shall be as a prime contractor or first-tier subcontractor on previous or current projects/tasks that are similar in size, scope, and complexity to the work identified in this RFQ's SOW. Past
Performance does not necessarily have to be Government-related; but it is important to demonstrate and provide evidence of past performance for work similar in size, scope, and complexity to that described in this RFQ.
The Government may contact the points-of-contact provided in the examples to verify the validity of the information the Quoter provides in Attachment 2 – Past Performance. The Government may also use present and/or past performance data obtained from a variety of sources, not just those contracts identified by the Quoter.
Part II – Price
Price Submission
In a separate electronic document, the Quoter shall submit a Price Quotation, and include the following information:
All proposals should provide detailed, all-in annual cost of the System, Administrative Services, or combination of both services to be provided.
a. Identify separate cost components (i.e. license fee, installation/set-up fees, time & materials, per user, per fund, etc.).
b. Identify System cost and Administrative Services cost separately, if appropriate, noting any cost savings if
System and Administrative Services are bundled together in one offering;
c. Identify any changes in costs for increased activity (i.e. an increase in number of funds in portfolio, an increase in number of portfolio companies, an increase in number of users, etc.)
The Quoter shall include the following information in the cover letter of its price Quotation:
• Dun & Bradstreet Number (DUNS);
• Main point of contact, including name, telephone number, and e-mail address; and
• Complete business mailing address.
The Quoter shall provide a complete proposed price for each CLIN (See Attachment 3). The Quoter is encouraged to provide a discount from their established price/rates.
Oral Presentations: Based on OPIC’s review of submitted proposals, OPIC reserves the right to select certain firms to provide oral presentation to a selection committee. Proposals will be thoroughly reviewed prior to the presentation and, therefore, the focus of the presentation will be on areas best presented in a face-to-face setting, as well as the offeror’s fielding of questions OPIC may have. The Contracting Officer will be responsible for leading and managing the engagement at this meeting.
-Contractors submitting proposals for the System should have significant industry knowledge of private equity and investment management front-, middle- and back-office operations, and demonstrable experience, track record and a client list evidencing an ability to deliver, implement and support a proven data platform. OPIC will not consider proposals for systems or platforms under development or those without a substantial track record of proven system functionality and deployment and/or service delivery.
-Contractors submitting proposals for the Administrative Services should have significant experience and track record in providing back office reporting and administration services for investment managers and/or private equity fund managers (i.e. general partners, or GPs) and fund investors (i.e. limited partners, or LPs). Note that track records will be confirmed by reference calls.
Section (ix) The provision at 52.212-2, Evaluation – Commercial Items (Oct 2014), applies to this acquisition.
(a) One award will be made to the responsible Quoter submitting an overall Quotation that is determined most advantageous to the Government, price and non-price criteria considered. Award will be made to the firm whose
Quotation meets the Government's requirements and whose technical criteria and price, when combined, represent the best value to the Government. The technical evaluation criteria are significantly more important than price.
The Government will not make an award at a significantly higher overall price to the Government to achieve only slightly superior technical capability. The Government will conduct a tradeoff analysis that involves the assessment of benefits of superior technical capability features (i.e., benefits clearly attributable to increased productivity, probability of successful contract performance, and/or unique and innovative approaches or capabilities) versus the added price. Overall price to the Government may become the ultimate determining criterion for award of the contract as Quotations become more equal based on other criteria.
Factor One: Technical Capability
The Government will evaluate the Quoter's Technical Capability by evaluating: (1) the extent to which the Quoter presents a detailed plan of the proposed methods and techniques for successfully performing each task in the SOW;
(2) the experience of the proposed labor mix and the extent to which the Quoter supports how each task will be fully performed.
Factor Two: Management Approach
The Government will evaluate quoters plan to staff the team to accomplish the task outlined in the section 2.4 (B) of the SOW. The Government will evaluate the quoter proposed approach, specifically with regard to Administrative support service and the number of people to complete the work identified in the SOW.
Factor Three: Past Performance/Experience
The Government will review all past performance data submitted with the quotation and may contact the referenced companies/organizations and others to verify the past performance information. If no past performance information is available, the Quoter will receive a "Neutral" rating for Past Performance, which will not be evaluated favorably or unfavorably when the Government determines which Quoters represent the best value to the Government.
Factor Four: Price
The Government will conduct a price analysis by (a) comparing the Quoters' response to this solicitation and (b) comparing the Quotations against the Independent Government Cost Estimate (IGCE). Price analysis will be conducted to determine that the prices are fair and reasonable. The Government will determine whether the price, inclusive of all CLINs, is fair and reasonable, and whether the price, in combination with the technical evaluation factor specified in the solicitation, represents the best value to the Government.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). The
Government will evaluate FAR clause 52.217-8 Option to Extend Services (NOV 1999).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Section (x) FAR 52.212-3 Offeror Representations and Certifications—Commercial Items
(Nov 2017), applies to this acquisition. The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management
(SAM) website located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.
Section (xi) The clause at 52.212-4, Contract Terms and Conditions – Commercial Items (Jan 2017), applies to this acquisition. The following addendum has been attached to this provision: Addendum
The clause 52.217-9 Option to Extend the Term of the Contract (MAR 2000).
(a) The Government may extend the term of this contract by written notice to the Contractor at any time within the term of the contract, provided that the Government gives the Contractor preliminary written notice of its intent to extend at least (30) days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.
Original invoices shall be e-mailed to the Contracting Officer Representative (COR) with a courtesy going to the
Contracting Officer, and Contract Specialist.
Section (xii) The clause at 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive
Orders – Commercial Items (Nov 2017), applies to this acquisition.
