(End of Provision)

FAR 52.252-1 Solicitation Provisions Incorporated by Reference (FEB 1998) This solicitation incorporates one or more solicitation provisions by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available. Also, the full text of a solicitation provision may be accessed electronically at Internet address http://acquisition.gov/far/index.html

(End of Provision)

The following provisions are incorporated by reference and are addendum to FAR 52.212-1:

FAR 52.204-16 Commercial and Government Entity Code Reporting (JUL 2016) FAR 52.217-5 Evaluation of Options (JUL 1990)

FAR 52.212-2 Evaluation – Commercial Items (OCT 2014) is not applicable to this acquisition.

In lieu of this provision, quotes will be evaluated in accordance with FAR 13.106-2 based on the criteria listed below. Quotes will be evaluated and contract awarded to the lowest priced technically acceptable quote.

Evaluation Factors: Quotations will be evaluated using the following factors:

Technical Acceptability Price Past Performance

This acquisition will use Lowest Price Technically Acceptable (LPTA) source selection based on the criteria in the solicitation IAW FAR 13.106-2. The Government may make separate awards for specific items or groups of items contained in this solicitation. Failure to meet a requirement may result in an offer being determined technically unacceptable and removed from consideration for award.

Technical Acceptability: Quotations will be evaluated on the ability of the offeror to provide new manufactured commercial items from the Original Equipment Manufacturer (OEM) or an OEM approved source. Offerors must be able to provide traceability to the OEM on all parts and be able to provide a certificate of airworthiness, Federal Aviation Administration (FAA) 8130 (preferred) or equivalent European Aviation Safety Agency (EASA) Certification, and a certificate of conformance (COC). Part 21 of the Federal Aviation Regulation outlines certification procedures. All offerors will be required to provide in writing a validation that they are able to provide the required technical acceptability certificates upon delivery of the parts on the schedule with their submitted quote. Offerors must provide exact part numbers or NATO approved alternate part numbers and must be registered and current in the System for Award Management (SAM).

Price: Offers shall be submitted on the basis of F.O.B. Destination only.

Price quotations will be evaluated to determine completeness and fair and reasonableness. Price quotations will be reviewed to verify pricing was provided for the base and two (2) option periods.

Failure to propose pricing for the base year and all respective option periods on individual line items may result in a quotation being excluded from further consideration. The government will also evaluate prices for each contract period of performance. The Government may determine that a quote is unacceptable if the option period prices are significantly unbalanced.

Past Performance: Past Performance will be evaluated to assess the Government’s confidence in the offeror’s ability to fulfill the solicitation requirements. The Government may use information available from the Past Performance Information Retrieval System (PPIRS) and the Contractor Performance Assessment Reporting System (CPARS), previous contracts/purchase orders with the USCG and any information found using Federal as well as state and local Government sources. An offeror must receive an Acceptable Confidence Rating to be considered for award. Offeror’s will be given the opportunity to address/comment on adverse past performance information that may result in an Unacceptable Confidence Rating.

If an offeror does not have a record of relevant past performance or past performance information is either unavailable or so sparse that no meaningful rating can be reasonably assigned, the offeror may not be rated favorably or unfavorably. Therefore the offeror shall be determined to have unknown past performance which for purposes of the LPTA source selection process is acceptable.

FAR 52.212-3 Offeror Representations and Certifications-Commercial Items (OCT 2018) X Alternate I of 52.212-3. (OCT 2014) The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Website located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(End of Provision)

FAR 52.212-4 Contract Terms and Conditions Commercial Items (OCT 2018) applies to this acquisition and paragraph (a) of this provision is tailored with the following addendum:

Inspection and Acceptance:

Paragraph (a) The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or re-performance of nonconforming services at no increase in contract price. If repair/replacement or re-performance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights-

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

Inspection and acceptance shall be performed at destination by local USCG personnel and consist of count and condition only.

Contractors shall provide a COC signed by the contractor's authorized representative in accordance with FAR 52.246-15 and documentation reflecting the complete unbroken history of ownership of the parts from purchase from the approved manufacturing source until delivery to the USCG. Full and clear traceability must be provided with delivery of each part. If full and clear traceability is not provided, ALC will not accept delivery of the part and invoices may be not be approved for payment.

The following additional Clauses are incorporated in full text and are addendum to FAR 52.212-4:

FAR 52.203-17 – Contractor Employee Whistleblower Rights and Requirement To Inform Employees of Whistleblower Rights (APR 2014)(DHS – USCG DEVIATION 14-01)

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

(End of clause)

FAR 52.216-18 Ordering (OCT 1995)

Such orders may be issued from contract award through one-year from date of contract award for the base period and for options, effective date of option exercise through one-year from effective date of option exercise.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may also be issued orally, by facsimile, or by electronic commerce methods.

FAR 52.216-19 Order Limitations (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than one each for $0.04, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor—

(1) Any order for a single item in excess of the total estimated contract line item quantity;

(2) Any order for a combination of items in excess of 50% of the current option period; or

(3) A series of orders from the same ordering office within thirty (30) days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within fifteen (15) days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(End of clause)

FAR 52.216-21 Requirements (OCT 1995)

(a) This is a requirements contract for the supplies or services specified and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government’s requirements do not result in orders in the quantities described as “estimated” or “maximum” in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the Schedule that are required to be purchased by the Government activity or activities specified in the Schedule.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after determined at the time of award based on six (6) months after expiration date of ordering period.

FAR 52.217-9 Option to Extend the Term of the Contract (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within thirty (30) calendar days prior to contract expiring; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least sixty (60) days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed three (3) years.

(End of Clause)
