STATEMENT OF WORK (SOW)

1. GENERAL INFORMATION

A. Title of Project / Identification of the Requirement

Vehicle barrier systems maintenance contract at two USSS protected locations

B. Background

The United States Secret Service is responsible for 6 (six) vehicle barrier systems at Naval Observatory Facilities.

These barrier systems are a critical part in supporting the protective mission of the USSS and require continuous maintenance to ensure that the barriers are in top operating condition.

Additionally, the United States Secret Service and the Naval Observatory Facilities have partnered to study future renovations and upgrading of the vehicle gate systems maintained by both agencies surrounding the Naval Observatory Complex. The contractor shall have the experience and knowledge to integrate the new technology into existing preventative and corrective maintenance programs. Any new cost incurred to educate the service technicians with the necessary knowledge or certifications will be the sole expense of the contractor.

C. Scope / Purpose & Objective

The purpose of this procurement is to obtain maintenance service, inspections, and emergency repair services for six (6) vehicle barrier systems at two locations, to ensure that the barriers are in full operating condition 24 hours a day, 365 days a year.

This contract shall cover preventive maintenance and other items not covered by the warranty for those units only until the warranty expires, at which time those units will be fully covered under this contract.

The purpose of this contract is to minimize the barrier systems failures through a proactive preventive and corrective maintenance program.

D. Security Requirements [If Applicable]

The specific workings of each gate system as it directly relates to the physical security protection of the Naval Observatory are SECRET.

The location of underground site utilities and routing of control wiring for the barriers within the Naval Observatory are classified SECRET. Naval Observatory site utility plans are SECRET and will remain in the custody of the Government and shall not be copied by the Contractor.

The systems at 1111 18th Street are classified as CONFIDENTIAL.

The materials and specific components of the barriers are “off-the-shelf” items which are UNCLASSIFIED.

Personnel working under this requirement must be U.S. citizens, and are required to pass the USSS background investigation. All personnel to be working on Government sites shall complete a Contractor Personnel Access Application form (SSF 3237), and must undergo a security background check by USSS. The contractor shall provide personnel who will successfully pass the background investigation. Personnel will also be required to complete a Contractor’s Agreement to Protect Non-Public Information.

Contractor must submit the following documents and others as required for each respective person immediately upon notice of contract award or when new contractor replacement personnel are needed before starting any work under any contract tasking:

• Disclosure and Authorization Pertaining to Consumer Reports Pursuant to the Fair Credit Reporting Act.

• SSF 3237 - Contractor Personnel Access Application

• SSF 4024 - Conditional Access to Sensitive but Unclassified Information Nondisclosure Agreement

Duplication or disclosure of the data and other information to which the contractor shall have access as a result of this contract is prohibited. The contractor and subcontractor(s) (if any) agree to not disclose said data, any interpretations and/or translations thereof, or data derivative there from, to unauthorized parties in contravention of these provisions, without the prior written approval of the Contracting Officer or the party in which title thereto is wholly vested. Subcontractors are subject to the same stipulations and may be held responsible for any violations of confidentiality.

The United States Secret Service intends to award a 1 (one) Year Base, Plus 2 (two) Options

G. Contract Type

The contract type shall consist of both a “firm-fixed price” and “time and materials” line items.

H. Definitions

• Check/Inspect: Perform necessary testing and visual examination to determine if unit is working properly.

Diagnose problems that are encountered. Complete a checklist.

• CO – Contracting Officer

• Contractor: Company and their personnel awarded this contract.

• COTR – Contracting Officer’s Technical Representative

• O&M Manuals: One set of operation and maintenance manuals supplied by the Government to cover components and operational characteristics of the existing barrier systems for service reference.

• Peak Operating Time: Time period when vehicle barriers are used most frequently: considered to be 0600 hours - 0930 hours, and 1600 hours -1900 hours, Monday - Friday.

• POC – Point of Contact

• Replace: Use only new materials which match construction and appearance of removed items.

• VPD – United States Secret Service Vice Presidential Protective Detail

• USSS – United States Secret Service

I. Government Furnished Equipment/Information [If Applicable]

Within thirty (30) days of award of contract the contractor shall conduct a detailed inventory of government owned spare and repair parts. This inventory list shall be provided to the government along with recommendations for parts to be purchased.

2. REQUIREMENTS

The contractor shall furnish all contract oversight management, labor, equipment, tools, and supplies necessary to provide complete and fully functional vehicle barrier systems. The contractor shall furnish preventative and corrective maintenance and repair services on six barrier systems as described below: models identified as:

Model 3B:

Two (2) at the Naval Observatory, Massachusetts Ave, NW, Washington, DC, Main Gate Two (2) at the Naval Observatory, Massachusetts Ave, NW, Washington, DC, Gillis Gate

Model XB:

One (1) portable unit at the Naval Observatory, Massachusetts Ave, NW, Washington, DC, Near Gillis Gate/Building #16.

Model 8A:

One (1) at 1111 18th Street, NW, Washington, DC (Logan Building)

The contractor shall provide all barrier components and subsystems necessary to maintain these barrier systems in effective working order. These components and subsystems include, but are not limited to, signal lights, infrared safety detectors, batteries, audible warning devices, control panels, switches, keypads, buttons, actuator arms, nuts, bolts, connectors, fasteners, wiring, etc.

The contractor shall minimize barrier system failures through a proactive preventative maintenance program and successful execution of the task described below.

Contractor will provide a monthly maintenance schedule outlining services to be performed. All work performed shall be documented in writing by Contractor and attached to invoices when submitted. Replacement of components, using brands other than those existing, shall be recorded in the O&M manuals, to include manufacturer’s name, address, phone number, and list price.

Contractor will adhere to recommendations outlined in the O&M manuals for all service and in accordance with acceptable practice as defined by nationally recognized codes. Contractor shall directly superintend the work, without subcontracting on-site work, and will maintain liaison with CO or COTR for scheduling, reporting, and assistance/access.

Preventative Maintenance (PM) Services

The purpose of the PM services is to prevent and detect defects before they cause equipment failure.

A PM Service is required at a minimum of once per week for each barrier system. This service shall be billed at a fixed–firm price per week.

The PM shall occur at a mutually agreeable time and shall be at the same time and weekday every week, unless agreed otherwise by the Contracting Officer (CO) or Contracting Officer’s Technical Representative (COTR), in coordination with the responsible site managers.

PM Inspections/service should be outside of peak operating times as determined by each site.

Contractor may be asked by CO or COTR to adjust, adjust or change the PM schedule based on site events, or events in the adjacent area as determined by the site managers.

Based on the PM inspection, varied maintenance service will be required. Prior to the performance of any repair services, a detailed description of repairs and cost estimate must be approved, by the USSS POC, before any work can be performed.

The contractor shall prepare and implement a PM checklist to ensure optimal performance of the vehicle barrier systems while minimizing down time. The contractor shall submit the checklist to the government within 30 days after the award of the contract for review and approval. The checklist shall include detailed descriptions of actions performed to maintain, correct, improve, and/or replace a barrier system. It shall also include all required PM actions of each type of barrier system per the manufacturer’s recommendations. Examples of the PM required for the barriers are, but not limited to: cleaning of bollard pit once a month, checking oil reservoir levels to include presence of contaminates in the oil reservoir system once a month, fill/replace when necessary, insure that all berries plates are secure and in place at all times; repair/replace when necessary to include all weather seals that may be worn to assist with the prevention of debris/fluids from entering the barrier/barrier pits, cleaning/clearing drainage line from the point of appearance within the barrier pits to the point of appearance within the storm drain once per quarter, check control panel for barrier deficiencies, repair/implement repair as required, etc. The checklist shall include, but not limited to, the following requirements:

• Locations/Name of barrier system

• Description of parts or items to be maintained

• Description of current condition

• Task(s) performed to reflect current or improved condition

• Task(s) performed and/or to be performed for the next inspection or repair, PM, or improvement, corrections

• Any scheduled task(s) not performed on the scheduled inspection

• Next schedule PM Service

• Technician who performed the task(s)

• Contractors main Point of Contract

• Record number of cycles on each barrier system that have occurred since the last performed PM (if available)

• All manufacturers recommended PM should also be included

The approved checklist shall be filled out by the contractor after each PM Service. A copy shall be forwarded to the COTR, via an agreed upon method once the contract is established, on the next working day.

In the event that new equipment is installed, the approved checklist shall be updated to reflect the new PM required as recommended by the equipment manufacturer.

PM services include but are not limited to routine services such as operational testing, inspection, adjustment, cleaning, lubrication and any other periodic service recommended by the equipment manufacturer.

In order to minimize the disruption of normal business activities at the Naval Observatory Complex and the Logan Building, shall be performed during the weekday, on any Monday through Friday (excluding federal holidays) between the hours of 6:00 pm and 6:00 am or as mutually agreed upon between the contractor and the government.

The contractor shall develop and submit a PM schedule for each barrier system for periodic routine PM services. It shall be reviewed and approved by the COTR before execution.

The costs for PM services shall include all labor, minor parts and consumable materials required to perform the services, mounting hardware, screws, bolts, cleaning, solution, swab, rags, tape, collars, hydraulic fluids/oils, and other items commonly available and normally used for the servicing and repair of vehicle gate and barrier systems.

Additionally, the contractor shall prepare a parts list which details the necessary parts to maintain the barrier systems and their associated costs. This list shall be furnished to the government within three (3) months after award of the contract.

The contractor and the government shall establish mutually agreed upon method of communicating the need for CM services. This communication may include telephone, pager, and/or email. When contacted by the government of a barrier system failure, the contractor shall arrive on site with two (2) hours of the initial notification.

A two (2) hour response time is required regardless of date, time of day, or weather conditions.

The Government’s COTR, Special Officer, Uniformed Division or other site manager on Duty may call the Contractor to have a technician with tools remain on-site during critical Government functions for immediate repairs should a barrier fail to function properly. Contractor shall provide at least one on-site technician for a designated period /location not to exceed 24 hours. For such periods, the Government shall provide 24 hour notice to the contractor if standby service is required.

Under Emergency Service call from the contact, the Contractor will work diligently to check the systems; diagnose the problem; advise the contact of the problems discovered and the recommended repair, and the estimated time needed to correct the problem (including ordering of special parts if required); and repair/replace the faulty components and restore system to the proper operation.

Working Environment and Hazardous Materials/Systems

Contractor personnel shall be trained in, and capable of, cleaning up and properly disposing of “incidental” spills of “hazardous” materials, as defined under OSHA, including 29CFR1910.120. Removal of hazardous material shall comply with applicable Federal, State and Local regulations, laws, and ordinances regarding removal, handling and protection against exposure or environmental pollution.

Incidental spills are considered spills that do not pose a significant safety or health hazard to people in the immediate vicinity nor does it have the potential to become an emergency within a short time frame. This applies to standard grease, hydraulic and lubricating oils used in normal operation and maintenance of the gates and barriers.

The Contractor shall be responsible for clean-up and disposal of spills and leaks resulting from normal operation, equipment failures, and maintenance of the gates and barriers.

Contractor will be working on high-pressure hydraulic systems, industrial springs, and around heavy metal plates, and must be trained and familiar with such systems in order to prevent injury to Contractor’s employees and other people in the vicinity of repair work. To prevent injury to persons working from the release of stored hazardous energy during servicing and maintenance of barrier equipment, Contractor will follow OSHA guidelines for Lock Out/Tag Out of hazardous energy sources, and safeguards for employees exposed to electrical-conductors, as governed by 29CFR1910.147 and.333.

The contractor shall maintain a safe environment at all times during the execution of this contract. Removal of debris shall be accomplished on an ongoing basis. The contractor shall maintain the area inside the underground pits and around each piece of the equipment free of debris, trash, oil, or dirty rags and used parts. Proper housekeeping shall be maintained before and after the maintenance or repair is completed. If it becomes necessary for the government to recall the contractor to perform any degree of housekeeping, this will occur at the sole expense of the contractor.

If is further recommended that bio-degradable or natural substances be used to service these systems where applicable.

Warranty

The contractor shall warrant all PM, CM and ECM services, repair and replacement parts to be free from defects in material and workmanship for a period of no less than 30 days. Except of instances of damage due to vehicle strikes or misuse, any failure of the same part after repair or replacement within the 30 day period will be corrected by the contractor at no expense to the government.

Program Management

The contractor shall schedule and conduct monthly maintenance meetings with government personnel through the COTR at the government’s facility at a mutually agreed upon time and date.

The contractor shall prepare, submit and discuss the monthly status report of the monthly meeting. The report shall thoroughly present the overall condition of the vehicle barrier systems and shall include the following information:

• Summary of all PM services

• Identify equipment failure trends and recommend actions for improvement

• Suggest upgrades to improve the systems performance

• Current inventory of government owned spare and repair parts with recommendations for parts to be purchased

• Address issues and concerns and to track expenditures

Emergency Services

Contractor may be called by the CO, COTR, or Special Officer on Duty to respond to an unscheduled repair service at anytime. Contractor will arrive on site within two (2) hours for an Emergency Service Call or within an agreed upon time for non-emergency repair, after receipt of a Service call form the contact, regardless of the time, date, and weather conditions. Contractor must provide appropriate 24-hour answering service, pager, call-forwarding, or other reasonable means of permitting Emergency communication 24-hours per day. Receipt of an Emergency Call shall be considered the time when the Contractor, the answering service, or other answering device receives the contact’s phone call. The Emergency Service call will be followed up with a written confirmation from the CO or COTR within 48 hours.

• The contractor will maintain the paint finish for all systems

• Maintaining a safe and clean environment, removal of debris, etc.

• Government will provide specific points-of-contact (POC) to the Contractor with whom he/she shall coordinate.

• Government will provide access to the site for cleared contractor personnel in a timely manner.

• The Government will unlock drawers and control panels for contractor when required.

(a) The Contractor shall comply with agency personal identity verification procedures identified in the contract that implement Homeland Security Presidential Directive-12 (HSPD-12), Office of Management and Budget (OMB) guidance M-05-24, and Federal Information Processing Standards Publication (FIPS PUB) Number 201.

(b) The Contractor shall account for all forms of Government-provided identification issued to the Contractor employees in connection with performance under this contract. The Contractor shall return such identification to the issuing agency at the earliest of any of the following, unless otherwise determined by the Government;

(1) When no longer needed for contract performance.

(2) Upon completion of the Contractor employee’s employment.

(3) Upon contract completion or termination.

(c) The Contracting Officer may delay final payment under a contract if the Contractor fails to comply with these requirements.

(d) The Contractor shall insert the substance of clause, including this paragraph (d), in all subcontracts when the subcontractor’s employees are required to have routine physical access to a Federally-controlled facility and/or routine access to a Federally-controlled information system. It shall be the responsibility of the prime Contractor to return such identification to the issuing agency in accordance with the terms set forth in paragraph (b) of this section, unless otherwise approved in writing by the Contracting Officer.

52.212-1 -- Instructions to Offerors -- Commercial Items. (Oct 2018)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show --

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)

(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer;

and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.

(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM).) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “Unique Entity Identifier” followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable.

The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(j) Unique entity identifier. (Applies to all offers exceeding the micro-purchase threshold and offers at any dollar value if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) * * *

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed offeror’s offer.

(2) The overall evaluated cost or price and technical rating of the successful and debriefed offeror and past performance information on the debriefed offeror.

(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(4) A summary of rationale for award;

(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

(End of Provision) 52.212-2 -- Evaluation -- Commercial Items. (Oct 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Price Technical Past Performance Technical and past performance, when combined, are significantly less important than cost or price

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(7) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C.

1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
