(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

(a) Prohibitions.
Section 835 of the Homeland Security Act, 6 U.S.C. 395, prohibits the Department of Homeland Security from entering into any contract with a foreign incorporated entity which is treated as an inverted domestic corporation as defined in this clause, or with any subsidiary of such an entity. The Secretary shall waive the prohibition with respect to any specific contract if the Secretary determines that the waiver is required in the interest of national security.
(b) Definitions. As used in this clause:
Expanded Affiliated Group means an affiliated group as defined in section 1504(a) of the Internal Revenue Code of 1986 (without regard to section 1504(b) of such Code), except that section 1504 of such Code shall be applied by substituting `more than 50 percent' for `at least 80 percent' each place it appears.
Foreign Incorporated Entity means any entity which is, or but for subsection (b) of section 835 of the Homeland Security Act, 6 U.S.C. 395, would be, treated as a foreign corporation for purposes of the Internal Revenue Code of 1986.
Inverted Domestic Corporation. A foreign incorporated entity shall be treated as an inverted domestic corporation if, pursuant to a plan (or a series of related transactions)—
(1) The entity completes the direct or indirect acquisition of substantially all of the properties held directly or indirectly by a domestic corporation or substantially all of the properties constituting a trade or business of a domestic partnership;
(2) After the acquisition at least 80 percent of the stock (by vote or value) of the entity is held—

Person, domestic, and foreign have the meanings given such terms by paragraphs (1), (4), and
(5) of section 7701(a) of the Internal Revenue Code of 1986, respectively.
(c) Special rules. The following definitions and special rules shall apply when determining whether a foreign incorporated entity should be treated as an inverted domestic corporation.
(1) Certain stock disregarded. For the purpose of treating a foreign incorporated entity as an inverted domestic corporation these shall not be taken into account in determining ownership:
(i) Stock held by members of the expanded affiliated group which includes the foreign incorporated entity; or
(ii) Stock of such entity which is sold in a public offering related to an acquisition described in section 835(b)(1) of the Homeland Security Act, 6 U.S.C.
395(b)(1).
(2) Plan deemed in certain cases. If a foreign incorporated entity acquires directly or indirectly substantially all of the properties of a domestic corporation or partnership during the 4-year period beginning on the date which is 2 years before the ownership requirements of subsection (b)(2) are met, such actions shall be treated as pursuant to a plan.
(3) Certain transfers disregarded. The transfer of properties or liabilities (including by contribution or distribution) shall be disregarded if such transfers are part of a plan a principal purpose of which is to avoid the purposes of this section.
(d) Special rule for related partnerships. For purposes of applying section 835(b) of the Homeland Security Act, 6 U.S.C. 395(b) to the acquisition of a domestic partnership, except as provided in regulations, all domestic partnerships which are under common control (within the meaning of section 482 of the Internal Revenue Code of 1986) shall be treated as a partnership.
(e) Treatment of Certain Rights.
(1) Certain rights shall be treated as stocks to the extent necessary to reflect the present value of all equitable interests incident to the transaction, as follows:
(i) warrants;
(ii) options;
(iii) contracts to acquire stock;
(iv) convertible debt instruments; and
(v) others similar interests.
(2) Rights labeled as stocks shall not be treated as stocks whenever it is deemed appropriate to do so to reflect the present value of the transaction or to disregard transactions whose recognition would defeat the purpose of Section 835.
(f) Disclosure. The offeror under this solicitation represents that [Check one]:

vii) Other Terms and Conditions
a) Deliveries and Performance
(1) The deliverable is the provision of video production services outlined in the Attachment I, Statement of Work.
(2) Period of Performance. The period of performance is the date of award through March 18, 2019
(3) Place of Performance. The Contractor shall perform the work at the conference facility (January 7 – 10, 2019) and at its own facility.
(4) Parking and Meals: All transportation, parking, and meals during performance of the contract (including planning, at the event, and post-production) are the Contractor’s responsibility and will not be paid by the government.
(5) Insurance: The Contractor shall carry general liability insurance with coverage not less than $1 million. The purpose of this requirement is to cover any damages caused by the contractor to the conference facility while performing this contract at the conference facility.

c) Contracting Officer
(1) The Contracting Officer is the only person authorized to approve changes to any of the terms and conditions of this task order. In the event the contractor effects any changes at the direction of any person other than the Contracting Officer, the changes will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in costs incurred as a result thereof. The Contracting Officer shall be the only individual authorized to accept nonconforming work, waive any requirement of the contract, or to modify any term or condition of the contract. The quote must include web links to two examples of the quoter’s previous work that are similar to the scope of video production described. Any additional files beyond the two requested will not be reviewed or considered. One video example must include a picture in picture of the presenter and presentation brief. Two camera angles must be featured and must capture audience Q&A. The video example will include a branded intro, ending and lower third, similar to the scope of video production work described above. The second example must include a panel discussion and Q&A and will feature two camera angles and a branded intro, ending and lower third. The purpose of these examples is to demonstrate the quoter’s capabilities performing the tasks. The videos should be provided via links to YouTube. Non-working YouTube links will not be considered and Quoters who do not provide two working YouTube links will not be considered for award.
c) Response to Technical Factor 3: Provide Project Plan
The quote must include a draft project schedule to include all tasks from pre-production to post-production. The draft schedule will account for all tasks of the statement of work and all deliverables and deadlines included in section 4 as well as any video tasks required to create and finalize the videos. The draft schedule will be submitted in chorological order and will demonstrate an understanding of the statement of work and project management/time required to meet all deliverable dates.
d) Response to the Price Factor: Complete the attached pricing table. Each subtask must include an associated cost, each task must be totaled and the table should include a final price for completion of the full Statement of Work. Quoters should identify the unit for each subtask. The Government is exempt from being taxed, therefore, no tax should be included mailto:Nicolas.Sanchez@hq.dhs.gov in the price submitted. I. Introduction
The Department of Homeland Security (DHS) Science and Technology Directorate (S&T) will hold its 2019 Cyber Security R&D Showcase and Technical Workshop. The three-day event will be held January 8 – 10, 2019 at a facility to be named in Washington, D.C metropolitan area (D.C., Virginia or Maryland).
This Statement of Work (SOW) is for video production services detailed in Section II Scope of Work. This SOW does not include any other aspect of organizing, hosting, or running the event. This requirement is not for third-party conference planners. Offers from third-party planners will not be considered.
II. Scope of Work The Contractor will provide video production services for the three-day R&D Showcase and Technical Workshop, set for January 7-10, 2019. This includes pre- and post-production work.
The contactor is required to provide video production services the day prior to the event (set-up) and during the three days of the event:
The Contractor shall provide video production services based upon the frame rate of NTSC 1080 30p.
The video content captured will be used in final presentation videos to be placed onto DHS.gov and YouTube and future Government project videos. For additional information on the final presentation videos, refer to Task 3 Post Production Video Support.
The contactor will provide video production services in the R&D Showcase and Technical Workshop general sessions, located in a room to be named. Camera set-up for this room shall be as follows.

III. Tasks All deliverables shall be provided in accordance with Section IV, Deliverables, below.
TASK 1: Pre-production Support
Task 1.1: The Contractor shall provide a production lead to assist the Government personnel who will plan and organize the video production logistics of the event.
Task 1.2: The Contractor shall conduct an in-person or teleconference kick-off meeting with the Government within three days after the award.
Task 1.3: The Contractor shall provide proof of insurance to include coverage not less than $1 million and conforms to the requirement of Part I Terms and Conditions and Clauses, Section 8 Insurance. The Contractor shall send the insurance certificate to the Government and conference hotel/facility to be named no than December 8, 2018.
Task 1.4: The Contractor shall conduct a final walkthrough at the conference facility to be named with the Government personnel, facility conference planner, and conference A/V lead(s) four to two weeks prior to the event, as scheduled by the Government.
Task 1.5: The Contractor shall provide the Government with a video production project schedule (as submitted with their proposal) in Word, Excel or PDF to include all subtasks for Task 1, Pre-production Support, Task 2, On-site Video Production Support, Task 3, Post-production Video Support, and final deliverables per Section IV, Deliverables. The draft schedule submitted with the proposal will be reviewed during the kick-off meeting (Task 1.2). The Government will recommend changes as necessary, if any, and the Contractor shall submit a revision no later than three days after the kick-off meeting. Next, the Contractor shall provide an updated schedule, including finalized logistics and outstanding tasks, before the first day of the event. Subsequently, the Contractor shall update the schedule weekly, due by the close of business (5:00 p.m.) each Friday, until all deliverables have been received and accepted.
Task 1.6: The Contractor shall work with the Government to gather presenter information for the video lower thirds and to develop the video format and brand prior to the event. For additional information, refer to Task 3.3.
TASK 2: On-site Video Production Support The contactor shall provide all on-site video production support during the event. The Contractor will determine the appropriate video production equipment and staff to meet the deliverables.
Task 2.1: On January 7, 2019, the Contractor shall set up, test, and perform a dry run for the Government. The Contractor shall be available for set-up between 2:00 p.m. – 4:00 p.m. The Government will set the specific time and notify the Contractor four to two weeks prior, based on room availability at the facility.
Task 2.2: On January 8 – 10, 2019 the Contractor shall capture each presentation, panel session, and all Q&A portions of the conference general session. Audience members will be provided a microphone to ask questions at their seat. If the audience member cannot be captured on camera, the audio of the question must be captured and provided in the final produced presentation video (refer to Task 3.3 “Audience Questions”). • Velour Pipe and drape behind the stage and from screen to screen (estimated 30 - 40 feet)
• Two small risers (6’ x 8’ long) enough to fit the client’s video production camera equipment. One riser will be placed in the back center and another on the side.

TASK 3: Post-production Video Support
The contactor shall provide all post-production video support deliverables to the Government between 30 - 60 days after of the completion of the event. The final deliverable due dates have been laid out in the deliverable section (IV Deliverables). The Contractor will determine the appropriate video production equipment and staff to meet the deliverables.
Task 3.1: The Contractor shall provide the below captured video content as individual RAW camera files (h.264 in at least 1080p) to the Government. The Contractor will deliver the video footage two weeks after the event.
Task 3.2: The Contractor shall provide individual transcription files in Microsoft Word from the general session video footage captured. The transcription will have an accompanying time code every 30 seconds.
Task 3.3: The Contractor shall provide a final produced presentation video for each general session presentation listed in Task 2.2. The final produced video will include the presenter and the technical brief (picture in picture), if a brief is provided. For presentations that didn’t provide a brief, the video will only include the presenter(s). For a picture reference refer to Figure 1. Each video file will be named based upon the presentation date, topic area and presenter’s name provided by the Government.
The individual video files must be made 508 compliant (have a closed caption option to be turned on/off).
The following video branding shall be used:
• Lower Thirds: The Contractor shall create the lower thirds to include the presenter’s name and organization. The information for the lower thirds will be provided by the Government.
• Video Branding: The Contractor shall create customized video branding, using the DHS S&T event brand, to include the lower third graphic, event banner, introduction, and end-tag. The Government will provide the source files of the stock imagery and DHS S&T logo.
Produced Video Format:
• Final produced videos must be provided in the following format: MPEG-4/ h.264 in at least
1080p resolution and at least 7 Mbps bitrate files.
• The brief and presenter must be synced. The brief must follow what was presented on stage by the presenter. The brief will be provided by the Government.
• Audience questions: Each video must include any Q&A session during or following each presentation. The final produced video should provide a video shot of the audience member asking the question and the presenter responding to the question.
