Why is this purchase needed?

Oracle Health/Cerner is UNMH’s existing enterprise EMR platform and supports numerous interconnected clinical, operational, administrative, financial, and technical functions throughout UNMH. The environment consists of numerous Cerner applications, interfaces, integrations, configurations, and related technologies.

Throughout the year, UNMH requires specialized professional services to maintain, upgrade, configure, optimize, integrate, and support these existing systems and to address regulatory, operational, clinical, and technical requirements.

Establishing an annual sole source procurement will allow UNMH departments to obtain these specialized services as needs arise while maintaining continuity within the existing Cerner environment.

II. BASIS FOR SOLE SOURCE PROCUREMENT. CHOOSE APPLICABLE BOX(ES) AND

PROVIDE ADDITIONAL INFORMATION, AS REQUESTED:

☒ Proprietary item, technology or service only available from the proposed vendor. (Check box and describe proprietary component)

Oracle Health/Cerner develops, owns, maintains, and supports the Cerner technology deployed throughout UNMH.

Certain professional services require Cerner's proprietary product knowledge, technical resources, tools, methodologies, system access, engineering expertise, and direct involvement in its software and technology.

This includes certain system upgrades, configurations, implementations, regulatory updates, integrations, technical remediation, optimization, and other specialized services for which Oracle Health/Cerner's direct product knowledge and participation are required.

☒ Compatibility requirement with existing item, technology or service. (Check box and describe compatibility requirement)

The requested professional services must be compatible with and directly support UNMH's existing Oracle

Health/Cerner enterprise environment. UNMH's Cerner environment includes numerous interconnected applications, interfaces, integrations, configurations, workflows, and system dependencies supporting clinical and business operations.

Oracle Health/Cerner possesses specialized knowledge of both its underlying technology and UNMH's established

Cerner environment. Professional services must be performed in a manner that maintains compatibility with existing

Cerner applications, configurations, interfaces, integrations, and dependent systems and avoids disruption to UNMH's existing clinical and operational workflows.

☐ Renewal of support/maintenance/subscription of software, technology or other intellectual property. (Check box and describe)

Not applicable

☐ Other Basis for Sole Source: Please describe below:

III. SUPPLEMENTAL DETAILS. PLEASE PROVIDE ADDITIONAL INFORMATION AS

REQUESTED BELOW:

Describe in detail the unique capabilities of the proposed vendor’s goods/service and/or personnel performing the work and why this constitutes the only source. Focus on what is unique about the goods/service and why no other vendor could meet your needs.

Oracle Health/Cerner is uniquely qualified to provide these professional services because the services directly support

Cerner technology currently deployed throughout UNMH. Cerner possesses specialized knowledge of its proprietary software architecture, product design, configurations, upgrade methodologies, system dependencies, interfaces, integrations, regulatory requirements, and product development.

In addition to its product-specific expertise, Oracle Health/Cerner has established knowledge and experience with

UNMH's existing Cerner environment. UNMH operates an extensive and highly integrated Cerner environment supporting clinical, operational, administrative, and technical functions. Cerner's personnel have knowledge of the configurations, workflows, interfaces, integrations, dependencies, and technical requirements associated with that environment.

Depending upon the engagement, UNMH may require specialized Oracle Health/Cerner resources such as configuration and business analysts, learning consultants, software and system engineers, integration and interface architects, technology consultants, clinical strategists, software and solution architects, technical engagement leaders, project consultants, technical managers, and other specialized professional resources.

Certain upgrades, implementations, configurations, regulatory changes, integrations, and technical services require

Oracle Health/Cerner's proprietary knowledge, tools, system access, engineering resources, or direct manufacturer involvement. For these services, another provider cannot independently provide an equivalent service.

Use of another provider would also require that provider to acquire extensive knowledge of UNMH's existing Cerner environment before performing the work and may still require Oracle Health/Cerner involvement. This would duplicate effort, increase costs and project timelines, and introduce additional risk to interconnected clinical and operational systems.

Describe the due diligence made to locate other possible sources including communications with other universities, communications with similar providers, web searches, yellow page searches, review of advertisements and trade publications, etc.

General healthcare IT consulting services are available in the marketplace; however, those services are not equivalent to the manufacturer-specific and environment-specific services contemplated by this procurement.

The services covered by this sole source are directly associated with Oracle Health/Cerner technology already owned, licensed, implemented, and integrated throughout UNMH. Certain services require proprietary product knowledge, tools, system access, technical resources, or direct manufacturer participation. Other services require specialized familiarity with UNMH's established Cerner configurations, interfaces, integrations, workflows, and dependencies.

Accordingly, general third-party consulting resources do not provide an equivalent source for the full scope of Oracle

Health/Cerner-specific professional services contemplated under this procurement.

List the other vendors who were contacted. Please describe the specs/qualifications/criteria that the other vendors were unable to satisfy.

No other vendors were contacted because this procurement is limited to professional services directly associated with UNMH's existing Oracle Health/Cerner technology environment. The required services may involve Oracle Health/Cerner proprietary technology, manufacturer-specific resources, system access, product expertise, and specialized knowledge of UNMH's existing

Cerner configurations, integrations, interfaces, workflows, and system dependencies.

Third-party consulting firms may provide general healthcare IT consulting services; however, they cannot independently provide all manufacturer-specific services contemplated by this procurement, and certain engagements would continue to require Oracle

Health/Cerner participation.
