B.1.2 This is an Indefinite Delivery, Indefinite Quantity (IDIQ), Firm-Fixed-Price (FFP) Contract, with Cost Reimbursement elements for Contractor Purchased Test Items (CPTI). Under this Contract, the Government shall issue Delivery Orders in accordance with Federal Acquisition Regulation

(FAR) 16.5.

B.2 MINIMUM/MAXIMUM OBLIGATIONS

B.2.1 Minimum Obligation - Upon execution of the IDIQ contract, the Government hereby orders the supplies and services of the Known Requirements shown in Price Schedule B.3.1 in the amount of $TBD at award. This amount represents the “minimum obligation of the government.”

NOTE: The number of tests identified in Section B.3.1 represents the total number of known tests to be conducted during the Base Period (Contract Year 1) and not the guaranteed minimum obligation of each contract awarded as a result of this RFP. The guaranteed minimum number of tests to be ordered for each awarded contract will depend upon the number of contracts awarded and the proposed lowest price for the known test by the offeror. Each awarded contract will include a guaranteed minimum obligation amount for at least one test.

B.2.2 Maximum Obligation - The Contractor shall be obligated to provide services and support up to the total not-to-exceed amounts specified in Price Schedules B.3.2 through B.3.6. The overall IDIQ contract ceiling amount is $TBD at award. The ceiling amount may be increased upon execution of a bilateral modification.

B.3 CONTRACT PRICES

This contract includes two “Periods”: The “Base Period” which is the first 24 months of the contract term (composed of Contract Year 1 and Contract Year 2) and the Option Period which, if exercised, begins at the end of the Base Period and continues for an additional 36 months (composed of Contract Year 3, 4, and 5).

The following prices shall apply for payment purposes and shall include all charges, including, if applicable, charges for storage and disposal1. Prices for the Base Period (Contract Year 1) shall apply

1 Under no circumstances, nor at any time, will storage or disposal costs be permitted as a separate cost item. Storage and disposal costs for work described in the Statement of Work, Section C.6.9, if any, must be included in the test prices set forth in Section B.

C.2 BACKGROUND

The National Highway Traffic Safety Administration (NHTSA) is an integral part of the United States Department of Transportation (DOT) and its mission is to save lives, prevent injuries, and reduce economic costs associated with motor vehicle crashes. As part of its mission to reduce fatalities and injuries caused by motor vehicle crashes, the NHTSA promulgates Federal Motor Vehicle Safety Standards (FMVSS). Manufacturers of motor vehicles and items of motor vehicle equipment are required to certify that each product they sell in the United States meets the requirements of all applicable safety standards. NHTSA’s Office of Vehicle Safety Compliance (OVSC) is charged with determining whether manufacturers meet the applicable safety standards.

FMVSS No. 209, Seat Belt Assemblies, applies to seat belt assemblies for use in passenger cars, multipurpose passenger vehicles, trucks, and buses. Seat belt assemblies are devices such as straps, webbing, or similar device designed to secure a person in a motor vehicle in order to mitigate the results of any crash, including all necessary buckles and other fasteners and all system hardware including hardware designed for installing such seat belt assembly in a motor vehicle.

The purpose of this contract is to procure services associated with the procurement, inspection, compliance testing, and compliance test reporting of seat belt assemblies to assist the Government in its enforcement efforts for FMVSS No. 209. The information and data produced may be used in lawsuits and therefore must be legally defensible.

C.3 DEFINITIONS

Government Furnished Test Items (GFTI) – Refers to test items (seat belt assemblies) owned or acquired by the Government and subsequently provided to the Contractor for use in the performance of the contract. For the purpose of this contract, GFTI and Government Furnished Property (or “GFP”) mean the same thing. The government is the owner of all GFTI.

Contractor Purchased Test items (CPTI) – Refers to test items (seat belt assemblies) purchased by the Contractor for use in the performance of the contract. Title to CPTI vests with the government.

Non-Conforming Test – Refers to a Contractor-performed test that does not comply with applicable Office of Vehicle Safety Compliance (OSVC) test procedure (TP) requirements and contract requirements applicable to that test. Refer to Section H.2 for instructions on how non-conforming tests are to be handled.

Test Passed – Refers to testing that the Contractor conducted successfully and the item (seat belt assemblies) being tested met the FMVSS standards.

Test Failure – Refers to testing that the Contractor conducted correctly, but the item (seat belt assemblies) being tested failed to meet the FMVSS standards. Refer to Section F.7 for instructions on how test failures are to be handled.

C.4 GENERAL REQUIREMENTS

The Contractor shall furnish the necessary qualified personnel, facilities, materials, supplies, equipment, and services to perform work associated with the procurement, inspection, compliance testing, and compliance test reporting of seat belt assemblies, provided to the Contractor as Government Furnished Test Items (GFTI), or purchased by the Contractor as Contractor Purchased Test Items (CPTI) as specified in the contract, with the applicable requirements of FMVSS No. 209, Seat Belt Assemblies.

Seat belt assembly testing may vary from model to model depending on the design and construction of each assembly. For example, each assembly may require different hardware to set up the test item for testing; some test items may contain pyrotechnics that require appropriate safety handling and precautions; or some test items may contain an automatic locking feature which may require disabling for certain cycle testing.

The Contractor shall conduct the tests in accordance with the procedures specified in Section C.6.5 and the test schedule in section C.6.4. The Contractor shall prepare and submit Preliminary Documents, Monthly Status Reports, Notification of Test Failure and Interim Failure Reports, and Final Test Reports as specified in Sections C.6.6 and F.

While rare, when test failures are identified, the NHTSA Contracting Officer’s Representative (COR) will contact the Contractor and request information to support its investigation of the test results.

Subcontracting is not permitted under this contract with the exception of calibration services as required under this contract. Subcontracting of tests or any portion of a test is NOT permitted (Section H.9).

C.5 KICK OFF MEETING

Within four (4) weeks of the effective date of the contract award, the Contractor shall participate in a Kickoff meeting with the Contracting Officer’s Representative (COR), Contracting Officer (CO), and other NHTSA staff. The Kickoff meeting may take place via teleconference or on-site at Contractor’s testing facility. If the kickoff meeting is held via teleconference, then the meeting will be approximately two hours in length. If the kickoff meeting is held at the Contractor’s site, then the meeting will be approximately one business day. The Contractor shall make a brief presentation of their understanding of the contract requirements. After the presentation, the parties shall discuss basic contract requirements, including the schedule for testing and test procedures.

D.2.1 Text

Text files shall be delivered in a format compatible with Microsoft WORD 2016. Font type of Times New Roman with a font size of 12 shall be used throughout the document. The Contractor shall minimize additional formatting as much as possible, for example, avoid use of columns). Avoid using any design/layout elements (however, see D.2.2, D.2.3, and D.2.4 below).

D.2.2 Charts and Graphs

The Contractor shall develop charts or graphs using a format compatible with Microsoft EXCEL 2016 and shall insert these in the appropriate places within the text document. The Contractor shall also provide the Microsoft EXCEL source file from which charts or graphs were developed.

D.2.3 Illustrations

NHTSA’s Office of Communication Services is responsible for developing or acquiring most illustrations found in NHTSA publications. These illustrations can take two forms:

• Graphics – In the majority of cases, the Office of Communication Services will develop any needed graphics in collaboration with the COR (TO) and/or COR. The Contractor shall provide text, graphs, and charts following the guidelines stipulated in D.2.1 and D.2.2 above.

In some cases, the Contractor may be required to develop graphics. In these cases, the Contractor shall use only software approved by the U.S. Government Publishing Office (e.g., Adobe Illustrator).

• Photographs – When photos are used in Agency publications, the Office of Communication Services typically uses existing photos or photos purchased through royalty-free sources. In the event the Contractor must supply photos for use in a publication, the photos must be high resolution images at least 300 dpi at the size used in the publication. Photos shall be supplied on a CD or DVD in either tif format (for scanned images) or jpg (for images downloaded to the CD or DVD directly from the digital camera).

NOTE: If a photograph is supplied by an outside source (Contractor, grantee, national organization, etc.), a release form must accompany the photo indicating that the human subjects in the photo authorize NHTSA to use the photo in its publications and on its Internet site. The Contractor shall not use a release form under this contract that has not been first reviewed and approved for use by the Agency. The Contractor also is responsible for ensuring that the necessary arrangements have been made with the photographer and the subjects in the photo to ensure that NHTSA has unlimited rights to use the images in print and on the web.

The Contractor shall obtain, and provide to NHTSA, a written statement indicating that NHTSA has unlimited, unrestricted rights to the use of such photos.

D.2.4 Web-Based Images

The Contractor is cautioned that copyrights may restrict use of web-based images even if it is not expressly indicated at the website. Additionally, the resolution of most web-based images is not high enough to provide a clear image when published. For these reasons, web-based images typically should not be used under this contract, and need to first be approved by the COR.
