About this file

This is an Emergency Determination Form and Intergovernmental Agreement involving the New Mexico Environment Department (NMED), Department of Homeland Security and Emergency Management (DHSEM), Department of Finance and Administration (DFA), and the City of Las Vegas, New Mexico. The agreement focuses on an emergency procurement with Plexos Group, LLC to plan, design, procure, construct, test, deliver, and close out temporary and permanent water treatment facilities in response to damage from the Hermits Peak/Calf Canyon Fire. The contract is for a one-year term with a not-to-exceed amount of $5,000,000, addressing critical infrastructure needs for the City of Las Vegas following significant wildfire and post-fire flooding damage.

The emergency procurement is funded through multiple sources, including FEMA Public Assistance, FEMA Hazard Mitigation Grant Program, FEMA Hermits Peak/Calf Canyon Settlement Funds, and Senate Bill 6 of the 2023 Legislature Loan Funds. Plexos Group will provide services at predetermined labor rates ranging from $35 to $290 per hour, with billing rates not inclusive of New Mexico Gross Receipts Tax. The agreement establishes a Joint Working Group to oversee recovery efforts, with the State assuming primary responsibility for coordinating federal and state funding, procurement, and project implementation to ensure a functional and compliant drinking water system for Las Vegas residents.

2022 Emergency Form

STATE OF NEW MEXICO

EMERGENCY DETERMINATION FORM

The emergency procurement method (NMSA 1978, Section 13-1-127) may only be used when the service, construction or item of tangible personal property procured:

1. is needed immediately to:

a. control a serious threat to public health, welfare, safety or property caused by a flood, fire, epidemic, riot, act of terrorism, equipment failure or similar event; or

b. plan or prepare for the response to a serious threat to public health, welfare, safety or property caused by a flood, fire, epidemic, riot, act of terrorism, equipment failure or similar event; and

2. cannot be acquired through normal procurement methods.

a. The agency entering into an emergency procurement should employ a competitive process to the extent practicable under circumstances.

The purchase or lease of heavy road equipment is not allowed under the emergency procurement statute.

The state purchasing agent or a central purchasing office that makes an emergency procurement shall outline its determination of the basis for the procurement and its selection of the contractor in writing and include the writing in the procurement file. (That writing can be made on this form.)

Promptly thereafter:

the state purchasing agent shall post notice of the procurement on its website; or the central purchasing office shall post notice of the procurement on its website, if it maintains one, and shall transmit the notice to the state purchasing agent for posting on the state purchasing agent's website.

NOTE: the state purchasing agent or a central purchasing office that makes an emergency procurement to plan or prepare for the response to a serious threat to public health, welfare, safety or property caused by a flood, fire, epidemic, riot, act of terrorism, equipment failure or similar event shall account for the money spent in making the procurement and report on that accounting to the legislative finance committee and the department of finance and administration within sixty days after the end of the fiscal year in which the procurement was made.

I. Name of Agency: New Mexico Environment Department

Agency Chief Procurement Officer: Charlette Probst

Telephone Number: (505) 500-9779

II. Name of Contractor: Plexos Group, LLC

Address of Contractor: 1800 City Farm Drive, Building 4, Suite B, Baton Rouge, LA 70806

Amount of prospective contract: Not to exceed $5,000,000

Term of prospective contract: 1 year

III. Thoroughly list the services (scope of work), construction or items of tangible personal property being procured:

To fully implement the planning, design, procurement, construction, testing, delivery, and closeout of an interim and permanent water treatment facility to support the City of Las Vegas’s recovery from the Hermits Peak/Calf Canyon Fire. The contractor will fulfill the responsibilities assigned to the State of New Mexico under Intergovernmental Agreement No. 25-667-4000-0001. The project must ensure a functional, compliant, and sustainable drinking water system that can be successfully transferred to and operated by the City of Las Vegas.

IV. Provide an explanation for the justification of the procurement including a description of the emergency condition(s) requiring use of emergency procurement and the practicable competition utilized in compliance with NMSA 1978, Section 13-1-127.

Continued post-fire flooding during heavy rainfall events has repeatedly overwhelmed the City of Las Vegas’ existing water treatment infrastructure, resulting in system failures and persistent risks to the safety of the municipal water supply. These risks are ongoing and affect the health and welfare of thousands of Las Vegas residents daily. The existing system’s unreliability poses an imminent threat, particularly to vulnerable populations who depend on consistent access to clean and safe drinking water.

The Hermit’s Peak and Calf Canyon fires of 2022 was the largest wildfire event in New Mexico’s recorded history, and caused catastrophic damage to natural infrastructure critical to the City of Las Vegas’ water supply. These fires have been followed by significant and repeated post-fire flooding, which severely impacts the City’s ability to provide safe and reliable drinking water to its residents. Despite the availability of Federal Emergency Management Agency (FEMA) funding, progress on implementing permanent solutions through the City has been either nonexistent or unacceptably slow in the more than two years since the disaster.

To address this continued public health emergency, the State of New Mexico (through a coordinated effort by the Department of Finance and Administration, Department of Homeland Security and Emergency Management, and the New Mexico Environment Department (NMED)) is entering into an intergovernmental agreement (IGA) with the City of Las Vegas. This IGA enables the State to assume responsibility for planning, designing, procuring, constructing, and delivering both temporary and permanent water treatment facilities, and to bring these projects to closure in an expedited and coordinated manner.

As set forth in the IGA, the City acknowledges that the State must take over implementation of these critical projects due to ongoing threats to public health and the City’s inability to

6 months Agency has agreed to work on another procurement method during the 6 month period.

Hkent Cross-Out

Hkent Highlight do so in a timely and effective way.

The IGA was finalized within the last month and calls for immediate mobilization by the State to mitigate these public health threats. Given the urgency of the situation and the daily risk to residents, there is insufficient time to initiate and complete a traditional, non-emergency procurement process. Therefore, an emergency procurement is necessary for NMED to immediately engage a qualified contractor to manage the full scope of this effort.

This includes the coordination of technical design and construction of interim and long-term solutions, procurement of critical infrastructure and services, and rapid deployment of expertise to stabilize and secure the City’s water supply.

This emergency procurement is essential to protect public health and welfare, prevent further degradation of critical infrastructure, and fulfill the State’s obligation under the IGA to act without delay.

V. Describe what measures are being taken to minimize the duration and effect of this particular emergency procurement (for example: is the emergency only in place until a competitive process can be completed, etc.).

While this emergency procurement is necessary to immediately mobilize the effort to implement the IGA, the emergency contract will include provisions calling for the vendor to conduct all procurement activities in accordance with the New Mexico Procurement Code and applicable federal and to maintain full documentation of all procurement actions for audit and reimbursement purposes.

VI. Describe what measures the Agency will take in the future to prevent/mitigate use of an emergency procurement under similar circumstances.

NMED is establishing a new bureau to focus on emergency responses. This will help the Department proactively coordinate with local governments, the Department of Homeland Security and Emergency Management, the Department of Finance and Administration, and federal agencies such as FEMA at the earliest stages of disaster response and recovery. By initiating planning discussions and technical assessments promptly after a disaster, NMED can help identify potential infrastructure vulnerabilities before they escalate into public health emergencies. NMED will work with communities to develop and update comprehensive emergency response and continuity-of-operations plans for drinking water and wastewater systems, with an emphasis on identifying interim treatment solutions and pre-approved contractor pools that can be activated quickly but within standard procurement processes.

Electronic Record and Signature Disclosure

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE

A. ELECTRONIC RECORD AND SIGNATURE DISCLOSURE (ERSD)

From time to time, New Mexico General Services Department (GSD), on behalf of the State of New Mexico (SONM), may be required by law to provide you with certain written notices or disclosures. Stated below are the terms and conditions for GSD's providing you such notices and disclosures electronically through the DocuSign system. Please read this information carefully. If you are able to access this information electronically and agree to this Electronic Record and Signature Disclosure (ERSD), please confirm your agreement by selecting the check-box next to “I agree to use electronic records and signatures” before clicking “CONTINUE” within the DocuSign system.

B. Obtaining paper copies At any time up to twenty (20) calendar days following your use of DocuSign to electronically sign a document, you may request a paper copy of any record provided or made available electronically to you by GSD. You will have the ability to download and print documents SONM sends you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a twenty (20) calendar day period after such documents are first sent to you. Following the twenty (20) day period, if you want GSD to send you paper copies of any such documents from GSD's office, you will be charged a $1.00 per-page fee plus postage. You may request delivery of such paper copies from GSD by following the procedure stated in Section H, below.

C. Withdrawing your consent If you decide to receive notices and disclosures from GSD electronically, you may at any time change your mind and inform GSD you want to receive required notices and disclosures only in paper format. The procedure concerning how you may inform GSD of your decision to receive future notices and disclosures in paper format as well as withdraw your consent to receive notices and disclosures electronically is stated in Section D, immediately below.

D. Consequences of changing your mind If you elect to receive required notices and disclosures only in paper format, it will slow the speed with which GSD will be able to complete certain steps in specific transactions and deliver paper copies to you. GSD will need: (1) to send the required notices or disclosures to you in paper format; and (2) wait until GSD receives your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from SONM or to electronically sign documents generated and sent to you from SONM.

E. All notices and disclosures will be sent to you electronically Unless you inform GSD otherwise according to these procedures, GSD will electronically provide you through the DocuSign system all required notices, disclosures, authorizations, acknowledgements and other documents that are required to be provided or made available to you during the course of your electronic signature relationship with SONM. To reduce the possibility of inadvertent non-receipt, GSD prefers to provide all required notices and disclosures by the same method and to the same email or physical address that you furnish to GSD. Thus, you may receive the disclosures and notices electronically or in paper form. If you do not agree with this procedure, please inform GSD according to the procedures stated in Section I, below.

Please also refer to Section D, immediately above, which states the consequences resulting from your declination of electronic delivery of notices and disclosures.

F. How to contact GSD:

You may inform General Services Department (GSD) of any changes you select regarding State Purchasing Division’s (SPD) electronic communications with you, to request paper copies of certain information from SPD, and to withdraw your prior consent to receive notices and disclosures electronically by emailing your request(s) to SPD at: GSD.SPDinfo@state.nm.us

G. To advise SPD of your new email address To inform SPD of a change in the email address to which SPD sends you notices and disclosures electronically, you must send an email to SPD at GSD.SPDinfo@state.nm.us and in the body of such request you must include your previous and new email addresses.

H. To request paper copies from SPD To request delivery of paper copies of electronic notices and disclosures that DocuSign and/or SPD have previously provided to you, you must send an email to SPD at GSD.SPDinfo@state.nm.us and in the body of your email request state your email address, full name, mailing address, and telephone number. SPD will charge you a $1.00 per page copy fee plus postage.

I. To withdraw your consent with SPD To inform SPD that you no longer wish to receive notices and disclosures in electronic format you may:

(1) Decline to sign a document from within a signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may:

(2) Send SPD an email to GSD.SPDinfo@state.nm.us and in the body of your request state your email address, full name, mailing address, and telephone number.

J. Required hardware and software The minimum system requirements for using the DocuSign system may change over time. The current DocuSign system requirements may be found at:

https://support.docusign.com/guides/signer-guide-signing-system-requirements

Jonas, As discussed, please find the attached rates with DHSEM. These rates are FEMA approved and inclusive of travel. I’ll need to add categories for the Water specialists, construction inspection, operators, etc. to match the scope. From my understanding of the conditions on the ground and the draft scope, a not-to-exceed of $5M should be good.

Please let me know what else you need. I’ll send the additional LCATs ASAP.
