About this file

The document is a City of Rochester Invitation to Bid (No. 523720) for Crematory Supplies, issued by the Bureau of Purchasing for the Department of Environmental Services, Cemetery Division. The bid seeks discounts from industry standard catalogs for crematory-related supplies, including cremation rollerss, oven gloves, cremation pans/bins, aprons, tags, brooms, cremation ID discs, and cremation containers. The bid was published on September 2, 2025, with a closing date of Wednesday, September 17, 2025, at 11:00 a.m. The contract term will commence on the award date and end on November 30, 2026, with the option to extend for up to three additional years in one-year periods.

The City prefers bidders to offer discounts on catalogs from Matthews Cremation, Lynch Supply Company, or Kelco Supply Company, but will consider alternate catalogs that meet equivalent quality and availability standards. Bidders must submit two copies of their current catalog or provide web access with pricing information. The award will be made to the responsive and responsible bidder offering the highest discount, with a potential 5% price advantage for New York State certified Minority and Women-owned Business Enterprises (MWBE). The City estimates an average annual spend of $30,000 on these supplies, but quantities are indefinite and the City reserves the right to order more or less than the estimated amount. Delivery is expected within five days of order, with a preference for vendors located within 20 miles of Rochester City Hall.

523720 1

1. SCOPE

The City of Rochester requests bids for discounts from industry standard catalogs for CREMATORY SUPPLIES for use by the Department of Environmental Services, Cemetery Division. Discounts off of all catalog items are requested to provide the flexibility desired to purchase a range of supplies in each catalog selected.

2. CLASSIFICATION

2.1 The Proposal includes, but is not limited to, the following:

2.1.1 Cremation Rollers

2.1.2 Oven Gloves

2.1.3 Cremation Pans/bins

2.1.4 Aprons

2.1.5 Tags

2.1.6 Brooms

2.1.7 Cremation ID Discs

2.1.8 Cremation Containers

2.2 REFERENCE

For purposes of this proposal, bidders should identify the specific brand, manufacturer/catalog and catalog or web site, so that the City can verify the products offered. The City’s preference is for bidders to offer discounts on one of the following industry standard catalogs.

2.2.1 Matthews Cremation

2.2.2 Lynch Supply Company

2.2.3 Kelco Supply Company

3. ALTERNATES

3.1 Bidders may offer alternate catalogs to those specified in the Proposal if:

3.1.1 The alternates proposed are equivalent to the specified item(s) in terms of quality, durability and availability, and if the company’s web site or referenced catalog contains an equivalent range of related products in the Group specified,

3.1.2 Exceptions are listed separately, item-by-item; and

523720 2

3.1.3 A means of cross-referencing each item specified to the bidder’s web site/catalog is provided by the bidder.

3.2 If bidding an alternate, bidders must furnish access to the web site/catalog that they are proposing with their bid, which provides sufficient technical information for the City to determine equivalence per Section 3.1.1

3.3 The City of Rochester reserves the right to determine, in its sole discretion, whether or not an alternate is equivalent for purposes of meeting the requirements of this specification.

4. CATALOGS AND PRICE LISTS

4.1 Bidders must submit, along with their bid, either two (2) copies of the current catalog(s) and price list they are offering per Group, or access to their web-site that includes pricing information and product descriptions for each Group. Upon request, the contractor shall assist the using agency in the use of the catalog(s) or web sites to determine price.

4.2 The City’s preference is for the bidder to reference their web site where the City may place its orders. If the web site information is provided, the bid must clearly show how the City will derive its price from the web site. For example, if the catalog/web-site price is one dollar ($1.00) but the discount on the Proposal is 10%, the City’s net cost after discount will be ninety cents ($.90). Only one discount per catalog may be offered.

5. METHOD OF AWARD

5.1 The City intends to award a contract to the responsive and responsible bidder whose bid is the lowest best value offer to the City on the basis of the highest discount. The City reserves the right to award multiple contracts if doing so is determined to be in the best interest of the City.

5.2 For purposes of this bid, if one or more bids are submitted by a business certified as an MWBE business by New York State on the date of the bid, the MWBE bidder(s) shall receive a five percent (5%) price advantage over non-MWBE bidders pursuant to Section 8 of Ordinance No. 2018-54. The lowest best value offer shall be defined as the lowest bid after adjusting for any MWBE price advantage. For example, if three bids are received, one for $100.00, one for $103.00, and one by an MWBE business for $105.00., the lowest best value offer would be the bid submitted by the MWBE business for $105.00. If instead the MWBE business submitted a bid for $105.01, the lowest best value offer would be the bid for $100.00. The same logic will be used by the City in comparing bids based upon discounts rather than specified unit prices. If award of the contract is based upon award by total bid, or by group, or by item, the City reserves the right to determine its lowest best value offer based upon total bid, group and per item prices offered.

5.3 The City reserves the right to reject any bid where prices or discounts offered are unbalanced or otherwise inconsistent with current market prices

5.4 Bids submitted without a complete catalog and price list will be considered incomplete bids and may be rejected.

523720 3

5.5 If bids are received for different catalogs/price lists, the City reserves the right to determine its lowest cost on an “apples to apples” basis, and award the contract(s) on that basis.

6. CONTRACT TERM

6.1 The term of any contract resulting from this Bid Invitation shall commence on date of award and end November 30, 2026.

6.2 The City may extend the contract under the same terms and conditions for up to (3) three additional years in periods of one year or less from date of expiration, provided such extension is mutually agreeable to both the City and contractor.

7. ORDERING AND DELIVERY

7.1 It is the preference of the City to contract with a company located within a twenty (20) mile radius of City Hall, 30 Church Street, Rochester New York, so that the City can obtain over-the-counter service when needed. Bidders outside this area must be able to provide delivery of requested items within the delivery times in Section 7.2 at the prices offered in the Proposal.

7.2 All deliveries shall be FOB Destination. With the exception of items picked up by the City, deliveries shall be completed within five (5) days after receipt of order.

7.3 If a specific order cannot be delivered within five (5) days, the contractor must notify the ordering department at the time of the order, and indicate the anticipated delivery time.

The City reserves the right to cancel the order and purchase the item(s) from another source

7.4 In the event the City needs to purchase any item(s) from another source, the City reserves the right to recover any excess costs above the contract price from the contractor.

7.5 The City prefers to place orders electronically once an authorizing purchase order has been issued. The City will work with the contractor to set up an electronic ordering process where possible.

8. ESTIMATE OF VOLUME/QUANTITIES

8.1 Quantities are indefinite. For informational purposes only, the City has spent an average of $30,000.00 per year in the past. Orders from individual catalogs may be more or less than this amount. Quantities shown on the Proposal are the City’s estimate to establish baseline prices. The City reserves the right to order substantially more or less than that based upon the needs of the City. The City will only be responsible for quantities ordered on a City purchase order.

523720 4

8.2 In signing this bid, the bidder acknowledges the City of Rochester has made no guarantee as to actual quantity or dollar value of this contract other than anticipating meeting the requirements as set forth in Section 8.1.

8.3 The City reserves the right to seek separate bids for any unanticipated requirements of substantial quantities, or to negotiate better prices with the contractor, whichever serves the best interest of the City.

9. QUALIFICATION OF BIDDER

It shall be the bidder's responsibility to prove to the satisfaction of the City its ability to properly service the needs of this contract, including size of inventory, delivery time, etc. By submitting a bid, the bidder acknowledges and accepts that the bidder will provide information requested by the City, such as but not limited to references, financial stability, number and types of customers, etc. The City reserves the right to reject any bidder who, in the opinion of the Director of Purchasing, cannot properly service this contract.

10. PRICES

10.1 Contractor shall notify the Director of Purchasing in writing of a request to implement price revisions a minimum of two (2) weeks prior to implementing a new catalog/price list. The new catalog/price list must be submitted with the request. New catalogs/price lists may be submitted by the contractor no more often than at 180-day intervals.

10.2 The new catalogs/price lists will become effective upon the implementation date specified in the request, or upon a date mutually agreeable to the City and the contractor if approved in writing by the Director of Purchasing. Otherwise, the City reserves the right to reject any request for changes to the contract, in which case the contract will be terminated and the City will seek new competitive bids.

10.3 Bidder shall quote a single percentage discount or mark up only. Bids containing multiple discounts or markups are subject to rejection. Do not submit, for example: 40% and 10% or 50% and 5% multiple discounts. Instead submit 46% or 52-1/2%, the true single percentage discounts to be applied for all items in the catalog.

10.4 In addition, the contractor will supply an electronic copy or up to five (5) printed catalog, if the catalog is not available on the web, within ten (10) days of written request of the Director of Purchasing

11. MATERIAL SAFETY DATA SHEET (MSDS)

In order to comply with the federal OSHA Hazard Communication Standard (HCS), the New York State Public Employee Safety and Health Act (PESHA), and the New York State Right-to- Know (RTK) Law, the City of Rochester must have a Material Safety Data Sheet (MSDS) on file at point-of-use for all hazardous chemicals. The RTK Law requires that all OSHA Subpart Z chemicals and any chemical listed in the National Institute of Occupational Safety and Health (NIOSH) Registry of Toxic Effects of Chemical Substances be designated "hazardous."

Therefore:

523720 5

11.1 Fully completed MSDS(s) must be submitted with all bids, or the website where such sheets can be downloaded must be identified in this proposal.

11.1.1 Any bid submitted without the required MSDS(s) will be subject to rejection.

11.2 Every shipment of a hazardous chemical to the City of Rochester must be accompanied by a fully completed MSDS.

11.3 At any time during the term of this contract, the contractor will supply a fully completed MSDS for any material in this contract upon request of any using department.

11.4 Failure to comply with the requirements of parts 2 or 3 of this section may result in retention of payment until the appropriate MSDS is received.

12. INVOICES AND PAYMENT

12.1 Orders will be placed only by authorized City employees. Generally orders will be faxed or e-mailed to the contractor. Orders will be placed by the City’s Cemetery Division.

12.2 Payment will be based on any invoice used in the contractor's normal course of business. However, payment will not be made unless the invoice is clearly legible, and contains at a minimum all off the following information:

12.2.1 Accurate item description

12.2.2 Catalog number of the item

12.2.3 Quantity

12.2.4 Unit price per item

12.2.5 Net total cost to the City, after discount

12.2.6 City purchase order number

12.2.7 Date of delivery

12.2.8 Location of delivery

13. NON-SPECIFIED ITEMS

13.1 The City reserves the right to negotiate prices with and order from the contractor, non-specified items or services that are comparable to and/or complement the items or services specified herein.

13.2 Prior to any order or purchase, the contractor will be required to submit a written quote to the Director of Purchasing for authorization and/or approval. Approved items will be added to the contract.

523720 6

13.3 Items supplied or services rendered without the prior consent of the Director of Purchasing will not be paid for by the City.

14. W-9 FORM

A W-9 form must be submitted with each bid.

15. SUBMITTAL OF BIDS

15.1 Bid proposals for this bid should be submitted in a marked sealed envelope, to include a signed original hard copy of the Proposal, bid specifications, addenda and any support documentation required, delivered to and received by the Director of Purchasing at the Bureau of Purchasing, Room 105-A, City Hall, Rochester, New York 14614 by the closing date and time specified in the Invitation to Bid or any addenda.

15.2 For this bid, instead of submitting a hard copy per Section 15.1, bid proposals may be submitted by the bidder as an electronic submission through BidNet as a .pdf of the signed original hard copy of the Proposal, cover page, bid specifications, addenda and any support documentation required. Electronic bid proposals are date time and stamped by BidNet. Bids stamped after the bid closing date and time will not be read by the City of Rochester. The City reserves the right to declare any bid non-responsive that is submitted electronically without fully meeting the requirements of the Invitation to Bid.

By submitting a bid electronically, a bidder agrees and accepts that a notification of award and/or City purchase order will create a legally binding contract between the City and the bidder as if the bidder had submitted a signed original of the bid.

15.3 Bids submitted either in hard copy or electronically on BidNet must include the entire

Invitation to Bid, which includes the cover page, bid specifications, addenda and any support documentation required, as well as the Proposal. The City reserves the right to reject any bids submitted in hard copy or electronically that do not include all of these documents.

15.4 Bidders should not submit two bids. Submit a bid either in hard copy per Section 15.1 or electronically per Section 15.2. The City reserves the right to reject any and all bids if multiple bids are received from one bidder.

If a corporation is found to be a non-responsible bidder, that finding may be applied to a parent, affiliate or subsidiary corporation, if the Director of Purchasing finds that an officer, director or person directly or indirectly controlling 10% or more of the stock of the corporation found to be non-responsible is an officer, director or person directly or indirectly controlling 10% or more of the stock of the parent, affiliate or subsidiary corporation. If an unincorporated association is found to be non-responsible, that finding may be extended to other related associations upon a finding by the Director of Purchasing that the related associations have substantially the same ownership, management or operating personnel.

The Director of Purchasing further reserves the right to reject any bid where the proposed delivery date and/or delivery terms do not meet the specifications.

Products and/or services will be ordered on term (blanket) or one-time buy purchase orders.

29. Non Exclusive Contract: The City’s intent in awarding a contract for this bid is to order the product(s) and/or service(s) specified herein from the Contractor awarded this contract.

However, the City reserves the right to seek separate bids for product(s) and/or service(s) covered by this Contract at any time as may be in the best interest of the City, for reasons such as, but not limited to failure of the Contractor to meet the terms and conditions of the contract, substantial changes in the quantity estimates upon which the bid was based, substantial changes in market conditions, or changes in the City’s requirements. The City further reserves the right to negotiate better pricing terms with the Contractor as an alternative to seeking new bids for reasons described above.

The Contractor in turn shall be obligated to perform only so long as funds are available to pay for the goods and services it supplies. 34. Assignment of Contract and Subcontracting: It is mutually understood and agreed that the Contractor shall not assign, transfer, convey, sublet or otherwise dispose of this contract or the Contractor’s right, title or interest therein, or the Contractor’s power to execute such contract, to any other person, firm or corporation without the previous written consent of the Director of Purchasing. Even if such consent is granted, in no case shall such consent relieve the Contractor from the Contractor’s obligations, or change the terms of the contract.

It is further mutually understood and agreed that for any services required by the contract, that the Contractor will not use a subcontractor to perform any or all services without the express prior consent of the City. Further, that the City has the right, in its sole discretion, to not accept or approve the use of any subcontractor, for any reason that the City determines is in its best interest. Further, if the Contractor uses a subcontractor that has not been approved by the City, the City reserves the right to terminate the contract and proceed subject to Section 35 and/or Section 36 of these General Terms and Conditions.

35. In any event, the defaulting Contractor (or the surety) shall be liable to the City for costs to the City in excess of the defaulted contract prices. Failure of the Contractor to deliver products or services within the time stipulated in the bid and on the Proposal, unless extended in writing by the Director of Purchasing, shall be deemed to be a default of contract.

523720 20

36. Delivery Failures: Failure of a Contractor to deliver within the time specified, or within reasonable time as interpreted by the Director of Purchasing, or failure to make replacements of rejected articles when so requested, immediately or as directed by the Director of Purchasing, shall constitute authority for the Director of Purchasing to purchase in the open market comparable products or services rejected or not delivered.
