2.4 For products that are not pre-approved, either by brand name reference in the bid documents or by being listed in the City of Rochester Water Bureau's Approved Products List, the bidder shall submit the following documentation with their bid.

2.4.1 Technical data and detailed drawings of the product that includes product dimensions, weight and a description of component materials.

2.4.2 Certification from an accredited independent third party North American laboratory verifying that the product meets or exceeds all material and

523630 2 performance standards and specifications. Laboratories shall be accredited to ISO/IEC 17025 by a nationally recognized laboratory accreditation/ certification agency, including but not limited to: the American Association for Laboratory Accreditation, Laboratory Accreditation Bureau and the National Voluntary Laboratory Accreditation Program.

2.4.3 For those products that will come in contact with potable water, certification from an accredited independent third party North American laboratory that the product is in compliance with NSF/ANSI Standard 61.

2.4.4 A reference list of agencies that have used the product for an extended period of time (preferably 5 years or more). The list shall include the manufacturer’s name and model number of the product, the name and address of the agency using the product and the name, title and telephone number of the contact person at the agency.

2.4.5 Proof that the manufacturer of the product has received ISO 9001 certification.

2.6 If additional product information is required for the City to evaluate the product, the vendor must submit all additional information within fifteen (15) calendar days of its request. If additional information is not received within fifteen (15) calendar days of its request, the City reserves the right to reject the bid and award the contract to the next lowest responsible bidder.

2.7 The City, in its sole discretion, reserves the right to waive any of the above listed requirements, if it determines that they are not necessary to evaluate the product.

3. SPECIFICATIONS

Products offered must meet the specifications provided in Appendix “A”.

4. CONTRACT TERM

4.1 The contract(s) resulting from this Bid Invitation shall commence on the date of award and end on August 31, 2026.

4.2 The City may extend this contract under the same terms and conditions for up to three

(3) additional years, in increments of one (1) year or less upon the mutual agreement of both parties.

5. METHOD OF AWARD

5.1 Award will be made to the lowest responsive and responsible bidder whose bid is the lowest best value offer to the City by Total Bid Price unless the City determines that it is in its best interest to award by Item or Group if doing so results in lower overall costs after factoring in the costs of making multiple awards.

523630 3

5.2 For purposes of this bid, if one or more bids are submitted by a business certified as an

MWBE business by New York State on the date of the bid, the MWBE bidder(s) shall receive a five percent (5%) price advantage over non-MWBE bidders pursuant to Section 8 of Ordinance No. 2018-54. The lowest best value offer shall be defined as the lowest bid after adjusting for any MWBE price advantage. For example, if three bids are received, one for $100.00, one for $103.00, and one by an MWBE business for $105.00., the lowest best value offer would be the bid submitted by the MWBE business for $105.00. If instead the MWBE business submitted a bid for $105.01, the lowest best value offer would be the bid for $100.00. If award of the contract is based upon award by total bid, or by group, or by item, the City reserves the right to determine its lowest best value offer based upon total bid, group and per item prices offered.

5.3 Bidders must include in their bid price all reasonable and necessary transportation, shipping, handling and delivery charges. The City of Rochester does not pay fuel surcharges.

5.4 The Director of Purchasing may reject any bidder who proposes an unacceptable product or cannot prove to the satisfaction of the Director of Purchasing its ability to execute the terms and conditions of this contract.

5.5 The City of Rochester reserves the right to reject any and all bids or proposals of the best interest of the City will be served by such action.

6. DELIVERY

6.1 Delivery shall be F.O.B. truck tailgate, Rochester Water Bureau Materials and

Equipment, 401 Dewey Avenue, Building 4 Loading Dock, Rochester, N.Y., 14613.

6.2 Delivery shall be made within thirty calendar days after receipt of order (ARO). If this time is unacceptable, the bidder shall state the period of time in which guaranteed delivery will be made after receipt of each order.

6.3 Delivery times in excess of thirty (30) days may be deemed unacceptable and therefore cause for rejection of bid.

6.4 The Water Bureau's Materials and Equipment Division must be notified forty-eight (48) hours prior to delivery at (585) 428-7500.

7. QUANTITIES

7.1 The quantities shown on the Proposal Page are estimates only. Where a quantity of one (1) is indicated, this is to establish a price in case that item is needed.

7.2 The City will make no guarantees whatsoever about the quantities which will actually be ordered.

7.2.1 Quantities may be substantially more or less than shown on the Proposal.

7.2.2 The contract will be for the actual quantities ordered during the contract term ordered by City purchase orders.

523630 4

7.3 The City reserves the right to negotiate a better price for any item(s) with the contractor if a larger quantity is ordered than is shown on the Proposal. The City further reserves the right to advertise for any unanticipated requirements of substantial quantities, if the Director of Purchasing deems it to be in the best interest of the City of Rochester.

8. CANCELLATION OF CONTRACT

8.1 Should the successful bidder fail to meet a delivery date required by the specifications, the City may, at its discretion, cancel the order(s) and terminate the contract. In such event, the City will assume no responsibility for any expense or loss to the contract vendor because of such cancellation.

8.2 A contract may be canceled at the successful bidder’s expense upon non-performance or poor performance on ten (10) calendar days’ written notice.

8.3 If a successful vendor exhibits a history of back orders or delayed deliveries, the City reserves the right to rescind their award and to disqualify them from future bidding.

9. INVOICES AND PAYMENT

9.1 Payment will be based on any invoice used in the contractor's normal course of business. However, payment will not be made unless the invoice is clearly legible, and contains at a minimum all of the following information consistent with how the item(s)/service(s) are ordered:

9.1.1 Accurate item description

9.1.2 Catalog number of the item

9.1.3 Quantity

9.1.4 Unit price per item

9.1.5 Net total cost to the City, after discount

9.1.6 City contract number

9.1.7 City Purchase Order number

9.1.8 Date of delivery

9.1.9 Location of delivery

9.2 The responsibility to submit a properly completed invoice rests entirely with the contractor. Failure to submit a properly completed invoice will result in delay or rejection of a claim for payment.

10. REQUEST FOR PRICE CHANGE

10.1 Prices bid for the specified items shall remain firm for the initial contract term.

523630 5

10.2 Request for price increases to take effect during a contract extension must be submitted with the offer to extend or earlier. A price increase may be considered under the following conditions:

10.2.1 Written notification from the manufacturer to the contractor stating there will be a price increase and the amount.

10.2.2 Written notification from the contractor to the Director of Purchasing requesting a price increase and accompanied by the manufacturer's letter.

10.2.3 A decision to grant a price increase during the extension period will rest solely with the Director of Purchasing.

11. NON-SPECIFIED:

11.1 The City reserves the right to negotiate prices with and order from the contractor, non-specified items or services that are comparable to and/or complement the items or services specified herein.

11.2 Prior to any order or purchase, the contractor will be required to submit a written quote to the Office of the Director of Purchasing for authorization and/or approval. Approved items will be added to the contract.

11.3 Items supplied or services rendered without the prior consent of Purchasing will not be paid for by the City.

12. W-9

A W-9 is required with each bid.

13. SUBMITTAL OF BIDS

13.1 Bid proposals for this bid should be submitted in a marked sealed envelope, to include a signed original hard copy of the Proposal, bid specifications, addenda and any support documentation required, delivered to and received by the Director of Purchasing at the Bureau of Purchasing, Room 105-A, City Hall, Rochester, New York 14614 by the closing date and time specified in the Invitation to Bid or any addenda.

13.2 For this bid, instead of submitting a hard copy per Section 13.1, bid proposals may be submitted by the bidder as an electronic submission through BidNet as a .pdf of the signed original hard copy of the Proposal, bid specifications, addenda and any support documentation required. Electronic bid proposals are date and time stamped by BidNet. Bids stamped after the bid closing date and time will not be read by the City of Rochester. The City reserves the right to declare any bid non-responsive that is submitted electronically without fully meeting the requirements of the Invitation to Bid.

By submitting a bid electronically, a bidder agrees and accepts that a notification of award and/or City purchase order will create a legally binding contract between the City and the bidder as if the bidder had submitted a signed original of the bid.

523630 6

11.3 Bidders should not submit two bids. Submit a bid either in hard copy per Section 13.1 or electronically per Section 13.2. The City reserves the right to reject any and all bids if multiple bids are received from one bidder.
