About this file

This document is a Justification for Other Than Full and Open Competition (JOFOC) for a sole source contract to acquire P-8A Bootstrap Equipment.

The JOFOC states that the required P-8A Bootstrap Equipment, with a part number of C71020-91, needs to be upgraded to a new part number of C71020-105 to address safety and interference issues. Industrial Automation Inc. is the only vendor capable of providing the upgraded equipment, as their design is proprietary and requires certification testing that would be cost-prohibitive for other suppliers. The Contracting Officer conducted market research, including posting a Sources Sought notice, but determined that Industrial Automation Inc. is the sole source capable of meeting the government's requirements. The contract, number 47QSWC24P0010, was awarded to an unknown vendor on May 29, 2024 for an unknown amount.

This acquisition will be conducted under the authority of FAR 13.106-1(b)(1), Soliciting from a single source as the required equipment is available from only one source and no other supplies or services will satisfy agency requirements. The Bootstrap Equipment Kits meet the definition of a commercial product in accordance with FAR 2.101 as these items are generally available for public use with a minor modification not customarily available in the commercial marketplace made to meet Federal Government requirements. Acquisitions conducted under simplified acquisition procedures are exempt from the requirements of FAR Part 6, thus the requirement for full and open competition does not apply IAW FAR 13.501(a)(1). The need for a sole source requirement is justified in writing utilizing the format at FAR 6.303-2 properly modified to reflect that the procedures at FAR 13.5 were used in accordance with 41 U.S.C.

1901. This justification will be approved at the levels specified in accordance with GSAM

506.304 and posted to SAM.gov within fourteen (14) days of contract award in accordance with FAR 13.501(a)(1)(iii).

5. A DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE

QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES USE OF

THE AUTHORITY CITED.

The P-8A Poseidon aircraft, modified from the commercial aircraft Boeing 737-800ERX, is the latest maritime, patrol and reconnaissance aircraft designed to secure the Royal Australian Air Force’s future in long-range maritime patrol capability. NAVAIR’s PMA-290 P-8A Poseidon Joint Program Office (JPO) DAPML (Australia) team holds the responsibility of maintaining, repairing, and implementing new aircraft capabilities to the P- 8A fleet for operational use.

The engine support equipment required for removing and replacing the engine, commonly referred to as the Bootstrap, has a safety issue where fractures have been discovered on the lug clevis of the Aft Engine bracket assemblies. The engine bootstrap has also experienced interference issues with the engine linear variable differential transformer (LVDT). Engineering Change Proposal (ECP) P8AJAX-PP-SE-21095 introduced a new P/N (C71020-105) that addressed these issues. The Bootstrap Equipment Kit is required to retrofit the current bootstrap (C71020-91 P/N) to bring it into the new configuration.

Industrial Automation Inc. provides the only vendor parts that have been analyzed, tested, and certified to provide the proper level of protection and survivability in a threat environment and is compatible with the current bootstrap. Further, another vendor would have to purchase additional equipment, such as a proof load fixture, in order to manufacture this component. The additional costs and delay in timeframe for another vendor or for the Government to have the capability of producing such a component is not conducive for the Government’s requirement.

6. A DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED

FROM AS MANY POTENTIAL SOURCES AS IS PRACTICABLE, INCLUDING

WHETHER A NOTICE WAS OR WILL BE PUBLICIZED AS REQUIRED BY

SUBPART 5.2, AND, IF NOT, WHICH EXCEPTION UNDER 5.202 APPLIES.

The market research conducted by the Contracting Officer and information submitted by the customer for review indicates that only one (1) source is available. Additionally, the Contracting Officer posted a notice of proposed contract action on 4 April 2024 in which the Government intends to solicit and negotiate with only one source prior to the issuance of the solicitation; no industry inquiries or capability statements were received by the response date of 18 April 2024.

7. A DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED

COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE.

Because this requirement is for a sole source, the Government will be utilizing at least two (2) price analysis techniques outlined in FAR 13.106-3 by which to determine pricing submitted by Industrial Automation Inc. to be fair and reasonable. These techniques include, but not limited to the following:

● Requesting recent commercial and Government sales history

● Making indirect pricing comparisons to:

o the same or similar items in the marketplace;

o competitive published price lists;

o independent government cost estimates.

8. A DESCRIPTION OF MARKET RESEARCH CONDUCTED (SEE PART 10) AND THE

RESULTS OR A STATEMENT OF THE REASON MARKET RESEARCH WAS NOT

CONDUCTED.

Market research was conducted in accordance with FAR Part 10 to determine the availability of products capable of meeting the Government’s requirement. A review of schedule contract vendors listed under the GSA Schedule program did not reveal any other items of similar intended functionality, specifications and customizable design features as outlined in this document that are critical to meeting the customer’s needs. Also, a Sources Sought was posted with the notice of intent to negotiate with one source for 14 days. No industry inquiries or capability statements were received. As such, the results of the market research determined that only Industrial Automation Inc. was interested and capable of meeting the Government’s requirements.

9. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND OPEN

COMPETITION, SUCH AS:

(i) EXPLANATION OF WHY TECHNICAL DATA PACKAGES, SPECIFICATIONS, ENGINEERING DESCRIPTIONS, STATEMENTS OF WORK, OR PURCHASE

DESCRIPTIONS SUITABLE FOR FULL AND OPEN COMPETITION HAVE NOT BEEN

DEVELOPED OR ARE NOT AVAILABLE.

(ii) WHEN 6.302-1 IS CITED FOR FOLLOW-ON ACQUISITIONS AS DESCRIBED IN 6.302-1(a)(2)(ii), AN ESTIMATE OF THE COST TO THE GOVERNMENT THAT WOULD

BE DUPLICATED AND HOW THE ESTIMATE WAS DERIVED.

(iii) WHEN 6.302-2 IS CITED, DATA, ESTIMATED COST, OR OTHER RATIONALE AS

TO THE EXTENT AND NATURE OF THE HARM TO THE GOVERNMENT.

Industrial Automation Inc.’s design is proprietary and not based on any generic specification design. Any other supplier would need to have their parts certified, which requires multimillion dollar testing and analysis.
