About this file

This is a Sole Source Justification (SSJ) document for open market freight associated with Palletized Seating Systems (PSS) for the KC-46 Aircraft program. The document justifies a sole source procurement from AAR Manufacturing Inc for freight services related to two line items: a 10 Seat Pallet (Part Number 50471003) and a 12 Seat Pallet (Part Number 50472001), with an estimated delivery of 300 days after receipt of order.

The procurement is being conducted by the General Services Administration (GSA) Federal Acquisition Service for the Air Force Life Cycle Management Center (AFLCMC) at Wright-Patterson Air Force Base. The justification emphasizes that AAR is the only manufacturer and distributor of these seating systems, and the open market freight is integral to the total solution. The document outlines that the government will use price analysis techniques to ensure fair and reasonable pricing, including reviewing commercial and government sales history and making indirect pricing comparisons. The procurement will be made under FAR Part 13 Simplified Acquisition Procedures, with a Limited Source Justification for the palletized seating systems previously approved on February 5, 2025.

2. NATURE OR DESCRIPTION OF THE ACTION BEING APPROVED

This action is to request the approval of a sole source justification in accordance with Federal Acquisition Regulation (FAR) Part 13, Simplified Acquisition Procedures, for the open market freight cost associated with the Palletized Seating Systems (PSS) manufactured and distributed by AAR in support of the Wright Paterson Air Force Base (WPAFB) KC-46 Aircraft program. The Limited Source Justification (LSJ) supporting procurement of the PSSs from AAR under FAR 8.405-6(a)(1)(i)(B) was approved on February 5, 2025.

3. DESCRIPTION OF SUPPLIES REQUIRED TO MEET THE AGENCY’S NEEDS:

WPAFB requires the following list for the KC-46 aircraft program:

CLIN Description Part Number

0001 10 Seat Pallet 50471003

0002 12 Seat Pallet 50472001

The total estimated value of the procurement is . Total open market freight costs are estimated to be (12% of the total estimated value). The estimated freight cost was provided by the requesting agency.

4. IDENTIFICATION OF THE STATUTORY AUTHORITY PERMITTING OTHER FULL

AND OPEN COMPETITION:

The statutory authority for applying the FAR 13.5 Simplified Procedures for Certain Commercial Products and Commercial Services is 41 U.S.C. § 1901 and the authority for restricting competition on this procurement is implemented by FAR 13.106-1(b)(2). No other like and/or similar products will meet the needs of the requesting country. Competition is restricted on this procurement for the reason selected below:

Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements

Unusual and Compelling Urgency Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services International Agreement 10 U.S.C. 3204(a)(4) Authorized or Required by Statute National Security Public Interest

For sole source purchases exceeding the simplified acquisition threshold, the requirements at FAR 13.501(a) apply. The need for a sole source requirement is justified in writing utilizing the format at FAR 6.303-2 properly modified to reflect that the procedures at FAR 13.5 were used in accordance with 41 U.S.C. 1901. This justification will be approved at the levels specified in accordance with FAR 13.501(a)(2)(ii) and posted to SAM.gov within fourteen (14) days of contract award in accordance with FAR 13.501(a)(1)(iii).

5. DEMONSTRATION OF PROPOSED CONTRACTOR’S UNIQUE QUALIFICATIONS OR

NATURE OF THE ACQUISITION REQUIRES USE OF THE AUTHORITY CITED:

The required PSSs are only manufactured and distributed by AAR. All of the open market freight are being added to these delivery orders with the sole purpose of providing the deliveries required by the customer. While open market freight was proposed as part of the total turnkey solution, the items themselves are within the scope of the MAS contract and are not separable from the total solution without invalidating the solution. This Justification seeks approval to procure the necessary open market freight on a sole source basis from ARR.

6. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED

FROM AS MANY POTENTIAL SOURCES AS PRACTICABLE INCLUDING WHETHER A

NOTICE WAS OR WILL BE PUBLICIZED AS REQUIRED BY SUBPART 5.2 OR IF AN

EXCEPTION UNDER 5.202 APPLIES:

Based on AAR’s MAS terms and conditions, AAR quoted freight as open market. Per the terms of the RFQ, freight will be evaluated at the call order level. Any freight costs associated with delivery of the Palletized Seating Systems will be considered an open market item. At the time a tentative call order is received from the customer, the awarded Contractor will be notified by the Contracting Officer and shall have three (3) business days to provide a minimum of two (2) freight quotes to the Contracting Officer.

The Contracting Officer will conduct a price analysis of the quotes received to determine proposed freight costs are fair and reasonable.

The exception at FAR 5.202(a)(11), the proposed contract action is made under the terms of an existing contract that was previously synopsized in sufficient detail to comply with the requirements of 5.207 with respect to the current proposed contract action, applies as this BPA will be awarded against AAR’s MAS contract.

7. DETERMINATION THE ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR

AND REASONABLE TO THE GOVERNMENT:

Because competition for this requirement is restricted to a sole source, the Government will be utilizing at least two (2) price analysis techniques outlined in FAR 15.404-1 by which to determine open market pricing submitted by AAR is fair and reasonable. These techniques may include, but are not limited to the following:

● Requesting recent commercial and Government sales history

● Making indirect pricing comparisons to:

o the same or similar items in the marketplace, o competitive published price lists, and o Independent Government Estimates.

● No certified cost or pricing data will be required to be submitted as these items have been determined to be commercial.

8. DESCRIPTION OF MARKET RESEARCH CONDUCTED

While open market freight from AAR were proposed as part of the total turnkey solutions, the items themselves are within the scope of the MAS contract, and are not separable from the total solutions without invalidating the solution.

9. OTHER FACTS SUPPORT THE USE OF OTHER THAN FULL AND OPEN

COMPETITION:

None.

10. LIST ANY OTHER SOURCES THAT EXPRESSED INTEREST IN WRITING:

None.

11. STATEMENT OF ACTIONS TO OVERCOME BARRIERS OF COMPETITION

Although other sources may be capable of providing these “open-market” freight, substantial duplication of effort and costs would occur if this “open-market” portion is solicited on a competitive basis. The only source capable of providing the “open-market” freight efficiently is AAR which is in the best interest of the Government.
