Justification for Exception to Fair Opportunity Order

This document is a Justification for Issuance of an Exception to Fair Opportunity Order under Federal Acquisition Regulation (FAR) 16.5 and GSA Class Deviation RFO-2025-16.

GSA Assisted Acquisition Services (AAS) is issuing a noncompetitive bridge Task Order to the incumbent contractor, Tolliver Group, to maintain continuity of services for the Army National Guard's Training Aids, Devices, Simulators and Simulations (TADSS), Regional Virtual Training Program (RVTP), and Sustainable Range Program (SRP). The bridge Task Order will support the Active United States Army, Army Reserve, National Guard, ROTC, Department of Defense, and other Federal Agencies. The current Task Order (47QFRA20F0044) expires February 28, 2026, and the bridge will include a three-month base period, three one-month options, and optional extensions up to six months under FAR 52.217-8. The non-personal services provided include integrated logistical support throughout the United States and its territories. The bridge Task Order is justified under FAR 16.507-6(b)(1) due to urgency, as the re-compete solicitation requires amendment to address ambiguity in Section L & M regarding corporate experience requirements. A lapse in service would jeopardize ARNG mission readiness and training requirements. The Contracting Officer will conduct price analysis using FAR 15.404-1 techniques, comparing pricing to the Independent Government Cost Estimate, historical competitive awards, and GSA Acquisition Gateway tools to ensure fair and reasonable pricing. Tolliver Group has performed at a satisfactory or above level based on all Contractor Performance Assessment Reporting System (CPARS) evaluations throughout the current Task Order.

d. Identification of the Exception to Fair Opportunity and Rationale:

This TO Justification is being prepared as required by FAR 16.507-6 (GSA Class Deviation RFO-2025-16), Exception to Fair Opportunity Process.

The rationale is that the solicitation for the re-compete of this requirement requires an amendment to address an ambiguity in the language of Section L & M for corporate experience before an award can be made for the long-term TO. Once the amendment is issued, the proposals will be evaluated again to determine the best value for the Government. It is anticipated that the long-term TO will not be awarded prior to the current contract’s period of performance ending. A lapse in service during the current TO would affect the entire ARNG mission as training is provided to all active United States Army, Army Reserve, National Guard, ROTC, DoD and other Federal Agencies. This bridge TO will support mission readiness and mitigate any delays in certifications and meeting training requirements while a solution is finalized. The nature of this acquisition requires continuous access to training and range support management which is critical for mission readiness. Delays from a competitive acquisition would result in a lapse in services, risking program execution and operational continuity. Immediate service continuation ensures stability and mitigates transition risks while a long-term acquisition strategy can be finalized.

1. The agency's need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays. (FAR 16.507-6(b)(1)(GSA Class Deviation RFO-2025-16).

These services are crucial to the mission of the ARNG. There cannot be a lapse in service without consequences of not meeting training requirements and management of training support centers. This action will allow the services to remain ongoing while an amendment to the solicitation for a TO is issued. This TO will not have any options exercised once the long-term TO is awarded.

Tolliver Group , the incumbent, has performed at a satisfactory or above level on this requirement based on every CPARS for the entirety of the current TO.

e. Determination That the Anticipated Cost is Fair and Reasonable:

The Contracting Officer will conduct price analysis to ensure that the final price is fair and reasonable. The prices offered will be evaluated using price analysis techniques described in FAR 15.404-1(GSA Class Deviation RFO-2025-15) although the Government is not limited to these specific techniques. The proposal pricing may be compared to the IGCE, historical pricing from contracts which were competitively awarded, and tools offered in the GSA Acquisition Gateway to ensure fair and reasonable pricing.

This determination of fair and reasonable will be included in the contract file which will document the Government’s established pre-negotiation position and pre-negotiation
