JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY

UNDER IDIQ CONTRACTS (FAR 16.505)

CONTRACT 47QFAA18F0042, Modification P00010

April 11, 2019

The General Services Administration (GSA) makes this Justification for the issuance of an Exception to Fair Opportunity modification pursuant to Federal Acquisition Regulation (FAR) 16.5.

1) Identification of Agency and Contracting Activity:

Requesting Agency Department of Navy Puget Sound Naval Ship Yard & Intermediate Maintenance Facility (PSNS & IMF) 1400 Farragut Avenue, Bldg. 850A Bremerton, WA 98314-5001

Servicing Agency/Contracting Activity General Services Administration Federal Acquisition Service Contract Operations Division, Region 10 400 15th Street SW Auburn, WA 98001

NOTE: The Servicing Agency identified herein is responsible to procure the required services in support of PSNS & IMF. In accordance with Interagency Agreement, the Servicing Agency shall act in the capacity of contracting activity for the resultant acquisition. As a result, this justification is hereby prepared and approved by the Servicing Agency Contracting Officer (CO) responsible for the execution of the services and supplies required.

2) Nature and/or Description of Action Being Approved:

The Government intends to issue Modification P00010 to Task Order 47QFAA18F0042 with Booz Allen Hamilton under Alliant Contract GSOOQ09BGD0019. This task order is for Information Technology and Cyber Security Support Services. This is a Cost-Plus Fixed-Fee (CPFF) Term task order which was transferred from GSA FEDSIM to the GSA Region 10 Assisted Acquisition Service (AAS) Contracts Operations Division in August 2018. The task order is currently in its third option year, with a total five-year (base plus four option periods) ceiling value of $67,591,617 (through modification P00006). This action will involve a net ceiling increase of $9,268,735 for Option Year Four (OY4) and the Task Order as a whole. The proposed increase is necessary to continue the level of information technology support required by the Government through the scheduled end of the Task Order on September 1, 2020.

3) Description of Supplies/Services and Estimated Value:

This task order supports the IT and Cyber Security (IT &CS) Divisions of the PSNS & IMF organizations. The contractor, Booz Allen Hamilton is currently performing IT Cyber Security and IT Support services under this task order.

The OY4 CLINs affected by this modification provide the following services:

CLIN 4001: IT/Cyber Security labor to include Transition, Program Management, Network Support, Applications Management, Applications Operations Support, Systems Administration, Information Assurance & Cyber Security, Customer Support Services, Provide Support to San Diego and OCONUS sites.

CLIN 4002: Shipyard Corporate Application Support for the NMMES programs supporting ship maintenance at all naval shipyards.

CLIN 4003: Optional Surge support for Network Support, Applications Management, Applications Operations Support, Systems Administration, Information Assurance & Cyber Security, Customer Support Services, and Support for San Diego and OCONUS sites.

As seen in the table below, this modification will increase the OY 4 ceiling by a net amount of $9,268,735, representing a total Task Order ceiling increase of approximately 14%. The overall increase is the result of increasing the value of CLINs 4001 and 4003 and decreasing the value of CLIN 4002. The value of CLIN 4002 will be decreased to align with the move of Shipyard corporate applications to the NA VSEA MSE in June, 2019.

The totals from CLINs 4004-4007 are unchanged by this modification. The affected CLINs are highlighted in the table below.

4) Identification of the Exception to Fair Opportunity and Rationale:

F ARI 6.505 (b )(2)(i)(C): The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under

9,268,735 the contract, provided that all awardees were given a fair opportunity to be considered for the original order.

All awardees under the Alliant master vehicle were given a fair opportunity to be considered for the original order. This Task Order was originally solicited under the GSA Alliant contract vehicle, via GSA eBuy on December 12, 2014. At that time, all Alliant contractors had access to the competitive solicitation within eBuy and were given the opportunity to bid on the requirement. Upon closing, proposals were received from Phacil and Booz Allen Hamilton (BAH

This modification is a logical follow-on to the original order and is in the interest of economy and efficiency. Upon original award of this cost plus fixed fee (CPFF) term type order on September 2, 2015, the total Not to Exceed (NTE) value of OY4 was $13,603,465.The total NTE value of the task order was $67,591,617. The initial awarded ceiling was established based on total anticipated costs and the receipt of adequate price competition, in accordance with FAR 16.301. The contract cost type was approved as part of the original acquisition plan due to uncertainties in the task order's performance that did not permit costs to be estimated with sufficient accuracy to use of any other type of contract. More work was needed in the earlier contract periods than originally anticipated, which required FEDSIM to realign $6,844,240 of ceiling value from OY 4 to earlier option periods.

At this time, PSNS anticipates an increased amount of work for OY4 than is currently awarded, which is why the overall increase of $9,268,735 is necessary .The proposed ceiling increase does not involve any changes to the scope, labor categories, and nature of the work originally awarded for OY 4. The proposed Modification P00007 increases the ceilings of CLIN s 4001 and 4003 to provide the known and necessary support until the end of the task order period on September 01, 2020, to ensure continued upkeep of mission-critical shipyard IT operations in all divisions (HR, material ordering, timekeeping, program management, etc.). The level of support was determined based on current needs and the level of support that has been required for the previous option years as the Government intends to increase CLIN s 4001 and 4003 to continue the level of support outlined in CLIN 3001 and 3003.

Booz Allen Hamilton has been performing the exact services associated with this ceiling increase over the past 3.5 years, since the inception of this task order on September 02, 2015, and will continue to perform these services under the current Task Order until September 02, 2020. Over the last 3.5 years, the contractor has provided, and currently has in place within each of the performance locations, all the personnel and labor categories necessary to support the entirety of the IT requirements to fully satisfy the level of effort associated with this OY 4 ceiling increase. During this time, Booz Allen Hamilton has been performing the services at a high level of effectiveness and efficiency, and provides the Government a single point of contact to resolve any concerns or problems that may arise during performance.

Task Order Modification P00010

Any possible change from the existing contractor to another contractor to support the increased work would likely result in damaging disruption to mission-critical projects that are currently being fully supported by Booz Allen Hamilton. Adding a contractor to the current effort would not be efficient since the Government would have to manage two contracts for the same effort. There is also potential for duplication of effort or finger pointing. The Government would also incur procurement, transition, and contractor program management costs. The transition time to compete and issue a separate requirement for this work may also result in a lapse of service for the customer. These services will be re-competed at the end of this contract . As a result, competing the work for this modification would be not be in the interest of economy or efficiency. Therefore, issuing this modification on a sole source basis directly to the current support contractor, Booz Allen Hamilton, is the most economical and efficient solution to meet the customer's mission so as not to result in additional procurement and transition costs, or cause any unacceptable service disruptions.

5) Determination That the Anticipated Cost is Fair and Reasonable:

The Government will request the contractor to submit a cost proposal, with supporting rational, that specifically breaks out each of the cost elements associated with this ceiling increase, including those of its proposed subcontractors. With this information, the Contracting Officer will perform a detailed cost analysis, considering any applicable Forward Pricing Rate Agreements in order to make the determination that the proposed ceiling increase is Fair and Reasonable. This determination will be made prior to the execution of the modification and will be reflected in the Award Decision Document.

6) Other Facts Supporting the Justification:

7) Statement of Action, if any, the agency may take to remove or overcome any barriers that led to the exception to fair opportunity before any subsequent acquisition for the supplies or services is made:

It is not anticipated that another ceiling increase in support of these services will be necessary before the end of the task order period of performance on September O 1, 2020.

The Region 10 AAS Contracting Office intends to recompete the requirement under the

Alliant 2 contractual vehicle. This process is expected to start during OY 3 to ensure adequate evaluation and procurement lead time before the current task order expires. The subsequent requirement will be competitive and all potential Alliant 2 contractors will be given an opportunity to bid on it. The Contracting Officer will also consider alternate avenues for addressing the addition of ceiling to mitigate situations were future option periods are left with inadequate ceiling amounts.
