The Contracting Officer reserves the right to designate representatives to act for him/her in furnishing technical guidance and advice or generally monitor the work to be performed under this contract. Such designation will be in writing and will define the scope and limitation of the designee’s authority. A copy of the designation letter shall be furnished to the Contractor.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

C.5 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.6 VAAR 852.242-71 ADMINISTRATIVE CONTRACTING OFFICER (OCT 2020)

The Contracting Officer reserves the right to designate an Administrative Contracting Officer (ACO) for the purpose of performing certain tasks/duties in the administration of the contract. Such designation will be in writing through an ACO Letter of Delegation and will identify the responsibilities and limitations of the ACO. A copy of the ACO Letter of Delegation will be furnished to the Contractor.

C.7 52.212-5 CONTRACT TERMS AND CONDITIONS REQUIRED TO IMPLEMENT STATUTES OR EXECUTIVE ORDERS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (JAN 2025) (DEVIATION FEB 2025)

(d) Comptroller General Examination of Record. 5. BACKGROUND:

This contract is to furnish all necessary labor, materials, parts and transportation in order to perform Maintenance of Reverse Osmosis (RO) Systems and Exchange of Deionized (DI) Water Tanks at the VA San Diego Medical Healthcare Center (SDVAHCS).

6. EXACT LOCATIONS FOR SERVICE:

a. Places of performance and Reverse Osmosis Systems to be serviced in this SOW will include but not be limited to:

1) VA San Diego Building 1, Room 1242 – Barnstead Thermolyze

2) VA San Diego Building 2, Boiler Plant – Two Reverse Osmosis Units & Calibration of Meter

3) VA San Diego Building 1, Basement B251, Mechanical Room, Reverse Osmosis Units

4) VA San Diego Building 1, Basement B171B, Sterile Processing Service, Reverse Osmosis Units

5) VA San Diego Building 1, 6129 South and other Rooms in 6 South, Research, Reverse Osmosis Units

7. GENERAL REQUIREMENTS:

a. Labor, Materials, and Parts Procedures:

1) Contractor shall provide VA staff with a breakdown report for material and parts expenditures.

2) Provide VA staff with a list of any required parts for future work on a weekly basis and provide recommendations, guidance, inventory and expenditure reports for supplies and labor.

3) Provide all professional advice/guidance, parts, materials, equipment, and personnel.

4) Provide invoices prior to submitting to Tungsten at the end of each month. The invoice shall be broken down by labor, materials, and parts.

b. Services Under this Full-service Contract Include but are not limited to:

1) Full-Service Maintenance Service, Preventative monthly maintenance inspections.

2) (PMI’s), & Intervening service calls for Government-owned Reverse Osmosis Water Systems.

3) Rental and maintenance of hot & cold-water softener units.

4) Rental and exchange of Deionized Water Tanks.

5) Normal service requirements consist of monthly scheduled preventative maintenance inspections, to be accomplished in accordance with the specifications, as well as any applicable manufacturer’s instructions. Normal service requirements will also include all necessary intervening service calls required between inspections to repair any worn or defective parts needed due to equipment failure.

c. Preventative Maintenance Inspection – Reverse Osmosis Water Systems:

1) All Work performed shall be accomplished in accordance with manufacturer’s instruction including, but not limited to, adjustments, calibrations, cleaning, lubrication, testing, disassembly, check-out, replacement of worn or defective parts, required to keep to equipment in optimum operating condition. Cleaning and disinfection shall be done quarterly.

2) Monthly Preventative Maintenance Inspections for the Reverse Osmosis Water Systems shall include by not be limited to:

A. Replace softener tanks as needed.

B. Replace salt for brine rank. (Note: Salt level not to exceed two grains per gallon (GPG). (IAW AAMI 2001 Standards). Delivery to patient area 0.00 Milligrams per Liter (mg/L).

C. Check UV Lamp. (Replace @8000 hours).

D. Check UV Lamp Sleeve on as-needed basis (during annual sanitation or during replacement of UV lamp, or if UV lamp gauge red light comes on, or goes below manufacturers recommended limits).

E. Inspection of all gauges for acceptance range of pressure drops. When the pressure drops indicate a potential problem with the component(s) between two (2) consecutive gauges (hi/Low Sanitation) these components are to be exchanged, replaced, or back flushed as appropriate.

F. Routine physical cleaning of thin film composite membranes as needed.

G. RO membrane replacement, as needed to maintain proper rejection rates.

H. Quality of water from RO Water System is to be maintained above 90%.

I. Periodic laboratory analysis of products water for total dissolved solids, Maximum acceptable level of feed water is total dissolved solids (TDS) 600 PPM.

J. Expected quality of the RO product water shall be 90% or better than the feed water.

K. Change all filter elements, as needed (excluding 2-micron post filters).

L. Exchange on each Chloramine Removal Carbon Unit per calendar month as needed (when total chlorinate is 0.09 ppm or >). Each replacement unit shall be full and contain low fine virgin carbon with a minimum iodine number of 900. Replacement tanks shall also have a gravel underbed. All tanks shall be labeled with this information and this information shall also be provided on the service report.

M. Annual membrane exchange for RO systems.

1) In addition to Monthly PMI’s the contractor shall conduct the following services:

a. Perform Diagnostics Test of Program Logic Controller semi-annually.

b. Monitor chemical contaminants yearly. Contaminants should not exceed the AAMI maximum levels of chemical contaminants as listed below:

c. Furnish detailed Field Service Report on each service call to the Contracting Officer’s Technical Representative (COTR). Report to include the following information:

a) Reject flow rate, each RO unit

5. Pressure Readings

a) Prefilter in/out

b) Carbon Filters in/out

c) Reverse Osmosis unit feed pressures

d) Delivery pump discharge pressure

e) Post filter in/out

f) Softeners in/out

g) 5 um filters in/out pre GAC’s

h) 0.2 um filters in/out storage tank

6. Check for proper operation of:

a) UV water sterilizer

b) Water softeners (timer and regeneration times recorded)

c) Stand-by delivery pump

d) City water booster pump

e) Quality monitor (calibrate if needed)

f) RO quality monitor gauges

g) The COTR will monitor systems per logbook

d. Rental Tanks: The Contractor’s rental tanks shall be high quality mixed-bed resin tanks and high-quality carbon filtration.

e. Tank Exchange: Contractor will exchange filter tanks as scheduled, and/or as needed, within 24 hours of notification by the COTR or his designee. The estimated rate of tank exchange will be as necessary to maintain the deionized water in accordance with the current AAMI standards.

f. Salt Delivery: Contractor shall provide monthly deliveries of rock salt for the RO Systems in the amount of approximately 15 Tons every other month starting from the first month of service.

g. Regeneration of Government-Owned Deionized Water Flat Banks – VA San Diego: Contractor shall provide service required to regenerate four (4) Government-owned deionize waterflat banks per month which includes twelve (12) 3.6 cu. Ft. tanks, 14” units. Three (3) Government owned banks (3 tanks = 1 bank) shall be exchanged at a time with one (1) bank on stand-by. Four banks will be exchanged approximately once per month. The COTR will inform the Contractor when a bank of tanks to be exchanged. At no time shall the Contractor substitute his bank of tanks for the Government-owned tank that is in the process of being regenerated. The Contractor will pick-up the bank that needs regeneration, transport it to his shop, regenerate the bank and immediately (within 2-3 days) return the tank back to the VA facility.

h. Repairs:

1) Troubleshooting: Which includes diagnosing, tracing, and locating to identify cause of failure in a manner which minimizes impact to patient care and maintains a safe environment for all.

2) Arrange time/date repair minimizes impact to patient care.

3) Complete repair utilizing materials and parts that meet or exceed all applicable VA requirements/standard.

4) Test and commission the system to ensure the repaired system is operating as designed/required to function to meet or exceed VA requirements/standards.

5) Return the system to operation notifying all applicable units served by the equipment in accordance with all applicable VA requirements/standards.

6) Provide all appropriate service report documentation to include parts used and warranty information.

i. Unscheduled Maintenance (Emergency Repair Service):

1) Contractor shall provide all replacement parts, installation, calibration, labor, and travel necessary to bring the listed equipment to manufacture operating specifications.

2) Only the CO, COR, or designated alternate has the authority to approve/request an unscheduled service call to the Contractor.

3) Response Time – Contractor’s technician or technical support shall respond with a phone call to the COR or designee within one (1) hour after receipt of telephoned notification. A qualified technician must respond on-site a maximum of eight business (8) hours after of the initial request for service, unless specified otherwise by the COR.

4) Equipment shall be restored to full service within a timeframe approved by the COR or designee. Full service is defined as the successful replacement of defective parts with parts that meet or exceed the manufacturer's original specifications and meets or exceeds the government’s expectations.

5) Technicians responding for unscheduled emergency service must report to the appropriate Shop Supervisor, Central Plant Supervisor, or designee (after hours). Upon completion of service/repair the technician shall again report to that person and provide all appropriate service report documentation.

8. CONTRACTOR QUALIFICATIONS AND OTHER RESPONSIBILITIES:

Contractor shall obtain all necessary licenses required to perform this work. Contractor shall take all precautions necessary to protect persons and property from injury or damage during the performance of this contract. Contractor shall be responsible for any injury to himself/herself, his/her employees, or others, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by him/her or his/her employees’ fault or negligence. Contractor shall maintain personal liability and property damage insurance prescribed by the laws of the Federal Government. The Government reserves the right to accept or reject Contractor’s employee for the rendering of services. Complaints concerning Contract Personnel’s performance or conduct will be dealt with by the Contractor and COR with the final decision being made by the Contracting Officer.

9. SAFETY REQUIREMENTS:

a. All personnel employed by the Contractor in the performance of this contract, or any representative of the Contractor entering on VASDHS shall comply with applicable Federal, State, and VA safety and fire regulations and codes, which are in effect during the performance period of the contract.

b. Contractor shall perform work in strict accordance with existing relevant, accredited standards and codes to minimize the possibility of injury to personnel, or damage to Government equipment. Every effort shall be made to safeguard human life and property.

c. Contractor shall comply with all applicable Federal, State, and local requirements regarding workers’ health and safety. The requirements include, but are not limited to, those found in Federal and State Occupational Safety and Health Act (OSHA) statutes and regulations, such as applicable provisions of Title 29, Code of Federal Regulations (CFR), Parts 1910 and 1926, NFPA 70E, Article 130.7 29 CFR 1910.132(d)(1)(iii), 29CFR1910.137.

d. Contractor shall provide all necessary tools, and Personal Protective Equipment (PPE) to perform the work safely, effectively, and timely.

e. The VAMC San Diego building 1, main building, contains asbestos. Any worker entering these asbestos containing areas must have an asbestos certification of no less than 16 hours and a valid fit test certification. Certifications must be presented to the VA project manager before any work in an asbestos area may begin.

10. CHANGES:

The awarded Contractor is advised that only the Contracting Officer, acting within the scope of the contract has the authority to make changes which affect the contract in terms of quality, quantity, price, or delivery. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment shall be made in the contract price to cover any increase in costs incurred as a result thereof.

11. VA POLICY:

Possession of weapons is prohibited. Enclosed containers, including tool kits, are subject to search. Violations of VA regulations may result in citations answerable in the United States (Federal) District Court.
