The amendment provides additional specifics to the overall requirement described within the sections as follows:

--Section A. Scope - Edit to start date of optional preventative maintenance and service, if exercised.

--Section C. Solicitation Provisions - added certification status to be acknowledged/completed by offeror.

--Section D. Additional Offeror Instructions - Requirement additions and edits for clarification, including extended due dates for submitting questions and offers--Other edits as required are contained within, refer to attached pages.

Offeror submissions shall now reference in the email subject heading # 36C26222Q0218 0001 and must return a signed copy of this amendment with fields completed in its entirety. Please refer to attached pages.

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.

The solicitation number 36C26222Q0218 0001 is issued as a Request for Quotation (RFQ).

The provisions and clauses in this document are in effect through the Federal Acquisition Circular 2021-07.

This solicitation is being administered under full and open competition to award to a responsible and capable source offering the best value to the US Government.

Offerors are encouraged to read the entire solicitation as all instructions are contained herein.

A. Scope.

The US Government needs Two (2) Single Sample Osmometers with an Option for a Preventative Maintenance/Service Plan; The preventative maintenance/service option plan is for four (4) Option Years.

(a) Equipment. Advanced Model Osmo1* Single Sample Osmometer:

Brand Name Salient Characteristics (See Provisions Incorporated by Reference)

1. Must have ability to read two-dimensional barcodes with ten (10) digits.

2. Must use freezing-point methodology.

3. Must be able to run serum and urine fluid types.

4. Must produce readings from low sample volume less than <250 uL.

5. Must accurately report values between 100 to 2000 mOsm/kg.

6. Must be able to perform up to ten (10) analyses per 24 hours.

7. Must produce results within 5 minutes.

8. Must transmit patient and quality control results to Laboratory Information Systems and Data Innovations.

9. Quality control check must not be required more than once every 24 hours.

10. Must meet maintenance requirements according to industry standard; calibrations only required semi-annually or during troubleshooting procedures.

11. Overall footprint/dimensions must not exceed 2’ x 2’, width and depth.

12. Standard equipment requirements for hospital laboratory operations in the US.

(b) Warranty. One-year standard comprehensive manufacturer warranty coverage. Warranty period begins upon complete installation ready for operational use.

(c) Additional Requirements. One-year supply of protein-based and urine osmolality controls.

(d) Labor. Contractor shall provide all labor, materials, equipment, supervision, transportation, licenses, and required certifications to accomplish the work associated with the preventative maintenance (PM) and servicing of equipment covered under the contract.

(e) Installation. Complete installation and required validation (consumables included), for operational use. Installation shall be scheduled accordingly.

(f) Training. On-site training/orientation for operational use (training materials included); Training shall be scheduled accordingly.

(g) Option Year for PM/Service. Option to start the first year of PM and service is at the start of Option Year One (1), if exercised.

PM services shall be provided during the contract period. The scheduling of PM services shall be coordinated with the Contracting Officer Representative (COR) or designated appointee. PM services shall be performed in a manner which clearly demonstrates meeting or exceeding all manufacturer technical performance specifications.

PM and services shall include, but not limited to the following:

· Annual on-site preventative maintenance

· Onsite repairs and repair parts covered

· Unlimited phone support

· Loaner instrument covered

(h) Place of Delivery/Performance. Delivery of initial provisioning shall occur within 45 days after award to the following FOB destination:

B. Clauses.

52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021); (Incorporated by Reference) ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following clauses are incorporated into 52.212-4 as an addendum to this contract:

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

Material shall be packed for shipment in such a manner that will insure acceptance by common carriers and safe delivery at destination. Containers and closures shall comply with regulations of carriers as applicable to the mode of transportation.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(i) An “established catalog price” is a price included in a catalog, price list, schedule, or other form that is regularly maintained by the manufacturer or the offeror, is either published or otherwise available for inspection by customers, and states prices at which sales currently, or were last, made to a significant number of buyers constituting the general public.

(ii) An “established market price” is a current price, established in the usual course of trade between buyers and sellers free to bargain, which can be substantiated from sources independent of the manufacturer or offeror; and

(3) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract are the same as that used for these employees and equivalent employees servicing the same equipment of commercial customers.

(b) Certification by the offeror as to its compliance with respect to the contract also constitutes its certification as to compliance by its subcontractor if it subcontracts out the exempt services. If the offeror certifies to the conditions in paragraph (a) of this provision, and the Contracting Officer determines in accordance with FAR 22.1003-4(c)(3) that the Service Contract Labor Standards statute -

(1) Will not apply to this offeror, then the Service Contract Labor Standards clause in this solicitation will not be included in any resultant contract to this offeror; or

(2) Will apply to this offeror, then the clause at 52.222-51, Exemption from Application of the Service Contract Labor Standards to Contracts for Maintenance, Calibration, or Repair of Certain Equipment - Requirements, in this solicitation will not be included in any resultant contract awarded to this offeror, and the offeror may be provided an opportunity to submit a new offer on that basis.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: Price

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
