B.2 EQUIPMENT SALIENT CHARACTERISTICS

SURGICAL SCOPE LEASING

1. LEASE EQUIPMENT SPECIFICATIONS: The following equipment shall be made available for lease:

Digital Capture Device

• Must be able to connect and control camera, light source, arthroscopic shaver, arthroscopic

RF, and arthroscopic pump.

• Must be able to control interface through camera head in the surgical field—surgeon can control connected clinical devices directly from the camera head.

• Must be able to display critical device status onto surgical monitors: Connects to each clinical device (arthroscopic shaver, pump, RF generator, light source, camera), and displays critical device status on the surgical monitor being used in the sterile field.

• Must have device status display options (pump and insufflation preset pressure, pump and insufflation actual pressure, camera and light source light levels, arthroscopic shaver RPM’s, arthroscopic shaver resection mode, digital capture disc usage and recording formats).

• Must be able to customize printing, saving, and clinical device setup/control for each surgeon with user profiles.

• Must have the Integrated Surgical Timeout feature: Pre-loaded with standard surgical timeout requirements, customizable per facility, displays surgical timeout questions on all monitors displayed.

• Must enable electronic documentation of surgical timeout feature and full-staff participation, and saved to the patient’s electronic file.

• Must store surgeon profile settings for:

Surgical Camera

Must be High Definition video with 1920x1080p native resolution Must include CMOS 3-Chip camera technology designed for enhanced light sensitivity and increased patient safety Camera must have Integrated Device Control from the camera head Must have 4 Programmable buttons on the camera head to control pictures, video, and Light

Surgical Video Display

4K Surgical Display

Surgical monitor must have 4X the resolution of a 1080p image Monitor must have 4K pixel density to offer a bright, colorful viewing experience Must be 23.1 lbs. or less for easy installation in both integrated and cart-based rooms Must include multiple input options for use with a variety of visualization equipment

Light Source

Must maintain strong white light output over course of use Must be able to control over the Light Source directly from the camera head Must enable users to visualize white light, Infrared light, and ICG fluorescence Must have Integrated Infrared lighted fibers and integrated ICG fluorescence capability Must have adjustable light intensity in both white light mode and in ENV mode Must have Safelight technology designed to increase patient safety Must have intuitive capacitive LED touch screen user interface Must be indicated for use to provide real-time endoscopic visibility and near-infrared fluorescence imaging Must enable surgeons to perform minimally invasive surgery using standard endoscopic visible light Must provide enhanced visual assessment of vessels, blood flow and related tissue perfusion, in addition to bile duct visualization with the use of near-infrared imaging

Insufflator

Must have 6 Unique Operating Modes dedicated to surgical specialties. Each operating mode utilizes pressure settings and flow rates designed to maintain stable pneumoperitoneum.

Must have Integrated Smoke Evacuation to provide consistently clear images through a smart inflow and outflow management system, designed to maintain stability while actively evacuating smoke.

Must include four controlled levels of smoke evacuation that filter out 99.999% of all particles greater than 0.1 micrometer help protect patients and staff from the harmful carcinogens found in surgical plume.

Must have Integrated Heating and Humidification: Gas heating allows CO2 to warm to core body temperature before entering the patient, designed to minimize laparoscope fogging

Must have the ability to control connected devices, including the insufflator, from the sterile field using the camera head, remote control, touch panel, and voice control headset. This includes control over insufflator flow rates, pressure settings, and smoke evacuation levels.

Evacuation Chair

Chair must be intended for evacuation in case of emergency.

Chair must be able to hold 500 pounds going down stairs and be lifted up stairs (with lighter patients) if necessary.

Chair must have tracks able to descend stairs and resist acceleration while under full capacity.

Chair must have handles behind patient and extendable handles at patient’s feet to allow 2 or more people to help with evacuation.

Chair must have safety straps to hold patient on chair.

Chair must keep patients in safe, comfortable sitting position when rolling on a flat floor or when descending stairs.

Seat must be at a height similar to or slightly lower than wheelchair height to allow easy self-transfer from a wheelchair.

Must have cover and ability to hang on wall for storage.

Chair must have foot support that provides additional passenger security and stability, is easy to clean and decontaminate, and maintains compact footprint for maneuverability in tight spaces.

B.3 SURGICAL SCOPE LEASING STATEMENT OF WORK

3. SCOPE OF WORK: The contractor shall provide surgical equipment to the VA Greater Los Angeles Healthcare System under a lease agreement for the purpose of patient care for our Veterans.

4. PERFORMANCE PERIOD: This is a firm-fixed contract. The period of performance will be established upon acceptance and will consist of a base year plus four (4) option years.

Estimated start of Base Year is September 29, 2018 to September 28, 2019.

5. VA SAN DIEGO HEALTHCARE SYSTEM LEASE SUMMARY

The purpose of this contract is to make minimally invasive endoscopic video equipment and power tools available for surgical procedures in the operating room at the VA San Diego Healthcare System. This equipment is necessary to visualize, display, record and store images and video during minimally invasive scope cases, as well as be used for drilling, reaming, cutting, pinning, or burring during surgeries.

This equipment is used in the Operating Room for inpatient procedures and it is necessary to perform the following types of procedures:

Laparoscopy Arthroscopy Cystoscopy Hysteroscopy Thoracoscopy

ENT

Ortho Trauma General Podiatry Sports Spine

This equipment is being used in the operating and surgical room. There are no alternative devices in the hospital that would allow surgeons to perform any of the above procedures.

B.4 SERVICE MAINTENANCE STATEMENT OF WORK

Government-leased Endoscopy Equipment Repair and Maintenance Service

1. PREVENTIVE MAINTENANCE INSPECTIONS AND INTERVENING SERVICE

CALLS

a. The Contractor shall provide all labor, supplies, parts, supervision and materials required to repair and maintain leased Endoscopes and Communications equipment. The Contractor shall provide a full time, on-call, on-site, factory trained and certified field technician to perform repairs, maintenance, and diagnostics in accordance with the original equipment manufacturer (OEM) service manuals, specifications and recommendations.

b. The full-service contract shall include repair, exchange, and maintenance on each unit, plus needed repairs during the term of the contract, excluding misuse or abuse of the scope; equal or equivalent to the manufacture’s preventive maintenance service coverage.

The full-service contract requires repairs, maintenance, and diagnostic assessments to be conducted by no individual other than a endoscope and communications trained and certified field technician.

c. The full-service contract requires the endoscope and communications trained and certified field technician to be available and on-site

1) Monday through Friday (during normal business hours),

2) Monday through Friday after normal business hours (as required by surgical case load)

3) On call and readily available Monday through Sunday.

d. The equipment must remain in good working condition as (VA Greater Los Angeles Healthcare System) VAGLAHS is dependent on patient results within a limited agreed upon time. All services performed shall be provided by a endoscope and communications trained and certified field technician. All preventative maintenance and repair services shall be performed in accordance with original manufacturer’s specifications/service manual.

e. Replacement parts shall be furnished on an exchange basis at the contractor’s expense and shall be a new part or reconditioned part equivalent to new. Replaced parts become the property of the contractor.

2. PERIOD OF PERFORMANCE: Base year with 4 option years.

3. LOCATION OF WORK: (VAGLHS), 11301 Wilshire Blvd. Los Angeles, CA. 90073

4. PREVENTIVE MAINTENANCE (PM) AND INTERVENING SERVICES: PM and

Intervening services shall include, but not limited to the following:

a. All labor, parts, equipment/instruments, and travel are all inclusive for scheduled and unscheduled services

b. Setting up any Products leased/purchased by the VAGLAHS identified in the list under line item one (1), Scope of Work

c. Annual preventative maintenance in accordance with Original Equipment Manufacturer

(OEM) specifications and service manual

d. Scheduled services to perform OEM’s Periodic Manufacturer’s Certification solely by a endoscope and communications trained and certified field technician

e. Use of OEM parts only

f. Unlimited on-site repair services solely managed by a endoscope and communications trained and certified field technician

g. Diagnostics checks

h. An unlimited number of repairs of Service equipment

i. Loaner of Equipment

j. Train the VAGLAHS personnel and surgeons on how to use any products leased/purchased by VAGLAHS

5. PARTS:

a. The contractor shall furnish replacement parts meeting or exceeding the original equipment manufacturer (OEM) specifications.

b. Replaced parts are to be disposed of by the contractor after obtaining approval from the

COR, except for hard drives that have the capability of storing sensitive information.

They must be disposed of according to local Facility Policy and with the information Security Officer (ISO) concurrence.

c. Operating and consumable supplies are not part of this contract. Replaced parts covered by the Preventive Maintenance Inspection or intervening services shall be itemized as a no-charge item on the Contractor’s invoice and shall be identified by the part listed on the manufacturer’s schematics or part list.

d. The contractor shall have sufficient supply in stock or be able to obtain all parts required for work under this contract. The contractor shall have complete service documentation, including necessary manuals and schematics.

e. Unserviceable parts shall be replaced by the contractor on an exchange basis within eight

(8) hours which includes labor to install replacement part are included.

f. Part numbers as shown on the manufacture schematics/parts list will identify all parts that are replaced. All newly installed replacement parts become the property of the Government. Any worn defective parts will be replaced free of any charges.

g. When parts are required and are not covered by Preventive Maintenance and have intervening services, such needs shall be identified to the COR along with an estimate of charges. The COR will evaluate these needs and request through the Contracting Officer appropriate action(s). These parts shall be installed under a separate purchase order.

Such documentation may include:

i. Copies of supplier invoices for parts furnished to the Government;

ii. Records of payment to suppliers;

iii. Documentation or written Quotations for parts;

iv. Other documentation that shows that parts were obtained at the lowest cost available.

SECTION C - CONTRACT CLAUSES

C.1 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS

(NOV 2012)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001.

(2) Designated agency office has the meaning given in 5 CFR 1315.2(m).

(3) Electronic form means an automated system transmitting information electronically according to the

Accepted electronic data transmission methods and formats identified in paragraph (c) of this clause.

Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests.

(4) Invoice payment has the meaning given in FAR 32.001.

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System. (See Web site at http://www.fsc.va.gov/einvoice.asp.)

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

The X12 EDI Web site (http://www.x12.org) includes additional information on EDI 810 and 811 formats.

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances below, the contracting officer directs that payment requests be made by mail, the contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for:

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items.
