STATEMENT OF WORK (SOW)-Contractor Cost Per Test

1. INTRODUCTION

The VA Southern Nevada Healthcare System (VASNHS) Pathology and Laboratory Service located at 6900 North Pecos Road, North Las Vegas, Nevada 89086 has a requirement for Clinical Laboratory Immunohistochemistry (IHC) and in-situ hybridization (ISH) Analyzer - Automated system for staining and accurate analysis, data review, and reporting of IHC/ISH test results.

2. BACKGROUND

VA Southern Nevada performs Cost Per Test services for Immunohistochemistry (IHC) and in-situ hybridization (ISH) using an Automated analyzer system for staining and accurate analysis, data review in order to report of IHC/ISH test results.

3. SCOPE OF WORK

The contractor shall be responsible for training and supplying all reagents, standards, quality controls, supplies, consumable/disposable items, parts, accessories and any other item required for the proper operation of the Contractor’s equipment and necessary for the generation of a patient reportable IHC/ISH test results.

4. QUALIFICATIONS

4.1 The contractor must be accredited by the College of American Pathologists (CAP).

4.2 The contractor must be accredited and certified by the Clinical Laboratory Improvement Act (CLIA).

4.3 The contractor must meet all regulatory requirements.

4.4 The contractor must be registered with the United States Centers for Disease Control and Prevention’s (CDC’s) International Reagent Resource (IRR).

4.5 The contractor must provide a copy of any accreditation(s) and/or certification(s) and/or registration(s) requested by the contracting officer within five (5) workdays of the request.

5. SPECIFICATIONS

5.1 The contractor shall maintain the Contractor Ventana analyzers placed within Anatomic Pathology.

5.2 Service coverage for instrument shall be provided:

· Routine PM will be scheduled through the vendor 2x per year.

· 24/7 telephone trouble shooting shall be available.

· Filed service support (on-site) shall be available during normal business hours, Monday through Friday, and shall respond within one hour of a request being made.

5.3 All parts and upgrade will be made available at no cost to the government.

5.4 The supplies will be shipped on an as needed basis.

5.5 Additional supplies, if needed, may be purchased at a discounted price.

5.6 Supplies will be shipped directly to the laboratory at the direction of the primary point of contact located at each facility.

5.7. Training shall also be included for use of the instruments.

5.9. Hours of operations:

· Normal tour-of-duty hours at the VASNHCS are 7:30 am to 4:30 pm, Monday through Friday, excluding Federal holidays. There may be instances in which the vendor’s workday may be outside of this period. The vendor is required to coordinate these times with the designated Program Manager.

· In accordance with 5 U.S.C. 6103, Executive Order 11582 and Public Law 94-97 the following national holidays are observed and for the purpose of this contract are defined as “Legal Federal official holidays”

5.10 Travel

· All travel shall be responsibility of the vendor.

· Whenever possible, conference calls and video conferencing should be used.

5.11 The Contractor is required to provide a continuously stocked inventory of reagents, standards, controls, supplies, disposables and any other materials required to properly perform tests on the equipment such that equipment operations are not interrupted. These items shall be of the highest quality, sensitivity, specificity and tested to assure precision and accuracy. Expiration date must be clearly marked on reagent, standards and control containers. Unexpected changes in methodology/technology shall be at the expense of the Contractor. Alert/Notification of any delays in shipment as well as any or all technical advisory/recalls/alerts shall be made in a timely manner.

5.12 Special handling for emergency orders of supplies: In the event that the supplies are found to be defective and unsuitable for use with the Contractor’s equipment, or the Contractor has failed to comply with the requirements for routine supply delivery, the Contractor is required to deliver the supplies within 24 hours of receipt of a verbal order for emergency delivery. If either circumstance has occurred, the Contractor shall deliver to the Government site in the most expeditious manner possible without additional cost to the Government, the necessary consumables in sufficient quantity as required to allow operation of the Contractor’s equipment for one week (under normal Government test load volume). If additional requests for emergency supply delivery are required by the Government, they shall be honored by the Contractor until the arrival at the laboratory of the monthly standing order/routine supplies delivery.

6. ORDERS, PACKAGING AND MARKING, AND DELIVERIES

6.1 ORDERS

6.1.1 The CO, COR(s), alternate COR(s), or other authorized VA employee(s) are the only individuals authorized to place orders.

6.1.2 Orders may be placed via e-mail, electronic data interchange (EDI), facsimile, telephone, in hardcopy format, or in any other manner consistent with accepted commercial business practices. Each individual order will describe the tasks, services, and/or deliverables required. The contractor shall have the ability to receive orders via email, telephone, and facsimile transmission, and shall provide the applicable email address and fax number below. The contractor shall also provide a telephone number and name/title as a point of contact (POC) for orders.

6.2 PACKAGING AND MARKING

All supplies shall be adequately packaged to prevent damage during shipping, handling and storage. Bags or packages shall be whole, intact, and not otherwise torn or damaged. Upon delivery, the Government shall examine all packages. Contractor shall be required to replace unacceptable or damaged products at the Contractor’s expense.

6.3 DELIVERIES

Contractor shall deliver all supplies and services identified in the schedule to the locations identified. The delivery location is subject to change as required by the designated authority or authorized personnel at the receiving facility. The primary facility POC shall be required to notify Contractor when delivery locations have been changed.

All deliveries shall be accompanied by a delivery ticket or sales slip which shall contain: Contractor name, BPA number, DO number, VA obligation number, date of order, date of delivery, itemized list of products furnished, including product description and quantity shipped.

All deliveries shall be made during normal working hours from 8:00 a.m. to 4:00 p.m., unless specified otherwise. Standard orders shall be delivered within no more than four (4) working days after receipt or placement of order. Emergency deliveries may be necessary on rare occasions and may occur outside of working hours from 4:00 p.m. to 8:00 a.m. Under emergency occurrences, Contractor shall deliver to the Government site in the most expeditious manner possible without additional cost to the Government, unless expedited shipping/delivery is approved by the primary facility POC, CO, or other authorized individual.

Contractor shall provide an emergency point of contact, if different from the standard points of contacts. No product substitutions shall be made by Contractor without prior approval of the treating facilities primary POC. However, if substitution would further obligate the Government, Contractor shall have approval of a warranted CO.

7. INVOICE AND PAYMENT

An itemized invoice shall be submitted at least monthly, or upon expiration of the contract, whichever occurs first, for all deliveries made during a billing period and for which payment has not been received. These invoices need not be supported by copies of delivery tickets. Invoices shall be submitted to WWW.TUNGSTEN-NETWORK.COM in accordance with FAR Part 52.232-34, Payment by Electronic Funds Transfer and Veterans Affairs Acquisition Regulation (VAAR) Part 852.232-72.

Contractor company name, address, and phone number including a POC for concerns and questions, Invoices shall name a specific person, the phone number and email in the event of an inconsistency between the terms and conditions of this BPA and Contractor's invoice, the terms and conditions of this BPA will take precedence.

9. INFORMATION SECURITY CONSIDERATIONS

9.1 Information and information system security/privacy language for inclusion into contracts as appropriate.

9.2 Contractors, contractor personnel, subcontractors, and subcontractor personnel shall be subject to the same Federal laws, regulations, standards, and VA Directives and Handbooks as VA and VA personnel regarding information and information system security.

9.3 A contractor/subcontractor shall request logical (technical) or physical access to VA information and VA information systems for their employees, subcontractors, and affiliates only to the extent necessary to perform the services specified in the contract, agreement, or task order.

9.4 All contractors, subcontractors, and third-party servicers and associates working with VA information are subject to the same investigative requirements as those of VA appointees or employees who have access to the same types of information. The level and process of background security investigations for contractors must be in accordance with VA Directive and Handbook 0710, Personnel Suitability and Security Program. The Office for Operations, Security, and Preparedness responsible for these policies and procedures.

9.5 Contract personnel who require access to national security programs must have a valid security clearance. National Industrial Security Program (NISP) was established by Executive Order 12829 to ensure that cleared U.S. defense industry contract personnel safeguard the classified information in their possession while performing work on contracts, programs, bids, or research and development efforts. The Department of Veterans Affairs does not have a Memorandum of Agreement with Defense Security Service (DSS). Verification of a Security Clearance must be processed through the Special Security Officer located in the Planning and National Security Service within the Office of Operations, Security, and Preparedness.

9.6 Custom software development and outsourced operations must be located in the U.S. to the maximum extent practical. If such services are proposed to be performed abroad and are not disallowed by other VA policy or mandates, the contractor/subcontractor must state where all non-U.S. services are provided and detail a security plan, deemed to be acceptable by VA, specifically to address mitigation of the resulting problems of communication, control, data protection, and so forth. Location within the U.S. may be an evaluation factor.

9.7 The contractor or subcontractor must notify the Contracting Officer immediately when an employee working on a VA system or with access to VA information is reassigned or leaves the contractor or subcontractor’s employ. The Contracting Officer must also be notified immediately by the contractor or subcontractor prior to an unfriendly termination.

10. Records Management.

10.1 Contractor shall comply with all applicable records management laws and regulations, as well as National Archives and Records Administration (NARA) records policies, including but not limited to the Federal Records Act (44 U.S.C. Chapters. 21, 29, 31, 33), NARA regulations at 36 CFR Chapter XII Subchapter B, and those policies associated with the safeguarding of records covered by the Privacy Act of 1974 (5 U.S.C. 552a). These policies include the preservation of all records, regardless of form or characteristics, mode of transmission, or state of completion.

10.2In accordance with 36 CFR 1222.32, all data created for Government use and delivered to, or falling under the legal control of, the Government are Federal records subject to the provisions of 44 U.S.C. chapters 21, 29, 31, and 33, the Freedom of Information Act (FOIA) (5 U.S.C. 552), as amended, and the Privacy Act of 1974 (5 U.S.C. 552a), as amended and must be managed and scheduled for disposition only as permitted by statute or regulation.
10.3In accordance with 36 CFR 1222.32, the contractor shall maintain all records created for Government use or created in the course of performing the contract and/or delivered to, or under the legal control of the Government and must be managed in accordance with Federal law. Electronic records and associated metadata must be accompanied by sufficient technical documentation to permit understanding and use of the records and data.

10.4 The VA Southern Nevada Healthcare System (VASNHS) and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Records may not be removed from the legal custody of VASNHS or destroyed except for in accordance with the provisions of the agency records schedules and with the written concurrence of the Head of the Contracting Activity. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701.

10.5 In the event of any unlawful or accidental removal, defacing, alteration, or destruction of records, the contractor must report to VASNHS. The agency must report promptly to NARA in accordance with 36 CFR 1230.

10.6 The contractor shall immediately notify the appropriate Contracting Officer (CO) upon discovery of any inadvertent or unauthorized disclosures of information, data, documentary materials, records or equipment. Disclosure of non-public information is limited to authorized personnel with a need-to-know as described in the contract documents. The contractor shall ensure that the appropriate personnel, administrative, technical, and physical safeguards are established to ensure the security and confidentiality of this information, data, documentary material, records and/or equipment is properly protected. The contractor shall not remove material from Government facilities or systems, or facilities or systems operated or maintained on the Government’s behalf, without the express written permission of the Head of the Contracting Activity. When information, data, documentary material, records and/or equipment is no longer required, it shall be returned to VASNHS control or the contractor must hold it until otherwise directed. Items returned to the Government shall be hand carried, mailed, emailed, or securely electronically transmitted to the CO or address prescribed in the contract documents. Destruction of records is expressly prohibited unless in accordance with Paragraph (4).

10.7 The contractor is required to obtain the CO's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, contracts. The contractor (and any sub-contractor) is required to abide by Government and VASNHS guidance for protecting sensitive, proprietary information, classified, and controlled unclassified information.

10.8 The contractor shall only use Government IT equipment for purposes specifically tied to or authorized by the contract and in accordance with VASNHS policy.

10.9 The contractor shall not create or maintain any records containing any non-public VASNHS information that are not specifically tied to or authorized by the contract.

10.10 The contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected from public disclosure by an exemption to the FOIA.

10.11 VASNHS owns the rights to all data and records produced as part of this contract. All deliverables under the contract are the property of the U.S. Government for which VASNHS shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest. Any contractor rights in the data or deliverables must be identified as required by FAR 52.227-11 through FAR 52.227-20.

10.12 Training. All contractor employees assigned to this contract who create, work with, or otherwise handle records are required to take VHA-provided records management training. The contractor is responsible for confirming training has been completed according to agency policies, including initial training and any annual or refresher training.

10.13 Flow down of requirements to Subcontractors:

10.13.1 The contractor shall incorporate the substance of this clause, its terms and requirements including this paragraph, in all subcontracts under this contract document, and require written subcontractor acknowledgment of same.

10.13.2 Violation by a subcontractor of any provision set forth in this clause will be attributed to the contractor.
