DEFINITIONS
Composting. Processing materials into a product through controlled biological decomposition of organic wastes.
Compostable. Source-separated organic discards (green waste, food discards, food-soiled paper) that may be safely and timely composted using industry-standard composting processes. Compostable shall not be considered as Trash.
Container. Any cart, bin, compactor, or other container of any type serviced by Contractor.
Contamination. Any material other than Recyclables in a Container designated for Recyclables, and any material other than Compostable in a material designated for Compostable.
Diversion. Activities that reduce the disposal of Refuse onto land or to incineration or high-temperature conversion.
Diversion Discount. The discount to promote diversion that Contractor and its affiliates offer generally to Apartment, and Commercial customers in San Francisco, as part of the Uniform Rates. Contractor shall calculate the Diversion Discount for each VA location and apply it to the amounts otherwise payable hereunder, in accordance with Contractor’s standard practices relating to the Diversion Discount. The current Diversion Discount is calculated as follows:
(Recyclables + Compostable Volume) (Recyclables + Compostable + Trash Volume)
–
25%
=
Diversion Discount
For example, if a location were subscribed for 1 cubic yard per week for each of Recyclables, Compostable and Trash, the Diversion Discount would equal (1 + 1) / (1 + 1 + 1) – 25% = 66.67% – 25% = 41.67%.
Hazardous Material. Any waste or material defined or characterized as a “hazardous substance,” “hazardous waste,” “hazardous material,” “toxic substance,” “universal waste,” or similar term under any applicable federal, state, or local law, rule, or regulation, or by any regulatory authority having jurisdiction over Contractor’s operations under this Agreement.
Medical Waste. Any waste or material that may reasonably be considered infectious, pathological, or biohazardous, originating from hospitals, clinics, laboratories, medical, veterinary or pharmaceutical facilities, mortuaries or similar facilities, excluding any such waste that Contractor determines to be noninfectious, non- pathological, and non-biohazardous.
Overages. Refers to Containers that are overfilled such that their lids will not close; materials placed outside the Container; or other excess material that exceeds the capacity of the customer’s subscribed-for Container volume.
Recycling. Sorting, cleansing, treating, and reconstituting materials that would otherwise be disposed of and returning them to the economic mainstream in the form of raw materials for new, reused, or reconstituted products which meet the quality standards necessary for use in the marketplace. Recycling does not include incineration, pyrolysis, distillation, gasification, or other high-temperature conversions.
Recyclables. Source-separated materials able to be Recycled, and shall include, but not be limited to, glass, metals, plastics, or unsoiled paper. Recyclables shall not be considered as Trash.
Refuse. All waste and discarded materials from dwelling places, households, apartment houses, stores, office buildings, restaurants, hotels, institutions, and all commercial establishments, including without limitation waste or discarded food, animal and vegetable matter from all kitchens thereof, waste paper, cans, glass, ashes, boxes, cuttings from trees, lawns, and gardens, and debris and waste construction materials including wood, brick, plaster, glass, cement, wire, and other ferrous materials derived from the construction of or the partial or total demolition of buildings or other structures. For the avoidance of doubt, “Refuse” includes without limitation all solid waste, Recyclables, and Compostable, other than Hazardous Waste and Medical Waste.
Trash. Refuse other than Recyclables and Compostable.
Uniform Rates. The rates charged by Contractor and its affiliates generally to customers in San Francisco, as in effect from time to time. Under the Uniform Rates, there are separate rate schedules for three (3) categories of customers: Residential, Apartment and Commercial. The current Uniform Rates are set forth in Exhibit A. The Uniform Rates are structured such that per-Container rates are the same regardless of Container type (Trash, Recyclables, Compostable) but are adjusted by the Diversion Discount. Unless otherwise expressly provided, all services provided by Contractor will be on a subscription basis at the then-applicable Uniform Rates for Commercial customers. The Uniform Rates generally increase by a cost of living adjustment every July 1st. Non-Uniform Rates such as C&D roll-off boxes increase on January 1st or July 1st.
CONTAMINATION & OVERAGES MANAGEMENT
Contractor implements a system of City-approved fees for Contamination and Overages designed to encourage recycling, ensure that each customer is subscribed to the correct service level, and cover the extra costs that Contractor incurs due to Contamination and Overages. This system is designed so that, if the customer properly separates Recyclables and Compostable from Trash and has a subscription for enough Container volume to handle all their material, no fees will be charged. The fees are as follows:
a. If a Recyclables or Compostable Container appears to contain more than 5% by volume of non- Recyclables or non-Compostable, respectively, then the Container is considered “contaminated.” Contractor will follow the following protocol for contaminated Containers:
(i) On the 1st and 2nd instances of a contaminated Container at a VA site, Contractor will collect the Container at no charge to the VA and will send a notice letter to the VA informing it of the Contamination at the site.
(ii) On the 3rd instance of a contaminated Container at the site, Contractor will collect the Container at no charge to the VA and will send a warning letter to the Director of Facilities, to inform him/her of the Contamination at the site and that a Contamination Fee will begin to be charged if the Contamination is not addressed.
(iii) The warning letter will remain in effect for 6 months. If a 4th instance of a contaminated Container at the site does not occur within 6 months of the date of the warning letter, then the warning letter will lapse, and any subsequent instance of a contaminated Container at the site will be treated as if it were the 1st instance.
(iv) If a 4th instance of a contaminated Container at the site occurs within 6 months of the date of the warning letter, then Contractor will begin charging a recurring Contamination Fee equal to 50% of the Trash rate for the same-size Container collected at the same frequency, with no Diversion Discount. The fee will be added to the bill for each subsequent collection of that Container until removed in accordance with paragraph
(f) below. If not removed, the fee may be increased to 75% of the applicable Trash rate after 6 months, and 100% of the applicable Trash rate after 12 months. If the fee is removed, and a subsequent instance of a contaminated Container at the site occurs while the warning letter remains in effect, then the fee will be reinstated (with a notice letter to the VA) until removed in accordance with paragraph (f) below.
b. If a Recyclables or Compostable Container is so contaminated that it must be collected as Trash, or if a Compostable Container contains pervasive glass (regardless of volume), then the Container will be collected as Trash, and a per-occurrence fee equal to the Trash “extra” rate for the same-size Container will be charged. This fee is separate from and in addition to the Contamination Fee described in paragraph (a).
c. Contractor’s practice is not to collect any Container that contains any amount of Hazardous Material, Medical Waste, Electronic Waste, or other material that is prohibited from being disposed of in the solid- waste stream. However, if a Container is inadvertently collected that contains prohibited material, a fee equal to the Trash “extra” rate for the same-size Container will be charged.
d. If a Trash Container is contaminated with an excessive number of Recyclables or Compostable (usually over 50%), Contractor will begin charging a recurring fee equal to 50% of the Trash rate for the same- size Container collected at the same frequency, with no Diversion Discount. Before charging this fee, Contractor will give the VA at least 30 days written notice and an opportunity to correct the problem. If the problem is not corrected within that period, the fee will be added to the bill for each subsequent collection of that Container until removed in accordance with paragraph (f) below.
e. Consistent with Contractor’s standard practice for residential, apartment, and commercial customers in San Francisco, Contractor may adjust or suspend the Diversion Discount for a VA site if it displays a consistent pattern of violating the City’s Mandatory Recycling and Composting Ordinance. Before suspending the discount, Contractor will give the VA at least 30 days written notice and an opportunity to correct the problem. If the problem is not corrected within that period, the Diversion Discount will be suspended, or the service modified for the service address until resolved in accordance with paragraph (f) below.
f. The fees described in paragraphs (a) and (d) above, and the Diversion Discount suspension described in paragraph (e) above, will be removed on the first monthly billing cycle after a Contractor audit confirms that the VA site has corrected the problem. Contractor will conduct such audits upon request, within 30 days of the request. Notwithstanding the foregoing, such fees and Diversion Discount suspension will continue for a minimum of two (2) monthly billing cycles. If the customer fails an audit, then the fees and/or Diversion Discount suspension will continue for another 6 months, at which time another audit may be requested.
g. Contractor may either refuse to collect an Overage or may collect it and charge the then-applicable Trash “extra” rate for the same-size Container.

(i) Any such clause is unenforceable against the Government.
(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.
(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.
(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.
(End of Clause)

If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 is required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.
(b) General Liability: $500,000.00 per occurrences.
