B.2 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011)
This solicitation includes VAAR 852.219-10 VA Notice of Total Service- Disabled Veteran-Owned Small Business Set-Aside. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

Accordingly, any contract resulting from this solicitation will include these clauses. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) to assist in assessing contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. STATEMENT OF WORK (SOW)
DENTAL PROSTHESTICS
1. Scope of Work:
The Contractor shall provide the VA Sierra Nevada Health Care System (VASNHCS) with dental prosthetics to include all labor, materials, unique dental laboratory tools, supplies including teeth (Dentsply), equipment, supervision, and shipping in accordance with this Statement of Work (SOW). All services will be performed at the Contractor’s facility.
2. Specific Tasks:
2.1 The Contractor shall fabricate dental prosthetic items in strict accordance with the dental laboratory prescription for the following items:
· Denture upper*
· Denture lower*
· Upper cast (Vitallium) framework
· Lower cast (Vitallium) framework
· Upper acrylic partial denture
· Lower acrylic partial denture
· Valplast flexible partial denture
· Denture relines, upper and lower
· Bruxism bite splints
· Denture repairs*
· Bite blocks for dentures
· Custom trays for dentures
· Study models (yellow stone)
· Porcelain crowns (wol-ceram or empress)
· Porcelain fused to high noble crowns
· Gold crowns
· Pin dies for fixed crowns and bridges (models to be used by VA main lab to fabricate actual crowns and bridges)
· Atlantis Abutments for Implants
· Regular Abutments for Implants
· PFM for Implants
· Die trim
*All denture teeth shall be furnished by the contractor and shall be Dentsply or equal.
3. Qualifications:
3.1. The contractor will be responsible for ensuring that each employee providing service under this contract is fully trained and completely competent to perform the required services covered by this contract in accordance with State Requirements.
3.2. Personnel assigned by the contractor to perform the services covered by this contract shall be licensed in a State, Territory, or commonwealth of the United States or the District of Columbia.
4. Delivery: The Contractor shall be responsible for all labor, transportation, materials (unless otherwise specified in specific cases), general dental laboratory tools, equipment, and supervision required to provide dental prosthesis to VASNHCS between the work hours of 8:00am and 4:30pm, Monday through Friday.
4.1 Contractor will arrange a daily delivery and pick up of cases, during each work week. Deliver of prosthesis or cases will be before 12 noon and pick up will be before Close of Business (COB), 4:30PM at VA Reno, Dental Service, 975 Kirman Ave, Reno, NV 89502. For special handling of cases: The Contractor will be contacted by phone for pick up. Same Day requirements will be picked up by 9AM and the finished product delivery shall be made by 3:30PM the same day.
4.2 The Contractor shall comply with Occupational Safety and Health Administration (OSHA) regulations.
4.3 The Contractor shall comply with the Health Insurance Portability and Accountability Act (HIPAA).
4.4 The Contractor shall meet or exceed VA standards and The Joint Commission standards for constructing dental prostheses.
4.5 The turn-around-time is defined as the length of time between pickup from VASNHCS, Dental Clinic to the receipt of the finished prosthesis returned to VASNHCS, Dental Clinic. Working days are defined as Monday through Friday, 8 hours a day, excluding Federal Holidays:

· Birthday of Martin Luther King, Jr.
· Washington’s Birthday
· Memorial Day
· Independence Day
· Labor Day
· Columbus Day
· Veterans Day
· Thanksgiving Day
· Christmas Day
All other days will be covered under this contract.
4.6. Denture repairs, including denture relines, shall be returned within eight (8) work hours.
4.7. Denture steps shall be returned within four (4) VA work days.
4.8. Crowns shall be returned within ten (10) work days.
4.9. Metal RPD frameworks in fourteen (14) work days.
4.10. TMJ night guards shall be returned within five (5) work days.
4.11 The Contractor will return all prosthetics appliances in sterile vacuum sealed plastic bags. Each bag shall be marked with Veterans last name and Dentists initials.
4.12 Delinquent delivery shall not exceed 10% of the number of orders placed per month or the total number of orders placed for this contract period (year).
5. Quality Management.
5.1. The Contractor shall perform services under this contract in accordance with the ethical, professional, and technical standards of the healthcare industry, and must meet, or exceed, the current quality assurance standards recognized by Joint Commission and mandated by VHA quality assurance policies and/or performance measures. A copy of these standards, policies, and performance measures may be viewed by contract personnel in the Office of the Chief of Staff.
5.2. The Contractor will not participate in, nor be a party to, any activities which are in conflict with Federal and/or State guidelines. In the event the Contractor encounters said conflicting situations, the Contractor will notify the COR or the Contracting Officer to resolve such issues. The Contracting Officer will document and be responsible for resolution of any such situations. Neither the VA nor the Contractor will be responsible for any delays or failures to perform due to causes beyond each party's control.
5.3. The Contractor shall perform the functions required in this statement of work in accordance with the rules of medical ethics, Federal, State and local laws, rules and regulations, and the Joint Commission requirements. The Contractor will not participate in, nor be a party to, any activities which are in conflict with Federal and/or State guidelines. In the event the Contractor encounters said conflicting situations, the Contractor will notify the COR or the Contracting Officer to resolve such issues. The Contracting Officer will document and be responsible for resolution of any such situations. Neither the VA nor the Contractor will be responsible for any delays or failures to perform due to causes beyond each party's control.
5.4. In order to adequately protect VA patients, the Contractor shall not introduce new procedures or services without prior recommendation to, and approval from, the Chief of Staff or Associate Chief of Staff, Dental Service.
5.5. All services provided under this contract will be subject to Quality Assurance and Utilization Review procedures of VA Sierra Nevada Health Care System.
5.6 The Contractor shall
a. Only use high metal alloys made in the USA and provide certificating labels on invoices and/or appliances.
b. Provide custom shade matching services for fixed prostheses as needed.
c. Fabricate prostheses that demonstrate acceptable level of marginal integrity 98% of the time when evaluated on dental stone model or implant abutment. No visible marginal opening when viewed under loupe magnification of 2.5.
d. Fabricate prostheses that demonstrate acceptable level of occlusion 98% of the time when evaluated on dental stone model or implant abutment. Evaluation with articulating paper will show even distribution of markings in light contact.
5.7 Quality Control Plan (QCP): The Contractor shall develop and maintain an effective Quality Control Plan (QCP) which details how they will monitor their work to ensure they are meeting all of the requirements of the contract. The Contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The Contractor's QCP is the means by which the Contractor assures that their work complies with the requirements of the contract. The QCP shall be submitted in written form with an electronic copy to the COR for review within thirty (30) calendar days of the contract award. The COR or designated representative will review the QCP and return it to the Contractor if changes are required. If any changes are required, the Contractor has five (5) working days to complete the changes and resubmit the QCP. If any future changes are needed, the Contractor has five (5) working days to submit the agreed upon changes.
5.8 To ensure that both parties have an equal understanding of the services to be provided by the Contractor, the following quality assurance guidelines are to be incorporated:
a. Services are received within the designated timeframe.
b. Services are delayed no more than twice in a 30-day period.
c. Performance problem: ill-fitting denture or prosthesis that had to be remade within 30 days.
d. Description of problem conveyed to Contractor by the Dental Service provider.
e. The Contractor was verbally informed and corrected the problem within the agreed upon turnaround times between VAPAHCS and the Contractor, plus one day.
f. Informed problem in writing and contractor corrected within a reasonable timeframe.
g. What actions were necessary: remake/adjustments - minor or major.
5.9 Quality Control Inspection Procedures for Crown and Bridge:
a. Work ticket, prescription, patient name, case pan number, dated wanted.
b. Identify tooth number with physician's prescription.
c. Check shade with shade guide.
d. Check margins on die under magnification; ensure margins are closed.
e. Inspect all surfaces for: black spots; fractures; bubbles in porcelain; and rough textures.
f. Check anatomy and contours of crown and bridge: buccal and lingual contour in relation to adjacent teeth; marginal ridges in proper height to adjacent and opposing teeth; proper embrasures; proper length of anteriors; and proper emergence profile.
g. Check occlusion, group function, and lateral excursions.
h. Check contacts on solid model. Verify contacts for adequate contact and for proper form.
i. Check work ticket for any specific physician preferences.
j. Check to ensure that the inside of crown is sanded, free of glaze and is opaque.
k. All transfer copings and specified margin dies boxes with outgoing crowns and bridges.
l. On work ticket, write down alloy billing information immediately above or below the product codes.
m. Verify product codes on work ticket for: alloy; codes; quantity; and missing codes. After verification is done, circle product and alloy codes on work ticket and initial next to the circle. Mark bottom of crown box with pan number.
n. Check all model work for cleanliness.
5.10 Work Guarantee: The Contractor shall provide an On-Time Delivery Guarantee; guaranteed turnaround times; and remakes at no additional cost to the Government when the Contractor's products are flawed or defective.
6. Contract Monitoring Procedures
6.1. To adequately document services provided under this contract, a record of prosthetics must be sufficient to ensure proper payment and allow audit verification that services were provided. Moreover the COR shall monitor the response of contract personnel to all VA calls/pages and requests for callback.
7. Quality Assurance Surveillance Plan – incorporated herein as Dental Prosthetics QASP Attachment B.
8. Quality Standards: The Contractor shall meet the following standards.
8.1. All dental Prosthetics must be fabricated in the United States of America using materials approved by the Food and Drug Administration (FDA).
8.2. To prevent allergic reactions only precious metals shall be used, therefore no nickel will be allowed.
8.3. No toxic materials, such as lead shall be used in the fabrication process.
8.4. ANSI Requirements: Standards by the American National Standards Institute (ANSI) in cooperation with the American Dental Association Department of Standards require that all materials used for fabrication of dental appliances meet the Standard Practices for Biological Evaluation of Dental Materials.
8.5. FDA Requirements: Dental laboratories must comply with the regulations governing Food and Drug Administration (FDA) Quality System/Good Manufacturing Practices for products distributed in the United States dental laboratories. FDA regulations prohibit the use of lead in the surface material used to fabricate dental prostheses.
8.6. Cleanliness: Adheres to OSHA standards and disinfects all dental impressions and prosthetics.

SECTION C - CONTRACT CLAUSES
C.1 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS (JAN 2017)
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—
(1) Within a reasonable time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.
(g) Invoice.
(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—
(i) Name and address of the Contractor;
(ii) Invoice date and number;
(iii) Contract number, line item number and, if applicable, the order number;
(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;
(vi) Terms of any discount for prompt payment offered;
(vii) Name and address of official to whom payment is to be sent;
(viii) Name, title, and phone number of person to notify in event of defective invoice; and
(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.
