It is a 100% small business set-aside, with a minimum guarantee of $17,500 per contract. Offerors may submit proposals for one or more of the five service area regions defined in the solicitation. Proposals are due by November 22, 2024, with contract awards expected on October 10, 2024. The IDIQ contracts will have a term of 5 years.

B.2 PERFORMANCE WORK STATEMENT (PWS)

1.0 Objective: The purpose of this Indefinite Delivery/Indefinite Quantity (IDIQ) contract is to furnish Air Ambulance Broker Services for VHA beneficiaries in the United States. The Contractor will arrange air ambulance service twenty-four (24) hours per day, seven (7) days per week, including all holidays for beneficiaries of the VA.

1.1 This solicitation only covers scheduled air ambulance transports and does not include air ambulance services ordered by other than VA sources.

1.2 For this IDIQ, patients shall be transported by Air Transport only if the patient requires Advanced Life Support (ALS) or the physician designates a patient as a critical care transport. The contractor shall require that a minimum of two medical personnel, licensed according to state or national requirements, provide direct patient care during transport in accordance with the standards of the Commission on Accreditation of Medical Transport System (CAMTS) and Medical Transport and Medical Escort Accreditation (NAAMTA Global). 1.3 The Government’s intent is to establish a multiple-award contracts with air transportation brokers (or prime contractors with large operator networks) who can leverage multiple air ambulance assets nationwide. The brokers, or prime contractors, should be well positioned to deliver assets to move patients in the quickest time possible. The IDIQs will establish a price schedule, which allow participating Veterans Affairs Healthcare System transportation centers to easily order services when needed.

2.0 Performance Requirements: Contractor shall arrange Air Ambulance Services for the beneficiaries of VHA. Services are required for the entire Contiguous United States (CONUS), Alaska, Puerto Rico, Hawaii, American Samoa, Guam, Saipan, the Philippines, and US Virgin Islands. Air ambulance flights are expected to be one-way trips to an authorized facility, though may be roundtrip (subject to subsequent medical considerations and VA authorization) for an authorized beneficiary.

2.1 Number and Type of Patient: The Contractor shall ensure that only one patient will be transported per trip unless specifically pre-approved by the Government. The Government may, in the interest of the patient, request the Contractor’s arrangements include a relative to accompany the patient at no additional charge to the Government.

2.2. The VA defines air ambulance as either On Demand or Standard. On Demand requirements are for requirements designated as a higher priority than those otherwise designated as Standard.

2.2.1 On Demand Response: The broker/contractor shall be required to establish and provide air ambulance arrangements within sixty (60) minutes of order by the VA.

2.2.1 Standard Response Time: The broker/contractor shall be required to establish and provide air ambulance arrangements within ninety (90) minutes of order by the VA.

2.3. Waiting Time: For time spent waiting at either end or both ends of a trip due to causes beyond the operator’s control that exceed thirty (30) minutes of the scheduled transport time, the Contractor will be reimbursed at the hourly rate established in the price schedule in thirty (30) minute increments. If the pickup is other than at the VA Medical Center, the Contractor will call the Patient Transportation Coordinator or Medical Administrative Assistant on duty as soon as possible if they anticipate a delay may develop for which they expect to claim reimbursement. This call is only for the purpose of verifying arrival time at the pickup point and is not necessary if the Contractor anticipates no delay for which they will claim reimbursement.

2.4. Patient Medical Records:

The contractor shall maintain for a period of five (5) years, a record of each air ambulance operation, including but not limited to the following:

(1) Patient’s name.

(2) Date of flight.

(3) Diagnosis.

(4) Originating and termination points and patient’s condition upon departure and arrival.

(5) An in-flight medical attendant’s report of the patient’s status, including vital signs, level of consciousness, drugs administered, and details of therapeutic intervention. (These notes can be vitally important to those who must provide subsequent care.)

(6) Unusual circumstances encountered during the flight, including inordinate altitudes flown, turbulence, times associated with these abnormal conditions, or other abnormal conditions, etc.

2.5. Operational Requirements:

2.5.1. Within three (3) business days after notification of award, the successful offeror shall supply certifications, competencies, and qualifications with a list of all the personnel and their titles that will be involved in the performance of the resulting contract. Also included must be the names and telephone number to dispatcher/fax.

2.5.2 The Contractor shall require air ambulance operators adhere to all applicable federal safety regulations.

2.5.3. The contractor shall require operators to staff each air ambulance with an aircrew consisting of at least the minimum standard personnel required by the Commission on Accreditation of Medical Transport System (CAMPS) criteria.

2.6. Communications:

2.6.1. As a minimum, the Contractor shall keep the Government up to date with changes to the ETA (Estimated Time of Arrival) and flight plan. If deviations to the flight plan are required due to unexpected conditions, the Contractor shall inform the Government as soon as practicable.

2.7 All work related to this contract shall be performed in accordance with any applicable Federal Aviation Administration (FAA), U.S. Department of Transportation (DOT), Occupational Safety Health Administration (OSHA) regulations, as well as applicable State health and safety regulations.

2.8 The solicitation and subsequent contact include FAR 52.222-41, Service Contract Labor Standards (SCLS). The Offeror and resultant contract awardee, by signing the offer and contract, is acknowledging they have reviewed the clause and will fully comply throughout the contract period. It is the responsibility of the Contractor to determine and pay the appropriate prevailing wage rate and fringe benefits for the location. The Government will not be held responsible for any mistakes in applying the SCLS.

VA reminds contractors of the Department of Labor Regulations which implement the SCLS, and are located at 29 CFR § 4.155:

Employee coverage does not depend on form of employment contract. The Act, in section 8(b), makes it plain that the coverage of service employees depends on whether their work for the contractor or subcontractor on a covered contract is that of a service employee as defined in section 8(b) and not on any contractual relationship that may be alleged to exist between the contractor or subcontractor and such persons. In other words, any person, except those discussed in §4.156 below, who performs work called for by a contract or that portion of a contract subject to the Act is, per se, a service employee. Thus, for example, a person's status as an “owner-operator” or an “independent contractor” is immaterial in determining coverage under the Act and all such persons performing the work of service employees must be compensated in accordance with the Act's requirements.

3.0 Term of Agreement: This will be a firm fixed price IDIQ. This agreement shall be effective for the term of the Contract including additional extensions.

3.1 Non-Personal Services: The Government will neither supervise contractor employees nor control the method by which the contractor performs the required tasks. Under no circumstances will the Government assign tasks to, or prepare work schedules for, individual contractor employees. It shall be the responsibility of the contractor to manage its employees and to guard against any actions that are of the nature of personal services or give the perception of personal services. If the contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the contractor's responsibility to notify the Contracting Officer (CO) immediately.

3.2 Contract Administration and Management:

3.2.1 The CO is responsible for the administration of this IDIQ. The CO is the only individual authorized to take actions on behalf of the Government, which may result in changes in the contract terms. Communications pertaining to contractual matters shall be addressed to the CO. No changes in or deviation from the scope of work shall be affected without a written modification to the contract executed by the CO. No statements made by any individual other than the CO will constitute a change to the terms and conditions of the contract.

3.2.2 Designation of Contracting Officer Representative (COR) - The CO will appoint a Contracting Officer Representative (COR) to perform tasks related to the execution and surveillance of this contract. The COR will be designated to represent the CO in furnishing technical guidance and advice under this contract. The foregoing is not to be construed as authorization to interpret or furnish advice and information to Contractor relative to the financial or legal aspect of the contract. Those matters are the responsibility of the CO and will not be delegated.

3.2.3 The Contractor will receive a copy of the Delegation Letter which will identify the COR appointed by the CO. The Contracting Officer Representative (COR) will be included on all communications between the contractor and the Contracting Officer, and the COR shall be responsible for the validation/reconciliation of claims and authorization for payment.

3.3. Task Order Procedures:

3.3.1 Ordering officers (OOs) will be authorized to place orders under this contract. Fulfilling orders from persons other than the CO or OO may result in loss or delay in payment for supplies/services provided under such orders. Orders will be placed via VetRide Vendor Portal or other VA approved ordering method. All requests for services made during normal business hours will be made via the VetRide Vendor Portal or VA-Initiated software. If necessary due to exigent circumstances, requests may be made by telephone. If the request is made by telephone, written documentation of the request and response and response time will be provided to the Mobility Manager or the VA Transportation Coordinator within the first three (3) hours of the next business day.

3.3.2 An authorization number will be provided to the Contractor at the time the order is placed or within 48 hours of transport. A unique authorization number will be used for each trip. The Contractor will commence the flight at the scheduled times unless prevented from doing so by conditions outside of the contractor’s control (weather, national emergency, etc.) in which case the contractor must immediately notify the OO or designee.

3.3.3 Medical orders and a travel authority will be issued to the contractor upon patient pick-up. The Contractor shall deliver the transfer paperwork to the receiving facility.

3.3.4 Orders, requests, or changes to transportation requests will only be made by authorized VA officials as specified by the VA. Under no circumstances is there to be any deviation on request of any other party. In addition, no deviation will be made by the Contractor.

3.3.5 The contractor will be provided with a list of individuals authorized to request transportation services. Individuals not on this list are not authorized to order services. The Government will not be responsible for persons requesting services who are not on the list. When COs appoint OOs after award, the CO will furnish the contractor with an updated list of individual OOs authorized to place orders against the contract or agreement. OOs may not negotiate contract terms and conditions, determine price reasonableness, or determine best value. OOs are responsible for issuing and administering orders placed under the contract or agreement identified in the appointment letter. OOs do not have authority to modify any of the terms and conditions in the contract or agreement.

3.3.6 The contractor shall accept orders against the contract or agreement only from the CO or authorized OOs. The Government is not obligated to pay invoices resulting from orders placed by persons other than the CO or OO.

3.3.7 Payment will be based upon a base rate plus mileage. The Contractor shall arrange for the most direct route given weather and other factors. If a flight plan must change due to conditions outside the control of the Contractor, a new flight log shall be provided with an explanation of the change.

8.0 VA Information Custodial Language:

8.1. Information made available to the contractor or subcontractor by VA for the performance or administration of this contract or information developed by the contractor/subcontractor in performance or administration of the contract shall be used only for those purposes and shall not be used in any other way without the prior written agreement of the VA. This clause expressly limits the contractor/subcontractor's rights to use data as described in Rights in Data- General, FAR 52.227-14(d) (1).

8.2. VA information should not be co-mingled, if possible, with any other data on the contractors/subcontractor’s information systems or media storage systems in order to ensure VA requirements related to data protection and media sanitization can be met. If co-mingling must be allowed to meet the requirements of the business need, the contractor must ensure that VA’s information is returned to the VA or destroyed in accordance with VA’s sanitization requirements. VA reserves the right to conduct onsite inspections of contractor and subcontractor IT resources to ensure data security controls, separation of data and job duties, and destruction/media sanitization procedures are in compliance with VA directive requirements.

8.3. Prior to termination or completion of this contract, contractor/subcontractor must not destroy information received from VA, or gathered/created by the contractor in the course of performing this contract without prior written approval by the VA. Any data destruction done on behalf of VA by a contractor/subcontractor must be done in accordance with National Archives and Records Administration (NARA) requirements as outlined in VA Directive 6300, Records and Information Management and its Handbook 6300.1 Records Management Procedures, applicable VA Records Control Schedules, and VA Handbook 6500.1, Electronic Media Sanitization. 8.4. The contractor/subcontractor must receive, gather, store, back up, maintain, use, disclose and dispose of VA information only in compliance with the terms of the contract and applicable Federal and VA information confidentiality and security laws, regulations, and policies. If Federal or VA information confidentiality and security laws, regulations and policies become applicable to the VA information or information systems after execution of the contract, or if NIST issues or updates applicable FIPS or Special Publications (SP) after execution of this contract, the parties agree to negotiate in good faith to implement the information confidentiality and security laws, regulations, and policies in this contract.

8.5. The contractor/subcontractor shall not make copies of VA information except as authorized and necessary to perform the terms of the agreement or to preserve electronic information stored on contractor/subcontractor electronic storage media for restoration in case any electronic equipment or data used by the contractor/subcontractor needs to be restored to an operating state. If copies are made for restoration purposes, after the restoration is complete, the copies must be appropriately destroyed.

8.6. If VA determines that the contractor has violated any of the information confidentiality, privacy, and security provisions of the contract, it shall be sufficient grounds for VA to withhold payment to the contractor or third party or terminate the contract for default or terminate for cause under Federal Acquisition Regulation (FAR) part 12.

8.7. If a VHA contract is terminated for cause, the associated BAA must also be terminated and appropriate actions taken in accordance with VHA Handbook 1600.01, Business Associate Agreements. Absent an agreement to use or disclose protected health information, there is no business associate relationship.

8.8. Except for uses and disclosures of VA information authorized by this contract for performance of the contract, the contractor/subcontractor may use and disclose VA information only in two other situations: (i) in response to a qualifying order of a court of competent jurisdiction, or (ii) with VA’s prior written approval. The contractor/subcontractor must refer all requests for, demands for production of, or inquiries about, VA information and information systems to the VA contracting officer for response.

If the contractor/subcontractor is in receipt of a court order or other requests for the above-mentioned information, that contractor/subcontractor shall immediately refer such court orders or other requests to the VA contracting officer for response.

9.0 Security Incident Investigation:

9.1 The term “security incident” means an event that has, or could have, resulted in unauthorized access to, loss, or damage to VA assets, or sensitive information, or an action that breaches VA security procedures. The contractor/subcontractor shall immediately notify the COTR and simultaneously, the designated ISSO and Privacy Officer for the contract of any known or suspected security/privacy incidents, or any unauthorized disclosure of sensitive information, including that contained in system(s) to which the contractor/subcontractor has access.

9.2 To the extent known by the contractor/subcontractor, the contractor/subcontractor’s notice to VA shall identify the information involved, the circumstances surrounding the incident (including to whom, how, when, and where the VA information or assets were placed at risk or compromised), and any other information that the contractor/subcontractor considers relevant.

9.3 With respect to unsecured protected health information, the business associate is deemed to have discovered a data breach when the business associate knew or should have known of a breach of such information. Upon discovery, the business associate must notify the covered entity of the breach. Notifications need to be made in accordance with the executed business associate agreement.

9.4 In instances of theft or break-in or other criminal activity, the contractor/subcontractor must concurrently report the incident to the appropriate law enforcement entity (or entities) of jurisdiction, including the VA OIG and Security and Law Enforcement. The contractor, its employees, and its subcontractors and their employees shall cooperate with VA and any law enforcement authority responsible for the investigation and prosecution of any possible criminal law violation(s) associated with any incident. The contractor/subcontractor shall cooperate with VA in any civil litigation to recover VA information, obtain monetary or other compensation from a third party for damages arising from any incident, or obtain injunctive relief against any third party arising from, or related to, the incident.

10. Liquidated Damages for Data Breach:

10.1. Consistent with the requirements of 38 U.S.C. §5725, a contract may require access to sensitive personal information. 10.2. The contractor/subcontractor shall provide notice to VA of a “security incident” as set forth in the Security Incident Investigation section above. Upon such notification, VA must secure from a non-Department entity or the VA Office of Inspector General an independent risk analysis of the data breach to determine the level of risk associated with the data breach for the potential misuse of any sensitive personal information involved in the data breach. The term 'data breach' means the loss, theft, or other unauthorized access, or any access other than that incidental to the scope of employment, to data containing sensitive personal information, in electronic or printed form, that results in the potential compromise of the confidentiality or integrity of the data. Contractor shall fully cooperate with the entity performing the risk analysis. Failure to cooperate may be deemed a material breach and grounds for contract termination.

10.3. Each risk analysis shall address all relevant information concerning the data breach, including the following:

(1) Nature of the event (loss, theft, unauthorized access).
(2) Description of the event, including:
(a) date of occurrence.

(b) data elements involved, including any PII, such as full name, social security number, date of birth, home address, account number, disability code.

(3) Number of individuals affected or potentially affected.

(4) Names of individuals or groups affected or potentially affected.

(5) Ease of logical data access to the lost, stolen or improperly accessed data in light of the degree of protection for the data, e.g., unencrypted, plain text.

(6) Amount of time the data has been out of VA control.

(7) The likelihood that the sensitive personal information will or has been compromised (made accessible to and usable by unauthorized persons).

(8) Known misuses of data containing sensitive personal information, if any.

(9) Assessment of the potential harm to the affected individuals.

(10) Data breach analysis as outlined in 6500.2 Handbook, Management of Security and Privacy Incidents, as appropriate; and

(11) Whether credit protection services may assist record subjects in avoiding or mitigating the results of identity theft based on the sensitive personal information that may have been compromised.

10.4 Based on the determinations of the independent risk analysis, the contractor shall be responsible for paying to the VA liquidated damages in the amount of $___37.50___ per affected individual to cover the cost of providing credit protection services to the affected individuals consisting of the following:

(1) Notification.

(2) One year of credit monitoring services consisting of automatic daily monitoring of at least 3 relevant credit bureau reports.

(3) Data breach analysis.

(4) Fraud resolution services, including writing dispute letters, and initiating fraud alerts and credit freezes, to assist affected individuals to bring matters to resolution.

(5) One year of identity theft insurance with $20,000.00 coverage at $0 deductible; and

(6) Necessary legal expenses the subjects may incur to repair falsified or damaged credit records, histories, or financial affairs.

11. Security Controls Compliance Testing:

On a periodic basis, the VA, including the Office of Inspector General, reserves the right to evaluate any or all of the security controls and privacy practices implemented by the contractor under the clauses contained within the contract. With 10 working days’ notice, at the request of the government, the contractor must fully cooperate and assist in a government-sponsored security controls assessment at each location wherein VA information is processed or stored, or information systems are developed, operated, maintained, or used on behalf of VA, including those initiated by the Office of Inspector General. The government may conduct a security control assessment on shorter notice (to include unannounced assessments) as determined by VA in the event of a security incident or at any other time.

12. Training:

12.1. All contractor employees and subcontractor employees requiring access to VA information and VA information systems shall complete the following before being granted access to VA information and its systems:

(1) Sign and acknowledge (either manually or electronically) understanding of and responsibilities for compliance with the Contractor Rules of Behavior, Appendix E relating to access to VA information and information systems.

(2) Successfully complete the appropriate VA privacy training and annually complete required privacy training; and

(3) Successfully complete any additional cyber security or privacy training, as required for VA personnel with equivalent information system access [to be defined by the VA program official and provided to the contracting officer for inclusion in the solicitation document – e.g., any role-based information security training required in accordance with NIST Special Publication 800-16, Information Technology Security Training Requirements.]

12.2. The contractor shall provide to the contracting officer and/or the COR a copy of the training certificates and certification of signing the Contractor Rules of Behavior for each applicable employee within 1 week of the initiation of the contract and annually thereafter, as required.

12.3. Failure to complete the mandatory annual training and sign the Rules of Behavior annually, within the timeframe required, is grounds for suspension or termination of all physical or electronic access privileges and removal from work on the contract until such time as the training and documents are complete.

13.0 Contractor Performance Assessment Rating System (CPARS)

Required Registration with Contractor Performance Assessment Rating System (CPARS)

13.1 As prescribed in Federal Acquisition Regulation (FAR) Part 42.15, the Department of Veterans Affairs (VA) evaluates contractor past performance on all contracts that exceed $1,000,000 and shares those evaluations with other Federal Government contract specialists and procurement officials. The FAR requires that the contractor be provided an opportunity to comment on past performance evaluations prior to each report closing. To fulfill this requirement VA uses an online database. The CPARS database information is shared with the Past Performance Information Retrieval System (PPIRS) database, which is available to all Federal Agencies.

13.2 Each contractor whose contract award is estimated to exceed $1,000,000 is required to register with the Contractor Performance Assessment Rating System (CPARS) database at the following https://www.cpars.gov/ or by calling (207) 438-1690. Registration should occur no later than thirty days after contract award and must be kept current should there be any change to the contractor’s registered representative.

13.3. For contracts with a period of one year or less, the contracting officer will perform a single evaluation when the contract is complete. For contracts exceeding one year, the contracting officer will evaluate the contractor’s performance annually. Interim reports will be filed each year until the last year of the contract when the final report will be completed. The report shall be assigned in CPARS to the contractor’s designated representative for comment. The contractor representative will have thirty days to submit any comments and re-assign the report to the VA contracting officer.

13.4 Failure to have a current registration in the CPARS database, or to re-assign the report to the VA contracting officer within those thirty days, will result in the Government’s evaluation being placed on file in the database with a statement that the contractor failed to respond.
