(End of Clause) C.3 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING AND COMPLIANCE (JUL 2018)

(a) This solicitation includes FAR 52.219-6 Notice of Total Small Business Set-Aside.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor's offices where the Contractor's business records or other proprietary data are retained and to review such business records regarding the Contractor's compliance with this requirement.

(c) All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the Contractor's business records or other proprietary data reviewed or obtained in the course of assisting the Contracting Officer in assessing the Contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs.

(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

(End of Clause) C.4 VAAR 852.219-75 SUBCONTRACTING COMMITMENTS MONITORING AND COMPLIANCE (JUL 2018)

(a) This solicitation includes the clause: 852.215-70 Service-disabled veteran-owned and veteran-owned small business evaluation factors. Accordingly, any contract resulting from this solicitation will include the clause 852.215-71 Evaluation factor commitments.

(b) The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) to assist in assessing Contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the Contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

D.1 STATEMENT OF WORK

Ergonomics Assessment for VAPSHCS

1. This is an ergonomics services contract for VA Puget Sound Health Care System – Seattle and American Lake. On rare occasions, an on-site consultation may be needed at one our further locations such as Mount Vernon, Silverdale, Port Angeles, or Chehalis. The consultant shall be a Physical Therapist, Occupational Therapist, or equivalent specialist with special training and experience in ergonomics.

2. Consultant shall familiarize themselves with the VA purchasing requirements and its restrictions, with ability to recommend the types of furniture or equipment as use ergonomically. This also includes recommending salient characteristics rather than specific manufacturers or models.

3. The consultant shall recommend furniture and equipment that meets the functional need of VA Puget Sound. Where VA Puget Sound has established standard purchase furniture items that meet the requirements of the assessment, those standard items will be recommended before alternates. The recommendation has to be ergonomically sound and intended to improve employees’ performance. The furniture and equipment shall be adjustable not limiting its use or its function; unless it applies specifically to employee(s) need due to medical evaluation by the qualified medical staff. Any recommended furniture and equipment shall be priced reasonably and made durably. They shall check the National Acquisition Center (NAC) Contracts and General Services Administration (GSA) contracts prior to recommending open market furniture and equipment. Activities common at the VA include office work, reception desks, call centers, pharmacy, clinical and research laboratory, food service, warehouse, grounds, facilities maintenance and repair, housekeeping, dental lab and clinic, radiology viewing, and a range of other healthcare-related settings.

4. HIPPA rules apply when consultant has access to protected information such as employees’ medical history. Note: VA will provide no medical records, but the employee may choose to provide their own medical information to the contractor.

5. Deliverables: When reporting assessment made for the individual or for group work areas, the report shall identify ergonomic risks with corrective action and recommendation. The individual or group work area shall be given multiple recommendation options when practicable so that they can choose what fits their needs. Occupational Health at the VA Puget Sound shall receive the summary whenever the individual report includes protected information, including health status of employees. However, the Supervisor and Safety Department receives a version of the report that do not include protected information for any individual but shall include recommendation for correction.

6. Consultant shall provide the following services:

a. Individual ergonomic consultations for designated employees: Consultant shall be put into contact with an employee or supervisor for scheduling. Consultant shall request, from the employee, medical information on any pre-existing injury or medical conditions of the designated employee that is relevant to ergonomics in that employee’s workplace. Consultant shall schedule an onsite visit within 2 weeks, or later only if requested by the employee or supervisor. Consultant shall meet with the employee at their normal workplace(s) to observe them working there and shall consult the employee and Supervisor on their needs, concerns, preferences, and requests. The contractor shall develop recommendations to address any ergonomic needs of the identified workplace and shall report as specified. It is estimated that these services may be requested at a rate of less than 2 per month.

b. General work area consultations: Consultant shall meet with Industrial Hygiene (IH), with the Supervisor of the work area, and with selected employees in the work area to review injury history, work flow, needs of the department, and to observe work in the area. Medical information review may or may not be required. The VA will provide no medical information, although individual employees in the work area may choose to provide their own medical information to the contractor. The contractor shall identify ergonomic risks, develop recommendations to address any ergonomic needs of the workplace, and shall report as specified. It is estimated that these services may be requested at a rate of less than 2 per year.

c. Furniture and equipment purchasing guidelines: Consultant shall meet with Facilities Management Maintenance (FMS)/Interior Design staff, IH, and other identified staff to recommend furniture needs and ergonomic-related equipment needs such as desks, chairs, keyboard trays, and monitor holders. VA Puget Sound must be able to set up standard purchasing agreements and contracts for identified furniture and equipment when the furniture or equipment needs of the facility change, additional consultations and recommendations shall be requested. This service may be requested one or more times per year.

d. Design recommendations: As space remodels are planned, consultant may be asked to comment on the ergonomics of planned space designs. This service may be requested one or more times per year.

e. Return-to-work consultation: Where an employee may return to work with restricted duty after injury or illness, consultant will meet with employee and Supervisor to assist in identifying tasks that are within the documented limitations of the employee.

7. Cost estimates shall specify hourly costs for consultation and shall specify a maximum cost for a single standard office ergonomic assessment with no special medical concerns by the employee, and another maximum cost with consideration of special medical concerns by the employee.

Records Management Language for Contracts Required The following standard items relate to records generated in executing the contract and should be included in a typical Electronic Information Systems (EIS) procurement contract:

1. Citations to pertinent laws, codes and regulations such as 44 U.S.C chapters 21, 29, 31 and 33; Freedom of Information Act (5 U.S.C. 552); Privacy Act (5 U.S.C. 552a); 36 CFR Part 1222 and Part 1228.

1. Contractor shall treat all deliverables under the contract as the property of the U.S. Government for which the Government Agency shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest.

1. Contractor shall not create or maintain any records that are not specifically tied to or authorized by the contract using Government IT equipment and/or Government records.

1. Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected by the Freedom of Information Act.

1. Contractor shall not create or maintain any records containing any Government Agency records that are not specifically tied to or authorized by the contract.

1. The Government Agency owns the rights to all data/records produced as part of this contract.

1. The Government Agency owns the rights to all electronic information (electronic data, electronic information systems, electronic databases, etc.) and all supporting documentation created as part of this contract. Contractor must deliver sufficient technical documentation with all data deliverables to permit the agency to use the data.

1. Contractor agrees to comply with Federal and Agency records management policies, including those policies associated with the safeguarding of records covered by the Privacy Act of 1974. These policies include the preservation of all records created or received regardless of format [paper, electronic, etc.] or mode of transmission [e-mail, fax, etc.] or state of completion [draft, final, etc.].

1. No disposition of documents will be allowed without the prior written consent of the Contracting Officer. The Agency and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. Records may not be removed from the legal custody of the Agency or destroyed without regard to the provisions of the agency records schedules.

Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, this contract. The Contractor (and any sub-contractor) is required to abide by Government and Agency guidance for protecting sensitive and proprietary information

D.2 BUSINESS ASSOCIATE AGREEMENT BETWEEN THE DEPARTMENT OF VETERANS AFFAIRS VETERANS HEALTH ADMINISTRATION AND Purpose. The purpose of this Business Associate Agreement (Agreement) is to establish requirements for the Department of Veterans Affairs (VA) Veterans Health Administration (VHA) and in accordance with the Health Insurance Portability and Accountability Act (HIPAA), the Health Information Technology for Economic and Clinical Health Act (HITECH) Act, and the HIPAA Privacy, Security, Breach Notification, and Enforcement Rules (“HIPAA Rules”), 45 C.F.R. Parts 160 and 164, for the Use and Disclosure of Protected Health Information (PHI) under the terms and conditions specified below.

Scope. Under this Agreement and other applicable contracts or agreements, will provide services to, for, or on behalf of VHA.

In order for to provide such services, VHA will disclose Protected Health Information to and will use or disclose Protected Health Information in accordance with this Agreement.

Definitions. Unless otherwise provided, the following terms used in this Agreement have the same meaning as defined by the HIPAA Rules: Breach, Data Aggregation, Designated Record Set, Disclosure, Health Care Operations, Individual, Minimum Necessary, Notice of Privacy Practices, Protected Health Information (PHI), Required by Law, Secretary, Security Incident, Subcontractor, Unsecured Protected Health Information, and Use.

“Business Associate” shall have the same meaning as described at 45 C.F.R. § 160.103. For the purposes of this Agreement, Business Associate shall refer to , including its employees, officers, or any other agents that create, receive, maintain, or transmit PHI as described below.

“Covered Entity” shall have the same meaning as the term is defined at 45 C.F.R. § 160.103. For the purposes of this Agreement, Covered Entity shall refer to VHA.
