C.3 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.
C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR
2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

C.5 SUPPLEMENTAL INSURANCE REQUIREMENTS
In accordance with FAR 28.307-2 and FAR 52.228-5, the following minimum coverage shall apply to this contract:
(a) Workers' compensation and employers liability: Contractors are required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 is required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.
(b) General Liability: $500,000.00 per occurrences.
(c) Automobile liability: $200,000.00 per person; $500,000.00 per occurrence and $20,000.00 property damage.
(d) The successful bidder must present to the Contracting Officer, prior to award, evidence of general liability insurance without any exclusionary clauses for asbestos that would void the general liability coverage.
C.6 52.232-35 DESIGNATION OF OFFICE FOR GOVERNMENT RECEIPT OF
ELECTRONIC FUNDS TRANSFER INFORMATION (JUL 2013)
(a) As provided in paragraph (b) of the clause at 52.232-34, Payment by Electronic Funds
Transfer—Other than System for Award Management, the Government has designated the office cited in paragraph (c) of this clause as the office to receive the Contractor's electronic funds transfer (EFT) information, in lieu of the payment office of this contract.
(b) The Contractor shall send all EFT information, and any changes to EFT information to the office designated in paragraph (c) of this clause. The Contractor shall not send EFT information to the payment office, or any other office than that designated in paragraph (c). The
Government need not use any EFT information sent to any office other than that designated in paragraph (c).

C.8 VAAR 852.212-72 GRAY MARKET AND COUNTERFEIT ITEMS (MAR
2020)
(a) No used, refurbished, or remanufactured supplies or equipment/parts shall be provided.
This procurement is for new Original Equipment Manufacturer (OEM) items only. No gray market items shall be provided. Gray market items are OEM goods intentionally or unintentionally sold outside an authorized sales territory or sold by non-authorized dealers in an authorized sales territory.
(b) No counterfeit supplies or equipment/parts shall be provided. Counterfeit items include unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified item from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitutions include used items represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics.
(c) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the

C.9 VAAR 852.212-73 GRAY MARKET AND COUNTERFEIT ITEMS—
INFORMATION TECHNOLOGY MAINTENANCE ALLOWING OTHER-THAN-
NEW PARTS (MAR 2020)
(a) Used, refurbished, or remanufactured parts may be provided. No gray market supplies or equipment shall be provided. Gray market items are Original Equipment Manufacturer (OEM) goods intentionally or unintentionally sold outside an authorized sales territory or sold by non-authorized dealers in an authorized sales territory.
(b) No counterfeit supplies or equipment shall be provided. Counterfeit items include unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified item from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitutions include used items represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics.
(c) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the
OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

C.10 VAAR 852.223-71 SAFETY AND HEALTH (SEP 2019)
(a) To help ensure the protection of the life and health of all persons, and to help prevent damage to property, the Contractor shall comply with all Federal, State, and local laws and regulations applicable to the work being performed under this contract. These laws are implemented or enforced by the Environmental Protection Agency (EPA), Occupational Safety and Health Administration (OSHA) and other regulatory/enforcement agencies at the Federal, State, and local levels.
(1) Additionally, the Contractor shall comply with the following regulations when developing and implementing health and safety operating procedures and practices for both personnel and facilities involving the use or handling of hazardous materials and the conduct of research, development, or test projects:
(i) 29 CFR 1910.1030, Bloodborne pathogens; 29 CFR 1910.1450, Occupational exposure to hazardous chemicals in laboratories. These regulations are available at https://www.osha.gov/.
(ii) Nuclear Regulatory Commission Standards and Regulations, pursuant to the Energy
Reorganization Act of 1974 (42 U.S.C. 5801 et seq.) Copies are available from the U.S. Nuclear

(2) The following Government guidelines are recommended for developing and implementing health and safety operating procedures and practices for both personnel and facilities:

(b)(1) The Contractor shall maintain an accurate record of, and promptly report to the
Contracting Officer, all accidents or incidents resulting in the exposure of persons to toxic substances, hazardous materials; the injury or death of any person; or damage to property incidental to work performed under the contract resulting from toxic or hazardous materials and resulting in any or all violations for which the Contractor has been cited by any Federal, State or local regulatory/enforcement agency.
(2) The report shall include a copy of the notice of violation and the findings of any inquiry or inspection, and an analysis addressing the impact these violations may have on the work https://www.osha.gov/ http://www.cdc.gov/biosafety/publications/index.htm http://www.nap.edu/ remaining to be performed. The report shall also state the required action(s), if any, to be taken to correct any violation(s) noted by the Federal, State, or local regulatory/enforcement agency and the time frame allowed by the agency to accomplish the necessary corrective action.
(c) If the Contractor fails or refuses to comply with the Federal, State or local regulatory/enforcement agency's directive(s) regarding any violation(s) and prescribed corrective action(s), the Contracting Officer may issue an order stopping all or part of the work until satisfactory corrective action (as approved by the Federal, State, or local regulatory/enforcement agencies) has been taken and documented to the Contracting Officer.
No part of the time lost due to any such stop work order shall form the basis for a request for extension or costs or damages by the Contractor.
(d) The Contractor shall insert this clause in each subcontract involving toxic substances or hazardous materials. The Contractor is responsible for the compliance of its subcontractors with the provisions of this clause.

C.11 VAAR 852.237-75 KEY PERSONNEL (OCT 2019)
The key personnel specified in this contract are considered to be essential to work performance. At least 30 days prior to the Contractor voluntarily diverting any of the specified individuals to other programs or contracts the Contractor shall notify the Contracting Officer and shall submit a justification for the diversion or replacement and a request to replace the individual. The request must identify the proposed replacement and provide an explanation of how the replacement’s skills, experience, and credentials meet or exceed the requirements of the contract. If the employee of the Contractor is terminated for cause or separates from the contractor voluntarily with less than thirty days notice, the Contractor shall provide the maximum notice practicable under the circumstances. The Contractor shall not divert, replace, or announce any such change to key personnel without the written consent of the Contracting
Officer. The contract will be modified to add or delete key personnel as necessary to reflect the agreement of the parties.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the
Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

D.1 STATEMENT OF WORK
TITLE: Design, Remove, and Replace SAVAHCS Outdoor Closed-Circuit Video
Surveillance WIFI System/Preventative Maintenance and Service Agreement
1.0 BACKGROUND
The Southern Arizona VA Healthcare System (SAVAHCS) currently has a need for a Contractor to design and install a new outdoor closed-circuit video surveillance WIFI system using a standards-based, outdoor Enterprise Class multi-point mesh solution, replacing the facility’s existing Firetide (Hotport 7020) monitoring system that is currently shared with 13 Solar
Photovoltaic (PV) arrays on campus (12 Solar PV carport structure arrays and one Ground
Mount array).
The purpose of the mesh is to provide an outdoor data back-haul for both the high definition
Internet Protocol (IP) cameras and Solar PV arrays. Once a new mesh is designed, the current video surveillance system will be incrementally removed and replaced, keeping the current video surveillance system operational until the new turnkey outdoor wireless mesh network solution is fully installed, separating the monitoring systems into two individual networks.
Monitoring of the Solar PV arrays will remain on the stand-alone Engineering Server located in
Biomedical Engineering, while the video surveillance system (VSS) is moved to SAVAHCS IT
Server located in the IT Server room. The Contractor will select software already approved by the VA’s Technical Reference Model (VA TRM). If the VA IT Process Request portal (ViPR) software approval process is required, the Contractor will advise the VA through ViPR submissions. The process must be completed prior to build start.
2.0 CONTRACTOR QUALIFICATIONS
Contractor shall have the following qualifications:
A. An onsite project manager shall have a minimum of 5 years-experience performing similar projects of equal complexity or greater.
B. Engineers, technicians, and installers working onsite shall have the following training and certifications: CISCO Certified Network Professionals (CCNP-Wireless) and Cisco Certified Network Associates (CCNA-Wireless).
-- A CISCO Certified CCNP Wireless Engineer shall have a minimum of 5 years-experience performing similar projects of equal complexity or greater as a Validation
Survey Lead Engineer. A CISCO Certified CCNP Wireless Engineer with less than 5 years-experience must have hands-on knowledge configuring VA Cisco Unified
Wireless Network (CUWN) infrastructures.
-- A CISCO trained and certified CCNA Wireless Engineer shall have a minimum of 3 years- experience performing onsite surveys and installations.

3.0 PROJECT MANAGEMENT
A. CONTRACTOR PROJECT MANAGEMENT PLAN
Contractor shall deliver a Contractor Project Management Plan (CPMP) that lays out the Contractor’s approach, timeline, and tools to be used in execution of the contract. The CPMP should take the form of both a narrative and graphic format that displays the schedule, milestones, risks, and resource support. The CPMP shall also include how the Contractor shall coordinate and execute planned, routine, and ad hoc data collection reporting requests as identified within the SOW. The initial baseline CPMP shall be concurred upon and updated in accordance with Section B of the contract. The Contractor shall update and maintain the VA Project Manager approved CPMP throughout the Period of Performance.

B. CONTRACTOR QUALITY CONTROL PLAN (CQC)
Contractor shall prepare a Contractor Quality Control Plan (CQC) that identifies personnel, procedures, control, instructions, and tests to be used. A designated CQC officer/manager shall be present on-site. The CQC Plan shall also identify a sufficient number of assigned CQC staff to ensure coverage at each site which work is being concurrently conducted

C. Work Plan Contractor shall prepare a Work Plan (WP). The WP shall describe the Contractor’s means and methodology, ingress/egress areas, equipment, site security, staging, and storage areas, site facilities, and site-specific activities to be conducted, and team responsibilities.

D. PROJECT RISK AND ISSUES MANAGEMENT
Contractor shall perform risk and issues management activities, utilizing project management standards and best practices. Contractor shall develop and implement a robust risk and issues management plan. This shall include but not be limited to the development of risk management processes and the establishment and maintenance of a risk management tool for tracking risks and issues. The Contractor shall facilitate weekly risk management meetings and perform risk and issues tracking in accordance with the risk management plan. The risk and issues tracking tool shall list all open and historical risks associated with the effort. The Contractor shall participate in comprehensive risk analysis activities and document the results in the risk tracker.
Mitigation strategies and approaches shall be developed for each risk, documented, tracked and managed utilizing the risk tracking tool.

E. REPORTING REQUIREMENTS
The Contractor shall provide the COR with Weekly Progress Reports in electronic form in
Microsoft Word and Project formats. The report shall include detailed instructions/explanations for each required data element, to ensure that data is accurate and consistent. These reports shall reflect data as of the last day of the preceding week.
The Weekly Progress Reports shall cover all work completed during the reporting period and work planned for the subsequent reporting period. The report shall also identify any problems that arose and a description of how the problems were resolved. If problems have not been completely resolved, the Contractor shall provide an explanation including their plan and timeframe for resolving the issue.
