About this file

This is a Sole Source Justification document for an Indefinite Delivery Indefinite Quantity (IDIQ) contract for immunohistochemical testing reagents and supplies to be used on Roche Ventana Benchmark instrumentation at the South Texas Veterans Health Care System (STVHCS). The requirement is being processed by the VA Network Contracting Office 17 in San Antonio, TX.

The 5-year contract has a total value of $3,115,352.93, with annual ordering periods ranging from approximately $559,000 to $694,000 between February 2025 and January 2030. Roche Diagnostics Corporation is identified as the sole manufacturer and distributor of these FDA-approved reagents and supplies that are compatible with the existing Ventana system. The justification explains that these proprietary materials are essential for immunohistochemistry testing used in cancer diagnosis and patient monitoring. Market research found no other viable sources, and a special notice posted December 6-13, 2024 received no responses. The Buy American statute applies as these are domestic end products. The justification was approved by VA contracting officials including the Head of Contracting Activity (HCA) for awards between $750K and $7.5 million.

4. Statutory Authority Permitting Restricted Competition:

FAR 13.5 Simplified Procedures for Certain Commercial Items. The statutory authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. § 1901 and is implemented by FAR 13.106‐1(b)(2) for restricting competition on this procurement. Competition is restricted on this procurement for the reason below:

( X ) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency

Effective Date: 11/15/24

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The Roche Ventana Medical Systems, Inc. is the sole source provider of the extensive menu of pre‐diluted primary antibodies, reagents, and supplies that are packaged in dispensers ready for use on the Roche Ventana Benchmark instrumentation that is already in place at STVHS. The immunohistochemical testing reagents and supplies for use on the Ventana Benchmark systems are the only ones compatible and approved for use by the FDA. Immunohistochemistry testing is based on methods, reference ranges, and physician input, and only approved, reagents and supplies must be used to meet the standard of care of the Joint Commission. The proposed vendor, Roche Diagnostics Corp., Ventana Medical Systems, Inc., would meet our laboratory's capacity needs and can supply reagents continuously without interrupting patient testing.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Conducted market research to identify if other potential vendors could provide all the regents and supplies needed but did not identify other possible vendors. Historically, this vendor has provided a sole source letter attesting to being the sole manufacturer and distributor for the brand name reagents and supplies needed. Third‐party reseller authorization must be provided if other possible vendors are to be considered. Posted a special notice that the government intends to award sole source to Roche Diagnostics on December 6, 2024, and closed on December 13, 2024. Roche Diagnostics Corporation was contacted and spoke with Julie Kiker, Anatomic Pathology Solution Manager, and confirmed that Ventana Medical Systems is the sole manufacturer and distributor for all Ventana instrumentation, reagents, and ancillaries in a letter dated 27 May 2021. Julie Kiker confirmed this letter is still current and up‐to‐date information.

Ventana Medical Systems, Inc. is a branch of Roche Diagnostics; therefore, the awardee will still be Roche Diagnostics no awards are made directly with Ventana Medical Systems. No responses were received therefore, it is advantageous to procure all of the items listed above from a sole vendor to ensure there are no delays in the shipment of regents and supplies needed to perform patient testing.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and

Reasonable: The Contracting Officer shall determine pricing to be fair and reasonable based on a comparison of the proposed prices with prices found reasonable in previously awarded contracts and or procurements.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: Market Research conducted pursuant to FAR Part 10, VAAR Part 810, and

PPM 2016‐05 (revised Aug 2019. Search engines such as VetCert, FPDS, Dynamic Small Business (DSBS) and Interagency Contract Directory (ICD) were utilized when conducting market research. A search

Effective Date: 11/15/24

REVISION: 01

utilizing NAICS code 325413 in VetCert with the keyword Ventana reagents resulted in no socioeconomic groups able to provide these reagents. FPDS was searched and found 36C25720D0026 awarded 20 December 2024 Indefinite Delivery contract for total a value of $1,963,596.60 awarded to Roche Diagnostics Corporation a large business. Searched (ICD) and found two contracts 36C24825D0025 for NCO 9 (36C249) and 36C224122D0027 for NCO 1 (36C241) only individual agency are allowed to utilize these IDC contracts. DSBS search was conducted using NAICS code 325412, keyword Ventana Reagents. The search resulted in zero (0) SDVOSB, zero (0) VOSB, and zero (0) Self‐ Certified Small Disadvantaged Businesses.

Market research revealed that Roche Diagnostics Corp., Ventana Medical Systems Inc. is the sole manufacturer and distributor of the brand name reagents and supplies needed to perform immunohistochemistry testing on the Roche Ventana Benchmark instrumentation. By evaluating new testing methods as technologies improve, STVHCS can adapt its practices, enhance patient care, and ensure that it is utilizing the most effective up‐to‐date approaches. This proactive stance not only aids in improving services but also helps in better resource allocation, and strategic planning, and promotes competition.

The Buy American statute applies; use clause 52.225‐1 Buy American‐Supplies and provision 52.225‐2 Buy American Certificate. This is a domestic end product made in the United States;

therefore, according to Subpart FAR 25.4 Trade Agreement Act does not apply.

9. Any Other Facts Supporting the Use of Other than Full and Open Competition: This is a critical requirement in nature of the brand name supply orders for FDA approved reagents needed for the Roche Ventana Benchmark instrumentation.
