E.8 52.212-2 EVALUATION—COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government. The evaluation will be conducted in accordance with FAR Part 13. The following factors shall be used to evaluate offers:

- First, quotes will be reviewed for compliance with the solicitation instructions in FAR 52.212-1 addendum. Quotes that fail to include all required documentation and information will be rejected and will not be considered for award.

- Next, quotes will be evaluated for technical acceptability based on whether the offered operatory system meet the brand name requirement, or the equal product meets the minimum salient characteristics provided in the Statement of Work. If the “equal” communication system offered do not meet the minimum salient characteristics provided in the Statement of Work, then the quote will be rated as unacceptable and will not be evaluated any further.

- Finally, after evaluation of technical acceptability, the remaining offerors will be evaluated using a comparative analysis considering price .

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

E.1 SUBMISSION OF QUOTE (FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS):

a. Submission of offers.

1.) The offeror’s quote submission shall include the following:

- Include name, address, and telephone number of the offeror, firm's DUNS# and ORCA document in SAM at www.sam.gov

- Authorized Distributor Letter on OEM Letterhead, if the offeror is not the OEM.

- Technical Quote describing the offered product and demonstrating that the offered product is the brand name or an equal product that meets the salient characteristics described in B.4 Statement of Work.

- Completed Price Schedule to include unit price, and overall price Quotes that fail to include all required documentation and information will be rejected and will not be considered for award.

2.) Please submit all questions by Friday 02 Dec 2022 at 6:00 A.M. C.S.T. to vinicky.ervin@va.gov. The subject line must specify 36C25723Q0172– Operatory System Questions. There will be no automated email notification of receipt of questions. An amendment will be posted to the solicitation addressing any questions submitted by potential offerors.

Quotes must be received no later than Friday 09 Dec 2022, 6:00 A.M. C.S.T. Email your quote to vinicky.ervin@va.gov. The subject line must specify 36C25723Q0172 – Operatory System Quote. There will be no automated email notification of receipt of quotes.

ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:

Submit a technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation.

Submit the completed line-item detail spreadsheet provided with the solicitation.

Submit a completed Price Schedule to include unit price, and overall price.

Submit documents for all item(s) that may connect to the VA network and medical devices that store sensitive patient information.

The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers.

All questions and answers shall be emailed to Dr. Vinicky Ann Ervin Ph.D. at Vinicky.ervin@va.gov ONLY.

Offers must include an authorized vendor/reseller/distributor letter at the time the offer is submitted.

Offers that fail to include all required documentation and information will be rejected and will not be considered for award.

Statement of Work 1 Introduction The VA Texas Valley Coastal Bend Health Care System (VATVCBHCS) in Harlingen, TX has a requirement to purchase A-dec equipment with an authorized vendor to supply and deliver the item(s) identified in Table 1 below. This requirement is in support of a brand name or equal requirement that must be compatible with VATVCBHCS’ government owned six (6) A-Dec Operatory System Chairs. See FAR Clause 52.211-6 – Brand Name or Equal (AUG 1999) for additional information. See below for salient characteristics. This requirement is in support of the activation of the VATVCBHCS. Item(s) are to be delivered to the location specified in section 2.1.1.

2 General Conditions

2.1 Site Address

2.1.1 The address of the Texas Valley Coastal Bend VA Harlingen Health Care Center () Clinic is listed below. Additional information on delivery is located in section 2.4.

2.2 Delivery Schedule

Items shall be delivered, installed and fully operational no earlier than the estimated delivery start date and no later than the delivery end date listed in Table 2 below.

2.3 Schedule and Order Management

2.3.1 The above delivery schedule is based upon the current construction schedule, which is subject to change. The vendor shall not increase prices for a change in delivery date for up to 30+ days due to construction delays.

2.3.2 The awardees actual delivery dates will be confirmed by VA upon award.

2.3.3 Post-award the vendor will coordinate delivery prior to beginning any work (see section 2.4). Once the dates have been confirmed, modifications to the schedule are subject to written approval by the VA POC and the vendor. Schedule changes that are beyond the dates specified in the contract will require approval by the Contracting Officer and a contract modification.

2.4 Delivery and Receiving

2.4.1 Delivery and receipt of the proposed items is anticipated to be directed to the location identified below. Confirmation of delivery location will be provided by the VA POC post-award. Delivery TBD must be coordinated with VA Logistics POC prior to any attempts at delivery. Any item that has not been coordinated will be turned away and any additional charges will be the responsibility of the sender/transportation company.

2.4.2 Delivery shall be freight on board (FOB) – Destination.

2.4.3 The vendor is required to define the need for a staging area to accommodate item delivery, if needed. Post-award, this information will be confirmed with the vendor.

2.4.4 The delivery of items identified in this document shall take place during normal business hours which are defined as: 0800 to 1630 (i.e.: 8:00am to 4:30pm Central Time), Monday through Friday, and excluding Federal Holidays.

2.4.5 Delivery trucks will not be permitted to remain at the loading dock. Trucks shall be unloaded, moved from the dock, and then brought back to the dock if required to haul out any waste, tools, or excess materials.

2.4.6 Labeling of delivered items shall include the awarded contract number and VA purchase order number for identification and reference upon receipt of product.

2.5 Use of Warehouse

2.5.1 If the vendor requires the use of the Government’s activation contractor’s warehouse to meet the requirements of this contract the vendor must provide a certificate of insurance prior to the delivery and offloading of the item(s). This insurance certificate must be completed and presented to the activation contractor prior to delivery.

2.5.2 The vendor shall communicate through the VA POC any required coordination requirements.

2.6 Clean Up and Disposal

2.6.1 There are no dumpsters available for vendor use.

2.6.2 The removal of waste and/or excess material shall be conducted through the loading dock area. Delivery trucks and/or other vendor vehicles will not be permitted to remain at the loading dock. Vehicles will need to be brought back to the dock if required to remove any waste, tools, or excess materials.

2.7 Deliverables

2.7.1 The vendor shall provide CAD drawings (including shop drawings) and specifications for site prep for their product as required.

2.8 Assembly and Installation [ ☒ is ☐ is not required]

2.8.1 The vendor is required to manage and coordinate installation at the Harlingen VATVCBHCS HCC Clinic with the VA POC.

2.8.2 On-site assembly and installation of items, and performance of services identified in this document shall take place during normal business hours which are defined as: 0800 to 1630 (i.e.: 8:00am to 4:30pm Central Time), Monday through Friday, and excluding Federal Holidays.

2.8.3 The vendor is required to define the need for a staging area to accommodate item assembly and installation, if needed. Post-award, this information will be confirmed with the vendor.

2.8.4 The vendor is required to provide tools, labor and materials to complete assembly and installation of the items detailed in this document.

2.8.5 The vendor shall protect all finished spaces and surfaces as required from delivery and installation damage. The vendor shall use covering and protection to the extent necessary to prevent damage to finished spaces. Any damage occurred during delivery and installation is the responsibility of the vendor. The vendor will be responsible for paying for and repairing any damage or noted deficiencies to finished spaces and surfaces that occur because of the vendor’s (or associated sub-contractors) installation.

2.8.6 During the entire duration of assembly and installation, the vendor will have a competent representative on-site as the vendor’s contact, and to serve as the interface between the vendor and Harlingen VA HCS. On-site representative can be the installer. All instructions provided from COR to the representative will be binding as if given to the vendor’s main contact. The COR may provide specific instructions, however, only the Contracting Officer may change the terms or conditions of the contract.

2.9 Training [ ☒ is ☐ is not required]

2.9.1 The vendor shall provide all applicable training at no additional charge to the government. The vendor shall coordinate through the VA POC to provide a hands-on training session to staff selected by the VA. Training shall be completed within 45 days after final installation of equipment. The vendor will record the training and provide an electronic copy of the training to the VA POC for VA to use to train additional personal at a future date. In addition, the vendor shall provide additional training documents to the VA POC for training additional persons at a future date.

2.10 Standard Warranty

2.10.1 The products shall be covered by vendor’s standard warranty terms and provisions, provided, however that the warranty coverage shall be no less than the following:

2.10.2 The Vendor shall provide a warranty certificate/form stating the warranty period, terms, and information required to initiate the warranty.

2.10.3 The warranty period set forth therein shall run for one year following the first day of use at Harlingen VA HCC.

2.10.4 The vendor shall extend such warranty directly to the customer as if such customer had purchased the products directly from the vendor.

2.10.5 The vendor shall warrant the products against defects in material and workmanship under normal use and service, repair or replace at vendor’s cost any defective product (or issue a credit or refund, as the case may be, based on the purchase price paid therefor); and

2.10.6 The vendor shall pay (or refund the amount of) all freight and shipping charges for any defective products returned under this paragraph.

2.11 Use of Premises

2.11.1 If during the performance of this contract, work will be carried out on Harlingen VA HCC premises, the vendor shall perform all work in such a manner that will cause a minimum interference with Harlingen VA HCC VA operations and the operations of other contractors on the premises.

2.11.2 The vendor shall communicate through the VA POC any required coordination requirements with the General Construction contractor prior to and during delivery and installation activities.

2.11.3 The project may be an active construction site during delivery and installation. The vendor shall take all necessary precautions to protect the premises and all persons and property therein from damage or injury. The vendor shall assume responsibility for taking precautions for the vendor's (and associated subcontractors’) employees, agents, licensees, and permittees. The vendor shall abide by any safety requirements imposed by the GC (e.g. hard hats, safety vests).

52.211-6 Brand Name or Equal.

As prescribed in 11.107(a), insert the following provision:

Brand Name or Equal (Aug 1999)

(a) If an item in this solicitation is identified as “brand name or equal,” the purchase description reflects the characteristics and level of quality that will satisfy the Government’s needs. The salient physical, functional, or performance characteristics that “equal” products must meet are specified in the solicitation.

(b) To be considered for award, offers of “equal” products, including “equal” products of the brand name manufacturer, must-

(1) Meet the salient physical, functional, or performance characteristic specified in this solicitation;

(2) Clearly identify the item by-

(i) Brand name, if any; and

(ii) Make or model number;

(3) Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer; and

(4) Clearly describe any modifications the offeror plans to make in a product to make it conform to the solicitation requirements. Mark any descriptive material to clearly show the modifications.

(c) The Contracting Officer will evaluate “equal” products on the basis of information furnished by the offeror or identified in the offer and reasonably available to the Contracting Officer. (End of clause) VAAR 852.212-72 Gray Market Items:

a) Gray market items are Original Equipment Manufacturers' (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical equipment only for VA Medical Centers. No remanufactures or gray market items will be acceptable.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM, such that the OEM's warranty and service are provided and maintained by the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

(End of clause) FAR 52.212-2 Evaluation-Commercial Items: A copy of the authorized distributor letter from the contractor to verify that you are an authorized distributor of the products/services SHALL BE SUBMITTED WITH THE QUOTE AND IS MANDATORY.
