4. Statutory Authority Permitting Other than Full and Open Competition:

(X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1;

( ) (2) Unusual and Compelling Urgency per FAR 6.302-2;

( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per FAR 6.302-3;

( ) (4) International Agreement per FAR 6.302-4 ( ) (5) Authorized or Required by Statute FAR 6.302-5;

( ) (6) National Security per FAR 6.302-6;

( ) (7) Public Interest per FAR 6.302-7;

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

Cepheid is the manufacturer of the GenXpert System currently in use at all VISN 15 sites.

These reagents and supplies must be compatible with the Cepheid GenXpert System in order to ensure continuity in the units methodology testing and assists in streamlining the process within VISN 15 by ensuring standardized testing protocols amongst all sites are being used.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:

OFOC SOP Revision 08 Page 3 of 5

Revision 08 Date: 04/18/2018

IAW VETs First, a search was conducted using NAICS Code 325413 and “Reagents”. Seven potential vendors were identified. A search of each vendors capability statement was conducted and based on the findings a sources sought notice was sent on May 29th 2019 along with the Statement of Requirements(SOR) to see if any could fulfill the needs of VISN 15. Of the seven notified, two responsed indicating that they are unable to offer what is needed. No other responses were received.

Government Scientific Inc., AvKare

In addition a sources sought was posted to GSA under schedule 65 VII, SIN 555-6 on April 10th 2019 and a RFI was posted to Federal Business Opportunities(FBO) on April 9th 2019. Both postings contained the following information;

Statement of Requirements(SOR) A list of the associated reagents and supplies needed VISN 15s estimated annual usage

Only one response was received from either of those postings, Cepheid Inc. In addition, Cepheid was queried to determine if there were any authorized small business distributors that could provide these reagents / supplies. Currently they do not permit other small businesses to disseminate these reagents or supplies. As indicated above, Cepheid Inc., is the manufacturer of the GenXpert System, currently in use at all sites within VISN 15.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:

To ensure that the anticipated cost will be considered fair and reasonable, the Contracting Officer (CO) will compare current pricing against:

IGCE

Historical Data from previous contract

Certified cost and pricing data is not required under this requirement as the items being procured will be under a Firm Fixed price contract and there is historical data available to determine a fair and reasonable pricing.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted:

As indicated above in item # 6, a search for Veteran-Owned small businesses and sources soughts were posted to both GSA under RFQ # 1359789 and to FBO under RFI 36C25519Q0367 to determine if there were any other vendors available to meet VISN 15s needs. Cepheid Inc., OFOC SOP Revision 08 Page 4 of 5 Original Date: 03/22/11 Revision 08 Date: 04/18/2018 the manufacturer of the GenXpert System, was the only respondent. They are the only distributor that can meet the needs of VISN 15.

Based on an analysis of the market research results and historical data, the contracting officer does not have an expectation that two or more verified veteran-owned small businesses will submit offers and that award can be made at a fair and reasonable price.

9. Any Other Facts Supporting the Use of Other than Full and Open Competition:

As stated above in item 5, Cepheid is the manufacturer of the GenXpert System and the reagents and testing supplies are only offered through Cepheid Inc. These units have a 15-20 life expectancy and within VISN 15 and the current equipment has been is service between 2-10 years. There are currently 10 units in VISN 15. To replace these units the VISN would need to budget an additional $1,484,850.00 in addition to the added cost of training the staff.

10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:

As stated above only Cepheid Inc. responded to the sources sought postings. No other vendors expressed an interest.

11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required:

Currently there are no plans to overcome this barrier. As stated above the current equipment still has a life expectancy to exceed the terms of this proposed contract. In situations involving various testing protocols that require compatibility with testing equipment methodologies, it is difficult to remove barriers to competition because the OEM is the only current authorized provider of the reagents and supplies needed. Until the manufacturer allows small businesses to disseminate their reagents and supplies, the only other alternative would be to replace the current testing systems at all VISN 15 sites which currently have not been budgeted for.

FAR Parts 8/13.5/14 Acquisition Plan Template

36C25519AP1229 TITLE

BACKGROUND INFORMATION:

Requirement is for VISN 15 facilities to obtain reagents and supplies to conduct . The requirement was under a FSS BPA. The FSS Contract expired and items are no longer on contract.

1. DATE PREPARED:

April 23rd 2019

11. ESTIMATED BASE PERIOD COST:

12. RISKS:

There are no significant risks associated with design or developmental requirements to the government.

This requirement is heavily dependent on having the supplies available. Sites will need to establish order requirements to ensure that enough supplies are available to meet their testing needs while keeping deliveries to a minimum and to prevent emergency deliveries requiring additional costs.

13. OTHER CONSIDERATIONS:

This is a commercial item requirement that will utilize a firm fixed price IDIQ contract. By utilizing a firm fixed price contract, any risk regarding price/cost is incurred by the contractor. Since the sites have historical data to assist in determining their estimated usage, an IDIQ represents the best type of contract for this requirement.

YES NO

15. REASON FOR OTHER THAN FULL AND OPEN

COMPETITION:

Vendor is the only vendor with approved reagents and supplies that are compatible with current owned by VISN 15 sites

*** FOR INSTRUCTIONAL USE ONLY. ALL NOTES and SAMPLE LANGUAGE BELOW MUST BE

REMOVED FROM THE DOCUMENT BEFORE THE ACQUISITION PLAN IS SUBMITTED FOR

CONCURRENCE AND APPROVAL***

Note 1: In order to facilitate attainment of the acquisition objectives, the plan must identify those milestones at which decisions should be made. The plan must address all the technical, business, management, and other significant considerations that will control the acquisition. The specific content of plans will vary, depending on the nature, circumstances, and stage of the acquisition. Acquisition plans for service contracts or orders must describe the strategies for implementing performance-based acquisition methods or must provide rationale for not using those methods in Block 22a, and b.

Note 2: By using this shortened form, the Contracting Officer (CO) asserts that “Life-cycle Cost”, “Design-to-cost”, “Application of Should-Cost”, “Acquisition Streamlining”, “Make or Buy”, “Test & Evaluation” and any other headings mentioned in FAR 7.105 but not addressed herein (e.g., whether equipment will be acquired by lease or purchase (see subpart 7.4)) are either inapplicable to this procurement or will be discussed as appropriate in the PWS/SOW/SOO (as applicable.)

INSTRUCTIONS FOR COMPLETION:

1. DATE PREPARED - The date the document is completed.

2. PREPARED BY - The name of the individual completing the form.

3. DESCRIPTION OF REQUIREMENT - A brief but concise narrative of the products or services to be acquired. This must include a statement of need; applicable conditions; capability or performance; and delivery or performance-period requirements per FAR 7.105(a). This DOES NOT include items mentioned in Note 2 or Cost, Risk and Tradeoffs, which are separately addressed in #10, #12 and #27 respectively.

4. PRODUCT OR SERVICE? Is this procurement primarily a product or a service?

5. NAICS/FSC/PSC: Provide the appropriate code(s) for this procurement.

6. REQUESTOR - The name of the program official requesting the products or services.

7. PHONE NO. - The phone number of the program official.

8. PLAN/ACTUAL DATE SUBMITTED - The date the program plans to submit or actually submits the request.

9. REQUIRED AWARD DATE - The date the award needs to be made in order for the product or services to be delivered in a timely manner.

10. ESTIMATED TOTAL COST - The total amount of the entire project including any optional quantities or extensions of performance.

11. ESTIMATED BASE PERIOD COST- The amount of funds currently available for the award.

12. RISKS: Discuss technical, cost, and schedule risks and describe what efforts are planned or underway to reduce risk and the consequences of failure to achieve goals. If concurrency of development and production is planned, discuss its effects on cost and schedule risks.

13. OTHER CONSIDERATIONS: Per Federal Acquisition Regulation (FAR) 7.105, discuss the rationale for the selection of contract type. In accordance with FAR 16.103(d), document why the particular contract type was selected. Acquisition personnel must document the acquisition plan with findings that detail the particular facts and circumstances, (e.g., complexity of the requirements, uncertain duration of the work, contractor’s technical capability and financial responsibility, or adequacy of the contractor’s accounting system), and associated reasoning essential to support the contract type selection. The contracting officer must ensure that requirements and technical personnel provide the necessary documentation to support the contract type selection.

14. COMPETITIVE? - Check the appropriate block.

15. IF NON-COMPETITIVE - BASIS – Briefly explain why the requirement cannot be made available for competition (FAR 6.3)

16. NAMES OF POTENTIAL SOURCES - Identify any firms known to be contenders for the required products or services based on past experience, existing vendor lists, or market research conducted.

Acquisition Planning SOP Page 5 of 5 Revision: 08, Effective Date: 03/04/19

17. MARKET RESEARCH EFFORTS CONDUCTED OR TO BE CONDUCTED - Describe actions taken to date or planned to allow the Government to identify existing capabilities, technologies, and competitive forces to meet the current need. Use results from Market Research Report Templates available in VHAPM Part 810.001.

18. SOCIO-ECONOMIC PARTICIPATION - Identify whether this will be set-aside for any of the various types of firms specified by checking the appropriate block(s). Contracting professionals must be cognizant of socioeconomic set-aside considerations, including the Veterans First Contracting Program/ 38 U.S.C. 8127’s “Rule of Two” which states VA must set aside procurements for competition among veteran-owned small businesses “if a CO has a reasonable expectation that two or more small businesses owned and controlled by veterans will submit offers and that the award can be made at a fair and reasonable price that offers the best value to the United States.” Bundling and Consolidation (see Attachment 3 Procurement Requests and Bundling Requirements): Address the extent and results of the market research and indicate their impact on small businesses. When the Acquisition Plan involves bundling and/or consolidation, the business size of incumbent contractors should be addressed.

19. PLANNED CONTRACT TYPE - The type or combination of contract types expected to best meet the needs of the Government (See Note at #13 above regarding justification for Contract Type)

20. a. and b. COMMERCIAL ITEM OR SERVICE? - Indicate if the requirement can be satisfied by use of commercial items or services rather than Government specified products or services. As currently described, if the need cannot be satisfied by a commercial item, indicate if it could be changed to convert to a commercial item.

21. IF SERVICES, ARE INHERENTLY GOVERNMENTAL FUNCTIONS INVOLVED? - Refer to OMB Circular A-76 (May 2003) to identify the services which are considered necessary for performance by Governmental employees to ensure that any services being acquired do not fall within this category.

22. a. and b. SUITABLE FOR PERFORMANCE-BASED? - Indicate if the requirement can be met through performance-based services contracting and if no, indicate the basis for not utilizing this technique. See FAR 37.102.

23. a. and b. OPTIONS - Indicate if options will be required and if so, the number and type of options (e.g. four one-year options to extend the period of performance or one option to purchase an additional quantity of a product.)

24. a. and b. GOVERNMENT PROPERTY TO BE FURNISHED - Indicate if Government Property will be furnished. If so, document the type of property.

25. a. and b. GOVERNMENT INFORMATION TO BE PROVIDED - Indicate if Government Information will be furnished. If so, document the type of information.

26. ENVIRONMENTAL AND ENERGY CONSERVATION OBJECTIVES: VA personnel are required to comply with the VA Green Purchasing Program Directive 0058 and VA Green Purchasing Program Handbook 0058 on all procurements. Discuss all applicable environmental and energy conservation objectives associated with the acquisition (see FAR Part 23), the applicability of an environmental assessment or environmental impact statement (see 40 CFR 1502), the proposed resolution of environmental issues, and any environmentally-related requirements to be included in solicitations and contracts.

27. SECURITY CONSIDERATIONS: For acquisitions dealing with classified matters, discuss how adequate security will be established, maintained, and monitored (see FAR Subpart 4.4). For Information Technology acquisitions, discuss how agency information security requirements will be met. For acquisitions requiring routine contractor physical access to a Federally-controlled facility and/or access to a Federally-controlled information system, discuss how agency requirements for personal identity verification of contractors will be met (see FAR Subpart 4.13). Per VA Handbook 6500.6, and VHAPM Part 839 Contract Requirements for Security SOP, COs shall consult with their respective Information Security Officer (ISO), Privacy Officer (PO), and Office of General Counsel (OGC) to determine whether a contract will require a contractor and/or third party to use, store, generate, modify or transmit VA-owned Sensitive Personal Information. If so, COs shall include applicable requirements from the Information System Security and Privacy Language expressed in VA Handbook 6500.6, under the Terms and Conditions section of the contract.

28. EVALUATION FACTORS – For any "Best Value" procurement, indicate the factors to be used for evaluation. When soliciting quotations or offers, the CO shall notify potential quoters or offerors of the basis on which award will be made (price alone or price and other factors, e.g., past performance and quality). COs are encouraged to use best value. Solicitations are not required to state the relative importance assigned to each evaluation factor and subfactor, nor are they required to include subfactors.

29. MILESTONES – Identify dates for the milestones provided. Add or delete milestones as applicable. At a minimum use the Five Phase Milestone plan – I – Requirements Complete, II – Solicitation Issued, III – Proposals Received, IV- Evaluations Complete, V – Award Finalized.

SIGNATURES OF APPROVAL – Signatures and reviews must be in compliance with the VHAPM Part 807 Acquisition Planning SOP of the VHA Procurement Manual.
