ACKNOWLEDGMENT OF AMENDMENTS: The offeror acknowledges receipt of amendments to the Solicitation numbered and dated as follows:
AMENDMENT NO
DATE
B.2 INTRODUCTION
In the spirit of the Federal Acquisition Streamlining Act, the Department of Veterans Affairs NCO-15 and the Prospective Contractor intends to enter into a cooperative agreement, otherwise referred to as a Blanket Purchase Agreement (BPA), to further reduce the administrative costs of acquiring supplies/services. BPAs eliminate contracting and open market costs such as: search for sources; the development of technical documents, solicitations and the evaluation of offers.
The Government will award a VA Wide Subscription for the National Fire Protection Association (NFPA) and e-copy purchase of various National/Enterprise Standard Codes (see Schedule) as needed for approximately 168 VA Facilities. The e-copy purchase will be funded using a Deposit Account. The Deposit Account amount will be determined on the annual basis and will include the option to modify for additional funding as required to meet the facility requirement. If the Contractor fails to perform in a manner satisfactory to the Government, this agreement may be canceled with 30 days written notice to the Contractor by the Contracting Officer (CO). The Contractor shall also reserve the right to terminate this contract with 30 days notification to the CO. This BPA shall be reviewed annually.
B.3 DESCRIPTION OF AGREEMENT
Contractor shall furnish supplies or services, described in general terms, if and when requested by the CO (or the authorized representative of the contracting officer) during a specified period and within a stipulated aggregate amount, if any. All orders placed against this BPA are subject to the terms and conditions of all the clauses and provisions in full text or incorporated by reference in this document.
B.4 EXTENT OF OBLIGATION
This BPA does not obligate any funds. The Government is obligated only to the extent of authorized orders actually issued under the BPA by the CO.
B.5 PRICING DATA
The prices included on the BPA list (or applicable "discounted" rates submitted in a quote response to an RFQ resulting in award) that are in effect on the effective date of an order shall govern that order's basic performance period.
The BPA Holder can voluntarily reduce offered prices at any time by giving 24-hour advance notice (by facsimile or electronic-mail) to the CO. This BPA also allows for additional discounts if a "large order" is placed at one time. An advanced notice is not required for discounts offered for only an individual order. Whether an order is large enough to warrant such a discount is subject to the discretion of the BPA Holder.
The BPA Holder may also increase BPA prices at any time. Any BPA price increase shall not take effect until the CO receives written notification (U.S. mail, facsimile, or electronic-mail). Any order already issued shall not be affected by any change to BPA pricing. The prices offered under this BPA will undergo annual review by the CO.
B.6 ITEM INFORMATION
– See Section B.16 for details of the requirement
B.7 AUTHORIZED LIMITS
The Government estimates, but does not guarantee, that individual BPA Orders placed against this Agreement may reach the SAT (Simplified Acquisition Threshold) per Order.
B.8 INDIVIDUALS AUTHORIZED TO PLACE AN ORDER UNDER THE BPA
Only the NCO 15, Contracting Officer has the authority to enter into, administer, amend, modify or terminate this BPA. All orders placed against this Agreement shall only be processed by the NCO 15, Contracting Officer, otherwise order is void.
The COR will be authorized to purchase e-copy as needed using the Funded Deposit Account established by the BPA Order. COR will be responsible for technical monitoring of the Contractor's performance and deliveries. The COR and the Contractor shall work together to ensure that all contractual requirements are being met. The COR will interpret specifications or technical portions of the work. The COR is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government. Only a warranted CO is authorized to obligate funds on this or any other contract action.
The Contractor shall immediately notify the CO in writing if the COR has taken an action (or fails to take action) or issues directions (written or oral) that the Contractor considers exceeding the above limitations. The Contractor shall provide the CO copies of all correspondence with the COR.
B.9 DELIVERY TICKETS
All deliveries under this agreement shall be accompanied by the delivery tickets or packing slips and shall contain the following minimum information:
(i) Name of vendor.
(ii) BPA number.
(iii) Date of purchase.
(iv) Purchase Order number.
(v) Itemized list of supplies or services furnished.
(vi) Quantity, unit price, and extension of each item, less applicable discounts (unit prices and extensions need not be shown when incompatible with the use of automated systems, provided that the invoice is itemized to show this information).
(vii) Date of delivery or shipment.
B.10 INVOICES
Inspection and acceptance shall be accomplished as follows: The Government, for all products/services furnished under any resulting order, hereby designates the CORs in the program office as the point of final inspection and acceptance. The BPA Holder will submit each invoice, including all back-up data, to the COR for review and certification. If the invoice is incomplete or inaccurate, the COR will return the invoice to the Contractor for correction. Final payment for each order will be accomplished by final invoice accompanied by a receiving report.
An itemized invoice shall be submitted to the COR at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period and for which payment has not been received. These invoices need not be supported by copies of delivery tickets.
All Invoices from the contractor shall be submitted electronically in accordance with VAAR Clause 852.232-72 Electronic Submission of Payment Requests.
Department of Veterans Affairs Financial Services Center http://www.fsc.va.gov/einvoice.asp
B.11 PERIOD OF PERFORMANCE
This is for a 5-year BPA, which expires on 06-30-2024.
B.12 ORDER FORMAT
Orders will be placed against this BPA via e-mail, Electronic Data Interchange (EDI), FAX, or in hardcopy format. Each individual BPA Delivery Order will describe the tasks, services, and deliverables required.
B.13 MANAGEMENT CONTROL
The BPA Holder shall provide to the CO a list of all teaming partners or subcontractors within 30 calendar days after order award. As subcontractors and/or teaming partners are added, and/or deleted, an updated listing will be provided to the CO within five (5) calendar days of such change. All BPA Holder personnel shall display identification badges at all times while charging hours to the order or at a government or government contractor location. Authorized Government personnel shall accompany all visits to Department of Veterans Affairs Program Offices, unless other specific arrangements have been made.
B.14 PRECEDENCE
The Terms and conditions included in this BPA apply to all purchases made pursuant to it. In the event of an inconsistency between the provisions of this BPA and the Contractor's invoice, the provisions of this BPA will take precedence.
B.15 GOVERNING LAW
This sharing Agreement shall be governed, construed and enforced in accordance with Federal law.
Federal law and regulations, including the Federal Acquisition Regulations (“FAR”), shall govern this Contract. Commercial license agreements may be made a part of this Contract but only if both parties expressly make them an addendum. If the commercial license agreement is not made an addendum, it shall not apply, govern, be a part of or have any effect whatsoever on the Contract; this includes, but is not limited to, any agreement embedded in the computer software (clickwrap) or any agreement that is otherwise delivered with or provided to the Government with the commercial computer software or documentation (shrinkwrap), or any other license agreement otherwise referred to in any document. If a commercial license agreement is made an addendum, only those provisions addressing data rights regarding the Government’s use, duplication and disclosure of data (e.g., restricted computer software) are included and made a part of this Contract, and only to the extent that those provisions are not duplicative or inconsistent with Federal law, Federal regulation, the incorporated FAR clauses and the provisions of this Contract, including other attached addenda; those provisions in the commercial license agreement that do not address data rights regarding the Government’s use, duplication and disclosure of data shall not be included or made a part of the Contract. Federal law and regulation, including without limitation, the Contract Disputes Act (41 U.S.C. §601-613), the Anti-Deficiency Act (31 U.S.C. §1341 et seq.), the Competition in Contracting Act (10 U.S.C. §2304), the Prompt Payment Act (31 U.S.C. §3901, et seq.) and FAR clauses 52.212-4, 52.227-14, 52.227-19 shall supersede, control and render ineffective any inconsistent, conflicting or duplicative provision in any commercial license agreement. In the event of conflict between this clause and any provision in the Contract or the commercial license agreement or elsewhere, the terms of this clause shall prevail. Claims of patent or copyright infringement brought against the Government as a party shall be defended by the U.S. Department of Justice (DOJ). 28 U.S.C. § 516. At the discretion of DOJ, the Contractor may be allowed reasonable participation in the defense of the litigation. Any additional changes to the Contract must be made by contract modification (Standard Form 30). The FAR requires that the Contractor be provided an opportunity to comment on past performance evaluations prior to each report closing. To fulfill this requirement VA uses an online database, CPARS, which is maintained by the Naval Seal Logistics Center in Portsmouth, New Hampshire. CPARS has connectivity with the Past Performance Information Retrieval System (PPIRS) database, which is available to all Federal agencies. PPIRS is the system used to collect and retrieve performance assessment reports used in source selection determinations and completed CPARS report cards transferred to PPIRS. Contractors shall be afforded up to 14 calendar days from the date of notification of availability of the past performance evaluation to submit comments, rebutting statements, or additional information.
(4) The evaluations, including any contractor-submitted information (with indication whether agency review is pending), are automatically transmitted to PPIRS at http://www.ppirs.gov. not later than 14 days after the date on which the contractor is notified of the evaluation’s availability for comment.
