B.2 STATEMENT OF WORK (SOW)

Purpose The Clement J. Zablocki VA Medical Center Simulation Center department requires an upgrade/replacement of the Simulation Center AV System, which consists of

(1) Sim View Laerdal (2015) audio/visual equipment utilized by the Simulation Center to provide the ability to view and record, in real time, the patient (manikin) camera(s), room camera(s), vitals monitor and the audio, which, is captured by the ceiling microphone(s), above the corresponding patient (manikin) bed.

(2) Camera selection, control and recording equipment and software that manages the process.

The technology upgrade involves lifecycle replacement of the system as the original Sim View Laerdal audio/visual equipment and the camera selection, control, recording equipment, and software have reached end of life. Consumables and replacement parts for the Simview system will not be available after October 2021. In addition, the current system is standalone and not on the VA network, which is a limitation for system operation. A replacement system/upgrade that is designed to be on the VA network would provide additional functionality and benefits to departmental operations.

BEST VALUE JUSTIFICATION:

Selection Criteria

HARDWARE AND SOFTWARE PROPOSAL:

FIPS 140-2 certification for any components using wifi Hardware proposal feasibility Network feasibility and security evaluation Software capabilities, including export/download and editing Warranty and customer support plan Portable AV solution

INSTALLATION PLAN:

1. Overall System Functionality Requirements:

Dedicated workstations (VA owned/furnished computers) are needed for real time viewing and debriefing of recorded simulation sessions.

Each workstation shall have the ability to observe and record the patient camera, room camera, vitals monitor and audio from the ceiling microphone above the associated patient bed. Camera selection, control and recording shall be managed by the software provided in this proposal.

The Sim Center Instructors require the ability to listen and also observe the Sim Theaters, Procedure Rooms, Debriefing Room at any of the workstations (in real time or recorded).

6 concurrent licenses (if necessary) for computers (VA owned/furnished) that are able to remote view (real time streaming and recording) simulations in Sim Theaters, Procedure Rooms and Debriefing Room required from:

· Control Room (2)

· Procedure Room

· Multipurpose Room (2)

· Debriefing Room Cost associated with any additional concurrent licenses shall be outlined in the proposal.

Export/download and editing functionality is desired as a value add to be able to share recordings for presentations and other applications.

2. Sim Control Room Functionality Description The Sim Control Room functions to provide Simulation Center Instructors the ability to observe and interact with students training in the Sim Theaters or observe the Procedure, Debriefing Rooms.

A dedicated workstation (VA owned/furnished) will be associated with each of the Sim Theater instructor stations (2 total). Two Instructor control stations shall be located in the Sim Control Room, one for each Sim Theater. The control stations need headphones (wired) and microphones (wired) to allow the instructor to switch between different speaker/mic options:

· Listen into the sim theater/mic mute

· Listen into the sim theater and speaking through ceiling speaker (1 per sim theater)

· Listen into the sim theater and speaking through wall speakers (2 per sim theater) Each instructor control station needs a second headphone audio output with splitter and 4 headphones (wired with extra length) for other facilitators to listen into the sim theater while observing the scenario. For example: if there are procedures being conducted in each Sim Theater, the audio system must be able to support 4 headphones enabled to listen to Sim Theater 1 while the other 4 headphones listen to Sim Theater 2 as two separate feeds.

The Sim Center Instructors require the ability to not only listen to any of the Sim Theaters at any of the Instructor Stations through two headphone outputs, but also observe the Procedure, Debriefing and Multi-Purpose Rooms. This increased functionality will require a different method of controlling the audio routing.

Local controller at each Instructor Station.

Microphones and headphones (both wired) for instructor needed to talk into the sim theaters at each Instructor Station and controller will route audio from any of the Simulation Theaters, Procedure, and Debriefing Rooms, to dual headphone outputs at each Instructor Station. The headphones shall have the ability to adjust the volume for each headset individually. The controller will also allow the Instructor to

· Act as either the patient where the Instructor’s voice would come through the wall speaker at the patient bed

· Have the instructor’s voice come from the ceiling mounted speaker in each Sim Theater

· Be mute The controller shall allow the user to select either computer audio or the sim theatres audio directly from the room. This is to minimize any audio delay through the software. (This only applies to the Sim Theatres.) Other room audio will only be heard using the software on the control room computer.

3. Sim Theater (1&2) Each Simulation Theater shall provide an interactive learning experience for students. Cameras will be located above each simulation mannequin as well as a camera between the patient beds for student observation. The cameras will be used for recording as well as student interaction with Sim Instructors. A flush ceiling microphone (ceiling lift in place which does not allow use of drop-down mic) above each patient bed will be used for recording as well as student interaction with Sim Instructors.

Existing cameras, microphones and speakers need replacement.

Real time streaming from up to 3 cameras and one monitor (manikin vital signs or image input) needs to be captured and remotely viewable without audio-video time delay in remote location (debriefing room, procedure rooms, multipurpose rooms.

Ceiling speakers (1 in each sim theater) are used to talk directly into the sim theaters from the control room for overhead paging and other directions. Wall speakers (2 in each sim theater) are used to simulate patient voice behind the patient bed. Control to switch to between different speaker output needs to be controlled by equipment and simple selector knob or touch panel from the control room at the instructor stations.

4. Procedure Rooms (2) Functionality Description:

The Procedure Rooms are used by students to practice methods not requiring the use of the Simulation Theaters.

A dedicated workstation (VA owned/furnished) will be associated with the Procedure Rooms needed for real time viewing and debriefing of recorded simulation sessions.

Each procedure room can be observed and recorded by any of the Sim Control Room workstations (VA owned/furnished).

Existing cameras and flush ceiling microphones need replacement.

Real time streaming from up to 3 cameras and one monitor (manikin vital signs or image input) needs to be remotely viewable without audio-video time delay from the Sim Theaters to the Procedure Rooms for debriefing to be displayed on the existing 70’’ TV screen monitors.

There are 2 TV screen monitors wall mounted in the Procedure rooms (one in each room). The Monitors need to be able to function both independently to show different content or synchronized to display the same content when the rooms are used to accommodate large groups.

5. Debriefing Room Functionality Description The Debriefing Room is used by students and instructors to review Sim session recordings as well as for meetings and conferencing. The Debriefing Room can be observed and recorded by any of the Sim Theater Instructor Stations.

A dedicated workstation (VA owned/furnished) will be associated with the Debriefing Room needed for real time viewing and debriefing of recorded simulation sessions.

The Debriefing room can be observed and recorded by any of the Sim Control Room workstations (VA owned/furnished).

Existing camera and flush ceiling microphone need replacement.

Real time streaming from up to 3 cameras and one monitor (manikin vital signs or image input) needs to be remotely viewable without audio-video time delay from the Sim Theaters to the Debriefing Room for debriefing to be displayed on the existing 70’’ TV screen monitors.

There is one TV screen monitor wall mounted in the Debriefing Room.

6. Multipurpose Rooms (2) Functionality Description The Multipurpose Rooms is used by students and instructors to view active Sim sessions and review Sim session recordings as well as for meetings and conferencing. The Multipurpose Rooms will not be observed or recorded by any of the Sim Control Instructor workstations.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) Payment.—

(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR part 1315.

For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall—

(C) Affected line item or subline item, if applicable; and

(D) Contractor point of contact.

(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.

(6) Interest.

(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.

(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.

(iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if—

(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;

(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or

(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see 32.607-2).

(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.

(v) Amounts shall be due at the earliest of the following dates:

(B) The date of the first written demand for payment, including any demand for payment resulting from a default termination.

(vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on—

(A) The date on which the designated office receives payment from the Contractor;

(B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or

(l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.

(m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.

(n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession.

(o) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract.

(p) Limitation of liability. Except as otherwise provided by an express warranty, the Contractor will not be liable to the Government for consequential damages resulting from any defect or deficiencies in accepted items.

(1) Except as stated in paragraph (u)(2) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:

(i) Any such clause is unenforceable against the Government.

(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.

(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

C.3 52.219-33 NONMANUFACTURER RULE (MAR 2020)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Applicability. This clause applies to—

(1) Contracts that have been set aside, in total or in part;

(2) Orders under multiple-award contracts as described in 8.405-5 and 16.505(b)(2)(i)(F) that have been set aside for any of the small business concerns identified in 19.000(a)(3); and

(3) Orders issued directly to any of the small business concerns identified in 19.000(a)(3) under multiple-award contracts as described in 19.504(c)(1)(ii).

(c)(1) The Contractor shall— (i)(A) Provide the end item of a small business manufacturer, or if set aside or awarded on a sole source basis to a HUBZone small business, provide the end item of a HUBZone small business manufacturer, that has been manufactured or produced in the United States or its outlying areas; or

(B) If this procurement is an order as described in 8.405-5 or 16.505(b)(2)(i)(F) or processed under simplified acquisition procedures (see part 13), and the total amount does not exceed $25,000, provide the end item of any domestic manufacturer;

(ii) Not exceed 500 employees;

(iii) Be primarily engaged in the retail or wholesale trade and normally sell the type of item being supplied; and

(iv) Take ownership or possession of the item(s) with its personnel, equipment, or facilities in a manner consistent with industry practice.

(2) In addition to the requirements set forth in paragraph (c)(1) of this clause, when the end item being acquired is a kit of supplies or other goods, 50 percent of the total value of the components of the kit shall be manufactured in the United States or its outlying areas by small business concerns. Where the Government has specified an item for the kit which is not produced by U.S. small business concerns, such items shall be excluded from the 50 percent calculation. See 13 CFR 121.406(c) for further information regarding nonmanufacturers.

(3) For size determination purposes, there can be only one manufacturer of the end product being acquired. For the purposes of the nonmanufacturer rule, the manufacturer of the end product being acquired is the concern that transforms raw materials and/or miscellaneous parts or components into the end product. Firms which only minimally alter the item being procured do not qualify as manufacturers of the end item, such as firms that add substances, parts, or components to an existing end item to modify its performance, will not be considered the end item manufacturer, where those identical modifications can be performed by and are available from the manufacturer of the existing end item. See 13 CFR 121.406 for further information regarding manufacturers.
