B.2 STATEMENT OF WORK (SOW)
Registered Yoga Teacher for Pain Management Background: According to the Department of Veterans Affairs, Veterans Health Administration (VHA), recent data suggests that a significant percentage of veterans of Operation Iraqi Freedom (OIF)/Operation Enduring Freedom (OEF) will experience pain conditions that interfere with daily functioning and adversely affect quality of life. VHA Directive 2009-053, Pain Management, established pain management as a national priority.
Scope of Objective:
1. The contractor shall provide Registered Yoga Teacher(s) with a developed, systematic and objective approach to yoga programs specifically designed for people with pain, injuries, illness, and trauma.
2. The contractor shall be established in assisting people in reducing chronic pain, managing injuries, preventing future injuries, and achieving a relaxed, physical, and mental state while utilizing physical movement and messages of empowerment.
3. The contractor shall independently provide a thorough assessment of pain and functionality and determine the course of the treatment based on the assessment.
4. The contractor shall either:
a. independently provide either a one-hour individual and a one-hour group session of the clinically-based yoga class at the Detroit Veterans Affairs (VA) Medical Center (Detroit VAMC) for a total of two sessions each week for twelve weeks, or
b. the veteran may be continued in one-hour individual sessions twice per week for 12 weeks or some combination thereof based on the veteran’s session progress and need.
5. The contractor shall independently provide each and every veteran enrolled in the program a one-hour individual session to make the assessment and provide patient education about the course of treatment and treatment expectations.
6. The Veteran will be allowed a maximum of 3 individual sessions and a maximum of 12 follow up group sessions per consult. If the Veteran and the Therapist feel that more sessions are required the Therapist must consult with the Pain Management physician and or the Associate Chief of Integrated Clinical Service.
7. The Government estimates 30 patients per year requiring individual sessions.
8. Group sessions are not anticipated to exceed 20 participants.
General Information/Objectives:
1. Contractor shall provide a customized, evidence-based, interactive yoga program with extensive participant involvement to assist in the treatment of veterans with chronic pain.
2. Contractor shall provide a thorough assessment and session summaries regarding the veteran’s treatment plan and progress.
3. Contractor shall provide a therapeutic yoga program that will address both the physical and psychological issues that accompany living with chronic pain to help achieve total wellness.
4. Contractor shall provide a presentation of the customized, evidence-based, individualized yoga program to hospital leadership and Pain Clinic providers with examples.
Deliverables:
1. The contractor shall provide all labor, supervision, and other resources required to facilitate the Yoga Therapy program.
2. The contractor shall provide proof that all protocols are evidenced-based and developed with clinical expertise.
3. The contractor shall document the evaluation of the Veterans and communicate with the referring provider.
4. The contractor shall guide the Veterans through a series of questions designed to help them formulate personal goals on the physical, functional, emotional, and social categories.
5. The contractor shall evaluate the Veteran on physical strength, flexibility, range of motion, balance and endurance.
6. The contractor shall address the Veteran’s specific conditions and/or injuries.
7. The contractor shall create a specific treatment plan for each Veteran.
8. The contractor-provided treatment plan shall create specific ways for the Veterans to build general physical health and rehabilitate the Veterans’ current injury or illness, while improving the Veterans’ mental and emotional wellbeing.
9. The contractor shall provide the Veterans with specific activities to perform between sessions.
10. The contractor shall guide the Veterans through the specific treatment plan created for each Veteran.
11. The contractor shall assist the Veteran in making adjustments through the treatment plan.
12. The contractor shall continue to communicate with the referring provider and both will evaluate the progress of the Veterans toward their goals, including changes over time in: pain level, strength, endurance, flexibility, balance, posture, psychological changes, etc.
13. The contractor shall provide the Veteran & VA health care providers with a monthly progress report on all attendees, specifying the Veterans’ progress in each area, and outlining a plan for future improvements.
14. The contractor shall provide each participating veteran one yoga props set to keep for their own use. Each set will include a 6mm yoga mat, 2 blocks (3” x 6” x 9”), one strap (minimum 6 ft) and one bolster. The set provided will become property of the veteran.
Government Furnished Facility: The Detroit VAMC shall furnish office and group space for the sessions.
Security:
1. The contractor shall complete the following before being granted access to VA information and its systems:
a. Sign and acknowledge (either manually or electronically) understanding of and responsibilities for compliance with the Contractor Rules of Behavior, Appendix E relating to access to VA information and information systems;
b. Successfully complete the VA Privacy and Information Security Awareness and Rules of Behavior training and annually complete required security training;
c. Successfully complete the VA 10203 Privacy and HIPAA training in TMS.
d. Annually complete required privacy and Information Security and Rules of Behavior training.

Period of Performance: October 1, 2020 - September 30, 2025
Performance Measure: The government will measure Contractor’s performance to do work by the Contractor’s ability to:
1. Meet agreed scheduled dates
2. Submit all deliverables on time as specified and agreed upon.
3. Provide session assessments and session summaries showing progress in reduction of perceived pain and improved functionality by the Veteran. Comment by Boston, Jeremy: To who?

C.2 52.216-18 ORDERING (OCT 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from October 1, 2020 through September 30, 2025.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

C.3 52.216-19 ORDER LIMITATIONS (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $50.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor—
(1) Any order for a single item in excess of $150,000.00 per year;
(2) Any order for a combination of items in excess of $150,000.00 per year; or
(3) A series of orders from the same ordering office within 3 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 1 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

C.4 52.216-22 INDEFINITE QUANTITY (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after September 30, 2025.

C.5 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.

(a) This solicitation includes the clause: 852.215-70 Service-disabled veteran-owned and veteran-owned small business evaluation factors. Accordingly, any contract resulting from this solicitation will include the clause 852.215-71 Evaluation factor commitments.
(b) The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) to assist in assessing Contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the Contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement.
(c) All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the Contractor's business records or other proprietary data reviewed or obtained in the course of assisting the Contracting Officer in assessing the Contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs.
(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor compliance with the subcontracting commitments.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

E.1 ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS
1.0 OFFER SUBMISSION
Offerors shall submit their offer via email to Jeremy Boston at Jeremy.Boston@va.gov by the date and time identified on the SF1449, block 8. All offers must be viewable using Microsoft Office products or Adobe Reader. Offers shall be assembled by the following Sections; each section shall be easily identified.
Section A - Offer Form (Standard Form 1449) Signed and dated. Data Universal Numbering System (DUNS) Number shall be entered in the block with the Offerors name and address.
Section B – Pricing Pricing shall be submitted as requested in the Schedule of Services. Total price will be evaluated by the Government.
Section C– Offerors Representations and Certifications A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically). An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at www.sam.gov/portal/public/SAM/.
Section D – Technical Approach Offerors shall submit a quote that addresses all aspects of the Statement of Work (SOW).
The offeror shall identify any subcontractors proposed under this solicitation. All technical elements applicable to the utilization of subcontractors must be addressed in the technical quote and detail provided.
The technical quote should be as detailed as necessary to fully explain the proposed methods and rationale; it should reflect a clear understanding of the nature of the work being undertaken. The technical quote shall include information on how the project is to be organized, staffed, and managed.
The Technical Volume shall not exceed twenty-five (25) pages in length (minimum 12- point font and no less than ½ inch margins). Page limitation includes any drawings, charts, images, etc., and excludes section dividers, table of contents, glossary of terms, cross- referencing indices, and resumes. If more than 25 pages (not counting excluded pages) are submitted, only the first 25 pages will be considered.
Contractor shall include the following:

· Contractor shall provide evidence of Yoga Alliance and/or International Association of Yoga Therapists (IAYT) certification for yoga teachers on staff.
· Contractor shall provide a sample of a customized assessment of and functionality.
Section E – Past Performance/Experience Identify all (maximum of 5) federal, state, and local government contracts as well as any private/commercial contracts of similar scope, size, complexity that are ongoing or have been completed within the last three years. List the following information for each contract:
· Company Name and Address
· Description of Services Performed
· Name, Telephone Number and Email Address of Responsible individuals who have first-hand knowledge of performance relative to similar type of services
· Dates of Contract Performance
· Contract Type (e.g. fixed-price, cost reimbursable) and total contract value
Failure to submit a complete offer may result in an unacceptable determination.
2.0 AWARD BASIS
Note that FAR Subpart 13.5 Simplified Acquisitions Procedures for Certain Commercial Items procedures will be used. The Government intends to award a firm fixed priced contract to the responsible offeror whose offer, conforming to the requirements in this request for quote, will be most advantageous to the Government, price and other factors considered. An award based on FAR 13.106-2 comparative analysis will be made based upon the following factors:
· Technical Approach (Section D);
· Past Performance (Section E); and
· Price (Section B).
If any offer has an evaluation factor that is determined unacceptable, the offer shall be considered unacceptable.
This procurement is being conducted under FAR Part 13; therefore, post-award debriefings in accordance with FAR 15.506 will not be conducted.
3.0 TECHNICAL QUESTIONS
Offeror shall submit technical questions regarding this solicitation to the Contracting Officer in writing via email to Jeremy Boston at Jeremy.Boston@va.gov on or before the date identified in Block 20 of the SF1449.

E.3 52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR EQUIPMENT (DEC 2019) The Offeror shall not complete the representation in this provision if the Offeror has represented that it “does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument” in the provision at 52.204-26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v) of the provision at 52.212-3, Offeror Representations and Certifications—Commercial Items.
(a) Definitions. As used in this provision— Covered telecommunications equipment or services, critical technology, and substantial or essential component have the meanings provided in clause 52.204–25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115–232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Contractors are not prohibited from providing—
(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for “covered telecommunications equipment or services”.
