About this file

This is a Sole Source Justification document for a VA contract to provide Community Based Outpatient Clinic (CBOC) services in Holly Springs, Mississippi. The document justifies awarding a new interim Fixed-Price Indefinite-Delivery Indefinite-Quantity sole source contract to the incumbent contractor who currently operates the Holly Springs CBOC.

The justification explains that transitioning to a new contractor would cause unacceptable delays in patient care, as the incumbent already has credentialed staff with proper clearances and an operational facility with necessary equipment. The incumbent is uniquely qualified to provide immediate continuity of care while a long-term competitive procurement is conducted. The contract will provide primary care and mental health services to veterans in the rural Holly Springs area. The VA determined pricing will be fair and reasonable based on current/historical pricing, comparable CBOC contracts in VISN 9, a CBOC estimating tool, and CPI adjustments. The document includes required approvals from VA contracting officials for a sole source award above the Simplified Acquisition Threshold but not exceeding $7.5M under FAR 13.5 procedures.

FAR 13.5 Simplified Procedures for Certain Commercial Items. The statutory authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. § 1901 and is implemented by FAR 13.106-1(b)(2) for restricting competition on this procurement. Competition is restricted on this procurement for the reason below:

(X) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements

Services ( ) International Agreement ( ) Authorized or Required by Statute ( ) National Security ( ) Public Interest

5. Demonstration that the Contractors Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

Operation of a CBOC is considered a highly specialized service. The incumbent Contractor, , currently operates the Holly Springs CBOC under Contract No.

. The fully-operational CBOC is staffed with providers and support personnel who are trained, credentialed, possess active Personal Identity Verification (PIV) cards, and have completed Office of Personnel Management (OPM) background investigations through the Lt. Col.

It would take another Contractor months to obtain, build out, and furnish a suitable site. Transitioning these services to any other Contractor effective would result in unacceptable delays, as hiring and onboarding providers and support staff can take upwards of eight (8) weeks due to the credentialing and background investigation process. Although the current contract expires the Contractor is willing and available to continue providing services effective under an interim contract, ensuring continuity of patient care.

Until the current long-term requirement is solicited and awarded, is the only Contractor that contains the unique qualifications in order to support the justification for awarding a sole source contract effective 11-01-2024, pursuant to 41 USC § 3304(a)(2) as implemented by FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services will Satisfy Agency Requirements.
