5. CONTRACT ADMINISTRATION. The Contracting Officer is the only person authorized to approve changes or modify any of the requirements under this contract. The Contractor shall communicate with the Contracting Officer on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitment or issue changes that will affect price, quantity or quality of performance of this contract. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in cost incurred thereof.

B.3 PERFORMANCE WORK STATEMENT (PWS)

1. Background. Three (3) medium voltage, 15KV, underground circuits feeding one (1) normal power substations in the Main Hospital and two (2) emergency power substations have failed splices in the same manhole duct bank run.

2. Scope. Replace existing failed equipment with new conductors, splices and terminations as required to restore power to critical infrastructure.

The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform all tasks. The contractor shall be responsible for establishing all mechanical and electrical connections according NEC and existing commercial standards, work safely and as required for installation.

2.1. Repair Normal Power Feeder and Switch.

DBN6 Normal Power Circuits - Contractor shall identify fault, repair or replace as needed failed conductors, terminations, and splices for circuit DBN-6 which feeds from the Normal side B switchgear in the Central Energy Plant to Hospital substation HNP2. The ESTIMATED duct bank run (from switchgear, 3 manholes, substation) is 1,300 feet. It is recommended the Contractor pull and measure the failed cabling PRIOR TO purchasing new cabling.

Contractor shall procure and install 3 each new (15KV, 4/0 AWG, MV-105, EPR, Shielding) cables and 1 each (15KV, 4/0 XHHW ground cables), conductors and associated materials. Contractor shall provide a service loop in the affected manhole. New feeders shall meet or exceed electrical specifications as faulted cables being removed. Feeders will be terminated IAW National Electric Code and industry standards. Contractor shall test and certify new feeders for operation.

2.1.1. Repair SS-HNP2 isolation switch. Contractor shall repair or replace damaged KIRT key mechanical interlock switch. This is the feeder for DBN6.

2.2. Repair Emergency Power Feeders.

2.2.1. DBG17 Emergency Power (Generator) Circuits - Contractor shall identify, remove and replace failed circuit conductors, terminations, and splices located inside Manhole EB2-1 which feed and connect into hospital HG2 substations. The ESTIMATED duct bank run (from switchgear to affected manhole to next manhole) is 420 feet. It is recommended the Contractor pull and measure the failed cabling PRIOR TO purchasing new cabling.

Contractor shall procure and install 3 each new (15KV, 4/0 AWG, MV-105, Type EPR, Shieled) and 1 each (4/0 XHHW ground cable), conductors and associated materials from Paralleling Switchgear side B in the Central Energy Plant at breaker DBG17 to manhole EB2-1 or other manhole/substation as needed. 2.2.2. DBG21 Emergency Power (Generator) Circuits - Contractor shall identify, remove and replace failed circuit conductors, terminations, and splices located inside Manhole EB2-1 which feed and connect into hospital NG2 substations. The ESTIMATED duct bank run (from switchgear to affected manhole to next manhole) is 420 feet. It is recommended the Contractor pull and measure the failed cabling PRIOR TO purchasing new cabling.

3. Period of Performance. To Be Determined (TBD). (This is a high-priority repair to be completed shortly after award. The period of performance will be determined as a result of the awardee’s quote.)

4. Work Hours. The contractor may perform repairs during normal operational hours of the Orlando VAMC at Lake Nona, Monday through Friday, 7:00 am – 4:30 pm as well as after hours, and weekends except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings.

The Contractor is required to coordinate with the Contracting Officer’s Representative (COR) the planned work hours of the Contractor’s employees to ensure the availability of VA personnel to provide access, escort, and or support.

5. Quality Control. Performance of a service will be evaluated to determine whether it meets the performance threshold. Re-performance is the preferred method of correcting any unacceptable performance.

6. Post Award Conference/Periodic Progress Meetings. The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The Contracting Officer (CO), Contracting Officers Representative (COR), and other government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance.

At these meetings the CO or COR will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.

7. General Information.

7.1. Contractor is responsible for any damages caused by contractor to Government property during execution of work and shall repair at no cost to the Government.

7.2. It’s the responsibility of the contractor to park in the appropriate designated parking areas. Information on parking is available from the VA Police. The VA Medical Center will not invalidate or make reimbursement for parking violations of the contractor under any conditions.

7.3. Smoking is prohibited inside any buildings of the VA Medical Center. Possession of weapons is prohibited. Enclosed containers, including tool kits, shall be subject to search. Violations of VA regulations may result in citation answerable in the Unites States (Federal) District Court, not a local district, state, or municipal court.

8. Security Requirements. Contractor personnel performing work under this contract shall be escorted by a VA employee always during inspection. The C&A requirements do not apply, and that a Security Accreditation is not required.

9. RECORDS MANAGEMENT LANGUAGE FOR CONTRACTS (NARA).

9.1. Citations to pertinent laws, codes and regulations such as 44 U.S.C chapters 21, 29, 31 and 33; Freedom of Information Act (5 U.S.C. 552); Privacy Act (5 U.S.C. 552a); 36 CFR Part 1222 and Part 1228.

9.2. Contractor shall treat all deliverables under the contract as the property of the U.S. Government for which the Government Agency shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest.

9.3. Contractor shall not create or maintain any records that are not specifically tied to or authorized by the contract using Government IT equipment and/or Government records.

9.4. Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected by the Freedom of Information Act.

9.5. Contractor shall not create or maintain any records containing any Government Agency records that are not specifically tied to or authorized by the contract.

9.6. The Government Agency owns the rights to all data/records produced as part of this contract.

9.7. The Government Agency owns the rights to all electronic information (electronic data, electronic information systems, electronic databases, etc.) and all supporting documentation created as part of this contract. Contractor must deliver sufficient technical documentation with all data deliverables to permit the agency to use the data.

9.8. Contractor agrees to comply with Federal and Agency records management policies, including those policies associated with the safeguarding of records covered by the Privacy Act of 1974. These policies include the preservation of all records created or received regardless of format [paper, electronic, etc.] or mode of transmission [e-mail, fax, etc.] or state of completion [draft, final, etc.].

9.9. No disposition of documents will be allowed without the prior written consent of the Contracting Officer. The Agency and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. Records may not be removed from the legal custody of the Agency or destroyed without regard to the provisions of the agency records schedules.

9.10. Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, this contract. The Contractor (and any sub-contractor) is required to abide by Government and Agency guidance for protecting sensitive and proprietary information.

SECTION C - CONTRACT CLAUSES

ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following clauses are incorporated into 52.212-4 as an addendum to this contract:

C.1 SUPPLEMENTAL INSURANCE REQUIREMENTS

In accordance with FAR 28.307-2 and FAR 52.228-5, the following minimum coverage shall apply to this contract:

(a) Workers' compensation and employers liability: Contractors are required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 is required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.

(b) General Liability: $500,000.00 per occurrences.

(c) Automobile liability: $200,000.00 per person; $500,000.00 per occurrence and $20,000.00 property damage.

(d) The successful bidder must present to the Contracting Officer, prior to award, evidence of general liability insurance without any exclusionary clauses for asbestos that would void the general liability coverage.

C.2 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(4) A technical description of the items being quoted in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

a. Provide information (technical specifications) of wiring and electrical components to be used for repair(s);

i. Provide the lead-time (in calendar days) needed to obtain wiring and electrical components. If no lead-time is required, state, “Wiring & electrical components are available, and no lead-time is required.”

b. Provide a projected time-line (in calendar days) from date of award to project completion.

c. Labor Force to perform work. List the number of personnel, job title/category (e.g. electrician, journeyman, helper, etc..), and the anticipated number of hours required for each category. [Format example: (1) Master Electrician – 40 hrs; (1) Journeyman – 40 hrs; (1) Journeyman – 32 hrs ; (1) Helper – 20 hrs; (1) Helper – 18 hrs]

(5) Past performance information, include (2) recent and relevant contracts for the same or similar items/services and other references (including contract numbers, points of contact with telephone numbers and other relevant information)

(6) Price and any discount terms. Complete the attached Pricing Schedule (see Section B.2). Enter the unit price for each Item Number. (Do not exceed to the right of the decimal more than 2 places). In addition, provide a breakdown of the total price between Part/Supplies versus Labor;

(7) Terms of any express warranty;

(8) “Remit to” address, if different than mailing address;

(9) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3 (b) for those representations and certifications that the quoter shall complete electronically);

(10) Acknowledgment of Solicitation Amendments; and

(11) If the quotation is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Quotations that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of quotations. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during testing.

(e) Multiple quotations. Quoters are encouraged to submit multiple quotations presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each quotation submitted will be evaluated separately.

(f) Late submissions

(1) Quoters are responsible for submitting quotations so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that quotations are due.

(2) Any quotation received at the Government office designated in the solicitation after the exact time specified for receipt of quotations is late and will not be considered unless it is received before purchase order issuance and the Contracting Officer determines that accepting the late quotation would not unduly delay the acquisition.

(3) If an emergency or unanticipated event interrupts normal Government processes so that quotations cannot be received at the Government office designated for receipt of quotations by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of quotations will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(g) Issuance of purchase order. Quotations should contain the quoter’s best technical and price terms. The Contracting Officer may reject any or all quotations. The Contracting Officer may issue a purchase order to other than the quoter with the lowest priced quotation. After the evaluation of quotations, the Contracting Officer may negotiate final terms with one or more quoters of the Government’s choice before issuing any purchase order. The Contracting Officer will not negotiate with any quoters other than those of the Government’s choice and will not use the formal source selection procedures described in FAR part 15.

(h) Multiple purchase orders. The Government may issue a purchase order for any item or group of items of a quotation, unless the quoter qualifies the quotation by specific limitations. Unless otherwise provided in the Schedule, quotations may not be submitted for quantities less than those specified. The Government reserves the right to issue a purchase order for a quantity less than the quantity quoted, at the unit prices quoted, unless the quoter specifies otherwise in the quotation.
