About this file

This document is a Limited Sources Justification for a Federal Supply Schedule (FSS) contract award by the Department of Veterans Affairs (VA) to Olympus America, Inc. for Olympus endoscopes and related equipment.

The VA has determined that Olympus equipment is required for national standardization of endoscopes across the VA Healthcare system, which enhances patient safety and quality of care, and reduces variability in endoscope setup, use, and reprocessing. The VA established an Integrated Product Team to develop these requirements, and facilities are expected to standardize on one vendor endoscope through a national leasing contract. The Olympus endoscopes are identified as "direct replacement" parts/components that are compatible with the VA's existing installed equipment. The VA conducted market research and determined that Olympus is the sole source provider that can meet the VA's requirement. The contract was awarded as a logical follow-on to a previous FSS order, and the VA has certified that the Olympus pricing represents the best value to the government. The contract includes a base year and two option years, with a total estimated value of $2,895,455.16.

VHAPG Part 808.405-6 Limiting Sources Attachment 2: Request for Limited Sources Justification Format >SAT

Effective Date: 02/01/2022 Page 4 of 7

Olympus CF HQ1100DL Series Endoscopes produce high-quality imaging with advanced features for technical maneuvers. Olympus CF-HQ1100DL Series Colonoscopes provide close focus function, variable stiffness, passive bending, high force transmission, and a wider field of view. Olympus CF-HQ1100DL Gastroscopes provide close focus function, built-in water jet, and superior visualization.

Additionally, the VHA Procurement and Logistics Office established an Integrated Product Team (IPT) to develop requirements for the national standardization of endoscopes throughout VHA.

This IPT has determined that national standardization creates the best value, enhances the safety and quality of patient care, and results in reduced variability in the number of different processes required for endoscope setup, use, and reprocessing, thus reducing the potential for negative patient outcomes and errors. In accordance with VA Deputy Under Secretary for Health for Operations and Management Memo, dated December 21, 2012, “Facilities are expected to standardize endoscopes inventories to one vendor through the use of national leasing contract”.

FAR 8.405-6(a)(1)(C): In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures.

The original order must not have been previously issued under sole source or limited source procedures.

FAR 8.405-6(b): Items peculiar to one manufacturer:

A patent, copyright or proprietary data limits competition. The proprietary data is:

These are “direct replacements” parts/components for existing equipment.

The material/service must be compatible in all aspects (form, fit and function) with existing systems presently installed/performing:

(5) Describe Why You Believe the Order Represents the Best Value consistent with FAR 8.404(d) to aid the contracting officer in making this best value determination: GSA has already determined the prices of supplies under schedule contracts to be fair and reasonable.

Considering the price, special features, and the reduced administrative costs of placing a delivery order over writing an open market contract, the CO has determined that the price offered under Olympus’s FSS contract represents the best value to the government.

(6) Describe the Market Research Conducted among schedule holders and the results or a statement of the reason market research was not conducted: Market Research was conducted and with this being a VHA National Standardization requirement from VHA Directive 2009-004 Handbook 1761(2) and services having been provided by Olympus America, Inc., contact was made with the provider (Olympus America, Inc.) to determine if there were any distributors that could provide this service. It was determined that there are currently no distributors that can provide the Olympus Lease requirement.

(7) Any Other Facts Supporting the Justification: The requested Olympus scopes and equipment are the ones that are compatible and will work with the station's existing equipment.

Additionally, medical staff has already been trained and compiled hundreds of hours of experience using this equipment through the years of prior contracts. The VHA has established

Effective Date: 02/01/2022 Page 5 of 7 policies to standardize and lease endoscopes rather than purchase them. The VHA Procurement and Logistics Office established an Integrated Product Team (IPT) to develop requirements for the national standardization of endoscopes throughout VHA.

(8) A Statement of the Actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made: In the government's best interest, the Agency will continue to seek additional competition as Olympus adds authorized distributors to their company. During the duration of the contract, when option years are exercised, a market survey is conducted to monitor the contract. This monitoring will determine if the specific brand equipment/service is still within the government's best interest and if not, a new solicitation may need to be issued for procurement.

(9) Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge. I understand that processing of this limited sources justification restricts consideration of Federal Supply Schedule contractors to fewer than the number required by FAR Subpart 8.4.

(10) Approvals in accordance with the VHAPM Part 806.3 OFOC SOP:

a. Contracting Officer’s Certification (required): I certify that the foregoing justification is accurate and complete to the best of my knowledge and belief.

b. One Level Above the Contracting Officer (Required over the SAT but not exceeding $750K): I certify the justification meets requirements for other than full and open competition.

HIGHER LEVEL APPROVAL (Required for orders over $750,000):

c. VHA RPO HCA Review and Approval (over $750,000 to $75 million): I have reviewed the foregoing justification and find it to be complete and accurate to the best of my knowledge and belief and approve for restricting consideration of the Federal Supply Schedule contractors to fewer than the number required by FAR Subpart 8.4.

d. Senior Procurement Executive Approval (over $75 million): I have reviewed the foregoing justification and find it to be complete and accurate to the best of my knowledge and belief and approve for other than full and open competition.
