About this file

This is Amendment 0001 to Solicitation 36C24627Q0019, issued by the Department of Veterans Affairs Network Contracting Office 6 in Hampton, Virginia, extending the response deadline to October 30, 2026, at 1:00 PM EDT.

The solicitation seeks an Indefinite Delivery Indefinite Quantity (IDIQ) contract for Medical Respite Transitional Housing services for veterans. The contract comprises a base period (January 1 – December 31, 2027) and four option periods (2028–2031), with pricing on a daily rate per bed/veteran basis. The facility will serve a minimum of 3 and maximum of 10 Veterans at one location per day, with services funded at the task order level. Annual bed days of care equal the number of proposed beds multiplied by 365 days. The Government plans to award up to 10 beds total, which may be consolidated under a single contract or distributed across multiple contract awards. This is a total small business set-aside. The amendment updates the Price/Cost Schedule, removes FAR 52.216-21 (Requirements), adds FAR 52.216-22 (Indefinite Quantity), updates FAR 52.219-14 (Limitations on Subcontracting) to require compliance by end of each order's performance period rather than option period, updates FAR 52.216-1 (Type of Contract), adds FAR 52.216-27 (Single or Multiple Awards), and provides responses to 21 offeror questions addressing estimated quantities, pricing methodology, contract type clarification, nursing coverage expectations, incumbent information, facility requirements, subcontracting limitations, and key personnel employment status. The amendment also includes CPARS (Contractor Performance Assessment Reporting System) language requiring contractors to designate points of contact for performance evaluations.

Contractor Performance Assessment Reporting System

(a) FAR 42.1502 directs all Federal agencies to collect past performance information on contracts. The Department of the Department of Veterans Affairs (VA) has implemented Contractor Performance Assessment Reporting System (CPARS) to comply with this regulation.

One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR 42.15.

(b) The past performance evaluation process is a totally paperless process using CPARS.

CPARS is a web-based system that allows for electronic processing of the performance evaluation report. Once the report is processed, it is available in the Past Performance Information Retrieval System (PPIRS) for Government use in evaluating past performance as part of a source selection action.

(c) We request that you furnish the Contracting Officer with the name, position title, phone number, and email address for each person designated to have access to your firm's past performance evaluation(s) for the contract. Each person granted access will have the ability to provide comments in the Contractors portion of the report and state whether or not the Contractor agrees with the evaluation, before returning the report to the Assessing Official. The report information must be protected as source selection sensitive information not releasable to the public.

(d) When your Contractor Representative(s) (Past Performance Points of Contact) are registered in CPARS, they will receive an automatically-generated email with detailed login instructions. Further details, systems requirements, and training information for CPARS are available at http://www.cpars.csd.disa.mil/. The CPARS User Manual, registration for On Line Training for Contractor Representatives, and a practice application may be found at this site.

(e) The Assessing Official will complete an interim or final past performance evaluation and the report will be accessible at http://www.cpars.csd.disa.mil/. The Contractor Representative has the option to provide comments on the evaluation, indicate if they concur or do not concur with the evaluation, sign, and then return the evaluation to the Assessing Official. The Contractor Representative has a total of 60 days following the Assessing Official’s evaluation signature date to send comments. If the Contractor Representative sends comments within the first 14 days following the Assessing Official’s signature date and the Assessing Official or Reviewing Official closes the evaluation, the evaluation will become available in PPIRS-RC within 1 day.

On day 15 following the Assessing Official’s evaluation signature date, the evaluation will become available in PPIRS-RC with or without Contractor Representative comments and whether or not it has been closed by the Assessing Official or Reviewing Official. If no Contractor Representative comments have been sent and the evaluation has not been closed, it will be marked as “Pending” in PPIRS-RC. If the Contractor Representative sends comments at any time prior to 61 days following the Assessing Official’s evaluation signature date, those comments will be reflected in PPIRS-RC within 1 day. On day 61 following the Assessing Official’s evaluation signature date, the Contractor Representative will be “locked out” of the evaluation and may no longer send comments.

(f) The following guidelines apply concerning Contractor Representative use of the past performance evaluation:

(1) Protect the evaluation as "source selection information." After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the Contracting Officer for instructions.

(2) Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.

(3) Prohibit the use of or reference to evaluation data for advertising, promotional material, pre award surveys, responsibility determinations, production readiness reviews, or other similar purposes.

Questions and Answers

1. Estimated quantity: Section B.2 requests a daily rate per bed / veteran for each period, and the solicitation does not state a number of beds or an estimated number of bed days of care. What is the Government's estimated number of beds and estimated annual bed days of care for the base period and each option period?

The government plans to award up to 10 beds, which may be at one site or split among multiple contracts/locations. The offeror should complete this section with the number of beds they are proposing to provide up to 10 beds. The annual bed days of care will be the number of beds x

365 days and will be the same for the base period and each option period.

2. Price schedule: Section B.2 lists each line item at a quantity of 1.00 (EA for 0001, LT for 1001 through 4001) with Unit Price and Amount columns and a Grand Total, and separately requests a "Daily rate per bed / veteran." What figures should offerors enter in the Unit Price, Amount, and Grand Total fields, and on what quantity will price be evaluated?

The unit price should be the requested daily rate for each bed day of care. The unit price will be multiplied by the proposed number beds multiplied by 365 to provide the annual cost of the line item for each year under “amount.” The Grand Total field is the total for all 5 line items (annual amount for base period plus 4 option periods).

3. Contract type: The SF 1449 schedule and Section E, paragraph 2.a, describe a firm fixed priced Indefinite Delivery Indefinite Quantity (IDIQ) contract and state that the Government may award multiple contracts. Provision E.3 (52.216-1) states that the Government contemplates award of a Firm-Fixed-Price, Requirements contract, and clause C.4 (52.216-21, Requirements) is included. Which contract type applies, and does the Government anticipate a single award or multiple awards?

An IDIQ Contract. The Requirements Clause FAR 52.216-21 will be removed from the solicitation and replaced with Indefinite Quantity Contract FAR 52.216-22.

4. Nursing coverage: PWS paragraph 3.a.iv states, "Typically, a registered nurse or higher medical professional will be on site daily." Is there a minimum number of on-site hours per day or days per week the Government expects for this coverage?

There is no specific minimum number of on-site hours required, but the contractor is expected to sufficiently meet the medical needs of the Veterans placed in the program and to provide all services outlined in the performance work statement.

5. Incumbent and prior contract context: Is there a current or recent incumbent providing this level of effort (LOE)? If so, can you please provide the incumbent name, contract award number and contract award value?

• If there's an Incumbent, what scope changes have been made from the old contract to the new contract?

The incumbent is Sunshine Village Living Center under contract 36C24622C0008. Please view the solicitations Performance Work Statement (PWS) for scope of work.

6. IGCE Range: Does the government have an IGCE range it can share, or provide historical pricing from prior similar work at this location?

This is not shareable information.

7. Leased Facilities: May an offeror propose a leased residential property rather than an owned facility, provided it meets all solicitation requirements?

There is no restriction on using a leased property.

8. Teaming and Subcontracting: May a small-business prime contractor partner with an experienced medical-respite housing provider to fulfill clinical staffing, case management, and residential service requirements, subject to applicable subcontracting limitations?

Yes, but they must meet all subcontracting limitations.

9. Facility Inspection: Must the proposed facility be fully operational and available for inspection at the time of quotation submission, or can the facility be prepared and inspected before contract award?

As the facility inspection is part of the technical evaluation, the facility must be ready and available for inspection.

10. Multiple Residential Properties: Would the VA consider multiple qualifying residential houses under one contract, or is a single designated facility required?

This solicitation may result in multiple awards. The VA will also consider multiple qualifying locations under one contract as long as all locations meet all the facility and staffing requirements listed in the

Performance Work Statement.

11. Submission Requirements: Are there any additional documentation requirements for a newly established small business proposing to use qualified subcontractors?

The submission must meet all criteria identified in the Instruction to Offerors.

12. I have a question regarding the Medical Respite solicitation. We currently operate a VA GPD Hospital to Housing program and a non-veteran Medical Respite

Program in partnership with local hospitals. However, we do not allow sex offenders and require ADLs with or without home health. Are we as the contractor able to limit eligibility based on those factors or do we have to accept anyone the VA refers?

The facility is not required to accept sex offenders. Please see section 5.c) on page 15 regarding collaborative assessment as part of the referral process for Veterans with potential ADL needs.

13. Must the offeror, or its proposed subcontractor, have legal control of the facility through ownership or an executed lease, and a current occupancy permit, at the time of quote submission on October 27, 2026? Or is a signed letter of intent or conditional lease acceptable at submission, with control and the permit demonstrated before the Factor II inspection? What is the anticipated date range for Factor II inspections?

As noted in Factor 1, 4. The contract facility must have a current occupancy permit issued by the authority having jurisdiction. This applies to the time of submission.

14. PWS 4.c and Factor I require a license “if applicable to the type of facility.” Has the VA determined whether a North Carolina license is required for this service, for example a license from the NC DHHS Division of Health Service Regulation under N.C.G.S.

Chapter 122C or Chapter 131D? Or will a current occupancy permit satisfy this requirement for a facility type that the authority having jurisdiction does not license?

If the contractor’s facility is the type that requires licensure under NC DHHS Division of Health Service Regulation, then the license must be in place and in good standing at the time of submission. The performance work statement does not require that the facility be of the type that would require licensure as long as it can perform the requirements of the PWS.

15. May key personnel, including the managerial point of contact, case manager(s), and RN or other medical staff under PWS 3.a, be employees of a proposed subcontractor rather than of the offeror?

The managerial point of contact must be employed by the Contractor rather than a subcontractor as they are responsible for managing the contract. It is preferred that all key personnel be employed by the Contractor rather than a subcontractor.

16. Must the items in PWS 4.k, including first aid equipment, PPE, AED, blood pressure monitor, pulse oximeter, glucometer, and naloxone, and PWS 4.q, generator or other back-up power, be in place at the Factor II inspection, or by the start of performance on January 1, 2027?

The facility must meet all requirements at the time of inspection.

17. May an offeror propose a contract facility that is owned or leased, and operated, by a proposed small business subcontractor, with that subcontractor’s staff delivering PWS services at the facility? If so, will the Factor II Initial Facility

Inspection be conducted at the subcontractor-operated facility? Should the occupancy permit, and license if applicable, be in the facility operator’s name or in the offeror’s name?

An Offeror may propose a facility from a subcontractor. However, they must comply with any and all limitations on subcontracting.

18. Factor III asks for three contracts of similar scope, size, and complexity. Will the

Government consider the past performance of a proposed subcontractor, or of a joint venture member, that will perform the PWS services? How will an offeror without its own record of relevant past performance be rated under the

Acceptable/Unacceptable scheme?

Quoters with no relevant past performance or for whom information is not available, shall not be evaluated favorably or unfavorably on past performance, but may be considered less favorably than a quoter with favorable performance history.

19. Is a joint venture of two small business concerns under 13 CFR 121.103(h) and

125.8(a) an eligible offeror under this total small business set-aside? If so, must the joint venture itself have an active SAM registration when the quote is submitted, or only before award?

A joint venture is eligible as long as they meet all requirement as a small business joint venture.

An eligible small business joint venture must have an active SAM registration at time of quote submission.

20. In clause C.8, FAR 52.219-14 (DEVIATION), neither box in paragraph (f)(1) is marked. Which compliance period applies: (a) the end of the base term and each option period, or (b) the end of each order’s performance period? Also, for the 50 percent calculation, will facility rent or lease payments and pass-through costs such as meals, bus passes, rideshare, and laboratory drug testing be treated as amounts paid to subcontractors?

See updated clause.

Per FAR 52.219-14(e)(1), “…it will not pay more than 50 percent of the amount paid by the

Government for contract performance to subcontractors that are not similarly situated entities.

Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract;”

21. Please provide the estimated number of beds and/or annual bed-days, and the number of awards anticipated. Please also clarify clause C.3 (52.216-19) paragraph

(a), which reads “less than 600,000.00.” Is this a requirements contract under clause C.4, 52.216-21, or an IDIQ with a guaranteed minimum?

See update Price/Cost Schedule and Amendment Description.

A.2 52.216-22 INDEFINITE QUANTITY (NOV 2025) (DEVIATION)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the

Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the ordering period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order, which may include order options to be exercised after the ordering period of this contract but before the end of the period of performance of the order. The contract shall govern the Contractor's and

Government's rights and obligations with respect to that order, including options exercised, to the same extent as if the order were completed during the contract's ordering period; provided, that the Contractor shall not be required to make any deliveries under this contract after 12-31-

2031.

(End of Clause)

A.3 52.219-14 LIMITATIONS ON SUBCONTRACTING (NOV 2025)

(DEVIATION)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. Similarly situated entity, as used in this clause, means a first-tier subcontractor, including an independent contractor, that—

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification

System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to—

(1) Contracts that have been set aside for any of the small business concerns identified in

19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(3) Contracts that have been awarded on a sole-source basis in accordance with sections

19.105, 19.106, 19.107, and 19.108;

(4) Orders expected to exceed the simplified acquisition threshold and that are set aside for small business concerns under multiple-award contracts, as described in 8.4 and 16.5;

(5) Orders, regardless of dollar value, that are set aside in accordance with sections 19.105, 19.106, 19.107, and 19.108 under multiple-award contracts, as described in 8.4 and 16.5; and

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for—

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract;

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s

50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;

(3) General construction, it will not pay more than 85 percent of the amount paid by the

Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 85 percent subcontract amount that cannot be exceeded; or

(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 75 percent subcontract amount that cannot be exceeded.

(f) The Contractor shall comply with the limitations on subcontracting as follows:

(1) For contracts, in accordance with paragraphs (c)(1), (2), (3) and (6) of this clause—

[] By the end of the base term of the contract and then by the end of each subsequent option period; or

[X] By the end of the performance period for each order issued under the contract.

(2) For orders, in accordance with paragraphs (c)(4) and (5) of this clause, by the end of the performance period for the order.

(g) A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph (e) of this clause will be performed by the aggregate of the joint venture participants.

(1) In a joint venture comprised of a small business protégé and its mentor approved by the

Small Business Administration, the small business protégé shall perform at least 40 percent of the work performed by the joint venture. Work performed by the small business protégé in the joint venture must be more than administrative functions.

(2) In an 8(a) joint venture, the 8(a) participant(s) shall perform at least 40 percent of the work performed by the joint venture. Work performed by the 8(a) participants in the joint venture must be more than administrative functions.
