PERFORMANCE WORK STATEMENT
POSTMORTEM BRAIN TISSUE FOR PTSD RESEARCH
Durham VA Medical Center (Durham, North Carolina
1.0 Background
The Contractor will provide postmortem brain tissue and related specimens to the Department of Veterans Affairs National Center for Post-Traumatic Stress Disorder Brain Bank located in Durham, North Carolina. The organization will utilize postmortem brain tissue and related specimens to validate blood-based biomarkers of PTSD as well as to identify specific changes in the brain in order to identify novel targets for the treatment of PTSD.
2.0 Scope & Objectives
2.1 Scope:
In support of the mission for the National Center for PTSD Brain Bank, research activities include the need to obtain postmortem brain and related samples (dura mater, scalp sample, cerebrospinal fluid, and blood) from deceased donors with PTSD or depression and those without these illnesses (psychiatric controls). The validation of psychiatric diagnosis from medical records will also be required. The scope of this contract is to provide tissue for transplant and research, to recover brain tissue and related specimens from donors within their network and ship the samples to a laboratory utilized by Dr. Douglas E Williamson, Ph.D.
2.2 Objectives:
Dr. Williamson’s work includes looking at the neuroanatomical, genetic and protein changes as a result of stress associated with the development of PTSD and depression. The objectives of this study include obtaining postmortem brain and related samples for this research to examine how the brain changes when someone has a stress disorder. Specific brain regions that are thought to be responsible for symptoms of PTSD will be examined and compared to brain tissue from control subjects to look for genetic and cellular changes that might be specific to PTSD.
The objectives of this project include obtaining postmortem samples from donors that meet the study inclusion and exclusion criteria:
Inclusion criteria
· Age 18 to <85 years old
· Postmortem Interval <36 hours, from time of death until arrival of tissue to lab
· Primary Diagnosis of Posttraumatic stress disorder, Major Depressive Disorder, or no history of psychiatric disorder
Exclusion criteria
· Major infection (HIV, Hepatitis C, prion disease, sepsis, MRSA, etc.)
· Severe head trauma, brain tumors, major brain infarcts
· Active cancer diagnosis
· Other Neurological diagnoses (Alzheimer’s Disease, dementia, Parkinson’s Disease, Huntington’s disease, Multiple Sclerosis)
· On a ventilator >12 hours
· Brain dead
The samples to be collected include the whole brain including the dura mater, along with cerebrospinal fluid and blood samples. Information to be provided includes donor demographics and clinical records to support any psychiatric diagnosis. The requiring facility will need detailed diagnostic and medical history from donors and the ability to interview/communicate with donor's family (next of kin).
2.3 Target Audience
The target audience for the results from these analyses includes VA researchers, health care providers (including mental health/health care providers), and ultimately veterans. Ultimately, the findings aid VA leaders with policy implications for novel treatment targets for PTSD and related stress disorders.
2.4 Features & Functionality
The contractor must have:
1. The select level of expertise and training to procure, process, and supply human brain tissue specimens for research.
2. Demonstrated readiness to immediately execute the contract with minimal modifications;
3. Demonstrated accreditations and certifications with the American Association of Tissue Banks (AATB) and Clinical Laboratory Improvement Amendments Certificate of Compliance (CLIA).
4. Demonstrated experience in tissue recovery of nervous system tissue.
5. Quality control at all stages ensuring that recovered tissue is properly stored and remains suitable for the research as specified by Dr. Williamson.
6. Ability to immediately and directly ship recovered samples to Dr. Williamson upon recovery and storage according to established protocol.
7. Demonstrated knowledge of the rules and regulations regarding the packing and shipment of human biospecimens.
3.0 Specific Tasks and Deliverables –
The Contractor shall perform the mandatory tasks and provide the specific deliverables described below within the performance period stated in this PWS. The contractor shall provide brain and related tissues and records as described above.
3.1 Acquire Brain Tissue and Related Samples
Through the course of the contract, LNH will identify donors within their network who meet the inclusion/exclusion criteria of this proposal, and obtain specimens and records as outlined in section 2.2. LNH will demonstrate that the appropriate authorization for donation has been obtained for the donated specimens. Dr. Williamson and his staff will be available for consultation for each case as needed to determine donor eligibility for meeting the study criteria.
This project aims to obtain at least 50% of the proposed number of samples within the first six months of the contract. The type of recovery for cases that meet study criteria cannot be predicted until the time of recovery.
Six months after the initiation of the contract, LNH should be able to provide approximately 17 donor brain tissue and related samples. The remainder of the samples will be obtained by the end of the contract term, if not sooner.
3.2 Brain Tissue Storage and Shipping
Recovered samples will be stored unpreserved at 4°C and shipped at 4°C. All procedures and precautions will be followed when shipping human biosamples, including following all federal regulations for shipment of samples. The brain (with dura mater) will be placed in a sealed bag and stored in a sealed container. The scalp sample will be placed in a sealed bag and stored in the same container as the brain. The cerebrospinal fluid and blood samples will be stored in an appropriate tube for each specimen and placed in a sealed bag. All samples will be stored at 4°C until the time of shipment. For shipping, the samples will be stored in a Styrofoam container (with a cardboard outer box) surrounded by ice packs and secured with packing material to stabilize the containers. Shipment of samples will occur immediately after recovery and will be shipped to Dr. Williamson’s lab as directly as possible (i.e. standard overnight direct delivery if by air delivery service or via direct courier delivery). Each shipment procedure will have tracking available to ensure appropriate tracking and delivery.
3.3 Supplies and Reagents
The contractor shall provide necessary supplies and reagents for the recovery of the samples as well as for the supplies required for the shipment of samples as outlined in section 3.2.
4.0 Performance Standards Summary

C.1 VAAR 852.203-70 COMMERCIAL ADVERTISING (MAY 2018)
The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.
(End of Clause) C.2 VAAR 852.215-70 SERVICE-DISABLED VETERAN-OWNED AND VETERAN-OWNED SMALL BUSINESS EVALUATION FACTORS (JAN 2023) (DEVIATION)
(a) In an effort to achieve socioeconomic small business goals, VA shall evaluate offerors based on their service-disabled veteran-owned or veteran-owned small business certification status and their proposed use of eligible certified service-disabled veteran-owned small businesses (SDVOSBs) and certified veteran-owned small businesses (VOSBs) as subcontractors.
(b) Eligible and certified service-disabled veteran-owned small businesses offerors will receive full credit, and offerors qualifying as veteran-owned small businesses will receive partial credit for the certified Service-Disabled Veteran-Owned and Veteran-Owned Small Business Status evaluation factor. To receive credit, an offeror must be listed at the time of submission of offers and at time of award, as a certified SDVOSB/VOSB in the SBA certification database on the SBA Veteran Small Business Certification Program portal at https://veterans.certify.sba.gov/ (see 13 CFR 128) and be otherwise eligible in accordance with SBA size standards for the acquisition and limitations on subcontracting requirements set forth in SBA regulations (see 13 CFR 121, 125 and 128.).
(c) Non-Veteran offerors proposing to use certified SDVOSBs or VOSBs as subcontractors will receive some consideration under this evaluation factor. Offerors must state in their proposals the names of the certified SDVOSBs and VOSBs with whom they intend to subcontract and provide a brief description of the proposed subcontracts and the approximate dollar values of the proposed subcontracts. In addition, the proposed subcontractors must be listed at the time of submission of offers and at time of award, as a certified SDVOSB/VOSB in the SBA certification database.
(d) Pursuant to 38 U.S.C. 8127(g), any business concern that is determined by VA to have willfully and intentionally misrepresented a company’s SDVOSB/VOSB status is subject to debarment for a period of not less than five years. This includes the debarment of all principals in the business.

C.3 VAAR 852.215-71 EVALUATION FACTOR COMMITMENTS (OCT 2019)
(a) The offeror agrees, if awarded a contract, to use the service-disabled veteran-owned small businesses (SDVOSBs) or veteran-owned small businesses (VOSBs) proposed as subcontractors in accordance with 852.215–70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, or to substitute one or more SDVOSBs or VOSBs for subcontract work of the same or similar value.
(b) Pursuant to 38 U.S.C. 8127(g), any business concern that is determined by VA to have willfully and intentionally misrepresented a company’s SDVOSB/VOSB status is subject to debarment for a period of not less than five years. This includes the debarment of all principals in the business.

C.4 VAAR 852.222-71 COMPLIANCE WITH EXECUTIVE ORDER 13899 (DEVIATION) (APR 2025)
a. The contractor shall comply with Executive Order 13899, Combating Anti-Semitism, pursuant to Title VI of the Civil Rights Act of 1964 (Title VI), 42 U.S.C. 2000d et seq.
b. The contractor shall timely disclose, in writing, to the Contracting Officer, whenever, in connection with the award, performance, or closeout of this contract or any subcontract thereunder, the Contractor has credible evidence that a principal, employee, agent, or subcontractor of the Contractor has committed a violation under Executive Order 13899, Combatting Anti-Semitism pursuant to the Civil Rights Act of 1964 (Title VI), 42 U.S.C. 2000d et seq.
c. The contractor shall include the terms and conditions of this clause in every subcontract or purchase order so that these terms will be binding on every subcontractor or vendor.

C.5 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)
(a) Definitions. As used in this clause—
(1) Contract financing payment has the meaning given in FAR 32.001;
(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;
(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;
(4) Invoice payment has the meaning given in FAR 32.001; and
(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.
(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.
(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:
(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.
(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).
(d) Invoice requirements. Invoices shall comply with FAR 32.905.
(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—
(1) Awards made to foreign vendors for work performed outside the United States;
(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;
(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;
(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or
(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.7 VAAR 852.246-71 REJECTED GOODS (OCT 2018)
(a) Supplies and equipment. Rejected goods will be held subject to Contractor’s order for not more than 15 days, after which the rejected merchandise will be returned to the Contractor’s address at the Contractor’s risk and expense. Expenses incident to the examination and testing of materials or supplies that have been rejected will be charged to the Contractor.
(b) Perishable supplies. The Contractor shall remove rejected perishable supplies within 48 hours after notice of rejection. Supplies determined to be unfit for human consumption will not be removed without permission of the local health authorities. Supplies not removed within the allowed time may be destroyed. The Department of Veterans Affairs will not be responsible for, nor pay for, products rejected. The Contractor will be liable for costs incident to examination of rejected products.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

SECTION E - SOLICITATION PROVISIONS
ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:
E.1 SPECIFIC INSTRUCTIONS TO OFFERORS AND EVALUATION CRITERIA
The Contractor shall submit one (1) copy of their quote in electronic format (PDF or MS Word) via email to daniel.spaulding@va.gov by Monday, May 12, 2025, 05:30PM EST. A complete quote shall include the following four (4) sections listed below:
Section I – QUOTE: Form (Standard Form 1449) – original signature and completed Contract Administration Data; DUNS Number and Solicitation complete with acknowledgement of Solicitation Amendments.
Section II – PRICING: shall be submitted as requested in the Schedule of Supplies/Services comprised within the solicitation document listed in Section B of the SF1449 solicitation. Offerors are not required to submit detailed cost and pricing information with their initial quote beyond the overall price. Pricing shall be proposed for the quantities listed in the Schedule of Supplies/Service. Alterations to the Schedule of Supplies/Services wording, quantities or other will render the QUOTES non-responsive and ineligible for award. Pricing shall be FOB destination if shipping costs are applicable.
Section III - TECHNICAL CAPABILITY: Offerors shall submit a work plan that outlines the offeror’s resources, equipment and staffing to be utilized in meeting the requirements in the Performance Work Statement (PWS). The following subfactors will be evaluated in the technical evaluation:
· Experience with the required scope of work on other projects of the same or very similar scope. Offerors shall have an existing licensed business that currently maintains, supplies and delivers postmortem tissue for scientific and/or medical research.
· Work Plan: Offerors shall demonstrate in their Work Plan that it has existing resources and processes in place to meet all requirements outlined in the Performance Work Statement. Offeror’s work plans will be evaluated to determine that the offeror can meet all requirements of the PWS. The requiring facility will need detailed diagnostic and medical history from donors and the ability to interview/communicate with donor's family (next of kin).
Section IV- PAST PERFORMANCE: A past performance submission is not required, but past performance will be evaluated through the use of the records available within the Contract Performance Assessment Reporting System (CPARS).
BASIS FOR AWARD:
The Government will award a firm fixed priced contract to the responsible offeror whose offer, conforming to the requirements in this request for quote, will be most advantageous to the Government if the evaluation process identifies a quote suitable for award. The Government will perform a comparative analysis of the submitted quotes in accordance with FAR 13.106-2(b)(3). The Government will evaluate the technical factor, past performance, Socioeconomic Status and Usage, and price. By submission of its quote, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. The Government intends to make a best value decision that may result in a quote other than the lowest priced quote being selected.
Factor 1: Technical Capability
The evaluation process will consider whether the quote demonstrates a clear understating of the technical features involved in meeting the requirements of the solicitation. Offeror shall describe how all aspects of the PWS will be met. The following subfactors will be evaluated in the technical evaluation:

Factor 2: Past Performance
Past performance information identified in the Contract Performance Assessment Reporting System (CPARS) will be utilized to determine the quality of the offeror’s past performance as it relates to the probability of success of the required effort. The Government will evaluate customer satisfaction, responsiveness to customer needs, and past demonstration of meeting delivery schedules and the delivery schedules and the delivery of services. Emphasis will be on recent, relevant past performance within the last three (3) calendar years. Recent is defined as work performed within the last three years. Relevant is defined as work similar in size and scope of the work described in the Statement of Work (SOW).
Quoters with no relevant past performance or whom information is not available, shall not be evaluated favorably or unfavorably on past performance.
Factor 3: Price
Prices shall be submitted in accordance with the Price Schedule contained in the Solicitation.
