B.3 PEFORMANCE WORK STATEMENT

1. Contract Title.

Utility Plant Heat Exchanger Removal and Installation

2. Background.

The Central Virginia VA Health Care System is requesting Utility Plant Heat Exchanger Removal and Installation of Heat Exchanger at the Richmond VA Medical Center. Services are to include the removal and installation heat exchanger.

3. Scope.

The contractor shall provide all labor, personnel, equipment, tool, materials, supervision, travel and other items and services necessary to remove and install the reheat system heat exchanger.

· Vendor shall remove the tube bundle for investigation and delivered to associated vendor, a mechanical & plumbing insulation specialist.

· An onsite visit to assess the system for a proper proposal will be conducted by the Vendor. This will be coordinated by the Engineering Supervisor.

· After examination and/or repair, the tube bundle will be picked up by the associated vendor and reinstalled back into the reheat system.

· Removal of existing insulation and reinsulating of the tube bundle and associated piping.

· Vendor shall remove the existing two (2) pneumatic control valves associated with the reheat converter # 3 (501CNV-3) and/or replace with electrically actuated control valves.

· Vendor shall Reinsulate the associated piping.

· Second associated vendor shall conduct an operational testing of the systems once the work has been completed.

· Vendor shall complete the replacement of the mechanical seal on reheat pump #3 that was damaged.

4. Specific Tasks.

This agreement shall include:

· Vendor service technician will check in and out with Utility Plant/HVAC Foreman upon arrival and prior to departure.

· Vendor shall conduct an onsite visit to assess the system for proper proposal. This will be coordinated by the engineering supervisor.

· Rigging will be used to safely lower the heat exchanger to the floor.

· Vendor shall remove the existing heat exchanger support stand.

· Vendor shall disassemble heat exchanger head for further inspection of the condition of the inside of the shell and the tube bundle for any damages.

· Vendor shall deliver tube bundle to associated vendor for inspection and or repair.

· Associated vendor shall coordinate the return of the tube bundle back to Richmond VA Medical Center after inspection and or repair.

· Vendor shall reinstall tube bundle back into the heat exchanger.

· Vendor shall remove the existing two (2) pneumatic control valves associated with the reheat converter # 3 (501CNV-3) and/or replace with electrically actuated control valves.

· Vendor shall reinsulate the piping.

· Vendor shall complete the replacement of the mechanical seal on reheat pump #3 that was damaged.

· Second associated vendor shall conduct operational testing of the system.

· Vendor shall conduct daily clean-up for the work completed in the immediate area of work.

· Vendor shall ensure that the utility plant heat exchanger works as OEM specifications requires.

· Assistance to the Richmond VA Medical Center staff as needed to shut off services feeding the heat exchanger. Proper lock out/tag out procedures will be followed.

· Reinstallation of the heat exchanger or any associated adjacent piping.

· Removal of existing and installation of new insulation, as necessary.

· Vendor shall perform final walk-through with the on-site engineer supervisor.

B.4 SPECIAL CONTRACT REQUIREMENTS

WORK HOURS or HOURS OF OPERATION The services covered by this contract shall be furnished by the contractor as defined herein. The contractor shall not be required, except in case of emergency, to furnish such services on Federal Holidays or during off duty hours as described below. Normal working hours are Monday through Friday, 8:00am – 4:30pm, excluding federal holidays which are as follows:

New Year’s Day Birthday of Martin Luther King, Jr.

Washington’s Birthday Memorial Day Juneteenth Independence Day Labor Day Columbus Day Veterans Day Thanksgiving Day Christmas Day

Any other day specifically declared by the President of the United States to be a federal holiday.

When one of the holidays falls on Sunday, the following Monday shall be observed as a Federal Holiday. When a holiday falls on a Saturday, the preceding Friday shall be observed as a Federal Holiday.

BACKGROUND INVESTIGATIONS

A full background check is not required for this position, however all contract employees must bring photo identification and advance notice from the requiring service to obtain a VA Badge in order to work on a VA Facility. Upon award, the CO shall provide the contractor with detailed instructions on fulfilling security requirements.

BILLING AND PAYMENT

The contractor shall submit payment requests in electronic form via VA’s Electronic Invoice Presentment and Payment System http://www.fsc.va.gov/fsc/einvoice.asp. Invoices shall be UPON COMPLETION OF EACH SERVICE in arrears. The following information must be included on all submitted invoices. Invoices submitted without the following information may be rejected for payment. Invoices shall include at a minimum:

KEY PERSONNEL: Key personnel will be identified in the proposal and shall be considered key personnel essential for the successful completion of the work performed under the contract. The contractor agrees that such personnel shall not be removed, diverted, or replaced from the work without prior written approval of the Contracting Officer. The contractor shall submit written notice of proposed personnel changes to the Contracting Officer for approval at least thirty (30) business days in advance.

CONTRACT ADMINISTRATION: Notwithstanding the Contractor's responsibility for total management during the performance of this contract, the administration of the contract will require maximum coordination between the Government and the Contractor.

The Contracting Officer is the only person authorized to approve changes or modify any of the requirements of this contract. The Contractor shall communicate with the Contracting Officer on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitments or issue changes that shall affect price, quantity or quality of performance of this contract.

The COR shall be responsible for the overall technical administration of this contract as outlined in the COR Delegation of Authority.

IN THE EVENT THE CONTRACTOR EFFECTS ANY SUCH CHANGE AT THE DIRECTION OF ANY PERSON OTHER THAN THE CONTRACTING OFFICER WITHOUT AUTHORITY, NO ADJUSTMENT SHALL BE MADE IN THE CONTRACT PRICE TO COVER AN INCREASE IN COSTS INCURRED AS A RESULT THEREOF.

The Contracting Officer reserves the right to designate representatives to act for him/her in furnishing technical guidance and advice or generally monitor the work to be performed under this contract. Such designation will be in writing and will define the scope and limitation of the designee’s authority. A copy of the designation letter shall be furnished to the Contractor.

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.

C.4 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.5 VAAR 852.242-71 ADMINISTRATIVE CONTRACTING OFFICER (OCT 2020)

The Contracting Officer reserves the right to designate an Administrative Contracting Officer (ACO) for the purpose of performing certain tasks/duties in the administration of the contract. Such designation will be in writing through an ACO Letter of Delegation and will identify the responsibilities and limitations of the ACO. A copy of the ACO Letter of Delegation will be furnished to the Contractor.

(d) Comptroller General Examination of Record. D.2 QUALITY ASSURANCE SURVEILLANCE PLAN (QASP)

1. PURPOSE

This Quality Assurance Surveillance Plan (QASP) provides a systematic method to evaluate performance for the stated contract. This QASP explains the following:

· What will be monitored?

· How monitoring will take place.

· Who will conduct the monitoring?

· How monitoring efforts and results will be documented.

This QASP does not detail how the contractor accomplishes the work. Rather, the QASP is created with the premise that the contractor is responsible for management and quality control actions to meet the terms of the contract. It is the Government's responsibility to be objective, fair, and consistent in evaluating performance.

This QASP is a "living document" and the Government may review and revise it on a regular basis. However, the Government shall coordinate changes with the contractor through contract modification. Copies of the original QASP and revisions shall be provided to the contractor and Government officials implementing surveillance activities.

2. GOVERNMENT ROLES AND RESPONSIBILITIES

The following personnel shall oversee and coordinate surveillance activities.

a. Contracting Officer (CO) - The CO shall ensure performance of all necessary actions for effective contracting, ensure compliance with the contract terms, and shall safeguard the interests of the United States in the contractual relationship. The CO shall also assure that the contractor receives impartial, fair, and equitable treatment under this contract. The CO is ultimately responsible for the final determination of the adequacy of the contractor’s performance.

b. Contracting Officer’s Representative (COR) - The COR is responsible for technical administration of the contract and shall assure proper Government surveillance of the contractor’s performance. 4. METHODS OF QA SURVEILLANCE

Various methods exist to monitor performance. The COR shall use the surveillance methods listed below in the administration of this QASP.

a. DIRECT OBSERVATION: 100% surveillance Action required via daily reporting.

b. PERIODIC/ RANDOM INSPECTION: Inspections scheduled and reported quarterly per COR delegation or as needed.

c. MONTHLY REPORTS: Reports will be generated monthly by the contractor which the COR will use to track progress of maintenance.

d. VALIDATED USER/CUSTOMER COMPLAINTS: Customer complaint data will be obtained via Customer feedback and will be compiled weekly and reviewed by Service Chief. Any validated complaints against the Contractor which are not resolved within seven business days will be further investigated.

e. VERIFICATION AND/OR DOCUMENTATION PROVIDED BY CONTRACTOR: Contractor provided documentation will be reviewed via required daily action reporting.

5. INCENTIVE/DISINCENTIVES FOR ACCEPTABLE QUALITY LEVEL (AQL)

The Government shall use favorable contractor performance evaluations as incentives. The Government shall report unfavorable contractor performance as disincentives. Disincentives shall include documentation of any performance issues. If issues are repetitive or consistent, the government shall take further corrective action or begin termination procedures. Incentives and Disincentives shall be based on exceeding, meeting, or not meeting performance standards.

a. Positive and negative performance will be documented locally (contract file) and/or in the appropriate contractor performance assessment reporting system/database.

b. Noncompliance to contract standards will be corrected at no cost to the government. The government reserves the right and may elect to measure/document negative performance through utilization of a performance report and/or a contract discrepancy report.

c. The contractor shall respond in writing to the Contracting Officer Representative (COR) to all notifications of failure to meet acceptable quality levels within 5 days of issuance by the Contracting Officer Representative and/or the Contracting Officer. The contractor's response shall include the corrective action taken to rectify the problem and the proposed measure to preclude the recurrence of the problem.

6. PERFORMANCE STANDARDS (MEASURES)

The contractor is responsible for performance of ALL terms and conditions of the contract. CORs will provide contract progress reports quarterly to the CO reflecting performance on this plan and all other aspects of the resultant contract. The performance standards outlined in this QASP shall be used to determine the level of contractor performance in the elements defined. The performance standards define desired services. The Government performs surveillance to determine if the contractor exceeds, meets or does not meet these standards.

The Performance Requirements Summary Matrix is listed below in Table 1. The Government shall use these standards to determine contractor performance and shall compare contractor performance to the standard and assign a rating. At the end of the performance period, these ratings will be used, in part, to establish the past performance of the contractor on the contract. 7. CONTRACT PERFORMANCE MONITORING

Government personnel will monitor the contractor's performance to ensure contract compliance and that the VA is receiving the services. The government will be monitoring the following items:

a. TIMEFRAME - The contractor must give four (4) calendar weeks’ notice prior to arriving on site to perform scheduled preventive maintenance. Upon arrival at the station to perform periodic maintenance service or in answers to telephone request by authorized employee of the Department of Veterans Affairs, the vendor or his/her assigned representative will check in and out with engineering service prior to and after completion of making any repairs during normal working hours, 8:00am to 4:30pm. If an emergency call is issued other than normal working hours, the contractor representative will be required to check in operations, located at the boiler plant, building 500 on-site, and they will contact the appropriate engineering service representative. After completion of such service or maintenance work during the regular working hours, the vendor or his/her representative will obtain the signature of the equipment operator or other authorized person in the using service acknowledging the receipt of service. The duly signed copies of service or repair tickets will be delivered to the engineering service representative. Any work in addition to what’s started in the contract must be made known to and approved by the engineering service representative prior to proceeding with repairs. At night, weekends, and holidays, the vendor will deliver service tickets to the VA Engineering representative.

b. INVOICE VERIFICATION – The Contractor shall provide a complete and accurate invoice each month.

c. CASE CONSULTATION – The Contractor shall provide case-by-case consultation as needed on provided services within twenty-four hours of consultation request.

d. FLAWED PRODUCT – The Contractor shall rework flawed products which were not done by them within the same timeframe as other products delivered to them for laboratory services.

8. RATINGS

Metrics and methods are designed to determine if performance exceeds, meets, or does not meet a given standard and acceptable quality level. A rating scale shall be used to determine a positive, neutral, or negative outcome. The following ratings shall be used:

Positive outcome: 98% or greater successful completion/outcome.

Acceptable outcome: 97%-95% Successful completion/outcome.

Unacceptable outcome: Less than 95% successful completion/outcome.

9. DOCUMENTING PERFORMANCE

a. ACCEPTABLE PERFORMANCE

The Government shall document positive performance. Any report may become a part of the supporting documentation for any contractual action.

b. UNACCEPTABLE PERFORMANCE

When unacceptable performance occurs, the COR shall inform the Contracting Officer (CO). This will normally be in writing unless circumstances necessitate verbal communication. In any case the COR and the CO shall document the discussion and place it in their respective file.

When the COR determines formal written communication is required, the COR shall prepare a Contract Discrepancy Report (CDR), and present it to the CO. The CO will in turn review and submit to the contractor's program manager for corrective action.
