Salient Characteristics of Brainlab Element Software Subscription Below are the salient characteristics for equal to products in accordance with FAR Par 52.211-6 Brand Name or Equal. The following salient characteristics that "equal" products must meet are:
A) Functions to be performed:
The Richmond VAMC has been a consistent regional and national leader in performing stereotactic Deep Brain Stimulation (DBS) surgeries for movement disorders both inside and outside the VA system. Over the years the indications for stereotactic procedures in general have grown beyond movement disorders, and the number of patients we can help with them has increased. For example, the field of epilepsy surgery has exploded in the last 5-10 years due to the availability of laser technology and implantable devices requiring stereotactic surgery. As an Epilepsy Center of Excellence, the neurosurgery service at the Richmond VA is actively working to build the surgical epilepsy program to bring our Veterans the best care available. Further, our ability to treat cognitive and psychiatric disorders with DBS is rapidly becoming a reality---an area our own department under Dr. Kathryn Holloway is actively pursuing.
In part due to the increased demand for stereotactic surgery, the technology for performing these procedures has also significantly advanced. There are numerous tools available in the operating room for precise placement of electrodes, laser fibers, or other implantable devices. Depending on the type of procedure needed and the specific needs of the patient, we may require different types of stereotactic targeting tools. A key technology required for any stereotactic procedure is sophisticated software that allows the surgeon to plan the surgery ahead of time, combining numerous imaging modalities and target selection to generate safe trajectories through the patient’s brain to achieve the surgical goal. Currently, the only planning software we have at the VA is integrated with the Stealth system and must be executed on either the intraoperative Stealth station in the OR, or on a single planning station available in the office of one of our surgeons, which must then be transferred to the OR computer via printed CD. Furthermore, the Stealth system must then be used as the stereotactic tool in the OR. While the Stealth software and system is adequate for many procedures, it does not allow planning of surgeries that utilize other stereotactic platforms, many of which are more suitable for certain cases, such as laser ablations, stereo electroencephalography (SEEG), or Responsive Neurostimulation, or more suitable for certain patients.
Stereotactic surgeries for movement disorders and epilepsy are becoming increasingly collaborative. Often it is extremely advantageous for collaborative neurologists and nurses to be able to see the location of implanted electrodes, or devices on the patient’s imaging in the post-operative period, or during pre-operative planning. Utilizing a planning system that runs from a central server and is accessible from any VA computer would greatly enhance this capability.
The various types of advanced imaging that can be used in planning stereotactic brain surgery are expanding and therefore require software that can integrate them appropriately. Our current Stealth planning software has significant limitations in this regard, particularly in the realm of patient-specific brain segmentation and DTI processing.
Therefore, as we expand our functional and stereotactic neurosurgical program at the Richmond VAMC, we are in need of a more flexible and more sophisticated planning software package that can integrate with many stereotactic targeting platforms, allow collaboration among multiple individuals and provide robust image processing of advanced modalities.
B) Performance required:
A version of BrainLab Elements software is already installed and in use at Hunter Holmes McGuire VA for Radiotherapy Treatment Planning. Adding Functional
· Neurosurgical capabilities would fully integrate and provide standardized care across all stereotactic procedures including both functional and radiation oncological procedures. This is the only such software that covers such a wide range of procedures, which also includes tumor resection planning.
· Allows all stereotactic procedures to be planned on one software platform which can then be interfaced with any other stereotactic targeting tool in the operating room, including Stealth Vertek system, StarFix, Medtronic Autoguide, ROSA, ClearPoint, etc. This is the only planning software designed to offer this universal functionality.
· Software can be run on a central server and then accessed via a web application from any VA computer. This would significantly improve the efficiency of planning, ability to maintain historical plans and imaging in one location for quality improvement and research and improve resident teaching. In addition, this would allow easy collaboration with other providers involved in the patient’s care, but who are not surgeons, such as epilepsy and movement disorders neurologists, as well as DBS/other device programmers---an increasingly important aspect of functional neurosurgery.
· Software is provided on a subscription basis, thus ensuring access to the latest updates and features, essential for a field that is rapidly changing and improving.
· Automatic patient specific segmentation, 3D modeling, image fusion, and proprietary distortion correction software provide the most accurate patient mapping and visualization tools available from any software vendor. As the types of pre-operative images used for planning become more advanced and varied, it is essential that the software used to integrate and fuse them for surgical planning does so accurately. Further, the patient specific segmentation capabilities have been a long-stranding strength of this company not matched by other commercially-available products.
· Appreciation of the white matter pathways as they relate to stereotactic targets is becoming more and more important in DBS and other neuromodulation procedures. The automatic DTI processing and fiber tractography visualization capabilities of this software are outstanding and impossible to find in any other commercial platform that is as comprehensive and flexible as this one.

C.2 52.216-21 REQUIREMENTS (OCT 1995)
(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities described as "estimated" or "maximum" in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the Schedule that are required to be purchased by the Government activity or activities specified in the Schedule.
(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.
(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.
(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 9/29/2026.

C.3 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed two (2) years.

C.4 52.217-6 OPTION FOR INCREASED QUANTITY (MAR 1989)
The Government may increase the quantity of supplies called for in the Schedule at the unit price specified. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days. Delivery of the added items shall continue at the same rate as the like items called for under the contract, unless the parties otherwise agree.

C.5 VAAR 852.203-70 COMMERCIAL ADVERTISING (MAY 2018)
The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.
(End of Clause) C.6 VAAR 852.215-70 SERVICE-DISABLED VETERAN-OWNED AND VETERAN-OWNED SMALL BUSINESS EVALUATION FACTORS (JAN 2023) (DEVIATION)
(a) In an effort to achieve socioeconomic small business goals, VA shall evaluate offerors based on their service-disabled veteran-owned or veteran-owned small business certification status and their proposed use of eligible certified service-disabled veteran-owned small businesses (SDVOSBs) and certified veteran-owned small businesses (VOSBs) as subcontractors.
(b) Eligible and certified service-disabled veteran-owned small businesses offerors will receive full credit, and offerors qualifying as veteran-owned small businesses will receive partial credit for the certified Service-Disabled Veteran-Owned and Veteran-Owned Small Business Status evaluation factor. To receive credit, an offeror must be listed at the time of submission of offers and at time of award, as a certified SDVOSB/VOSB in the SBA certification database on the SBA Veteran Small Business Certification Program portal at https://veterans.certify.sba.gov/ (see 13 CFR 128) and be otherwise eligible in accordance with SBA size standards for the acquisition and limitations on subcontracting requirements set forth in SBA regulations (see 13 CFR 121, 125 and 128.).
(c) Non-Veteran offerors proposing to use certified SDVOSBs or VOSBs as subcontractors will receive some consideration under this evaluation factor. Offerors must state in their proposals the names of the certified SDVOSBs and VOSBs with whom they intend to subcontract and provide a brief description of the proposed subcontracts and the approximate dollar values of the proposed subcontracts. In addition, the proposed subcontractors must be listed at the time of submission of offers and at time of award, as a certified SDVOSB/VOSB in the SBA certification database.
(d) Pursuant to 38 U.S.C. 8127(g), any business concern that is determined by VA to have willfully and intentionally misrepresented a company’s SDVOSB/VOSB status is subject to debarment for a period of not less than five years. This includes the debarment of all principals in the business.

C.7 VAAR 852.215-71 EVALUATION FACTOR COMMITMENTS (OCT 2019)
(a) The offeror agrees, if awarded a contract, to use the service-disabled veteran-owned small businesses (SDVOSBs) or veteran-owned small businesses (VOSBs) proposed as subcontractors in accordance with 852.215–70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, or to substitute one or more SDVOSBs or VOSBs for subcontract work of the same or similar value.

C.8 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)
(a) Definitions. As used in this clause—
(1) Contract financing payment has the meaning given in FAR 32.001;
(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;
(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;
(4) Invoice payment has the meaning given in FAR 32.001; and
(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.
(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.
(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:
(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.
(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).
(d) Invoice requirements. Invoices shall comply with FAR 32.905.
(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—
(1) Awards made to foreign vendors for work performed outside the United States;
(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;
(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;
(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or
(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.9 VAAR 852.242-71 ADMINISTRATIVE CONTRACTING OFFICER (OCT 2020)
The Contracting Officer reserves the right to designate an Administrative Contracting Officer (ACO) for the purpose of performing certain tasks/duties in the administration of the contract. Such designation will be in writing through an ACO Letter of Delegation and will identify the responsibilities and limitations of the ACO. A copy of the ACO Letter of Delegation will be furnished to the Contractor.

C.10 VAAR 852.246-71 REJECTED GOODS (OCT 2018)
(a) Supplies and equipment. Rejected goods will be held subject to Contractor’s order for not more than 15 days, after which the rejected merchandise will be returned to the Contractor’s address at the Contractor’s risk and expense. Expenses incident to the examination and testing of materials or supplies that have been rejected will be charged to the Contractor.
(b) Perishable supplies. The Contractor shall remove rejected perishable supplies within 48 hours after notice of rejection. Supplies determined to be unfit for human consumption will not be removed without permission of the local health authorities. Supplies not removed within the allowed time may be destroyed. The Department of Veterans Affairs will not be responsible for, nor pay for, products rejected. The Contractor will be liable for costs incident to examination of rejected products.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES
Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available. The version of FAR 52.212-1 in the addendum is tailored for Simplified Acquisition Procedures and supersedes the current version of FAR 52.212-1 contained in the FAR.
The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:

(a) Submission of Quotes: Offerors shall submit their offer via email to Gordon Burns at gordon.burns@va.gov by 1pm EST on September 20, 2024. Offers shall be assembled by the following Sections: each section shall be easily identified.
(1) Offer Form (Standard Form 1449) Signed and dated, include the North American Industry Classification System (NAICS) code and small business size standard in Block 10. Data Universal Numbering System (DUNS) Number shall be entered in the block with the Offerors name and address.
(2) Pricing Pricing shall be submitted on Attachment A, Price/Cost Schedule. The following fields require completion on the attachment. Do not change the format or add/delete any columns in the Excel Spreadsheet.

(3) Technical Questions. Offerors should submit all technical questions regarding this solicitation to the Contracting Officer in writing, via email, to gordon.burns@va.gov on or before Noon, September 19, 2024. Subject Line: Anesthesia machines. Telephonic (verbal) questions Will Not be addressed. All responses to questions, which may affect offers, will be incorporated into a written amendment to the Request for Quote.
(4) Past Performance. Past performance must be at least satisfactory, recent, and similar in size and scope.
(5) Offerors Representations and Certifications. A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically). An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at www.sam.gov/portal/public/SAM/.
(a) A completed copy of VA Notice of Limitations on Subcontracting – Certificate of Compliance for Supplies and Products (Deviation) at VAAR 852.219-78. An offeror shall complete all sections as instructions dictate within the document.
Failure to submit a complete quote may result in a technically unacceptable determination.
(b) Amendments to this solicitation will be posted. Paper copies of the amendments will NOT be individually mailed. No other notification of amendments will be provided. Potential Offerors are advised that they are responsible for obtaining and acknowledging any amendments to the solicitation. Failure to acknowledge an amendment may result in your quote being considered unacceptable.
(c) System for Award Management. Quoters shall be registered and current in the System for Award Management (SAM) https://www.sam.gov at the time a quote is submitted.
(d) Requests for information. The contracting officer will not notify unsuccessful quoters that responded to this solicitation. Quoters may request information on purchase order resulting from this solicitation from the contracting officer.
