B.3 PERFORMANCE WORK STATEMENT

I. GENERAL REQUIREMENTS:

1. Introduction: The Salem VA is looking for a licensed contractor to provide complete and total pest management services throughout the entire VAMC Salem facility (indoor only). The contractor shall provide all tools, personnel, equipment, materials, chemicals, insecticides, pesticides, transportation required to provide pest management services

1. The goal of the pest management contract is to provide a pest free facility for the veterans, families and employees of the Salem VA.

1. The Salem VA is seeking this pest management contract to address a lack of a licensed contractor/pest controller, that can apply the necessary treatment chemicals to the facilities interior space, to control and eliminate any pests within the interior confines of the VAMC Salem buildings.

1. Place(s) of Performance: Veterans Affairs Medical Center, 1970 Roanoke Blvd., Salem, VA. 24153

The Salem VAMC is looking for a licensed contractor to provide pest control services for the interior space throughout the entire VAMC Salem facility such as patient care units/wards, administrative office spaces and two main kitchen food prep areas.

1. Period of Performance: Base Year: Date of Award – 9/30/2021 Option Year 1: 10/1/2021 – 9/30/2022 Option Year 2: 10/1/2022 – 9/30/2023 Option Year 3: 10/1/2023 – 9/30/2024 Option Year 4: 10/1/2024 – 9/30/2025

1. Type of Contract: Firm Fixed Price

II. SPECIFIC REQUIREMENTS/TASKS AND ASSOCIATED DELIVERABLES

1. Selected Contractor shall perform all the following tasks:

Task 1: Provide complete pest management services for the entire VAMC Salem Buildings interior space.

· Provide pest management services twice per weeks on Tuesday’s and Thursday’s, excluding government holidays.

· In the case of an emergency, the contractor will be required to respond to emergency service calls to treat any pest issues that may arise, bed bugs, termites, bees or other hazardous pest.

Task 2: Treatment areas

· On Tuesdays and Thursdays, except for government holidays the contractor shall provide preventive treatments to the interior confines of the VAMC Salem Buildings.

· Contractor shall provide treatment twice per week to the VAMC Salem main kitchen areas.

2. Government-furnished items and services: N/A

III. CONTRACTOR EXPERIENCE REQUIREMENTS

1. Certified Entomologist on staff.

1. Qualifications of Key Personnel- Virginia Certified Pest Controller.

1. Membership of the Virginia Pest Management Association.

B.4 SPECIAL CONTRACT REQUIREMENTS

1.0 KEY PERSONNEL: Key personnel will be identified in the proposal and shall be considered key personnel essential for the successful completion of the work performed under the contract. The contractor agrees that such personnel shall not be removed, diverted, or replaced from the work without prior written approval of the Contracting Officer. The contractor shall submit written notice of proposed personnel changes to the Contracting Officer for approval at least thirty (30) business days in advance.

2.0 WORK HOURS: The services covered by this contract shall be furnished by the contractor as defined herein. The contractor shall not be required, except in case of emergency, to furnish such services on a Federal Holiday or during off duty hours as described below.

Normal working hours: Monday through Friday, 7:00 a.m. – 3:30 p.m., excluding federal holidays.

Federal Holidays: The 10 holidays observed by the Federal Government are:

Any other day specifically declared by the President of the United States to be a federal holiday. When one of the holidays falls on Sunday, the following Monday shall be observed as a Federal Holiday. When a holiday falls on a Saturday, the preceding Friday shall be observed as a Federal Holiday.

3.0 BACKGROUND INVESTIGATIONS: A full background check is not required; however, all contract employees must bring photo identification and notice from the requiring service to obtain a VA Badge to work on a VA Facility.

Upon award, the CO shall provide the contractor with detailed instructions on fulfilling security requirements

4.0 BILLING AND PAYMENT: The contractor shall submit invoices electronically in accordance with VAAR Clause 852.232-72, Electronic Submission of Payment Requests, via VA’s Electronic Invoice Presentment and Payment System. (See Web site http://www.tungsten-network.com/us/en/veterans-affairs-us/ ) All contractors shall be registered as a vendor to submit invoices in accordance with the Department of Veterans affairs e-Invoicing System at time of award.

Invoice(s) shall be submitted upon completion of service and shall include at a minimum:

· Date of invoice

· Contract Number

· Purchase Order Number

· Vendor Name

· Invoice Number

· Contract Line Item Number (CLIN)

· Date of Service

5.0 CONTRACT ADMINISTRATION: Notwithstanding the Contractor's responsibility for total management during the performance of this contract, the administration of the contract will require maximum coordination between the Government and the Contractor.

The Contracting Officer is the only person authorized to approve changes or modify any of the requirements of this contract. The Contractor shall communicate with the Contracting Officer on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitments or issue changes that shall affect price, quantity or quality of performance of this contract.

The COR shall be responsible for the overall technical administration of this contract as outlined in the COR Delegation of Authority.

IN THE EVENT THE CONTRACTOR EFFECTS ANY SUCH CHANGE AT THE DIRECTION OF ANY PERSON OTHER THAN THE CONTRACTING OFFICER WITHOUT AUTHORITY, NO ADJUSTMENT SHALL BE MADE IN THE CONTRACT PRICE TO COVER AN INCREASE IN COSTS INCURRED AS A RESULT THEREOF.

C.2 SUPPLEMENTAL INSURANCE REQUIREMENTS

In accordance with FAR 28.307-2 and FAR 52.228-5, the following minimum coverage shall apply to this contract:

(a) Workers' compensation and employers liability: Contractors are required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 is required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.

(b) General Liability: $500,000.00 per occurrences.

(c) Automobile liability: $200,000.00 per person; $500,000.00 per occurrence and $20,000.00 property damage.

(d) The successful bidder must present to the Contracting Officer, prior to award, evidence of general liability insurance without any exclusionary clauses for asbestos that would void the general liability coverage.

C.3 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

(a) Definition. "Small business concern," as used in this clause, means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the size standards in this solicitation.

(1) Contracts that have been totally set aside for small business concerns; and

(2) Any award resulting from this solicitation will be made to either a small business concern or FPI.

(a) This solicitation includes FAR 52.219-6 Notice of Total Small Business Set-Aside.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor's offices where the Contractor's business records or other proprietary data are retained and to review such business records regarding the Contractor's compliance with this requirement.

(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

C.9 VAAR 852.237-75 KEY PERSONNEL (OCT 2019)

The key personnel specified in this contract are considered to be essential to work performance. At least 30 days prior to the Contractor voluntarily diverting any of the specified individuals to other programs or contracts the Contractor shall notify the Contracting Officer and shall submit a justification for the diversion or replacement and a request to replace the individual. The request must identify the proposed replacement and provide an explanation of how the replacement’s skills, experience, and credentials meet or exceed the requirements of the contract. If the employee of the Contractor is terminated for cause or separates from the contractor voluntarily with less than thirty days notice, the Contractor shall provide the maximum notice practicable under the circumstances. The Contractor shall not divert, replace, or announce any such change to key personnel without the written consent of the Contracting Officer. The contract will be modified to add or delete key personnel as necessary to reflect the agreement of the parties.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

SECTION E - SOLICITATION PROVISIONS

ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:

E.1 INSTRUCTIONS TO OFFERORS

INSTRUCTIONS FOR QUOTE SUBMISSION:

Quoters shall submit their quote via email to Keicha Passley at Keicha.Passley@va.gov by December 16 ,2020, at 4:30 PM EST.

Note that FAR Subpart 13 Simplified Acquisitions Procedures for Certain Commercial Items procedures will be used. This authorizes the use of simplified procedures for the acquisition of supplies and services in amounts greater than the simplified acquisition threshold but not exceeding $7 million ($13 million for acquisitions as described in 13.500(c)), including options, if the contracting officer reasonably expects, based on the nature of the supplies or services sought, and on market research, that quotes will include only commercial items.

The purpose of simplified procedures is to vest contracting officers with additional procedural discretion and flexibility, so that commercial item acquisitions in this dollar range may be solicited, quoted, evaluated, and awarded in a simplified manner that maximizes efficiency and economy and minimizes burden and administrative costs for both the Government and industry (10 U.S.C. 2304(g) and 2305 and 41 U.S.C. 3305, 3306, and chapter 37, Awarding of Contracts..

1. SITE VISIT

Quoters are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost and/or the contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award.

A Site Visit is scheduled for December 14, 2020 at 9:00 AM EST. Offerors shall meet at the Main Building at the Salem VAMC campus. If assistance is needed with directions, please call 540-982-2463 ext. 2865. Offerors shall submit their intent to attend the site visit electronically via email to Keicha Passley at Keicha.Passley@va.gov by December 11, 2020 at 10:00 AM EST.

Site visit is limited to two (2) contractor personnel per company.

1. QUOTE SUBMISSION

Quoters shall submit their quote via email to Keicha Passley at Keicha.Passley@va.gov by 4:30 PM EST on December 16, 2020. Quotes shall be assembled by the following Sections; each section shall be easily identified.

Section A - Quote Form (Standard Form 1449) Signed and dated, include the North American Industry Classification System (NAICS) code and small business size standard in Block 10.
