STATEMENT OF NEED

Disposable Privacy Curtains, Mounting Hardware, and Installation

1. INTRODUCTION:

The Lebanon Veterans Affairs (VA) Medical Center, located at 1700 South Lincoln Avenue, Lebanon PA 17042, is establishing a 5-year, brand-name-only, firm-fixed price Blanket Purchase Agreement for the RAPID REFRESH disposable privacy curtains, mounting hardware, and installation. As we have learned during COVID-19, hospital sanitation and the well-being of our patients is an essential component. During this time, disposable privacy curtains are a great option as many areas require frequent changes. New curtains will create a uniform look throughout the hospital and the Rapid Refresh Privacy Curtain System will provide convenience for removal and safety as ladders will no longer be required to remove the curtains from the track.

2. PRODUCT DESCRIPTION:

· Disposable Curtains and Installation Kits must be brand-name-only for Rapid Refresh.

· All curtains and installation must be manufactured by ICP Medical, LLC.

· Privacy curtain shall attach to the hardware with a Rapid Refresh Installation Kit to allow quick installation and removal with the rapid release mechanism without the use of a ladder.

· Rapid Refresh installation / conversion kits must work with existing curtain track.

· Privacy curtains should include a time strip and label on each curtain for regulatory compliance.

· Rail system shall make removing and replacing contaminated curtains fast and easy.

· Privacy curtains shall be National Fire Protection Association (NFPA) Fire Rated, Polypropylene #5-Recyclable, and assembled in the United States of America (USA).

· Privacy curtains can be snapped together the entire length of the panel for additional coverage and privacy when multiple panels are in use.

· Privacy curtains shall be easily changed in less than 30 seconds by staff.

This is only an estimate for informational purposes to give the Contractor an idea of potential order quantities and dates. Actual quantities and dates may vary and will be determined by individual BPA orders.

5. PERIOD OF PERFORMANCE:

· Requested privacy curtains and mounting kits must be delivered by in accordance with BPA orders.

· Installation date and time will be discussed after award with the Contracting Officer Representative (COR) and will be on a working business day of Monday through Friday within the hours of 7:00 AM – 4:00 PM, Eastern Time, and not be on a Holiday or weekend.

6. CONTRACTOR PERFORMANCE:

· Contractor is required to install the appropriate size installation kit to achieve a total of no greater than 12 inches from the floor to the bottom of the curtain throughout the VA Medical Center.

· Contractor shall provide labor, materials, tools, equipment, and services for the installation of the disposable privacy curtains and the installation of the mounting kits.

· Contractor shall provide the initial installation and service support for each new privacy curtains.

· Contractor shall provide training to the appropriate Environmental Management Services (EMS) staff on how to quickly remove and install the disposable privacy curtains.

· Contractor must provide a safe way to suspend and anchor each system from the ceiling of the building based on the structural calculations provided by the Contractor.

· Contractor shall provide disposable privacy curtains and mounting kits free of defects and damage.

· Contractor performing the installation, while on VA Medical Center property, shall obtain a temporary identification badge from the Police Service.

7. GOVERNMENT PERFORMANCE:

Government will provide the Contractor with the areas, throughout VA Medical Center, that will require the disposable privacy curtains and the installation of the mounting kits.

8. LOGISTICS CONSIDERATION:

· Contractor shall deliver materials to 1700 S. Lincoln Avenue, Lebanon PA 17042, and provide the initial installation throughout Lebanon VA Medical Center.

· Contractor may utilize dumpsters to dispose of any unneeded packaging items. Cardboard must be disassembled and stacked neatly for VA Medical Center to dispose of properly.

10. VHA Supplemental Contract Requirements for Combatting COVID-19

10.1. Contractor employees who work in or travel to VHA locations must comply with the following:

a. Documentation requirements:

1) If fully vaccinated, contractors shall show proof of vaccination. i. NOTE: Acceptable proof of vaccination includes a signed record of immunization from a health care provider or pharmacy, a copy of the COVID-19 Vaccination Record Card (CDC Form MLS-319813_r, published on September 3, 2020), or a copy of medical records documenting the vaccination.

2) If unvaccinated, contractors shall show negative COVID-19 test results dated within three calendar days prior to desired entry date. Test must be approved by the Food and Drug Administration (FDA) for emergency use or full approval. This includes tests available by a doctor’s order or an FDA approved over-the-counter test that includes an affiliated telehealth service.

3) Documentation cited in this section shall be digitally or physically maintained on each contractor employee while in a VA facility and is subject to inspection prior to entry to VA facilities and after entry for spot inspections by Contracting Officer Representatives (CORs) or other hospital personnel.

4) Documentation will not be collected by the VA; contractors shall, at all times, adhere to and ensure compliance with federal laws designed to protect contractor employee health information and personally identifiable information.

10.2. Contractor employees are subject to daily screening for COVID-19 and may be denied entry to VA facilities if they fail to pass screening protocols. As part of the screening process contractors may be asked screening questions found on the COVID-19 Screening Tool. Check regularly for updates.

a. Contractor employees who work away from VA locations, but who will have direct contact with VA patients shall self-screen utilizing the COVID-19 Screening Tool, in advance, each day that they will have direct patient contact and in accordance with their person or persons who coordinate COVID-19 workplace safety efforts at covered contractor workplaces. Contractors shall, at all times, adhere to and ensure compliance with federal laws designed to protect contractor employee health information and personally identifiable information.

10.3. Contractor must immediately notify their COR or Contracting Officer if contract performance is jeopardized due to contractor employees being denied entry into VA Facilities.

10.4. For indefinite delivery contracts: Contractor agrees to comply with VHA Supplemental Contract Requirements for any task or delivery orders issued prior to this modification when performance has already commenced.

B.5 BPA TERMS AND CONDITIONS

1. INTRODUCTION

In the spirit of the Federal Acquisition Streamlining Act, the Department of Veterans Affairs (DVA) and CONTRACTOR hereby enter into a cooperative agreement, otherwise referred to as a Blanket Purchase Agreement (BPA), to further reduce the administrative costs of acquiring supplies/services.

The agreement details all supplies with accompanying prices and descriptions (found within the CLIN Schedule B.2), which may be ordered under this BPA.

All orders placed against this BPA are subject to the terms and conditions of all the clauses and provisions in full text or incorporated by reference in this document.

2. PERIOD OF AGREEMENT

a. This agreement is between the Government and CONTRACTOR shall become effective on the date stated in Box 3 of SF1449. The BPA is in effect for a period of five (5) years or until the date when the purchases under it equal its total dollar limitation, whichever comes first.

b. The NCO 4 Contracting Officer placing orders under a BPA shall review the BPA at least annually and update as necessary due to changes in market conditions, sources of supply, and other pertinent factors that may warrant making new arrangements with different suppliers or modify existing arrangements.

3. EXTENT OF OBLIGATION

This BPA does not obligate any funds. A contract only arises when the Government places an order against the BPA that is properly accepted by both parties. The Government is obligated only to the extent of authorized purchases actually made under the BPA. Placement of orders IS NOT GUARANTEED.

4. PURCHASE LIMITATION

The Government estimates, but does not guarantee, that individual BPA Orders placed against this Agreement may reach $149,999.99/per Order. This Order Limit may be increased by mutual agreement of the parties as necessary, in whole or part. The authorized Ceiling Limit of the Agreement is set at $300,000.00 over the period covered by the Agreement; this ceiling is also not a guarantee. The Ceiling Limit may also be raised in association with Order Limit increases or other conditions which, by mutual agreement of the parties, may be considered necessary. Authorization for individual orders above the stated order and/or Ceiling Limits must be coordinated through the Contracting Officer before larger valued orders can be issued and prior to commencement of work. All unauthorized work, regardless of amount, will be processed through the ratification process.

5. PRICING DATA

5.1. The BPA holder can voluntarily reduce offered prices at any time by giving 24-hour advance notice (by facsimile or electronic-mail) to the VA Contracting Officer. This BPA also allows for additional discounts if a "large order" is placed at one time. An advanced notice is not required for discounts offered for only an individual order. Whether an order is large enough to warrant such a discount is subject to the discretion of the BPA holder.

6. INDIVIDUALS AUTHORIZED TO PURCHASE UNDER THE BPA. The only individuals authorized to purchase under the BPA are NCO 4 Contracting Officers.

7. DELIVERY TICKETS

All shipments under the agreement, except those for newspapers, magazines, or other periodicals, shall be accompanied by delivery tickets or sales slips that shall contain the following minimum information:

(i)Name of supplier.
(ii)BPA number.
(iii)Date of purchase.
(iv)Purchase number.
(v)Itemized list of supplies or services furnished.
(vi)Quantity, unit price, and extension of each item, less applicable discounts (unit prices and extensions need not be shown when incompatible with the use of automated systems, provided that the invoice is itemized to show this information).
(vii)Date of delivery or shipment.

A Delivery ticket shall be provided to the Program Point of Contact each time items are delivered to the VA Medical Center.

8. INVOICES

a. Inspection and acceptance shall be accomplished as follows: The Government hereby designates the VA Program Point of Contact as the point of final inspection and acceptance. The BPA holder will submit each invoice, electronically via the Tungsten Network Electronic Invoice Submission after each delivery. Information on submitting invoices may be found at: FSC e-Invoice Program - VA-FSC Internet. Copies of delivery tickets shall support these invoices. If the invoice is incomplete or inaccurate, the e-Invoice system will reject the invoice and a notice will be sent to the Contractor with the reason for the rejection. Payment for each order will be accomplished by Government completion of a receiving report following delivery and provision of a delivery ticket when each delivery is made. Failure to provide a delivery ticket may result in delay of payment or non-payment of invoice because there is no record of delivery. It is the Contractor’s responsibility to ensure delivery tickets are provided to the VA Program Point of Contact.

(a) No gray market or remanufactured items will be acceptable. Gray market items are Original Equipment Manufacturers’ (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical equipment only for VA medical facilities.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

C.5 VAAR 852.212-72 GRAY MARKET AND COUNTERFEIT ITEMS (MAR 2020)

(a) No used, refurbished, or remanufactured supplies or equipment/parts shall be provided. This procurement is for new Original Equipment Manufacturer (OEM) items only. No gray market items shall be provided. Gray market items are OEM goods intentionally or unintentionally sold outside an authorized sales territory or sold by non-authorized dealers in an authorized sales territory.

(b) No counterfeit supplies or equipment/parts shall be provided. Counterfeit items include unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified item from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitutions include used items represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics.

(c) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items.
