DEPARTMENT OF VETERANS AFFAIRS

Justification for Single Source Awards IAW FAR 13.106-1 For Over Micro-Purchase Threshold but Not Exceeding the SAT ($250K)

Acquisition Plan Action ID: 36C241-25-AP-2521

1. Contracting Activity: Department of Veterans Affairs, VISN 01, 402 Medical Center 2237: 402-25-2-100-0056

2. Brief Description of Supplies/ Services required and the intended use/Estimated Amount: This acquisition seeks to procure upgrades to existing Philips brand transducers with the EPIQ Elite ML 26-8 Transducer

The Vascular Department requires advanced superficial imaging capabilities to improve diagnostic accuracy and enhance patient care. Currently, VA Maine HCS operates the Philips EPIQ Elite Ultrasound System. The procurement of the ML26-8 Ultra High Frequency Transducer will augment the existing system's functionality and performance. This transducer upgrade is critical for ensuring employee and Veteran safety, by maintaining the optimal performance of the Ultrasound machine.

3. Unique characteristics that limit availability to only one source, with the reason no other supplies or services can be used: The ML26-8 EPIQ Elite Transducer required for this acquisition is integral to the optimal functioning of the Philips EPIQ Elite Adv G with Rad Ultrasound Machine. The following reasons justify the use of sole source procurement:

The Philips EPIQ Elite Ultrasound system fully integrates with and is compatible with the EPIQ transducers. The EPIQ transducers required are engineered to work with the Philips Ultrasound System: fit, form, and function.

· VAMC Togus has standardized to the Philips EPIQ Ultrasound System. Opting for a different brand of transducer will not work for several reasons:

· System Peculiarity: Philips transducers are specifically designed for Philips EPIQ Elite's software and hardware. Direct integration will ensure optimal performance and compatibility with currently owned hardware. Other brands are incompatible with the Philips EPIQ Ultrasound system which uses proprietary connections and communication protocols to communicate between the transducer and the imaging display equipment.

· Integration: The EPIQ ML 26-8 EPIQ Transducer fully integrates with the EPIQ Elite Ultrasound System. Other brands of transducers would not be compatible with the Philips Ultrasound System. The imaging quality and diagnostic accuracy would be compromised with a non-Philips transducer. The EPIQ Elite ML 26-8 Transducers are calibrated to deliver precise frequency ranges and resolutions that align with the system’s capabilities. To ensure optimal image precision and fidelity the compatible proprietary design used for the ML26-8 EPIQ Elite Transducers are essential.

· System Integrity: The Philips EPIQ Elite Ultrasound System includes proprietary technology and algorithms that may not support third-party transducers, leading to potential malfunctions or suboptimal results.

3. Unique characteristics that limit availability to only one source, with the reason no other supplies or services can be used:

· Warranty: Using non-approved transducers would void warranties and limit support options from Philips. Both the FDA (Food and Drug Administration) and the OEM (Philips) require the use of OEM-certified equipment for maintenance and servicing.

· Regulatory Compliance: FDA and Joint Commission regulatory standards must be met by all medical imaging equipment. To meet these standards Philips brand system integration is necessary. Off-brand transducers would not satisfy this compliance and would pose risks to patient health. The procurement of any other brand of transducer would compromise the safety and effectiveness of vascular imaging, anesthesia procedures, and other ultrasound imaging procedures. To preserve the quality and safety of Veteran care off-brand transducers must be avoided. The procurement of the Philips EPIQ Elite ML 26-8 Transducers is critical for maintaining the optimal performance of the Philips EPIQ Ultrasound machine used by the Vascular Department at VAMC Togus.

4. Description of market research conducted and results or a statement why it was not conducted: Market research was conducted to identify alternative sources for the required transducers. However, due to the unique characteristics of the transducers and the specific requirements of our Ultrasound machine, no other suppliers or services were found to be compatible or suitable for our needs. Philips Medical is the sole supplier of these transducers, and their products are specifically designed for the requirements mentioned above.

Market Research Findings

· Mandatory Sources: No VA agency or other agency has excess supplies of this nature. AbilityOne cannot fulfill the requirement.

· Mandatory Sources VA Inventories, Other Agencies, AbilityOne, FPI (Federal Prison Industries) and mandatory contracts were searched. None of those sources carry a Philips Transducer such as the kit provided by The Philips Transducer Company LLC.

· Source Lists for Similar Items from Other Activities, Agencies, Trade Associations, or Sources: Similar items are not suitable for this requirement. Standardization and compatibility with already existing equipment are the primary factors concerning model selection.

· SAC (Strategic Acquisition Center): Both the SAC and the SCMC were searched. The requirements listed are not available via any SAC Contract.

· VAAR 810.003-70(c) VFCP (Veterans First Contracting Program): There is no NMR Waiver for NAICS 334510: Transducers, the best-fit NAICS for the Philips Transducer. Per the NMR Decision Tree and IAW VAAR 819.7003(d), an SD/VOSB set-aside cannot be applied. GSA NAC (National Acquisition Center) FSS (Federal Supply Schedule): The GSA e-Library lists contracts for this requirement under various BPA’s: Medical Equipment and Supplies. There were no federal or national contracts carrying the required Philips Transducer.

· GSA Advantage: The Philips EPIQ ML 26-8 Transducer was not listed on GSA Advantage and is not available via FSS contract. There are many other Philips Transducer components currently on the Philips NA FSS: 36F79720D0042. To date the EPIQ ML 26-8 Transducer has not been added to the existing FSS.

Market Research Findings (cont’d):

· GSA e-Library: The Philips EPIQ ML 26-8 Transducer (P/N FUS9197) was not listed on GSA e-Library. There are no FSS schedule holders that provide the required Transducer.

· FAR 19.502-2(a) SBA NMR Exception: The requirement is below SAT (Simplified Acquisition Threshold of $250k); there is an SBA NMR Exception (FAR 19.502-2(a) that can be applied. There is only (1) manufacturer; one (1) source for the required Philips Transducer, the OEM The Philips Transducer Company. The required product is proprietary and exclusive to that OEM. It is eligible for a Straight SB Set-Aside via the SBA NMR Exception. This requirement is not eligible for an SDVOSB Set-Aside because there is no NMR Waiver for NAICS 334510, Transducers; This will qualify for a straight SB Set-Aside. We can apply the SBA NMR Exception IAW FAR 19.502-2(a). There are distributors in the market.

· Brand Justification: The OEM Philips North America LLC has provided a sole source letter designating The Philips Transducer Kit as being proprietary, exclusive, and peculiar to the OEM. According to FPDS and ADDS Up searches, the required Philips EPIQ Elite ML 26-8 Transducers are available from at least (5) SB Class, OEM-Authorized distributors that are capable and authorized to distribute

Nonmanufacturer Rule (NMR) Findings): There is no applicable NMR Waiver for NAICS 334510. Per 72 FR 72433 there is an NMR Waiver for MRIs, Ultrasounds, and PET Tomography devices. Transducers connect to and supply imaging visuals and data to imaging and MRI equipment, they are tools supporting diagnostic equipment. The NMR Waiver cannot be applied. Per VAAR 819.7003(d) a SD/VOSB Set-aside cannot be leveraged; the NMR is not satisfied. The requirement is below SAT; the LOS does not apply. The SBA NMR Exception applies; the requirement is eligible for a SB Set-Aside IAW FAR 19.502-2(a). No SDVOSB Set-Aside.

Recommendation: The recommended strategy is for a Straight SB Set-Aside IAW FAR 19.502-2(a). The large business OEM Philips North America LLC has provided a sole source letter designating The Philips brand EPIQ Elite ML 26-8 Transducer Kit as being proprietary, exclusive, and peculiar to the OEM. At least five (5) Philips-authorized SB Class distributors are expected to compete for this requirement.

The procurement is open market. The requirement will fall below SAT; the SBA NMR Exception, FAR 19.502-2(a) can be applied for a Straight SB Set-Aside, competition to the maximum extent practicable.

5. Contracting Officer's Certification: Purchase is approved in accordance with FAR13.106-1(b). I certify that the foregoing justification is accurate and complete to the best of my knowledge and belief.
