The government intends to award a firm fixed price Purchase Order with 1 Base Year plus up to 4 Option Years. Contractor shall provide all necessary personnel, su pervision, labor, equipment, materials, and disposal necessary to provide the services at the Providence VAMC pursuant to the PWS described herein.
Quoters should carefully follow instructions included in 52.212-1 and for evaluation criteria sp ecified in Section E.

B.2 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011)
This solicitation includes FAR 52.219-6 Notice of Total Small Business Set-Aside. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.
B.3 SUBCONTRACTING COMMITMENTS--MONITORING AND COMPLIANCE (JUN 2011)
This solicitation includes VAAR 852.215-70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, and VAAR 852.215-71, Evaluation Factor Commitments. Accordingly, any contract resulting from this solicitation will include these clauses. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) to assist in assessing contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. B.4 PERFORMANCE WORK STATEMENT
Kitchen Equipment Service The work detailed in this solicitation centers around the Contractor providing monthly preventative maintenance (PM) services for the equipment identified in Attachment A (below) in the PVAMC Kitchen, 4th Floor, Main Building. All preventative services will be in accordance with each specific manufacturer’s recommendations for the type of equipment installed and operated. All services will be per the manufacturer’s prescribed maintenance schedule and frequency for each piece of equipment.
Key Tasks and Details Monthly PM Each monthly PM visit shall include making all necessary equipment adjustments, re-calibration of devices, cleaning of any and all parts, lubrication of all pieces and parts, circuit testing, compressor and compression testing and all other cited maintenance requirements as specified by the manufacturer.
Qualified Technicians Contractor’s shall only deploy for service technicians that possess the appropriate licensing and certification as required by their respective trade for the maintenance testing and services being conducted. Where required by manufacturer warranties and/or recommendations and requirements, service technicians shall be approved by the manufacturer to service their respective equipment. If no manufacturer certification is required for a piece of equipment, the technician must be licensed in the particular trade being performed (such as electrical licensing, plumbing, etc). Copies of those licenses and certifications shall be included in the quote package to help establish Technical Ability.
Standards Contractor shall be responsible for maintaining each piece of equipment to manufacturer standards and acceptable working tolerances for the safe operation and continued service life. Contractor is responsible for providing all labor and work associated with completing warranty repair work on all pieces of equipment identified in Attachment A.
Contractor shall provide at no additional cost to the VA all parts and equipment having a value of $500 or less per piece of equipment required for service or repair. Any equipment required that is excess of this amount will be paid for by the VA and requires the prior, written authorization of Contracting Officer (CO).
Service Reports Contractors shall complete, maintain, and submit all copies of services being performed on a monthly payment and along with each application for payment. Contractors will also be required to complete fill out Preventative Maintenance forms associated with VA PM software tracking system (Facility Dude). These forms will be provided to the contractor monthly and be completed, signed, and returned to the Supervisor of Operations & Maintenance at the end of each service call or attached to the application for payment.
Site Visit Contractors are encouraged and expected to conduct their own independent assessment and survey of each piece of equipment identified on Attachment A, prior to submitting their respective quote, in order to make themselves familiar with current condition of the equipment and the locations where service will take place. The vendor’s quote must account for the equipment being in the condition as-is and without any repairs or improvements being made by the VA prior to the start of the contract.
The only site visit allowed during the solicitation period is scheduled for Friday November 16th at 11 AM. Vendors shall meet VA personnel in the hospital main entrance, which is near the front parking lot valet.
Work Conditions The survey technician’s service visit shall be scheduled in advance with the permission of the CO’s designated facility representative (COR). Survey technicians who show up without prior permission may be turned away at the fault of the vendor.
When the survey technician arrives at the VAMC to perform the work, the survey technician shall check in with the designated facility representative and follow their directions in performing the work in accordance with VAMC standards.
The government retains the right to refuse entry to the VAMC to any personnel for any or no reason.
Work shall be performed within normal business hours, between 6 AM – 6 PM.
Contractor shall establish a service schedule that is acceptable to the VA. Contractor will provide 24 hr notification if a scheduled service call cannot be met and will re-schedule a time agreed to by the VA.
Contractor’s service technicians will report to Building 6 prior to commencing any work and sign in with the Operation & Maintenance Supervisor and sign out when work is complete.
Contractors shall respond with a technician on-site to non-scheduled service calls within 2 hours of being notified of an equipment problem to initiate the repair process. Inability to meet this standard will be result in a non-compliant Technical Ability evaluation and termination of a resulting contract. This is required because the kitchen being serviced is the main kitchen that serves patients, which must remain operational with as minimal downtime as possible in order to safely provide for the VA’s patients.
Quality Assurance The COR shall monitor contractor performance quality, and the COR’s feedback will inform the performance evaluations created by the CO. Key items the COR will watch for include, but are not limited to: response timeliness, technician preparation and readiness to perform the work, the quality of the work performed, professionalism of the technicians, and compliance with contract and facility requirements.
In the event of a quality issue arising, the COR will investigate and attempt to resolve the issue with the technician or contractor directly. If the COR is unable to resolve the issue, the COR shall refer the issue to the CO for fact-finding, evaluation, and resolution in a manner the CO sees fit, with all legal remedies available for use.
Other Quote Considerations Additional, related work may be ordered off the resulting contract without further competition at the sole discretion of the CO. Contractors should provide an hourly rate (with any travel or fees factored into that rate) for work above and beyond the base contract established. This is required, as there are no reserve dollars in the VISN 1 (New England) budget for extensive travel, per diem, lodging.
No work outside of that detailed in this work description performed will be paid by the VA without the express, prior written authorization of the CO. No other government employee has authority to change the resulting contract’s terms or conditions or to commit funding.
In all quotes submitted, the quoting vendor shall identify if they will self-perform the contract requirements or if they will subcontract any part of it. If subcontracting, the quoting vendor shall identify the percentage (%) of proposed contract value the prime and the subcontractor(s) will account for, as well as what key tasks will be performed by which party. This will be closely monitored for compliance by the government, and the act of submitting a quote constitutes the granting of permission to the government to audit such activity.
The CO retains the right to refuse the use of any subcontractor for any or no reason.
The evaluation of quotes received will be done using the Trade-Off method, where Technical Ability and Past Performance are more important than Price. Price remains important, as only the quote representing the best value to the government will be used.
As Technical Ability is one of the Evaluation Factors being used in this Solicitation, the quoting vendor shall provide copies of related certifications or training documents that demonstrate the vendor’s technical proficiency. A portion of the Technical Ability factor is how much of the contract value will be represented by the prime vs subcontractor’s contributions to performance.
As Past Performance is one of the Evaluation Factors being used in this Solicitation, the quoting vendor shall provide past performance references of related work to demonstrate their ability to successfully perform this service.

C.2 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 days.

C.3 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 10 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 10 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.
(End of Clause) C.4 52.237-2 PROTECTION OF GOVERNMENT BUILDINGS, EQUIPMENT, AND VEGETATION (APR 1984) The Contractor shall use reasonable care to avoid damaging existing buildings, equipment, and vegetation on the Government installation. If the Contractor's failure to use reasonable care causes damage to any of this property, the Contractor shall replace or repair the damage at no expense to the Government as the Contracting Officer directs. If the Contractor fails or refuses to make such repair or replacement, the Contractor shall be liable for the cost, which may be deducted from the contract price.

C.5 52.246-4 INSPECTION OF SERVICES—FIXED-PRICE (AUG 1996)
(a) Definitions. "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may (1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and (2) reduce the contract price to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may (1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service or (2) terminate the contract for default.

The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor compliance with the subcontracting commitments.

C.9 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2012)
(a) Definitions. As used in this clause—
(1) Contract financing payment has the meaning given in FAR 32.001.
(2) Designated agency office has the meaning given in 5 CFR 1315.2(m).
(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests.
(4) Invoice payment has the meaning given in FAR 32.001.
(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.
(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.
(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:
(1) VA’s Electronic Invoice Presentment and Payment System. (See Web site at http://www.fsc.va.gov/einvoice.asp.)
(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI). The X12 EDI Web site (http://www.x12.org) includes additional information on EDI 810 and 811 formats.
(d) Invoice requirements. Invoices shall comply with FAR 32.905.
(e) Exceptions. If, based on one of the circumstances below, the contracting officer directs that payment requests be made by mail, the contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for:
(1) Awards made to foreign vendors for work performed outside the United States;
(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;
(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;
(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or
(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of Rhode Island. (d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

E.1 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS (JAN 2017)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show—
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
