DEPARTMENT OF VETERANS AFFAIRS

Justification and Approval

For

Exception to Fair Opportunity Memo

Acquisition Plan Action ID: 36C252-20-AP-0796

1. Contracting Activity: Department of Veterans Affairs, NCO 12 Great Lakes Acquisition

Center, 115 S. 84th Street, Suite 101, Milwaukee, Wisconsin 53214-1476. This is a justification and approval for exception to fair opportunity.

Purchase requests: 537-20-2-5969-0023, 556-20-1-4441-0158, 556-20-1-4441-0157, 585-20-1-5045-0011, 585-20-1-5045-0012, 607-20-1-030-0011, 607-20-1-030-0012, 695-20-3-5272-0010, 695-20-3-5272-0012, 676-20-3-470-0046

2. Description of Action: This proposed action is for a new firm-fixed price sole source task order for VISN 12 with Pitney Bowes Global Financial Services, LLC. The Government requires the services of a vendor which can offer a base-plus four-year agreement for a lease for software which can track incoming and outgoing packages with the SendSuite Mailing System. In addition, the Government requires an agreement to host the SendSuite information on a vendor’s servers.

This procurement will include the following sites within VISN 12:

• Jesse Brown VA Medical Center, Chicago, IL

• Captain James A. Lovell FHCC, North Chicago, IL

• Oscar G. Johnson VA Medical Center, Iron Mountain, MI

• William S. Middleton Memorial VA Medical Center, Madison, WI

• Clement J. Zablocki VA Medical Center, Milwaukee, WI

• Tomah VA Medical Center, Tomah, WI

3. Description of Supplies or Services: The system being procured is used to efficiently and effectively track warehouse parcels from outside vendors (UPS, FedEx, USPS, etc.) to the VA site warehouse and out to specific customers within the VA hospital. Pitney Bowes is the only vendor currently FEDRAMP approved to provide the VA Enterprise Software Cloud Based Hosting System, which allows the sites to independently manipulate the site data and mitigates potential offsite errors, as experienced in the past. Additionally, this procurement is for the site licenses for SendSuite Tracking Software, the Enterprise Dashboard, the updating of the current workstations, new equipment to interface with the software upgrades (Tracking Assistants (T764 -34), Rugged Boot Protective Covers (34), Charging Cradles – single bay

(5) and 5 bay (6), Snap on Trigger Handles(13)).

VHAPM Part 816.5—Indefinite-Delivery Contracts Page 2 of 5

Date: 03/11/2019 Rev 02

Pitney Bowes SendSuite Tracking software and equipment is currently and has been used in the VISN 12 sites for over 10 years and systems are well established and maintained within staff workload. Due to the advancement of Windows 10 within the VA enterprise, equipment and systems need to be updated at this time (current operating system of equipment only supports Windows 7 or below). Maintaining this system within VISN 12 is in the best interest of the Government.

The procurement requested is a base plus four (4) one (1) year option periods, effective 04/01/2020 for the total amount of $1,423,856.16 utilizing the Strategic Acquisition Center’s (SAC) IDIQ contract 36C10X19D0020 which currently has an ordering period of 09/30/2019

– 09/29/2024.

4. Statutory Authority: The statutory authority permitting an exception to fair opportunity is

Section 41 U.S.C. 4106(c) as implemented by the Federal Acquisition Regulation (FAR) Subpart 16.505 Subpart 16.505(b)(2)(i):

(X) FAR Subpart 16.505(b)(2)(i)(B): Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.

5. Rationale Supporting Use of Authority Cited Above: Only one source is capable of providing the supplies or services at the level of quality required because the supplies or services are unique or highly specialized; Pitney Bowes currently has the only software system that has been granted access to the VA wireless network and has proper certifications in place (TRM & FEDRAMP). Additionally, the facilities have used Send Suite software for over 10 years, which would cause hardship on the staff and facility if changed due to implementation timelines of different software, equipment, and training. Implementing a different system would halt this portion of facilities service and would impact patient care.

Send Suite provides real time updates, has user specific log-ins for customers that can forecast when they can expect the packages (minimal VA Staff impact), alerts can be entered and associated with individuals to minimize down time of delivery packages which would impact patient care. Finally, this system fully integrates with the Pitney Bowes inbound/outbound enterprise mail management system that is currently being used in multiple facilities. Pitney Bowes is an all-in-one system that has provided a long history of fulfilling the requirements for the VA facilities.

1. The contracting officer has determined that an open-market sole source to Pitney Bowes

Inc. is in the best interest of the Government based on the superior ability to satisfy the Government’s requirement in addition to their ability to commence/continue work with no down-time or “ramp up” period.

2. A patent, copyright or proprietary data limits competition. The proprietary data is: The SendSuite System is several years old, but the SendSuite Live system is a new shipping and tracking environment which provides customers a fully integrated and scalable web-based tracking solution. Inherent in this system is propriety software coding and platform management. The two forks of the SendSuite System are currently under copyright by

Date: 03/11/2019 Rev 02

Pitney Bowes. As of this date, they have not allowed any third-party vendors to have access to this information. Contract requirements of VISN 12’s end-users on the current contract, and their experience and unique structure offer the Government the best value.

6. Efforts to Obtain Competition: There are no known Veteran-owned businesses capable of providing the required services. The Rule of Two has not been met as there is no reasonable expectation that two or more SDVOSBs or VOSBs will submit offers and that award can be made at a fair and reasonable price. Through market research and the information detailed in

(5) the contracting officer determined that Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1. This procurement minimizes the impact on patient care by eliminating the need for a transition period and eliminate the risk of a new source not being able to adequately procure the equipment necessary to perform.

Notice of Intent to Sole-Source was posted on beta.Sam.gov on 02/21/2020 and closed on 02/26/2020 informing all contractors that this service will be sole-sourced to Pitney Bowes Inc. One response was received from a small business vendor, but this vendor is unable to provide the cloud-based component of this requirement.

7. Actions to Increase Competition: Other firms have similar systems, but only the Pitney- Bowes SendSuite system can fully satisfy the Government's requirement due to proprietary rights of the SendSuite software.

8. Market Research: A search of VIP was conducted using NAICS 532420 and the keyword “SendSuite”. This search resulted in zero (0) matches, which does not allow the contracting officer to use the VA’s Rule of Two per VAAR subpart 819.70.

The contracting officer has determined that a sole source to Pitney Bowes Inc. is in the best interest of the Government based on the superior ability to satisfy the Government’s requirement in addition to their ability to commence/continue work with no down-time or “ramp up” period.

Contracting Officer searched on GSA and found that the required services that were previously on GSA are now on Pitney-Bowes SAC contract 36C10X19D0020. Furthermore, due to the existence of the propriety information involved, it became quite clear, early that only Pitney-Bowes can provide the required service.

9. Other Facts: N/A

10. Technical and Requirements Certification: I certify that the supporting data under my cognizance, which are included in this justification, are accurate and complete to the best of my knowledge and belief.

11. Determination that Anticipated Cost is Fair and Reasonable: A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The proposed vendor, Pitney Bowes Inc., is the current provider of the requested services for the VISN. They are currently providing the service on a base plus four one-year option period contract. Additionally, the prices have been established on SAC contract 36C10X19D0020 and have been deemed fair and reasonable IAW 8.404. The contracting officer will conduct a determination of fair and reasonable pricing, independent of this document before contract award.

12. Contracting Officer's Certification (required): I certify that the foregoing justification is accurate and complete to the best of my knowledge and belief.

Luke, I’m teleworking today, so I did not receive that message. I’m completing my justification document to sole source this requirement to PB and just needed to make sure that there’s no other vendors capable of providing this service that the VISN is requesting for this procurement.

Luke, Good afternoon! I just sent them over to my Branch Chief. Once I get the okay from him, I’ll draft up the purchase order documents.

I did have one question b/c I received an email from a small business vendor (Native Instinct LLC) who stated “We are an authorized small business partner of Pitney Bowes providing mission critical solutions to different federal agencies since 2017.” Is this copy authorized by Pitney Bowes to perform the service we’re requiring for the VISN?
